Welcome to CONCHA PLC (formerly Hot Tuna (International) PLC.

The stated aims of CONCHA PLC are to evaluate and invest in a broad range of

Company History

Hot Tuna was born in Australia in the summer of 1969 to serve the demands of sojourning surfers, the product of a dedicated surfer�s passion fueled by the skill of his fashion designer wife. Spreading on the bodies and boards of watermen through coastal locales in the South Pacific, the brand quickly burgeoned globally, becoming an influential leader in the nascent surf industry and one of the progenitors of the neon era of surf in the '80s. Through the brand�s storied history, a long list of notables, in and out of the water, have waved the Hot Tuna banner at one time or another in their careers, including pro surfers such as Richie Lovett, Robbie Page, Beau Emerton and Drew Courtney.

In September 2005, Hot Tuna (International) PLC purchased the Hot Tuna brand from a consortium of investors and listed it on AIM, a division of the London Stock Exchange.

In the interest of managing its brand profile and distribution globally, the public Company began a rapid acquisition of its licensed interests around the world. Talented designers and key management with apparel business expertise from Quiksilver, O�Neill, Ocean Pacific, Rip Curl and Perry Ellis International, among others, were recruited to drive the process in the key markets of the United States, Australia and the United Kingdom. In July 2006, entrepreneur and fashion icon Elle Macpherson, who grew-up with the brand in Australia, was appointed as an executive director of Hot Tuna (International) PLC, her interests focused on design and distribution issues, as well as overall youth fashion and market insight. The Company's name change to Concha Plc (AIM Ticker: CHA) will become effective and the Company will begin trading under its new name from 8:00 a.m. on 7 February 2012.

Hot Tuna (International) Plc (AIM: HTT), a leading surf wear and fashion brand, announces that at the Company's General Meeting held today, all of the resolutions proposed to shareholders were duly passed.

Following the passing of the resolutions, the disposal of the domain names, trade marks and certain of the Company's stock (collectively "the Assets") to Project J Newco No.10 Limited, a wholly owned subsidiary of Brands Holdings Limited, for cash consideration of GBP950,000 ("the Disposal") is due to be completed on 7 February 2012. In light of shareholder approval of the sale of the Assets, the Board are winding down operations in the USA, Australia and the United Kingdom.

In addition, following shareholder approval, the Company's name change to Concha Plc (AIM Ticker: CHA) will become effective and the Company will begin trading under its new name from 8:00 a.m. on 7 February 2012.

The Company has also been informed that Credit Agricole Cheuvreux International Ltd no longer has a notifiable interest in the Company and that AXA Investment Managers SA has an interest in 132,333,333 ordinary shares representing approximately 4.26% of the issued share capital of the Company.

Trading Update



The board of directors of Concha (the "Board") is pleased to provide an update regarding recent activity. Since the successful sale of the "Hot Tuna" brand and certain assets in January 2012, the Board has undertaken a closure of the legal and operational structure of its former business in such territories as Australia and the USA (the "Hot Tuna Business"). This process has now been completed and no further activity is anticipated in respect of the Hot Tuna Business. Other than the loan agreement referred to below, Concha is now a clean cash shell ideally positioned to pursue a strategic acquisition opportunity in line with its stated investment strategy.



Loan Agreement



As the Company announced on 13 March 2012, the Company entered into a loan facility agreement with Churchill Media Limited ("Churchill"), under which the Company would provide up to £750,000 of capital to Churchill (the "Loan Agreement"). Under the terms of the Loan Agreement, Concha was required to approve on any significant items of expenditure incurred by Churchill in excess of £25,000.



As at the date of this announcement Churchill has drawn down £645, 000 on the terms of the loan agreement which incorporated an interest rate of 6% above LIBOR.



We are informed by Churchill that the funds drawn down have been utilised to invest in media, technology and telecommunication businesses. One of the companies in which Churchill has made an investment in is one where M Barney Battles is a minority shareholder and nominee board director and consequently Marcus Yeoman, acting as the independent director of Concha, reviewed the draw down request from Churchill.



The loan remains repayable on demand and no later than 9 January 2013.



Working Capital



As at the date of this announcement, the Company retains over £300,000 of cleared funds before settlement of a historic outstanding VAT matter in addition to other potential contingent liabilities totalling, in aggregate, up to approximately £175,000. The Board is confident that these will be settled shortly.



Future Activity



The Board continues to explore a number of possible acquisition opportunities and looks forward to providing shareholders with a further update in due course.

Well, the GM is this Fri and re-listing prob in a week or twos time...so all is not lost although we've prob seen our orig outlay well & truely trashed.
Still, at least there's light at the end of the tunnel now and the first aquisition is profitable! Might take us a couple of years to recover some of our losses but at least we should be on our way.. GLA for those still in!

Placing, Acquisition and Restoration of Trading on AIM


Concha plc ("Concha" or the "Company"), the AIM quoted investment company focused on investing in media, communications and technology companies, today announces the acquisition of a 30 per cent interest in The Works The Complete Design Facility Limited ("The Works"), a placing of approximately £1.0 million (the "Placing") and the restoration of trading on AIM (the "Restoration of Trading").


Acquisition of a 30 per cent interest in The Works

Concha is pleased to announce that it has completed the acquisition of a 30 per cent interest in The Works, a leading specialist media design agency focusing on the sports sector, dealing with Branding, Motion and Events (the "Acquisition"). Founded in 1989 by the current chief executive officer, Roy Webber, the Leeds based business currently employs 17 staff. Roy has a background with the BBC and Yorkshire TV and together with his wife Karen are the majority shareholders of The Works.

The Works Branding activities cover everything from brand strategy, corporate identity, competition branding, major sports event branding, publications and presentations, to full collateral rollouts for the world's biggest sporting events. The Works Motion capabilities includevideo production, editing, motion graphics, visual FX, CGI, animation, and the full range of digital applications for the internet. The Works Events division covers client events, conferences, experiential tours, fan zones, exhibitions and museum design. Clients include some of the world's biggest sporting federations such as UEFA, FIBA, IAAF, FIVB, ERC, RFL, FIH and NBA.

Concha believes that the market for websites and Apps for the leading major sporting federations, associations, leagues, clubs, sports marketing agencies and related service companies will continue to experience strong growth over the coming years as a result of their brand strength, large fan bases and social media followings underpinned by increasing Broadcast rights fees and sponsorship. Accordingly, Concha believes The Works is well positioned to benefit from its existing and prospective pipelines of business, both of which are expected to generate income through design and build fees.

Following completion of the Acquisition, Chris Akers, Executive Chairman of Concha, will become non-executive Chairman of The Works acting as Concha's board representative and also providing The Works with access to his worldwide database of sports contacts.

The consideration payable by Concha under the Acquisition is £400,000 in cash and has been funded by the Placing, further detail on which is below.

In its last statutory accounts for the year ended 30 September 2012, The Works reported total assets of £649,917, revenue of £1,084,145 and profit after tax of £131,770. Further information can be found at the company's website http://www.worksltd.co.uk/

Placing

Concha is also pleased to announce that it has raised gross proceeds of approximately £1.0 million through a placing of 282,499,999 new Ordinary Shares of 0.1p each in the Company (the "Placing Shares") with new investors (the "Placees") at a placing price of 0.35p per Ordinary Share (the "Placing Price"), subject to Restoration of Trading and admission of the Placing Shares to trading on AIM.

Of the total 282,499,999 Placing Shares issued pursuant to the Placing, an initial tranche of 100,000,000 shares was issued on 4 June 2013 with the balance of 182,499,999 shares issued on 7 August 2013. Application will be made as soon as practicable for the admission of the Placing Shares to trading on AIM.

Warrants

As part of the Placing, the Company has agreed to issue 1 warrant for every 4 Placing Shares subscribed for by the Placees, exercisable at the Placing Price and within an exercise period of 5 years from the date of issue (the "Placing Warrants"). The total number of Placing Warrants issued under the Placing will therefore be 70,624,999.

The Company has also agreed to issue Russell Backhouse, Financial Director of the Company, warrants over 15,317,227 shares, again exercisable at the Placing Price and within an exercise period of 5 years from the date of issue.

Following the issue of Russell's warrants and the Placing Warrants, the total number of warrants outstanding will be 240,325,634.

Trading Restoration

As announced on 8 February 2013, trading in Concha's shares on AIM was suspended pending implementation of its investing policy in accordance with the AIM Rules. Concha is now pleased to confirm that as a result of the qualifying investments it has made since that date, AIM Regulation has confirmed that the suspension will be lifted and that trading in the Company's shares will recommence at 7.30 a.m. on 09 August 2013.

Total Voting Rights

The Company has no Ordinary Shares held in treasury. The total number of voting rights in the Company following the Placing will therefore be 777,756,979. This figure may therefore be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.

Current Portfolio Update

Moshen Limited

On 12 March 2013, Concha announced an initial investment of £500,000 in Moshen Limited ("Moshen"), a leading developer and distributor of digital apps focusing on the sports, games and entertainment sectors. Since then, and in order to support Moshen's ongoing growth, Concha has invested a further £253,000 through a series of investments comprising £112,000 by way of a rights issue participation and £141,000 by way of a convertible instrument. As a result of this, Concha's holding in Moshen has increased to 41 per cent of the issued share capital.

Churchill Media Limited

On 13 March 2012, Concha entered into a loan facility agreement with Churchill Media Limited ("CML") for an initial period of ten months. As announced the loan was extended on 13 January 2013 and again, with revised terms, on 13 March 2013. The loan has an outstanding balance of £750,000 plus accrued interest of c£50,000. The loan and interest are due for repayment on or before 30 September 2013. The loan bears interest at the rate of 6% above LIBOR and is secured against the assets of CML which comprise investments in a number of TMT and media businesses. Concha has commenced a dialogue with CML regarding its ability to satisfy repayment of the loan either in cash or through an exchange for interests in investments held by CML or its associates. Concha is undertaking a review of CML's investment portfolio and assets, and expects to make a further announcement in due course.

PixCom Ventures Limited

Concha has entered into a convertible loan note agreement with PixCom Ventures Limited ("PixCom"), an early stage business which has acquired the rights to create and deliver experience based video and photography at a number of events and entertainment sites, pursuant to which Concha has provided funds of £100,000 to PixCom. The convertible loan note has a 5 per cent coupon, is repayable on or before 30 June 2014 and is convertible at Concha's option into shares equivalent to up to 25 per cent of the issued share capital in PixCom. In addition, Concha has an option to subscribe for shares equivalent to a further 15 per cent of PixCom for a payment of £100,000 during the five year exercise period.



Chris Akers, Executive Chairman of Concha, commented "The acquisition of this strategic minority in The Works will complement Concha's existing 41 per cent shareholding in Moshen and is expected to enable the two companies to work closely together marrying the technical expertise of Moshen with the creative skill-sets of The Works for the benefit of the world's leading sports federations, associations, leagues, clubs and franchises."

Hi bullshare

Concha looks a very good punt at this level,i have been watching and researching
these for some time and last week i had contact with the company which was
rather positive.In summary they said they are doing very well in their main two
investments and are also confident of getting a good bonus out of CML.

I think concha are due to put their results out in mid december and they could
be rather good in my opinion.

Were you aware that Mr Nigel Wray and Mr Andrew Black both bought 100m shares
here at 0.35p ?

Jazz; Yes have held these for a few months. The problem is that there has been a series of bad news from the company the latest being a loan to Churchill Media a company controlled by Richard Thompson ( son of Thompson family who owned Hillsdown holdings). I understand he has personally offered other forms of guarantee against the loan which will need to be looked at by the company.

Most likley the company is waiting for the share price to reach a certain - good high point - where an Acquisition for shares can be arrange.

Moshen Limited

On 5 September 2013, Concha announced that Moshen Limited, a business in which it held a 40% interest, had been placed in to administration and that the security granted to Concha in respect of the £300,000 term loan advanced to Moshen was unenforceable. The administrators of Moshen have advised the Company that they do not expect to make any payments to creditors or shareholders.

Concha has engaged advisers to consider the actions of its legal representatives at the time the interest in the Moshen business was acquired, and the failure to validly register a security interest in the assets of that entity. On 3 December 2013, Concha submitted its detailed letter of claim against its former legal advisers.

Churchill Media Limited

On 1 October 2013, Concha announced that as a result of Churchill Media Limited ("CML") having failed to discharge the obligations in relation to a loan advanced to CML by 30 September 2013, it had issued a notice of default to CML.

Despite a continuing dialogue with Richard Thompson, CML's sole director and shareholder, Concha has yet to receive any satisfactory proposal relating to either repayment of the loan either in cash or through an exchange for interests in investments held by either CML or its associates. In the absence of any satisfactory proposal, Concha is now seeking to review to the original transactions and the actions of those involved at the time of the advance.

LONDON (Alliance News) - Concha PLC Monday reported a wider loss for the first half of its financial year as administrative expenses rose and it wrote off liabilities.

However, it also said that it has identified a number of potential acquisition opportunities in the technology, media and communications sectors, and will update shareholders in due course.

The company, which earned just GBP6,000 in revenues in the six months to December 31, 2013, reported a pretax loss of GBP323,000, wider than the GBP85,000 loss it reported a year earlier. Its general and administrative costs rose to GBP203,000, from GBP104,000 and it booked a GBP126,000 writedown of liabilities, which it didn't detail.

The investment company in the technology, media and communications sectors has a principal investment in specialist media design agency The Works. It also had a 40% stake in Moshen Ltd, which went into administration last September.

In a statement, Concha said its investment in Works was continuing to perform well, supplemented by the Works Digital digital agency operation that it set up with the management of Works in the wake of the Moshen administration.

"The board continues to progress its action against its former legal advisors in respect of the failure to register a valid security interest in loan amounts advanced to the former Moshen business and expects to conclude this process before the end of the current financial year," it said in a statement.

Concha's investment in Moshen was its first since it became an investment company when it bought a 40% stake in the application developer back in April 2013. It went wrong when insolvent Moshen's administrators deemed the loan Concha made to Moshen to be unsecured.

It said professional fees associated with the Moschen administration were included in its general and administrative expenses for the first half. It also included the costs of its attempts to recover outstanding amounts under a loan it made to Churchill Media Ltd which are in default. It had said last October that it was owed GBP750,000 and accrued interest of about GBP50,000 by Churchill.

Still, Concha shares were up 2.8% at 0.483 pence Monday afternoon.

As a follower of the stock you are aware of the ups and downs of this stock, never did hold the stock for too long if a decent profit was made and I did a few times by big % gains.
Fortunately, sold the top up late yesterday in just one day I was up by 35% and did managed to top again this afternoon 2.32p

Still holding the two buys @ 5 and 5.05p from the 26th, but are on a T+20, so just hope the volatility is back on the other way, I still believe on Akers ideas, but needs to rush this deal as it take too long and plays on the hands of FAT boy shorter, most likely one of the guilty party on what is happening now.

If you have a spare bob or two CBUY, is ready to "rock an roll" look at the thread I made a chart early this afternoon

Its just rumours from the shorters is my view, in order to create this conspiracy of uncertainty and bring the share price down, They try it many times before by (FAT boy mainly with associates ) but it seems they did managed this time as plenty of things were on their side, the long time it takes to finalize the deal, the share price was moving lower, and the markets are in a mess just now.

The FT comment was just saying the reason that was going around for the large drop on the share price during the week

Company has £5M cash on the coffers, stake on companies and the most important thing that you can not value is "Christ Akers" one of the best dealers on acquisitions, already has been working in a large one, and that was the reason for share price going sky high, and in the process I made several thousand pounds, on buying and selling at the right time, mainly on the UPTREND from 1p to 7p

btw - so far all the money I made on CHA was on Buying T + 20 ( meaning I have 20 working days to pay ) and did close the position before the paying day so the money I made was with out paying 1p.

now if you can do it better let me know, maybe then I will put more attention two your post

Termination of investment discussions

As previously announced, the Company had been engaged in negotiations regarding a specific global opportunity within its investment scope. Whilst the Board appreciates that significant time has elapsed since it first announced that it had engaged in these discussions, the Board has been keen to monitor its development further before formalising a possible investment commitment.

During the course of this week, following further discussions with the target investee company, the Board met to discuss the status and complexity of the proposed transaction as well as the likely timescale for the completion of any transaction. In the light of those conversations the Concha Board and the board of the target investee company have agreed that it is in both parties' interests to terminate discussions immediately. Whilst the Board are disappointed not to have been able to successfully complete this investment, the Board is confident that this decision is in the best interests of shareholders.

Whilst it is true that the Board has recently been focussing on the specific opportunity mentioned above, the Board has, and will continue to, assess a number of other potential investment opportunities in line with the Company's investment policy.

The Board is clearly aware of the recent volatility in the Company's share price and the Board notes that the Company's market capitalisation remains significantly higher than its net asset position.

The Company will release its final results for the year ended 30 June 2015 on 22 December 2015.

The 1M buys continue but today are paying higher price 0.73p not any longer 0.675p
still early but sure something is going on with those steady buys, taking advantage of any loose sells

6 minutes later WINS has gone into the bid 0.70p

Oh well another large buy ( size to MM offering ) and another move up this time the offer goes.
The buying price is higher all the time now...
...0.675p, 0.685p, 0.699p, 0.71p. 0.73p, and last one 0.745p

a few minutes later and MM on the offer has gone into the bid

spread 0.70 v 0.80p

and further demand early this morning that has move bid and offer up, after the good size buy.
the RNS of stake building by the couple early on the month ( 82M and 5.09% ) I suspect helps on the interest on the shares.

Some chunky trades has got the shares on the move up, and on that reaching last week intraday high 0,825p.

Every time the bid goes to 0.80p there is a seller or sellers for the last few times this has happen, since the buys are out placing the sells and that is clear on the level 2, so maybe this time the bid will hold and finally move forward.

Volume and rising is bullish and for the last couple days the volume is higher

a couple of large trades and SCAP gone from the offer, now only 1 MM left, as a matter of fact with the 250K buy at full offer 0.85p at 16:22, SCAP moved forward, so the last 750K buy we do not know from who's MM it is, or done earlier and reported at the last minute.

VE is due for AGM next Tuesday and rumours of fund raising stock at around £1000 per share, that's 400% on Concha's original investment

Well after the early morning profit taking eventually got level and since then the buyers are taking over the ticker so up she goes to highs not see for some time now.
