The total number of ordinary shares in issue at admission is 52,314,648, giving the group a market capitalisation of approximately £31.4m.

CityFibre was founded by Greg Mesch who has built up five companies from start-up enterprises over the past 25 years, including Irish alternative telecoms company ESAT and Versatel, which built a network in Germany, Belgium and the Netherlands. ESAT was sold to BT for €1 billion (£837.7 million) and Versatel was sold to Sweden’s Tele2 for €2 billion (£1.67 billion).

Ultra-fast broadband will reach Britain eventually

BOURNEMOUTH, a seaside resort on Britain’s south coast, is not an obvious place to experiment with speedy broadband. Yet a smattering of its homes enjoy internet speeds that leave more cosmopolitan places in the shade. Optical fibres installed by CityFibre, a small telecoms company, allow services 70 times faster than the national average. At one gigabit per second (Gbps), they rank among the zippiest residential connections in the world.
Britain aspires to be a world-beating digital economy. That requires a speedy internet. Since 2010 average broadband speeds have trebled; the rollout of broadband to rural areas, though much delayed, compares well with efforts abroad. Yet very few can access anything like the speeds offered in Bournemouth. As connections of 1-2 Gbps grow common in Seoul, Tokyo and parts of America, some fret that Britain’s networks will fall behind
For several years BT, which manages much of Britain’s telecommunications infrastructure through a subsidiary, Openreach, has been wiring up British neighbourhoods with fast fibre optics. Yet in most cases the new lines terminate in street cabinets: the final short hop to homes and offices is along old copper telephone wires, drastically reducing possible connection speeds.
Replacing those wires with fibre is expensive. BT will eventually supply customers who demand it, but at a hefty connection fee. That has encouraged a gaggle of independent firms, such as CityFibre, to pitch speedier connections. But large fibre projects require hefty capital and much digging, and offer slow returns. Hyperoptic, for now Britain’s biggest residential “gigabit” supplier, mostly targets big blocks of flats in London.
Tech boosters think the government should stump up for more gigabit links. They note that few of the world’s whizziest networks were built without some state subsidy; they also say ubiquitous fibre would cost only half as much as Britain’s proposed high-speed railway line. Promoting high-capacity connections now might avoid a costly crunch down the line. In November the Broadband Stakeholder Group, a government and industry body, predicted that most households will want no more than 19 megabits per second (Mbps) in 2023—only a third faster than today’s average speed. But Oliver Johnson of Point Topic, a consultancy, thinks 100-500 Mbps a safer bet.
Though most homes would struggle to make full use of gigabit bandwidth, faster connections do seem to mean more internet use. Bigger pipes would speed the evolution of data-hungry services, too. The greatest benefits might accrue to small and medium-sized firms, which need more than today’s “superfast” speeds but cannot afford to purchase premium leased lines.
But there are good reasons to favour Britain’s current, cautious approach. Analysys Mason, a research firm, thinks full fibre would take 15 years to roll out. Britain might spend lavishly on kit that could be cheaper later, when blistering speeds might also be better appreciated. Mike Galvin of Openreach thinks new technology may eventually mean copper delivering speeds comparable with fibre. Australia’s new government is slashing the targets of that country’s fibre roll-out after costs almost doubled.
Britain’s ultra-fast networks will remain rare oases, at least for a while. But in the long run plucky young networking firms may prompt swifter action from BT. In America, Google’s promise to build fibre networks in Kansas City and Austin has nudged sluggish incumbents into bringing forward their own ultra-fast products. Competition is a powerful accelerant.

CityFibre confirmed as preferred bidder for Coventry fibre network
CityFibre (CFHL.L), the company that owns, builds and operates fibre optic infrastructure, is pleased to confirm that it is in advanced negotiations with Coventry City Council as preferred bidder to acquire a citywide fibre infrastructure network. The network, known as the Coventry Metropolitan Area Network (MAN), currently connects over 300 Council buildings, local schools and libraries in the city of Coventry. The Council have undertaken an open competitive process to invite bids for the MAN asset, which resulted in CityFibre's selection as preferred bidder. The acquisition is subject to final approvals from the council and the conclusion of contractual agreements.
CityFibre will update shareholders further on any material developments related to the proposed transaction.

Sky and TalkTalk partner with CityFibre to
Launch Ultra-Fast Broadband
Sky and TalkTalk today announce that they have joined forces with CityFibre to create a new company that will deliver ultra-fast broadband services in the City of York. The new joint venture company plans to build a state of the art, city-wide, pure fibre-to-the-premise (FTTP) network to deliver broadband speeds of 1 Gigabit (1000 Mbps) direct to tens of thousands of homes and businesses in York, offering customers better quality and value.
The new network will leverage CityFibre's existing metro fibre infrastructure in the City. Once the ultra-fast network is in place, Sky and TalkTalk will retail competing broadband services over the new infrastructure, with the first York customers expected to be connected in 2015.
The joint venture plans to work with leading global technology provider Fujitsu to deploy the pure fibre FTTP network. It will enable Sky and TalkTalk to offer customers better value for higher speeds than is currently available, increasing both choice and innovation in broadband for consumers.
The roll out will give Sky, TalkTalk and CityFibre the opportunity to fully test a new cost effective approach to building a viable pure fibre network, independent from BT Openreach's infrastructure. The parties also intend to bring ultra-fast broadband to two further cities across the UK and will announce further details about the selection of the cities in due course.
This will be the first time ever that a UK city has been connected with such high speeds on a city-wide basis. The parties will work in partnership with the local community to help ensure the network delivers the numerous benefits better broadband can provide, including helping to grow the local economy and supporting York businesses to better compete in the UK and abroad.
Further details about the new service in York, including branding and launch date, and Sky and TalkTalk's customer propositions and pricing, will be confirmed in due course.
The Joint Venture plans to sell wholesale fibre services to Sky and TalkTalk. CityFibre, Sky, and TalkTalk will each have an equal 33.3% equity stake in the new company. CityFibre's initial investment in the Joint Venture will be via an in-kind equity contribution comprising a right of use of its asset in York. CityFibre expects that some additional capex may be required to adapt the metro network for use by the Joint Venture but this is not expected to be material.

Construction of 90km network begins
Business sign ups surpass 400 in less than 12 weeks
CityFibre (CFHL.L), the company that owns, builds and operates fibre optic infrastructure, is pleased to announce that the number of businesses pre-registering on the Peterborough CORE metro fibre network has now surpassed 400, equating to more than 10% of all businesses in the city.
Moreover, CityFibre, via its local service provider partner Businesscoms, has already seen a dozen pre-registered businesses convert to being contracted customers, several months before the availability of services on the network.
Construction of the 90km network officially began with a formal ground-breaking ceremony on Wednesday 23rd April and will quickly progress across the city with the first services available to businesses by July this year. The "Gig Up Peterborough" pre-registration campaign began 12 weeks ago, and is enjoying an acceleration of registrations of interest in the wake of the ground-breaking ceremony.
Greg Mesch, CEO of CityFibre, remarked: "We're very proud to break ground on this exciting new project and extremely pleased with the strong response to date from the business community in Peterborough, with 10% of area businesses pre-registering interest in under three months, and a dozen committing to service contracts before the network is even constructed. CityFibre Infrastructure Holdings Plc (AIM: CFHL), a leading owner, builder and operator of fibre optic infrastructure enabling gigabit connectivity in UK cities, is pleased to report pro forma results for the Group for the year ended 31 December 2013. These results are for CityFibre Holdings Limited, which was acquired by CityFibre Infrastructure Holdings plc in January 2014 as part of an IPO restructuring immediately prior to the Company's admission to trading on AIM.
Financial Highlights:
· Revenue increased 9.7% to £1.9m
· Gross profit increased 24.0% to £1.5m
· Administrative expenses fell 7.9% to £5.7m
· New contracts with a total value of £4.7m were signed during the period
Operating and Post Period End Highlights:
· The UK's largest independent provider of fibre network infrastructure, to mid-sized cities and major towns with over 29,000 kms of fibre and duct access network connecting 465 customer sites in 56 UK towns and cities, as well as a Fibre-to-the-Home ("FTTH") network passing 20,000 homes in Bournemouth.
· Continued momentum of the Company's Gigabit City UK roll-out:
o Signed a 20-year contract with Serco in November 2013 to provide fibre connectivity to over 100 locations in Peterborough: to date over 500 Peterborough businesses have signed up to the pre-registration campaign "Gig Up," and partnership agreement with local service provider Businesscoms is expected to drive contract conversions. The Peterborough network deployment has commenced on schedule.
o Awarded preferred bidder status by Coventry City Council for the acquisition of the 140 kms Coventry Metropolitan Area Network (MAN) fibre optic asset in April 2014. Pending successful completion of the acquisition Coventry will become CityFibre's largest network asset with an addressable business market of over 9,000 potential customers, and increasing the Company's total fibre network footprint by 48%.
o Joint venture agreement ("JV") signed with BSkyB and TalkTalk to deploy a FTTH network in York, leveraging CityFibre's existing asset. This JV marks the first example of large ISPs procuring broadband infrastructure at scale from an alternative service provider. The JV intends to select another two cities for deployment in due course.
· CityFibre board further strengthened through the appointment of industry veteran Peter Manning as Non- Executive Chairman in September 2013, and Sally Davis, previously CEO of BT Wholesale, as Non-Executive Director in February 2014.
· Successful IPO and admission to trading on AIM on 17 January 2014, raising approximately £16.5m before expenses to i) grow services and profitability at existing assets, including York, ii) to deploy 90 kms of metro fibre infrastructure into Peterborough, iii) to acquire further metro fibre infrastructure in excess of 100kms, and iv) for working capital purposes and project pipeline.
· Conditional placing announced today to raise approximately £30m (before expenses) to further strengthen the Company's balance sheet and enable the Company to exploit an accelerating pipeline of projects and incremental opportunities to those foreseen at IPO.
· New business pipeline remains strong with high level of interest in CityFibre from secondary cities across the UK, of which management believe there are approximately 100 addressable opportunities.

Closing of Coventry MAN Acquisition
CityFibre (CFHL.L), a leading designer, builder, owner and operator of fibre optic infrastructure, is pleased to announce that further to the announcement of 11 April 2014, CityFibre has today completed the acquisition of the 140km Coventry Metro Area Network (MAN) and signed a strategic partnership with Coventry City Council.
The Coventry MAN, to be rebranded the Coventry CORE, was commissioned by Coventry City Council six years ago and currently serves nearly 300 key public sites including council offices, schools and community centres. CityFibre will continue to provide connectivity to these sites, granting the Council a long-term, free right of use.
From this summer the Coventry CORE will be extended to enable thousands of local businesses access to transformational gigabit internet speeds through a number of local Internet service provider partners. This will make Coventry a Gigabit City, joining both York and Peterborough in CityFibre's accelerating Gigabit Cities programme.
Consistent with the Company's business model, any material incremental capex associated with the Coventry CORE asset will be success-based, driven by contracted revenues.

CityFibre to extend UK reach through Easynet agreement in Kirklees
Collaboration creates the most advanced Public Services Network offering to UK towns and cities
CityFibre (AIM: CFHL), a leading designer, builder, owner and operator of fibre optic infrastructure, is pleased to announce it has signed a long term agreement with Easynet, formerly MDNX, to deploy dark fibre connectivity to 176 public sector sites in the metropolitan borough of Kirklees, West Yorkshire.
Pursuant to the contract, CityFibre will design and build a 72-kilometre fibre network which will enable Easynet, a UK Government approved and accredited Public Service Network (PSN) and G-Cloud supplier, to offer transformational, gigabit-capable fibre network connectivity solutions to the metropolitan borough of Kirklees as part of its overall solution for the council. The total contract value to capex ratio attributable to CityFibre is in line with the Company's previously stated guidelines.
This marks the first contract win for CityFibre with a service provider partner under the PSN national procurement framework. It also marks the first time that a PSN-approved provider has incorporated an extensive dark fibre solution in delivering a PSN project. The combination of CityFibre's proven track record of developing similar projects in cities such as York and Peterborough, and Easynet's extensive experience in delivering multi-million pound government ICT solutions, will enable both parties to deliver next generation services to key UK regional towns and cities.

CityFibre selects Aberdeen as next Gigabit City
New city network anchoring approach focused on business segment demand aggregation, in collaboration with local partner Internet For Business (IFB)
CityFibre (AIM: CFHL), the UK's leading designer, builder, owner and operator of fibre optic infrastructure, is pleased to announce it has signed an agreement with Scotland-based ICT service provider Internet For Business ("IFB"), to deploy a gigabit-capable dark fibre network throughout Aberdeen, as the first step in the company's plan to establish Aberdeen as Scotland's first Gigabit City.
The initial 50km network build phase (of a total anticipated build of up to 120km) is backed by a contractual offtake commitment from IFB to migrate and upsell existing business leased line customers onto CityFibre's infrastructure, as well as to convert new customers from its strong pipeline. The Total Contract Value ("TCV") to capex coverage ratio during the initial phase of the contract-backed build is anticipated to be well within the Company's stated target range.
CityFibre selected Aberdeen as a highly attractive and strategically significant market for the Company to enter, as its strong local economy accounts for 28% of Scotland's GDP and lays claim to 30% of the country's top 100 businesses. The network will bring much-needed alternative local access fibre infrastructure to the city, which was passed over in the cable network deployments of the 1980's and 1990's.
Pending successful completion of this first phase of network build, CityFibre's pro forma fibre footprint (including in-progress projects in York, Coventry, Peterborough and Kirklees) will exceed 680 route kilometres of local access fibre and connect over 1,200 customer sites. This expanded footprint represents an addressable market of over 2,400 public sector sites, 1,200 cell sites, 40,000 businesses and 600,000 homes.
The network roll-out will be demand-led and will follow CityFibre's highly optimised "Well-Planned City" network design concept, accommodating current and future capacity requirements from the public sector, private businesses, mobile operators and local data centres. Ultimately, the network, comprising modern duct infrastructure with high-capacity fibre cables, could comfortably provide a backbone for the deployment of fibre to the home for the city's residents.
Based on a number of key sites selected in conjunction with IFB, planning for the network's deployment is already underway and will initially focus on the centre and south of the city, including key industrial estates such as Tullos and Altens, as well as the north as far as Dyce and The Bridge of Don. CityFibre will shortly launch a demand aggregation campaign allowing Aberdeen's 6,000 businesses to register their interest and help shape the network route.

CityFibre Infrastructure Holdings Plc (AIM: CFHL), the leading designer, builder, owner, and operator of wholesale fibre optic infrastructure enabling gigabit connectivity in UK towns and cities, is pleased to report half year results for the Group for the period ended 30 June 2014.
Financial Highlights:
· First half results ahead of expectations at the IPO;
· Revenue increased 45.6% to £1.3m, driven by new projects and incremental contract growth on existing assets;
· Gross profit increased 49.3% to £1.0m, with margin expansion from 80% to 82%, reflecting high operating leverage of passive fibre network assets;
· Adjusted EBITDA loss of £2.0m, reflecting increased activity connected to new city wins;
· Acquisition of property, plant and equipment of £2.1m, up from £0.4m in H1 2013;
· Strong balance sheet following successful IPO and oversubscribed secondary placing raising £46.5m before expenses from institutional investors;
· Cash balance at period end of £37.2m
Operating Highlights:
· Signed a landmark joint venture agreement ("JV") with BSkyB ("Sky") and TalkTalk on 15 April 2014 to deploy a trial city-wide Fibre-to-the-Home (FTTH)/Fibre-to-the-Premises (FTTP) network in York and appointed Fujitsu as build partner;
· Acquisition of Coventry Metro Area Network asset closed on 3 June 2014, adding over 300 connected customer sites and 62% additional fibre footprint to the CityFibre portfolio;
· Connected customer sites up 76%, to 817 as at 30 June 2014 from 465 in December 2013. Reseller and service providers on-net up to 16 from two at the start of the year;
· Post period end city wins in Kirklees and Aberdeen, full year target of three new city wins achieved to date;
· CityFibre's pro forma fibre footprint (assuming successful completion of in-progress projects in Peterborough, Kirklees, and Aberdeen) will exceed 680 route kilometres of local access fibre and connect over 1,200 customer sites when complete. This expanded footprint will represent an addressable market of over 2,400 public sector sites, 1,200 cell sites, 40,000 businesses and 600,000 homes;
· Strong momentum expected to continue for the remainder of the year, particularly with regard to new city wins and further commercialization of existing assets.

CityFibre to deliver UK's first dark Fibre-to-the-Tower ("FTTT") solution
CityFibre (AIM: CFHL), the leading designer, builder, owner, and operator of wholesale fibre optic infrastructure enabling gigabit connectivity in UK towns and cities, is pleased to announce the signing of a long term national framework agreement with mobile network operators EE and Three UK, along with their infrastructure joint venture, Mobile Broadband Network Limited ("MBNL").
The framework agreement will see CityFibre deploy the UK's first dark fibre backhaul connections to mobile masts (Fibre-to-the-Tower, or "FTTT") across both operators' networks, improving network performance capabilities as well as offering long term cost efficiency. It also marks the expansion of critically needed diversity in the mobile operators' supply chains.
Whilst already widely established in North America and Continental Europe, dark Fibre-to-the-Tower solutions for mobile network operators have not been deployed previously in the UK. Dark fibre supplies operators with their own fibre infrastructure, a future-proofed platform offering near limitless capacity for the same fixed cost. This is an invaluable asset in the face of operators' growing bandwidth requirements and increasing backhaul traffic to and from cell sites driven by explosive data demand and the proliferation of connected devices.
The first project of the framework is already underway in Kingston-upon-Hull, where CityFibre is in the process of overhauling MBNL's network, providing both EE and Three UK with the ability to deploy advanced network technology features and to trial cutting edge technologies. CityFibre, EE, Three UK and MBNL are already examining how the dark fibre solution could be rolled out to further towns and cities in the UK under the national framework agreement and will update the market as appropriate in due course.
CityFibre's initial 60km build project for the mobile sites in Hull is the first step in an anticipated larger build-out, potentially up to 200km, following CityFibre's "Well-Planned City" model, under which the Company's shared fibre infrastructure is also available for use by service providers covering multiple market segments.
The financial terms of the contract are within the Company's previously stated guidance with regard to total contract value ("TCV") to capex coverage.

CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, announces the following trading update for the year ended 31 December 2014.
The Board is pleased to confirm that full-year financial results will be in line with current market expectations. CityFibre has successfully converted a number of contract wins in the period, and continues to unlock significant levels of incremental business across its existing asset base.
Key highlights:
· The Joint Venture with Sky and TalkTalk for a Fibre-to-the-Home (FTTH) trial in York commenced its first phase of deployment in October 2014 and is progressing apace, with commercial launch expected later this year;
· The national framework agreement with Three UK, EE, and MBNL saw the first phase of the Fibre-to-the-Tower (FTTT) deployment in Hull completed before Christmas, on time and on budget;
· The Peterborough CORE network deployment, commenced in April 2014, was completed on time. As at 31 December 2014, 86 of the 106 public sector anchor sites were connected, with the balance anticipated to be connected by the end of February 2015;
· Following a successful business pre-registration programme in Peterborough, as at 31 December 2014, 64 businesses had successfully been converted to contracts with service provider partners, representing a 1.5% penetration of all businesses in Peterborough in a period of only eight months;
· The York CORE network added £0.8m in new total contract value (TCV) in the second half, bringing the total for the year to £1.2m, an increase of 283% versus the prior year. Capex associated with incremental TCV during the period was £0.5m, bringing cumulative TCV/capex on the York network to 124%, from 118% in the first half, and from 113% as at 31 December 2013;
· Pro forma for contracts in-build and announced during the period, the Company's network footprint should extend to 750 route kilometres of local access fibre when completed;
· Business pre-registration campaigns in Coventry, Kirklees, and Aberdeen are demonstrating strong pent-up demand consistent with the experience in Peterborough;
· Reseller/service provider relationships at year end totalled 25, up from 16 as at 30 June 2014;
· Continued progression of pipeline opportunities across all four market verticals, with active discussions ongoing with 25 city councils.
The Company expects to announce its full year results for the year ended 31 December 2014 on Monday 23 March 2015.

CityFibre announces first win in Wales with Logicalis
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce a partnership with Logicalis, the global provider of IT solutions and managed services, to construct a 'Community Safety Network' - a high capacity resilient pure fibre ring - in Newport, Wales' third largest city.
The project was awarded under the UK's Public Services Network (PSN) framework and is the first for CityFibre in Wales, marking the second win for CityFibre's dark fibre solutions in partnership with an accredited provider to the framework, following the deal with the metropolitan borough of Kirklees, announced in August 2014.
The initial fibre deployment in Newport will connect over 40 sites and will be designed to accommodate the growing community safety estate. The network will allow Newport City Council to harness future smart technologies as the city evolves, including ultra-high definition CCTV, digital information boards, and traffic and alarm monitoring applications.
As with previously announced projects, CityFibre expects over time to expand beyond the initial scope of build-out to encompass potential further opportunities including additional public sector sites, businesses, mobile cell sites and the residential broadband segment, under its Gigabit City model.

CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce that it has signed an agreement with leading Scottish network service provider, Commsworld, for the first phase of deployment of pure fibre network infrastructure in Edinburgh.
The initial 50km, of an anticipated 150km build, is backed by a contractual commitment from Commsworld to migrate a significant proportion of its large existing base of business customers onto CityFibre's new fit-for-purpose infrastructure. As in all its previously announced projects, the Total Contract Value ("TCV") to capex coverage ratio during the build is anticipated to be well within the Company's previously stated range.
The initial new network deployment will bring gigabit connectivity to within reach of an estimated 7,000 businesses, and establishes Edinburgh as CityFibre's next Gigabit City project.
Construction will commence this summer, and initial planning is already underway. As with CityFibre's other Gigabit City projects in Coventry, Peterborough, York and Aberdeen, the network will be deployed in-line with the company's "Well Planned City" design philosophy. This highly-sophisticated planning approach optimises network design and deployment to accommodate current and future capacity requirements from all aspects of a city's community under a shared infrastructure model.

Completion of Peterborough network construction
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce the completion of its Peterborough network deployment, and the conversion of 102 pre-registered business customers to a contractual relationship.
Pending the handover of a final group of council sites, CityFibre has completed the construction of its 90km Gigabit City network in Peterborough, less than 11 months from starting construction. Known as the Peterborough CORE, the network connects 107 public sector sites, including administrative offices, data centres, schools and hospitals, providing a future-proofed network for Peterborough Council and its IT services provider, Serco.
As part of CityFibre's 'Well Planned City' network design, the Peterborough CORE has been deployed to benefit the city's previously underserved business community. More than 1000 businesses (25% of the businesses in the city) registered their interest in services as part of the 'Gig Up Peterborough' pre-registration campaign. To date, 102 businesses have now signed orders for services from CityFibre's service provider partners including Businesscoms, Rydal Communications, Consulting Networks and Cyberware.
Consistent with the Company's demand-led approach to incremental investment, demand aggregation activities have triggered network extension to four new business parks in the city including Fengate, Lynch Wood, Cygnet Park and Orton Southgate. Deployment to these areas, not included in the original network plan, will bring gigabit connectivity within reach of a further 1000 businesses.

CityFibre (AIM: CFHL), a leading designer, builder, owner and operator of fibre optic infrastructure to enable gigabit connectivity in UK towns and cities, today announces that the Joint Venture with Sky and TalkTalk to build a city-wide, pure fibre-to-the-premises network in the City of York, has successfully completed the first phase of its construction.
This first phase has focused on enabling the Joint Venture partners to validate key network design principles, engineering processes and deployment economics. Based on the encouraging results and progress of this first phase, the Joint Venture has now approved the next phase of deployment, which will accelerate and increase the scale, bringing gigabit speed connectivity to thousands more properties in York.
The project will continue to develop and test the optimal FTTP deployment methods and the ability to scale roll-outs in order to create a state of the art pure fibre network fully independent of BT Openreach's infrastructure. The network will be deployed and tested in preparation for the launch of services by Sky and TalkTalk later in the year.

NEW CONTRACT WIN IN KINGSTON-UPON-HULL
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, today announces a new contract with Hull-based wireless broadband ISP Purebroadband.
Under the £0.5m contract, CityFibrewill replace Purebroadband's existing wireless backhaul solution connecting 12 hub sites in a ring round the city. The partnership will significantly boost internet speeds and network efficiency to thousands of businesses and homes using Purebroadband's services in Hull. It will also allow Purebroadband to dramatically increase its current capacity as it continues to cement itself as a viable alternative provider of broadband to Hull's 200,000 business and residential internet users.
The contract is the latest step in CityFibre's commercialisation of its Hull fibre network project. The Company began a 62km fibre rollout, based on its 'Well Planned City' design in late 2014 to deliver backhaul connectivity to mobile operators EE and Three UK, completing all city centre routes before Christmas. The network has been designed to accommodate current and future capacity requirements from the business community, public sector, mobile operators and datacentre providers.

Construction of Edinburgh CORE Commences
Edinburgh CORE to bring ultrafast internet access to 7,000 businesses
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce that construction has commenced on the first phase of the Edinburgh CORE network.
Under the agreement with leading Scottish business ISP Commsworld previously announced in March 2015, the first phase of the new network, a 50km deployment in the city centre, will bring the benefits of ultra-fast gigabit internet connectivity within reach of an estimated 7,000 businesses beginning in late summer, 2015.
The exact network route of the Edinburgh CORE will be influenced by demand, and CityFibre has now launched its 'Gig Up Edinburgh' campaign enabling businesses and institutions to register their interest in ultra-fast internet connectivity on the www.edinburghcore.com website. Registration is no obligation to take service, but means the registered business' location will be factored into the network plan. Registered businesses will also be checked for eligibility for a government voucher scheme* which offers grants of up to £3,000 for businesses to connect.
The Edinburgh CORE will be designed using CityFibre's 'Well Planned City' model, which accommodates all current and future bandwidth requirements from the business community, public sector, mobile operators and datacentre providers. It also lays the infrastructure foundation for a full fibre to the home roll-out in due course.
The Edinburgh CORE will be a major catalyst to the growth of Edinburgh's substantial digital economy. It is estimated that close to 18,000 people are directly employed in the city's tech sector, which has a yearly growth rate of about 33%. Despite this growing industry and the city's established financial services sector, a recent CityFibre/YouGov survey found 31% of regional companies have regular concerns about the negative impact poor Internet access has on their business.

Contracted businesses double in the first half, breaking through 3% market penetration

To date, 126 local businesses have entered into network service contracts with CityFibre's service provider partners, a doubling from the level achieved at the end of 2014. This represents 3.2% penetration of the total addressable business market, and a 12.6% conversion rate from the base of businesses which took part in the pre-registration campaign mounted by CityFibre during network construction.
In addition, the total contract value ('TCV') associated with these 126 business contracts is £1.7m, representing a 43% increase in cumulative TCV on the network asset since the initial public sector anchor contract.

This is over and above the connections committed under CityFibre's anchor tenant agreement with local service provider, Commsworld.

A record month for new business on the York CORE network
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to report that its flagship York CORE network enjoyed a record month for new sales in June 2015.
In total, the Company signed contracts covering 70 new connections during the month, for a total contract value ('TCV') of £527,000. The new connections span a diverse range of sites, including public safety (school security and traffic enforcement CCTV), business and data centre connectivity, and landmark public sector amenities such as the York Theatre Royal and the York Eco Business Centre.
The latest additions to the network take the incremental TCV added to the York project to £3.4m, an increase of 79% over the initial anchor contract. In keeping with the Company's financial return targets for incremental business, TCV/capex coverage on these new connections is well in excess of 100%, with an average payback period of 24 months.

As construction of the Aberdeen CORE reaches completion in the city centre, two new ISPs, Commsworld and Converged Communications Solutions ('Converged'), have now joined CityFibre's anchor service provider and launch partner Internet For Business (IFB) to offer ultra-fast internet services to business in the city. The addition of the new partners takes Total Contract Value (TCV) contracted in Aberdeen to date to £1.25m.
Commsworld, a major Scottish ISP and CityFibre's launch partner on its Edinburgh CORE network project, has now introduced its own pure fibre services in Aberdeen. Launching a marketing and sales campaign and hiring a regional business development lead to focus on the city, Commsworld has already secured commitment from 26 new and existing customers to take services, including two sites for Veripos and four sites for Arnold Clark.
Providing further choice for Aberdeen's business community, Converged, an ISP with 10 years' experience building innovative communication solutions for businesses, is now also offering services in Aberdeen.
In addition, IFB has launched its new headquarters and data centre in Altens (Aberdeen), and continues to successfully convert a strong pipeline of businesses to connections on the CORE as the network reaches their areas. IFB has already connected its first customers to the network, providing ultra-fast internet services to sites including Albyn School, one of Scotland's leading independent schools, and So Cafe, one of the newest venues in the city centre.

The project is the first to be undertaken under the national framework agreement between CityFibre and EE, Three UK and MBNL. The initial deployment in Hull is now two-thirds complete, already bringing significant network performance improvements to EE and Three UK subscribers.

Edinburgh becomes UK's largest pure fibre city roll-out with a long term network extension deal with CityFibre and Commsworld reaching 300 new council sites
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce an extension of its existing Gigabit City project in Edinburgh to an additional 294 council-owned sites in an agreement worth at least £5.6 million.
The seven-year deal, with options to extend to a maximum of 19 years and a lifetime contract value of £16m, will be carried out in conjunction with national telecommunications provider Commsworld. It will replace the expensive, capacity-constrained copper circuits provided as part of a long-term contract by BT. The deal represents CityFibre's largest contract win to date and is one of the largest metro UK public services network awards in recent years.
On the basis of the initial seven-year term, this deal now takes total contract value (TCV) added in the current financial year to £15m, though on the full 19-year term of the deal this figure would exceed £25m. CityFibre added £11.1m in new contract value in financial year 2014. The TCV-to-capex ratio for the new contract is anticipated to be within previously stated guidelines.
The contract is part of a wider £186 million outsourced ICT procurement for the council won by global ICT firm CGI, which will create the single largest pure fibre city roll-out in the UK. The 100km network extension will future-proof one of the UK's largest unitary local authorities and will expand the 50km 'Edinburgh CORE' anchor network project delivered in partnership with Commsworld.
On completion in 12 months' time, the total number of connected buildings on the network will exceed 500. Existing construction teams already deployed on the Edinburgh CORE will ensure the roll out is dramatically accelerated and available to even more public sector, businesses and mobile cell sites. It is also designed to function as a backbone for any future deployment of fibre to the home connectivity.
Key sites to benefit from CityFibre's investment will include council offices, community centres and libraries. 137 primary and secondary schools will also benefit from increased bandwidth, up to 50-100 times faster. Edinburgh's 17,000 businesses also stand to benefit as the network grows to areas like The Gyle, which was not included in the first phase city-centre roll-out.

First contract from Vodafone under Master Services Agreement
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce the first contract under a Master Services Agreement (MSA) with Vodafone Limited.
The MSA sets out standard contractual terms under which CityFibre may supply fibre connectivity to parts of Vodafone UK's national estate of mobile cell site locations, selected corporate customer locations, as well as additional interexchange connectivity to support the enhancement of its national network.
The first call-off under the agreement is in the City of York, utilizing CityFibre's existing 120km York CORE metro fibre network.

CityFibre selects Glasgow as next Gigabit City
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce the selection of Glasgow as its next Gigabit City project. The Group has signed a 10-year deal with Inverness-based business ISP HighNet, under which HighNet will migrate 100 of its existing customers onto a new fibre network to be constructed by CityFibre in Central Glasgow.
This first phase of what is anticipated to be a significant network deployment programme in the city carries a total contract value (TCV) of £3m, with high TCV/capex coverage. Separately, HighNet has also committed to migrate a minimum of 50 customers onto the CityFibre network currently under construction in Aberdeen.
Following on from previously announced contract wins in Newport and Edinburgh, Glasgow is the third new city expansion announced during financial year 2015, and takes new lifetime TCV added during the year to approximately £29m.

Acquisition of National Infrastructure Assets from KCOM Group plc
Underwritten placing to raise £80.0 million
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, today announces the conditional acquisition of certain national infrastructure assets of KCOM Group plc ('KCOM') (the "Acquisition") for a total consideration of £90.0 million together with an underwritten placing to raise £80.0 million at 50 pence per share (the "Placing"), through finnCap and Liberum, acting as joint bookrunners for the Placing.
The national infrastructure being acquired by CityFibre comprises approximately 1,100 route kms of metro network assets in 24 towns and cities, and a national long distance network totalling approximately 1,100 route kms that connects 22 towns and cities and offers connectivity into key data centres and wholesale internet peering points in London. The acquired assets do not include KCOM's network assets in Hull and East Yorkshire. The consideration is £90.0 million in cash, to be financed through a combination of the net Placing proceeds and debt financing, and which the Directors estimate represents a 45 per cent. discount to costs of constructing the networks.
Under the terms of the Acquisition, CityFibre will provide KCOM with access to the acquired infrastructure for a term up to fifteen years, subject to a minimum term of five years and a minimum revenue of £5.0 million per annum for those five years.
The Acquisition will expand CityFibre's footprint to 36 cities and major towns across the UK, providing pure fibre connectivity for use by regional and national service providers and mobile operators as a competitive wholesale alternative to BT Openreach.
The Acquisition constitutes a reverse takeover under Rule 14 of the AIM Rules for Companies and is therefore subject to shareholder approval. Accordingly, the Company has published an AIM Admission Document containing detailed information about CityFibre, the Acquisition and the Enlarged Group (further detail of which is included below) and explains why the Directors consider that the Acquisition and the Placing are in the best interests of the Company and its Shareholders as a whole and recommend that Shareholders vote in favour of the Resolutions to be proposed at the General Meeting, to be held at the offices of Olswang LLP, 90 High Holborn, London WC1V 6XX at 10.00 a.m. on 12 January 2016.
Key transaction highlights include:
· Acquisition of metro networks in 24 towns and cities, including 21 towns and cities that are entirely new to CityFibre;
· Marks an acceleration in CityFibre's footprint expansion by five to seven years over the Company's organic growth plan and provides greater scope to supply national service providers;
· The combined footprint of 36 metro markets positions CityFibre as a national alternative to BT Openreach in the wholesale fibre infrastructure market;
· The Directors estimate a pro forma footprint of 36 metro markets with significant asset presence from day one - expanded footprint addresses 24,500 public sector sites, 7,000 cell sites, 245,000 businesses and 3.5 million homes, or approximately 15 per cent. of the UK market;
· Contractual agreement with KCOM anchors the Acquisition within the Company's usual TCV-capex guidelines, and forms a platform for future revenue through further provision of fibre connectivity to KCOM in the business and public sector markets;
· The addition of the national long distance network allows CityFibre to serve connectivity needs of national service providers, data centres and mobile operators in search of a genuine alternative to combined connectivity solutions offered by BT Wholesale.
The Company proposes to finance the Acquisition through the drawdown of £35.0 million of its new committed debt facilities of £100.0 million, on which EY acted as debt advisor, and by utilising part of the net proceeds of the Placing, of approximately £76.2 million.

Completion of Acquisition
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce that it has today completed the £90.0 million acquisition of certain of the national network infrastructure assets of KCOM Group plc, excluding the Hull and East Yorkshire areas.
This follows the announcements on 14 December 2015 in relation to the Acquisition and Placing, and approval of the Resolutions at the General Meeting of the Company on 12 January 2016.
CityFibre's expanded pro forma footprint, including existing assets, assets-under-construction, and acquired assets, thus comprises the following:
· Combined metro network route length of 2,100 kilometres, with significant presence in 36 towns and cities, 21 of which are entirely new markets for CityFibre;
· Addressable market estimated by the directors at 24,500 public sector sites, 7,000 cell sites, 245,000 businesses and 3.5 million homes, or approximately 15 per cent. of UK households;
· 1,100 kilometre national long distance network connecting 22 cities, allowing CityFibre to serve connectivity needs of national service providers, data centres and mobile operators in search of a genuine alternative to combined connectivity solutions offered by BT Wholesale;
As previously set out, KCOM Group plc will continue to serve its existing customers on the acquired networks via a framework agreement with CityFibre for a term up to fifteen years, subject to a minimum term of five years and a minimum revenue of £5.0 million per annum for those five years.

CityFibre response to Ofcom's Strategic Review of Digital Communications
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, welcomes the recommendations published today by Ofcom following its Strategic Review of Digital Communications.
The report's conclusions are clear - that to meet the UK's current and future digital communication needs, and enable widespread availability of competing fibre-to-the-premises networks, a strategic shift to support large-scale investment in end-to-end fibre is required. To accelerate this, Ofcom recommends the promotion of investment and competition, and provisions such as the assurance of meaningful access to Openreach's physical infrastructure. The conclusions in today's report will considerably strengthen CityFibre's capability to drive forward an alternative fibre future for Britain.
It is clear from Ofcom's key strategic proposals that Openreach cannot, and will not, be allowed to remain solely responsible for delivering the fit-for-purpose infrastructure essential to fulfil the UK's digital potential. Healthy competition and continued investment in fibre from multiple companies is vital.
Ofcom's strategy to encourage fibre investment, improve competition, and to ensure meaningful and usable access to Openreach's physical infrastructure, creates a unique opportunity for alternative providers, such as CityFibre, to accelerate and extend new and existing roll-outs of next generation, ultrafast fibre-to-the-premises infrastructure projects nationwide.
Alternative infrastructure providers, such as CityFibre, play an increasingly crucial part in the landscape and we are encouraged to see the report explicitly reference its support for the large-scale deployment of ultrafast networks. Innovative infrastructure builders are already responding to demand from businesses and consumers for ever-increasing demands for pure fibre infrastructure and companies like ours are central to a shared goal of enabling the UK to compete and succeed in a digital age.
Ofcom also recognises that at a technological level, BT's continued strategic reliance on, and investment in, copper-based infrastructure - often masquerading as fibre - is inadequate to meet the soaring demand driven by new services and increased usage habits that the market continues to observe.
With major metro fibre networks in 36 UK towns and cities as well as our York project rolling out fibre- to-the-home with Sky and TalkTalk, CityFibre is the only wholesale competitor to Openreach. We will continue to respond to market demand and play a vital role in addressing the fibre connectivity needs for mobile operators, ISPs, the public sector and consumers.
The recommendations put forward in Ofcom's strategic review today only serve to strengthen our position and ability to respond to demand for our services across the UK in the near term.

First capacity deal on acquired long-haul network
CityFibre (AIM: CITY), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, today announces the first sale of dark fibre capacity on its 1,100 kilometre national long distance network acquired from KCOM Group plc in January 2016.
The 15-year agreement, with Total Contract Value of £2.3m, is with leading national service provider SSE Enterprise Telecoms, and covers a 48 kilometre stretch of network between Reading and Slough. The transaction is structured as an indefeasible right of use (IRU), and thus the majority of the proceeds are received up front, with a small annual recurring charge over the remainder of the contract term.
CityFibre's acquired national long distance network (LDN) totals approximately 1,100 route kilometres, connecting 22 towns and cities. It offers connectivity into key data centres and wholesale internet peering points in London and regional internet hubs, allowing CityFibre to offer true end-to-end wholesale dark fibre connectivity solutions to service providers, datacentres, and mobile operators.
The deal establishes a powerful new trading relationship between the businesses and reinforces the commercial relevance and revenue generating capabilities of the LDN less than 90 days since its acquisition.
