RNS Number : 2682G
Versarien PLC
05 November 2018

Versarien plc
("Versarien" or the "Company")
China Update
Versarien plc (AIM: VRS), the advanced materials engineering group, is pleased to provide an update on the Company's activities in the People's Republic of China and specifically in Shandong Province.
Jinan Manufacturing LOI
As announced by the Company on 15 January 2018, Versarien entered into a non-binding Letter of Intent ("LOI") with the Shandong Institute of Industrial Technology Fund, Jinan Qing Na Material Technology Co Ltd and Jinan Innovation Zone Administrative Committee with the view to establishing the "China-UK Jinan Graphene Industrial Park" in the Jinan Innovation Zone, Shandong Province, China.
Detailed discussions with the various parties in Jinan are progressing and detailed consideration is being given as to how a Jinan facility would fit with the Company's overall China strategy. As previously reported, the Company has also established a wholly owned Hong Kong company which will be used as the platform for joint ventures in other Asian countries.
Framework Agreement with Qingdao MBC
Versarien is pleased to announce that on 4 November 2018 it signed a Framework Agreement with the Qingdao Municipal Bureau of Commerce ("Qingdao MBC") in Shandong Province, China, covering cooperation between the parties in the fields of graphene research, development and industrialisation, including the potential establishment of a graphene focussed operation in Qingdao for Versarien.
Qingdao, is a major city in Shandong Province, China, with a population of over nine million people. It is one of the major areas of graphite production in China and is developing as a Chinese centre of excellence for graphene, with an already established graphene industry innovation demonstration base.
The Framework Agreement with Qingdao MBC, which is not legally binding, covers the intended areas of cooperation between Versarien and the Qingdao MBC, which include:

· The parties intend to engage in mutually beneficial cooperation in the field of graphene development, research and industrialisation;
· Versarien will use Qingdao as one of the Company's principle places of business in China to develop the Company's Chinese market;
· Qingdao MBC will assist Versarien with establishing partnerships and business relationships with Chinese enterprises, including providing assistance in identifying any appropriate strategic investors; and
· Qingdao MBC will assist Versarien with the establishment of a China-based operating company in the form of a "Sino-foreign cooperative enterprise" or "Sino-foreign joint venture" (the "Venture"), which may include Qingdao MBC making capital contributions to the Venture.

Neill Ricketts, CEO of Versarien, commented: "We are making significant progress in developing our relationships in China, both with government bodies and industry. Our discussions in Jinan regarding establishing the "China-UK Jinan Graphene Industrial Park" continue to make good progress and I am pleased that we have signed another agreement in Shandong Province to progress our Chinese plans.
"As I stated in our annual results published in July 2018, the announcement of the LOI in Jian led to significant interest from other parties in China and resulted in possible links with another 23 cities or companies in China, a number which has since grown. We are conscious that we need to establish formal relationships with the most appropriate parties and in doing so we should seek to protect, as far as possible, the Company's IP as well as conclude the best deal for Versarien and its shareholders.
"I am delighted by the support we are receiving from the Chinese Government at all levels, together with the UK Department for International Trade and I look forward to making further announcements as our relationships in China progress and we enter into further agreements."

Well, I've finally got a reply from HMG:

"I can confirm we have two individuals seconded to Versarien and a third person seconded to Rolls Royce UK.
We are unable to provide you with the individual's name due to an absolute exemption under Section 40(2) of the Act."

So, there we have it. The government think that RR with tens of thousands of employees and billions of pounds of exports justifies the secondment of someone from the DTI. What does that say about the secondment of two senior figures to Versarien? That one fact alone is massive. I repeat MASSIVE!

A lot of ABS Acrylonitrile Butadiene Styrene (ABS) is used is aircraft, which is fire retardant and flame resistant and heat. May be being mixed, which also reduces weight.
It is the plastic that you see round the windows etc. So the product has been cleared for aviation.

Versarien head honcho and major shareholder Neill Ricketts open’s the interview by showcasing the commercial opportunity in the Aim-listed graphene business. During the face to face with IG TV Jeremy Naylor, the CEO peruses the companies mission statement before highlighting the recent MOU signed with their Chinese partner.
Ricketts doesn’t pull any punches as he explained the companies model, patents, and scope in which Versarien offers potential, as shares trade strongly in the market. The CEO breaks down the number of associated partners which helps shorten the development curve, as the companies most senior director quickly reminds the audience, ” it’s exciting times in the graphene space ” VRS is not alone in this arena with partners complimenting the business, yet there are other less successful operations down the value chain.

Posted on another bb this evening by serratia - in response to critics arguing that VRS is overvalued when compared to its peers:

17 Nov '18 - 20:58 - 48686 of 48687

Someone kindly posted in one of those boxes in the header a few companies to compare.

Elcora M.Cap £5.9m but the auditor says they aren't a going concern so nothing to look at there.

XG Sciences built a large plant and can't make the sales to fill it. Now in a difficult financial position. By the look of their last fundraising they seem to value themselves at around £50m. Large losses.

Nanoxplore M.Cap £66.5m Sales £4.6m, wages £3.7m loss £2.6m

Talga M.Cap £56m, no sales ,loss £5.6m These guys make VRS look very under valued.

First Graphene M.Cap £37m no sales £4m loss. Directors pay themselves so much the share holders vote heavily against their pay. Look to be working more in their own interests than the share holders. VRS only worth 5* this company that has no sales.

VRS looks undervalued against this peer group.

AECOM Collaboration Update
Versarien plc (AIM: VRS), the advanced materials engineering group, is pleased to announce that it has signed a supply agreement to provide Versarien's new graphene enhanced polymer range to AECOM for a current infrastructure project.
This supply agreement follows the collaboration the Company entered into with AECOM, a US headquartered and Fortune 500 company, announced on 24 August 2018. This collaboration covered a project that AECOM and Versarien have been undertaking involving the incorporation of Versarien's graphene nano-platelets into large scale polymer structures used in civil infrastructure projects, with a view to increasing their structural strength.
AECOM have confirmed the first Statement of Work ("SOW") from the supply agreement which includes the supply of 50 kg of Versarien's graphene enhanced polymer material to be delivered in early December 2018, with a further SOW expected to cover the delivery of 200 kg in early January 2019. These quantities will be used for final testing of the structures and upon successful completion of final tests, the companies expect to make further announcements in Q1 2019.
Neill Ricketts, CEO of Versarien, commented: "We are delighted that our collaboration with AECOM has progressed as we had anticipated.
"This application has significant potential for Versarien, as the volumes of graphene that are required in these types of structure are significantly larger than for many other applications given the scale of the structures being produced.
"We look forward to continuing to work with AECOM on the final phases of testing and look forward to making further announcements on this project in the New Year."

Detractors who might have been hoping for some ammunition to present itself in the interim results were disappointed. I was braced for a possible backward step if additional expenses had produced a wider loss - but that didn't happen, and the prospect for good news around e/o January, and February, looks promising. Promising enough to look good when the March 31st year-end figures appear.

Patent Award

17 December 2018

Versarien plc
("Versarien" or the "Company")
Patent Award
Versarien plc (AIM: VRS), the advanced materials engineering group, is pleased to announce that the Company's subsidiary Gnanomat S.L. ("GNA") has been awarded a patent by the Oficina Española de Patentes y Marcas, the Spanish patent office, covering a method of obtaining nanomaterials composed of carbonaceous material (e.g. graphene) and metallic oxides.
Versarien acquired 62% of GNA, based in the Parque Cientifico Madrid, Spain, in September 2018. GNA is using Versarien's graphene products in an environmentally friendly, scalable production process for energy storage devices that offer high power density, almost instant recharging and very long lifetimes for use in electric vehicles and portable electronics products.
The patent covers a key element of this production process, allowing GNA to combine materials such as Versarien's graphene with metallic oxides in a liquid medium at moderate pressures and temperatures. These compounds can be produced in industrial quantities and the patented process allows the physical and chemical properties of the nanomaterials to be fixed by controlling the synthesis parameters. The Company believes that the nanomaterials obtained following this methodology provide good energy storage properties in a reproducible way.
It is the intention of GNA to extend this patent to cover territories including, amongst others, further European countries, the USA, Canada, China, Korea, Japan and India.
Roberto Clemente, GNA's CEO, commented: "The award of this patent is a key step to protect GNA's technology and the future commercial rights of its products. This milestone is part of our strategy to protect all of our key intellectual assets and we anticipate more patents will be developed and incorporated in due course."
Neill Ricketts, CEO of Versarien, commented: "We have been very pleased with the acquisition of GNA and the progress they have been making in recent months. The award of this patent is a key milestone as we continue to develop technology that we believe will enable the development of commercially viable graphene enhanced batteries and other energy storage devices.
"The incorporation of graphene into energy storage devices has the potential to radically enhance their capabilities, meeting the ever increasing demands to improve power density and reduce charging times for everything from hand held devices to electric cars. This is just one example of Versarien's presence at the leading edge of developing commercially relevant graphene based technology."

I have just had the ex traordinary experience, because of my age, of an extended one-to-one with NR. I absolutely have to share it with fellow investors. I was left feeling that I had spent a preciously short time with a great visionary, at the same time unusually astute business and marketing manager/leader who will influence, even enable, major industrial change throughout the industrial world, and that the course is now set for exponential growth and dominance by Versarien of a step change in the production of a very large number of industries.

NR has often been quoted from his tweets as saying " you ain't seen nothing yet" and I now believe that what might come across secondhand as bombast and unrealistic optimism, is the truth beyond normal experience, which is why most of VRS announcements increase scepticicism with the average investor. The situation is analogous to that pertaining 10 years ago to self driving cars and today towards Elon Musk's courageous Tesla project and his outside-the-box efforts now extending to hyperloop travel. It all seems so plausible and just too good to be true.

Only it IS true.

This morning's RNS of a further mind- blowing collaboration MOU with a Chinese state owned aerospace company, will surprise no VRS shareholders and would on its own have been sufficient to underpin the future of VRS. As usual it has cut no ice with the City, who have demonstrqated time after time in their collective ignorance of science that they think that the UK can live on financial engineering, maniipulation and hot air, rather than from producing global industrial leaders from innovation and seriously heavy investment in infrastructure.

The current Government understands this with its following just in time of the EU lead in sprinkling funds effectively over the medical and engineering science reasearch departments of our world leading universities and science parks. Innovation is now being effectively seeded all over the UK.

VRS seems to be succeeding miraculously in laying the basis for an industrial revolution that could save this country. Its project is more desperately relevant than ever to mitigate the self harm in train from the UK political process.

Neill Ricketts began his life's monument traditionally, in a garage, and for five years grew the roots of a viable business in the narrow niche of heat transfer via copper foam. That was I think the most difficult part, The necessary frugal habits allowed him the growth without relying on the potential treachery of banks and greedy controlling financial partners. He is therefore unusually free from interference in forming policy. Current shareholders benefit hugely from the ensuing increase in their share of the assets, and freedom from the fear of takeover by an unwelcome approach.

IMO he demonstrated his ability to makea step changes in the profitability of the VRS business model with the first one, the RNS launching Polygrene. The incorporation of the nanene content into the base plastic not only adds value to each transaction, but it avoids the damaging risk of having to release and licence the knowledge of how to maximise the effect of the mix, and therefore preserves the value of the company's IP. This is far better than just selling the nanene and enabling clients to build their own proprietary know-how. NR intends to exploit this idea further down the added value chain to selling formed parts of the actual product improved by the inclusion of nanene. There are also secrets in the nanene production process which go far beyond the provision of a patented machine and quelled my fears of loss of IP from a very acquisitive and inquisitive range of Chinese giant corporations.

I have long felt that the consequence of the efforts of management experimentation, and thinking " outside the box" over the last ten years - and 18 months of initiating "Co-operations"with around 50 major corporations (possibly hundreds of small ones too) is in some ways analagous to successful farming.

This for the understandable sceptics who can "see" nothing happening:

The ideal land has been found, prepared, tilled, fertilised, and seeded.
A crop is predictable but unquantifiable in the short term but is just beginning to sprout. .Just one or two shoots are visible

Nonne can predict the size of thr crop but rest assured it is absolutely colossal.
