Whats going on at Virtue Broadcasting? (VTB)

I bought into these some time ago, and they haven't really moved much for a while after initial links with Music co, etc. However, this week has showed some interest, anyone know whats going on?

LONDON (AFX) - Virtue Broadcasting PLC said Mike Neville, chairman, bought 330,348 shares at a price of 3 pence per share.
Following this purchase he holds 330,348 shares representing 0.29 pct of the current issued share capital of the company before the announcement of the placing earlier today and 0.23 pct cent of the shares in issue following the placing.

What is happenning as I understand it is that money is now available to fund this next aquisition, which is obviously being kept under wraps until it is finalised. But this should push the group into the top 2 for it's services.

Again up today and my broker has told me to sit-tight for 10p by xmas.

If I can get anything more out of him I'll let you know.

FYI, he's also got me involved with Sefton resources, news imminent of their partnership deal, they've been to hell and back but looking good going forward, mind the large spread though!!

Also, people on this board I think will know about Pentagon Protection, 12p target and doing all the right things apparently, could go beyond 12p by xmass.

The Board of Virtue Broadcasting Plc ('Virtue') are pleased to announce the
appointment today of Mr. Klaus Ackerstaff as the CEO of the main Board. He was
formerly CEO of Unit.Net which was acquired by Virtue in July 2003 and was then
appointed to the same role across the operating subsidiaries of Virtue. Virtue
is a leading European provider of Internet broadcasting services and solutions
to corporates in Switzerland, Germany, Spain as well as the UK.

Mr. Ackerstaff joined Unit.Net in early 1999 as CTO to lead the design and
implementation of both the delivery platform and the global streaming media
network With the IT infrastructure in place, Mr. Ackerstaff was appointed
Unit.Net's COO in 2001, in order to manage its expansion across the European
market. Having significantly increased its presence and market share within the
region he was appointed as Unit.Net's CEO in 2002.

Mr. Ackerstaff received his Doctorate in Physics from the University of Hamburg
in 1996. His studies included a scholarship at the University of Indiana,
Bloomington, Indiana, and followed three years as a research assistant at DESY,
where he worked on applying computing technology to high-energy physics
analysis. After earning his PHD he began his professional career at CERN
(Organisation Europeenne pour la Recherche Nucleaire) in Geneva, where he was
responsible for the IT infrastructure of the OPAL (particle physics) project.

The following information is required to be disclosed under Rule 2f of the AIM
listing Rules.

Mr. Ackerstaff held a directorship in Unit Italia S.r.l. which was placed into
solvent liquidation on 6 June 2003.

Mr Ackerstaff has held the following directorships over the last five years:
Unit.Net Deutschland GmbH, Unit,Net Streaming Spain S.L., Unit.Net France SARL,
Unit.Net Italia S.r.l., and Unit.Net UK Ltd.

Virtue Broadcasting chairman Mike Neville raises stake in co

LONDON (AFX) - Virtue Broadcasting PLC said chairman Mike Neville bought 122,535 shares at 4.05 pence per share, taking his stake to 452,883 shares, or 0.313 pct of the current issued share capital of the company.

In addition Klaus Ackerstaff, the newly appointed CEO, bought 250,000 shares at 3.875 pence each. He now holds 250,000 shares representing 0.173 pct of the current issued share capital.

Virtue Broadcasting has put on 13% to 4.375p over three days. On 28 October it said M Neville, a director of the company, had acquired 122,535 shares in the company at a price of 4.05p per share, taking his holding to 452,883 shares or 0.313%. In addition it said K Ackerstaff, its newly appointed chief executive, had acquired 250,000 shares at a price of 3.875p per share, making up his entire holding in the stock (0.173%).

Up 18% at present. I don't think the daily lottery contract has been agreed, however VTB are still in the running. And I read somewhere yesterday that the new lottery will be available before the end of 2003 on Internet/Mobile, and Interactive TV. So we need to watch for news I think. The graph appears - to me - to be showing almost constant upside since the
August low which I THINK ended on 13 th August.At that point was announced
the acquistion of Viewpoint media of Australia.However,I only know that
about the company and that might be only a coincidence.

Things are definately afoot at VTB this is from the RNS for the new placing at 4p

"We have decided to take advantage of the recent improvements in the share
price to strengthen the Company's balance sheet. The fact that the business can
attract this additional investment is a testament to our improving situation',

This is where a company merges or takes over other companies in the same supply chain. So if a manufacturer takes over his supplier or the retailer of his goods/services, that's vertical integration.

so with VTB it wouldn't be with another streaming co but with either a supplier of content or a provider of web related services I guess.

I have a feeling if anything it will be a merger rather than an aquisition, you can't buy much with a million quid these days.

I have no idea who it could be though or what the price will do tomorrow.

ACQUISITION OF KAMERA HOLDINGS AB

Virtue Broadcasting Plc ('Virtue') announces that it has today entered into a
conditional purchase agreement to acquire Kamera Holdings AB ('Kamera') with
Kamera's convertible bond holders and shareholders representing 70 per cent. of
the issued share capital. Kamera is a Swedish based company traded on the
HQ-Tech market.

As announced on 3 October 2003 Virtue has been reviewing the IP based corporate
communications sector for value enhancing consolidation opportunities, and is
delighted to have reached agreement with a majority of the Kamera shareholders.
Kamera provides webcasting and content distribution services to large
corporations and professional institutions, and is a market leader in the
Nordics. Kamera's customers include the Stockholm Stock Exchange, Nokia,
AstraZeneca and Pharmacia.

Kamera reported in its rights issue prospectus dated 4 November 2003 that it had
made unaudited revenues of 1.3 million and loss after taxation of 0.5 million
in the 8 month period to 31 August 2003. The prospectus highlighted that Kamera
had net liabilities of 0.1 million as at 31 August 2003 which included 48,000
of cash. The audited accounts of Kamera for the 12 months to 31 December 2002
show revenues of 1.5 million, a loss after taxation excluding goodwill
impairment and amortisation of 1.3 million and net assets of 0.4 million.

Following this announcement Virtue will shortly file in Sweden a prospectus with
the Finansinspektionen, the Swedish Financial Supervisory Authority, to make a
public offer to purchase the entire issued share capital of Kamera on terms
outlined below. The purchase is conditional upon receiving more than 90 per
cent. acceptances from the Kamera shareholders and both the satisfactory uptake
by its shareholders of between 420,000 to 600,000 in the outstanding rights
issue (and for which the 70 per cent. of shareholders referred to above have
undertaken to subscribe 420,000) and conversion of 80,000 of convertible debt
in to shares prior to the completion date.

In consideration of the entire share capital of Kamera, Virtue will issue
between 40,760,000 and 43,796,389 new ordinary 0.1 pence shares, depending on
the uptake of Kamera's outstanding rights issue plus a total of 100,000 cash
consideration. This represents approximately 19.2 to 20.3 per cent. of the
enlarged share capital of the new group. Based on the closing mid-market price
of Virtue shares on 25 November 2003 this values Kamera at 2.5 million to 2.7
million. The completion date is expected to be on or before 9 January 2004 and
application for new shares to be admitted to AIM is expected to be five days
after completion. A further announcement will be made at that time.

Fredrik Ramberg, Chairman of Kamera, commented, 'the purchase of Kamera by
Virtue presents a major step in the consolidation of the webcasting market in
Europe and will give the new group access to broader markets as well as
technical platforms for their respective digital communications businesses'.

'The Kamera business has excellent people and customers and were innovators in
the early webcasting market', said Mike Neville, Chairman of Virtue, 'this
acquisition increases the company's footprint to the Nordic market which is one
of the most mature in Europe. The extended customer base, which is second to
none, will add valuable revenue streams and associated margins. This transaction
is an integral part of the business transformation process that we are currently
undergoing, where our intention is to offer valued added IP based communications
services to corporate customers and professional institutions across Europe.
This strategy will be leveraged from our current core operational
infrastructure, and provide enhanced margins and longevity of revenues over the
medium term. Finally, and very importantly, our customers will be able to access
integrated services across a European footprint, which should reflect
significant value.'

I had my doubts when three directors all bought in on same day. Smacks a bit of desperation to keep the price up. If it slides to far it could put the Kamera deal in jepoardy.
On the otherhand they could just be very shrewd knowing this is going somewhere.

Share price going down all the time.. I should have sold at the top (6.5 to 7p.) But.... my broker said at the time..hold on to these as we haven't seen the best price yet ? (about 10p)... I think I should've followed my own gut feelings on this one... However, not worth selling now so... I'll keep looking on the bright side and hope they come good again over the next few weeks/months. Keep smiling ! :-)

I'm in PXC (good long termer, slow but steady upward progress). Also in on ZOO and SPS (could got sky high). I sold VTB at 6.25 because they seem to just float along rather than push upward. The coming issue will probably keep the price close to 4.5p IMHO. Only after the issue will it likely go to newer ground.

Hi all. Just bought back at 5.5. I feel this has a future. All is in place.

New adquisitions in Europe will defo provide more income source and exposure into Europe.

Cost cutting climate still remains a priority for all cos. So VTB is well placed to take advantage.

Good portfolio of clients = credibility.

Directors purchased shares in the company = faith in the company.

I feel the next set of company results will do nicely.

By looking at the charts I think we are in for another big movement in the next 2 weeks, hopefully upwards.

Agreement


Virtue Broadcasting Plc is pleased to announce that it has reached an agreement
to surrender the property lease of its former head office, Tornado House,
Marlow, which is currently unoccupied. Under the agreement the Company has made
a net cash saving of 805,000 compared to its obligations under the lease over
the next two and a half years.

The Company has agreed to pay Comland Management Limited ('the Landlord') a
surrender premium of 495,000 net of VAT in addition to related expenses and
reinstatement costs of 110,000. As part of the settlement the Company will
utilise a 318,000 secured rent deposit held in favour of the Landlord
previously fully written off in the Company's 2002 accounts. Therefore, the net
additional cash payment will be 287,000.

In consideration of the surrender premium the Company will avoid paying
approximately 1.4 million of rent, service charge, lease termination payments,
reinstatement costs and running costs over the next two and a half years.

The Company made full provision for the expected costs arising under the lease
in its 2002 accounts.

AGM TV launched in 18m merger

Bored with Big Brother, soaps, pornography or obscure sports? There is an alternative - televised annual general meetings.
Two British communications companies with many blue-chip firms as their clients will announce a merger tomorrow. Virtue Broadcasting will acquire World TV (valued at 18.1 million) in a reverse takeover.

World produces internal TV content for clients, while Virtue specialises in internet broadcasting technology. They hope to integrate their technology and client bases and expand their corporate business - in particular, by broadcasting AGMs.

Neither began in the corporate sector. In 1991, World was set up to provide internal content for non-governmental organisations such as Greenpeace. It now works for clients including BP, Nestland Reuters, as well as the Foreign Office, producing English-language content for expatriates in Iraq.

Virtue first attracted attention developing web services for pop sensations the Cheeky Girls. Their client list is now slightly more respectable - it includes Microsoft, British American Tobacco and UBS.

Virtue's finance director James Ormondroyd said he anticipated 'great commercial and technological synergies', and predicted continued expansion across Europe.
