This share has taken off over recent weeks. The management has transformed the company. Offshore Telecom presents an exciting opportunity. Rival BBs are very active on this share. It is time for MoneyAM BBs to join in the fun.

KEY NEW ORDER SIGNED WITH XCHANGEPOINT

Offshore Telecom Plc ("Offshore Telecom") announces that its principal operating subsidiary, Matrix Network Solutions ("Matrix") has received a letter of intent from XchangePoint Europe Ltd. ("XchangePoint") for orders which are expected to generate revenues of 500,000 over the next two years.

XchangePoint is a leading provider of metro-area internet interconnect services. It offers its customers an extensive range of services that enables them to balance their peering, transit and access requirements through a single connection on the XchangePoint platform. XchangePoint currently operates mainly in London and in Hamburg, Germany and is planning to expand its services into at least two additional major European Cities over the next two years.

At the outset, Matrix will provide outsourced network support services to assist XchangePoint in rolling out its services into mainland Europe. Matrix will also supply and install the communications networks and associated equipment for this expansion.

Ian Smith, Offshore Telecom's Chief Operating Officer, commented :

"This is the first announcement of a number of significant new contracts won by Matrix in recent months. The XchangePoint contract will contribute some revenue in the current year, but the bulk is likely to be booked in our financial years starting in November 2003 and 2004."

Richard Almeida, CEO XchangePoint added:

"XchangePoint is very pleased to be working with Matrix as a trusted business partner for network services, contributing heavily to earlier implementation of our business plans and vastly improving on the traditional supplier approach. This will accelerate the roll-out of our newly funded plan to grow XchangePoint's business into Europe"

I think there has been some overhang from CE placing. Screen spreads don't seem to reflect reality. Just been quoted .83p buy and .75p sell. Trust this will help.

From the 50% acquisition announcement re NATS:-

Michael Frank, Chairman, said:

"This deal will improve the quality and depth of our offering to the market and,critically, will give us control of our support operation. We expect this to become a major contributory factor to our future growth. Meanwhile, NATS is making excellent progress in its own right and we expect it to achieve a
substantial growth in turnover and to become profitable in the year to April
2004."

Imo, a pretty bold/confident statement re NATS to become profitable in the year to April 2004, this must have come from reading through their (nats') books and it also signifies to me that there is no intention/need of fundraising by nats- quite an attractive 'bolt-on' though it is 50%.
I seem to remember reading also (could be wrong though,again dyor) that the NATS directors actually held 84% of their company's share issue, so if this is the case, for them (OST) to get their 50% stake, then the directors of NATS would have had to hand over quite a chunk of their holding in that division.

OFFSHORE TELECOM PLC. AQUISITION OF 50% INTEREST IN NORWOOD ADAM TECHNICAL SERVICES
Offshore Telecom Plc ('Offshore Telecom'), the supplier of high performance IT
network solutions to the public and private sectors in the UK through its
principal operating subsidiary, Matrix Network Solutions ('Matrix'), has
acquired a 50% interest in Norwood Adam Technical Services Limited ('NATS').
NATS was established in 2002 and offers a full range of technical support and
managed services. These include consultancy (pre-sales), 24x7 technical
assistance both on and off site with timed parts response and fully managed
voice, data and security services. NATS is accredited with key global equipment
manufacturers in the IT and telecoms sector. NATS has a close working
relationship with Matrix and the acquisition of a 50% interest in NATS will
further integrate Matrix's products and services.
Offshore Telecom has subscribed 100,000 in cash for new shares in NATS, giving
it 50% of the enlarged equity. This cash subscription will provide additional
working capital for NATS to increase its stocks of service spares needed to
support a growing volume of support contracts. NATS commenced trading on 1 May
2002. In its first year to 30 April 2003, NATS' turnover was 108,000 and the
loss after tax was 101,000. Net liabilities at 30 April 2003 were 101,000 but
included over 314,000 in deferred income (being invoiced sales in that year
relating to the current year and next year) on continuing support contracts.
The balance of the shares in NATS is held by Tony Weaver, Keith Berry, Manny
Pinon Martinez and Eddie Coombes. Tony Weaver and Keith Berry are shareholders
in Offshore Telecom, each holding 7.8%. Tony Weaver is also a director of
Matrix.
The directors consider, having consulted with Nabarro Wells & Co. Limited, the
nominated adviser to Offshore Telecom, that the terms of the transaction are
fair and reasonable insofar as its shareholders are concerned.
'Tony Weaver (aged 35) will become a director of Offshore Telecom upon completion of the transaction. Tony trained as an electronics engineer and has 18 years experience within the IT industry. In 1988 together with Keith Berry he formed what was to become the Norwood Adam group of companies. Norwood Adam provides data and telecommunications products though a reseller base to UK and European clients. Tony is the Managing Director of the Norwood Adam group.

XchangePoint has faith in Matrix. I suspect that Matrix will be adopted as OST's name in the near future. Reminds me of GXnetworks who became Pipex after GXN bought them. Matrix are well respected and should be good for the share price.

bergster56: The price is behaving much as expected. OST since its recent transformation, is essentially a new company. The MMs will muck about with the share price until a decisive trend has been established.
Its current pattern is similar to that of Cybit a few months ago. Spreads all over the place as MMs tried to make hay whilst they could. 1p was tested several times before it broke free. Now they have been over 4p. Expect OST to do the same fairly soon.
Hold tight. I like the look of this share. Plenty of announcements expected

This share is going to rise sooner rather than later. This is a traders delight. The market cap is small compared to its competitors. The price is sub 1p and is set to double. Don't forget that this share was 3.75p not so long ago and yet it is now a much better company. It would not take much buying to set the price alight. Anyone who buys in at these levels will not be disappointed. The fun is just beginning.

Hi Guys. Good to see you are still enjoying his thread. That 1 million trade is intriguing. Quotes end of yesterday and this AM, 0.77p sell and 0.90p buy.
Whatever, bodes well for this share. It was steady as a rock yesterday despite the sell off of other gogo shares. Seems as though loose holders have been shaken out. Price should start to rise from here. Should be getting news about that "number of significant new contracts won by Matrix in recent months."

Market maker ... Shares are bought & sold using an auction system. City firms make the market by offering shares to buy and sell. The bid/offer spread that you see at ADVFN represent the highest bid and lowest offer available from this group of MMs.
The MMs make their money on the difference between bid and offer. MMs are often accused of having lots of underhand motives, and of manipulating the market against the interests of the customers on these boards.

This is a good story company, I bought in today, and others followed. Might be in short term but, I can see a longterm upside to this share. IP telephony [and as someone said earlier], Broadband are the magic bullets for this year/next year and OST have put themselves into the frame nicely.

I agree that a namechange to Matrix might well signify the start of something but, I would think there are other factors in play here. Being able to control ones costs on the support side is a big factor. In the event my other shares release some pressure I might well be building a worthwhile stake in this company.

The profits from this type of business are enormous and ongoing contract revenues would add considerable upside to the monthly income that is also part of such deals.. Anyone parting with their shares sub 3p will be doing themselves a big injustice IMO.

i would suggest esp for a startup services sector company..which really matrix is to take off..u only have to look at the acquisitions..they will be going places...

safman, the build up to this has been going on since 1996 but, the market was not ready until this year. You have some pretty major companies currently hitting the world markets VERY HARD and I would expect the spin off from that to effect OST's shareprice and their market share will be on the back of the efforts of companies like Cisco and BT to name just two. The shareprice in BT is too low considering their current slice of this market which has both capital purchase revenues plus ongoing monthly income from broadband.

OST/Matrix could well be 10p by end of next year if they pull their fingers out and get some good customers.

By the end of next year 80% of SME's and global corps will have converted to IP telephony. BT are hogging bandwidth in an attempt to maintain its grip on market share and it is joining forces with Internet companies [Microsoft/Yahoo]to offer integrated content/solutions. OST has the benefit of this muscular oaf bumbling around attempting to control without the ability to deliver. This means companies like OST can offer competitive delivery and good aftersales service and what is more do it more cost effectively than BT.

How this price stays sub 1p I really don't know but, when I saw it this morning I immediately bought in. The newsflow is imminant and I know enough about the industry to know that this company has the wherewithall to make some serious money next year.

Looking closely at the trend I believe we achieved a bottom today, the MM's tried to move it down, but the buyers wanted nothing of it. They, the buyers, have decided the direction of the shareprice is in the short term anyway - north!!! I think many of the people who currently own shares have a potential opt out in excess of 1p, probably closer to 1.5p so, a significant rise tomorrow will give way to profit taking. News however, will keep them aboard to the next level of 2.5p.

The trend is up, my friend and if your short term, you will miss the breakout which I think will occur above 2p. all IMO

In the event that previous information regarding potential is realised [a big IF] then it is possible that with good newsflow [I'm not privy to the information coming through, but others seem to be] that the company will profit imnmensely from the groundwork of other larger organisations. I will over next few weeks study and research and if possible advise if anything positive/negative surfaces. so, yes I feel there is huge upside for this share and I know the market which is massive at the moment and will be in the ?billions over the next 4-5 years. what will be interesting is if they get involved in the public sector for the technology.. the public sector will outgrow private sector by 30 times by 2005!!

that is certainly a reason to get excited about IF, a big IF..they are involved...

broadband is exciting.. i've wasted a lot of money in the past, but i think broadband is money well worth spent!.. 2004 is key ..so keep accumulating below a penny...+ magic u r right ..the money being spent in that area is massive..we need to see what OST can come up with..remember it still has to divest its satellite buisness..to concentrate fully on MATRIX..

The key is in the research...

Given that Ian Smith used to be the Sales Director of Foundry in the UK and that he is now heading up a Foundry integrator you don't think that he might have brought some of this business with him? Arguably he would still be leveraging a considerable amount of relationship and this will not last forever.

IMHO Only sustained growth will prove that ost will go anywhere.

It would be interesting to know exactly how many of the new contracts are Foundry..

martin. This is one of those shares that everyone should have a stake in. Wireless technology is the growth area of the industry. Just look at Vodafone in its infancy and now its a billion dollar business. OST is small fry at this stage and has massive potential. Its market cap is small, it has purchased two profitable operations and the orders are coming in. Once we get the announcement of those other significant contracts, the price will fly. Hold tight. The fun has not yet started.

Well, the last month of the year gets off to a fine start.
Mr Ian Smith himself (COO) was kind enough to answer my couple of questions, and let me tell you firstly that he’s a darn conscientious man as my first e-mail reply was sent to me on the weekend at 8am and just to clarify a minor point I replied back, to which he responded before 7.30am this morning. Before I post the text of my queries, Mr Smith has stated that he is happy to address correspondence from fellow shareholders but would prefer (naturally) not to be inundated.
To which end, may I offer that your queries can be passed through myself via this BB as a point of contact. Also, I’m sure everyone understands that he cannot tell us anything that may be considered to be ‘market sensitive’ which is (for the record) the case with his reply to me.
He is now also aware that we discuss OST/Matrix on ADVFN and is glad to see that they have a following in the company.
So, with that clarified, my next post contains a complete synopsis of our contact – see below.

Ok then, firstly I asked about "This is the first announcement of a number of significant new contracts won by Matrix in recent months.” Which was contained in the RNS of 2nd Oct 2003.
Mr Smith replied that they have a number of pending news releases as they have received verbal permission from the customers and they are now translating these to actual statements and case studies. These would be expected to be seen in the New Year.

Next I asked about the name being changed.
Mr Smith said that this was likely to happen at or about the same time as the release of the audited accounts and the AGM.

Now this is the best bit –
My last question was actually – “Finally, approximately when is it intended to release your end-of-year audited accounts for trading up to 31st Oct 2003 or is this more likely to be in April 2004 as last year's were in the same month.”
Mr Smith replied that they were pushing very hard to achieve this before the end of the year – 31 Dec 2003.
My personal opinion on this is that it would indeed be a big achievement to get their accounts tied up and released by then as the full year ended on 31 October and this would be only TWO months but I, for one, am happy if it’s a bit longer.

All in all, it appears to me that they’re working very hard. Furthermore they’re also looking forward to providing to shareholders increased communication of the company’s activity and appreciate our interest.

Offshore Telecom Plc ("Offshore Telecom"), the supplier of high performance IT
network solutions to the public and private sectors in the UK through its
principal operating subsidiary, Matrix Network Solutions Limited ("Matrix"), has
acquired Intrinsic Networks Limited ("Intrinsic") for a consideration of up to
#2 million.

Established in September 2002 by Peter Drinkwater and Andy Mills, Intrinsic
Networks represents the next generation of Network Security Integrator,
providing integrated high performance networks security and application security
solutions to large corporate enterprise customers, mobile service providers,
financial service providers and various public sector organisations. Intrinsic
Networks has already built a significant 'blue chip' customer base, which
includes Vodafone and Yorkshire Water, amongst others.

Intrinsic Networks provides customers with a range of integrated network and
application security solutions, planning, consultancy, project management and
support services. Additionally, Intrinsic Networks has formed strategic
partnerships with a select group of US security manufacturers including
NetScreen, Fortinet, Sanctum, CipherTrust, BlueCoat and Cerberian.

Although historic audited financial information is not yet available, management
accounts for the period from commencement of trading until 30 November 2003 show
revenue of #761,000 and a profit before tax of #118,000. Net assets being
acquired are #174,000, including cash of #141,000. These results are drawn up
on accounting policies consistent with those of Offshore Telecom.

Offshore Telecom has paid an initial consideration of #600,000 of which #300,000
was paid in cash and #300,000 in new ordinary shares in Offshore Telecom
(37,500,000 shares at 0.8p). Subject to the achievement of agreed performance
targets, a further payment of #300,000 in cash and #300,000 in shares may be
made after 29 February 2004 and a final payment of #800,000 may be made in
shares after 31 October 2004. For each of the further payments the new shares
will be issued at 0.8p per share. In order for the vendors to receive the full
earn-out consideration, Intrinsic will need to achieve revenues of #1.8 million
and operating profits of #400,000 for the period from 1 December 2003 to 31
October 2004. The vendors have agreed to retain any Offshore Telecom shares
received as initial and earn-out consideration for at least one year from
receipt.


Peter Drinkwater (aged 39) has joined the board of Offshore Telecom following
completion of the acquisition. Peter has considerable experience within the IT
security systems market, having held senior sales and marketing positions with
NetScreen Technologies, Network Associates, 3 Com (UK), Bay Networks and Cray
Communications.

... HI EVERYONE !! ... please excuse my intrusion.

I live across the road in the 'FAR2' thread, a 'house' full of 'chartists'. I have been asked for my thoughts on OST, and having just looked at its charts in detail, and posted my views, I thought it may be of interest to some who live here, so I have just 'popped across briefly' to push a copy through your 'letterbox'.

If you consider a 'chartists views' to be 'junk mail', then please feel free to ignore it, however, I would ask that you help 'keep Britain tidy', by discarding it in the bin .. thankyou .. ..........please use the purple scrollbar to view.


OST - 0.775p .. OFFSHORE TELECOM .. a bit of a 'tiddler', but I'll have a go.

Starting with its 'historical MONTHLY movement chart', the 'basement range' below 1.0p can be clearly seen ... Its 'mid range price is 0.5p', and above this level, it has a greater chance of achieving a breakout of the 'basement', and its been above the 'mid price' continuously for the last couple of months.

Monthly volume has been increasing over the last 5 mths, so the first signs are looking good.

Its 'key levels' appear at 0.5p intervals, and all of these will act as support when the price is above, and resistance as the price approaches from below.

Having been in its 'basement range' for 2 yrs, if it can achieve a breakout, this will be a significant achievement, and strong moves should follow.



Moving in closer, and looking at its 'WEEKLY movement' over the last couple of years, whilst it has been in the 'basement range', it can be seen that it has also put in place a strong 'core range' around the 'mid price', and the last few weeks has seen it move, and close, above this 'core range', which has only been seen on a couple of previous occasions during the last 2 yrs .. combined with the rising volume, and indicators lines in positive territory .. all the signals are starting to look very encouraging !!



Moving in still closer to its 'DAILY movement' over the last 3 mths, provides greater detail of what is happening now. It shows that last month, it did achieve an 'intraday breakout', and having 'popped its head above for a look around', doesn't appear to have frightened it, because since then, it has been using the top of the 'core range' as a support level, whilst its consolidates to build up its strength to try and break out.




SUMMARY

All the indications suggest to me that a breakout is imminent, and its just a matter of time. The only thing missing at the moment, is volume.

The indicators are showing signs of reversing upwards, so it is entering a 'positive period', and it can either use this period to attempt another breakout, or it could use it to hold its present level, and continue building up its strength for the breakout.

Beware of false 'intraday breakouts', such as last month, breakout confirmation will be obtained when it 'closes' above the 1.0p level, and as previously mentioned .. hold onto your hat, because some strong sharp moves may follow !!

I reckon it has some good potential.

As usual, just my thoughts .. I do not hold (yet), so it is an unbiased view.

RESULTS FOR THE YEAR ENDED 31 OCTOBER 2003



Offshore Telecom Plc, the supplier of high performance IT network solutions to
the public and private sectors in the UK, has announced its unaudited results
for the year ended 31 October 2003.



Key points:

Business transformed into rapidly growing, profitable supplier of high
performance IT network solutions.

Name of group to be changed to Matrix Communications Group plc,
subject to shareholders' consent.

Ongoing Matrix business achieved an operating profit of 176,000 on
revenue of 1.3m since becoming part of the group on 29 April 2003.

The original satcom business incurred an operating loss of 401,000 on
turnover of 328,000 and has been closed.

Total group turnover was 1.7m (2002: 260,000). After one-off
charges, the loss before tax was 428,000 (2002: loss of 665,000) and the
loss per share was 0.06p (2002: loss of 0.29p).

Net cash at 31 October 2003 was 161,000 (2002: 3,000).

Since the year end, the business has been expanded by the acquisition
of a 50% interest in Norwood Adams Technical Services and the acquisition of
Intrinsic Networks.

CHAIRMAN'S STATEMENT


Introduction


During the year to 31 October 2003 the group was transformed through acquisition
into a supplier of high performance IT network solutions. The original
satellite communications activities ('satcom') have been discontinued.


Matrix Network Solutions Ltd. ('Matrix') therefore became the principal
operating company within the group following its acquisition at the end of April
2003. This business has established an excellent client base and has been
profitable since acquisition. Its activities have since been augmented by two
subsequent acquisitions.


Proposed change of name


To reflect the new direction of the group, it is proposed to seek shareholders'
approval to change its name to Matrix Communications Group plc. Once the change
in name has come into effect after the forthcoming Extraordinary General Meeting
(the EGM will take place immediately after the Annual General Meeting), the new
stock exchange code will be 'MXC'.


Group development


Matrix was acquired on 29 April 2003 for a consideration of 432 million new
ordinary shares, equating to a value of approximately 1.2 million based on the
share price immediately prior to the initial announcement in early April.



As a result of a review of activities and continuing losses within the original
satcom business, in July 2003 the board announced its decision to withdraw from
these activities. This process has been completed and the associated costs are
included in the results to 31 October 2003.



Since the end of the financial year, the ongoing core business of IT network
solutions has been augmented by two further acquisitions:



On 10 November 2003, the group subscribed 100,000 cash from existing
resources for a 50% interest in Norwood Adam Technical Services Ltd.
('NATS'). NATS delivers a full range of technical support and managed
services. These services form an integral part of Matrix's ability to
provide ongoing support to its customers.



NATS will be consolidated as a subsidiary within the group accounts in the
current year.



On 12 December 2003, Intrinsic Networks Ltd. ('Intrinsic') was
acquired for up to 2 million with an initial consideration of 600,000
split equally into cash and new ordinary shares. As a supplier of IT
security solutions and services, Intrinsic complements the existing Matrix
activities. The additional payments to the vendors of Intrinsic will depend
on the achievement of agreed performance targets. The cash element of each
payment is coming from existing resources.


Financial results


The results for the year to 31 October 2003 reflect the substantial changes
which have occurred during the year. The results for the first half year were
essentially those for the former satcom activities while the results for the
second half year reflect the contribution made by Matrix.



Within the headline turnover of 1.7 million (2002: 0.3 million), continuing
activities contributed 1.3 million - virtually all of which was represented by
Matrix's revenue during the second half year. The turnover attributable to the
discontinued satcom activities was 0.3 million, most of which arose in the
first half year.



In terms of operating profit/loss, the contrast is even more marked. Matrix has
been profitable since it started trading and achieved an operating profit of
261,000 in its first 9 months to 31 October 2003. In the period since Matrix
was acquired, it contributed an operating profit of 176,000 while discontinued
activities incurred an operating loss of 401,000 including one-off costs of
approximately 71,000 incurred in withdrawing from the original satcom
activities. Overall, the consolidated operating loss was 255,000 (2002: loss
of 586,000).


A charge of 174,000 (2002: 79,000) for diminution in the value of investment
represented the final withdrawal from the New Opportunities Investment Trust plc
scheme and is the difference between the carrying value and the eventual
realisation of 62,000. The consolidated loss before tax was 428,000 (2002:
loss of 665,000) and the loss per share was 0.06p (2002: loss of 0.29p).


The balance sheet has improved markedly during the course of the year with
year-end net cash of 161,000 (2002: 3,000) and shareholders' funds of 1.5
million (2002: 222,000). During the year, 501,000 was raised through the
issue of new equity.


The payment of a dividend for the year will not be proposed.


Strategy


Going forward, the strategy for the Matrix group will be clearly focussed on
building a rapidly growing, profitable IT network solutions business. The
initial elements already in place are the provision of high performance networks
(Matrix), the ability to offer IT security systems and services (Intrinsic) and
high level, round-the-clock customer support services (NATS). Two further areas
have been identified for future expansion through acquisition to develop the
group's market proposition :


Data storage solutions go to the heart of securing and protecting an
organisation's vital information and dovetails neatly with existing group
products and services; and


Voice over internet protocol ('VOIP') is regarded as the future for
mainstream telephony, essentially using IT networks and the Internet for
voice communications. Given the strengths of the group in networks and
security, this represents a natural direction for development.


An important aspect of the strategy is to acquire businesses which are
complementary in terms of both technology and customer base to increase the
opportunities for cross-selling between operating companies and to share common
overheads such as administration and training.


Board


The changes to the board have reflected the development of the group during the
year. Ian Smith was appointed a Director on the acquisition Matrix and was
appointed Chief Operating Officer in July 2003. More recently, we have welcomed
the appointment as Directors of Tony Weaver on the acquisition of 50% of NATS
and Peter Drinkwater on the acquisition of Intrinsic.


At the time of the decision to withdraw from the original satcoms activities in
July, David Bland, Philip Mehrtens, Mike Yarrow and Pat Roberts left the board.
We would like to thank them for their contributions.


Outlook


The Matrix group is building a rapidly growing, profitable integrator of IT
networks. The recent acquisition of Intrinsic Networks takes us into IT
security systems - one of the fastest growing segments of the network market -
and our interest in Norwood Adam Technical Services secures our ability to

Hard to say at the moment, The company is still working on building and the shares mag had a three line saying may be on turnround. I would not sell
the shares are still cheap and I do not think there is much downside or risk. I believe they are working on some proposals according to earlier reports. A good announce ment could push the price upwards but it could be a few months. Sorry can not tell you more than. As usual DYOR and all the best with what you decide.

Well foxwell that is the million dollar question, as you know we are a fickle bunch and sometimes get it wrong. There have been a lot of buys in the 1.88 - 2.6 region with ealier profit takers gone, as a guess I think the 3 - 3.3 will see the some profits being realised. The 2.5 range should hold, and good news will push the price up. chartist....I missed on some of the first rise but have managed a respectfull 195% so far.I think this has the potential to return real growth over the medium term. It is still early days for the new strategy I am sure they will purchase and the contribution of XchangePoint could be significant, and they are making money. Hi. Haven't posted on here since December. Been busy on another BB. Pleased to see my faith in OST has been rewarded. Shares Magazine is talking about a 1.16 million profit this year on margins of around 15%. Prediction for 2005 is much higher. AGM is due in a couple of weeks. Lots of good news is expected. OST got mentioned in the Daily Express today with regards to possible large contract due to be announced. Also AGM this Wednesday an Ian (ceo) is doing a live web broadcast on ADVFN on Thursday. Great potential in this share in a rapidly expanding market.

AGM and Trading Update

At today's AGM all resolutions were duly passed.

Michael Frank, Chairman commented:

'The Group is making very good progress, we have had a strong first quarter and
the second quarter of the new financial year has started well. Our aim is to
become the communications integrator of choice for leading edge technology and
I am delighted to say that we are continuing to win major contracts.

We have won a number of new customers since the year end, which include:

* The University of Westminster

* LSHTM (London School of Hygiene and Tropical Medicine)

* BAR F1 (Formula One team)

* LINX (London Internet Exchange)

With the addition of LINX to our client base, Matrix, our wholly owned
subsidiary now deals with practically 100% of all UK internet traffic.

The acquisitions we made in the last financial year, Intrinsic and NATS, have
now been fully integrated into the Group and both are performing well.
Intrinsic Networks has signed a seven figure contract with Vodafone UK for the
provision of strategic security services. Due to the nature of this project we
are under reporting restrictions at this time, except to say that the UK
project is going exceptionally well.

Matrix Communication Group Plc is also in early discussions with Vodafone Group
for the possible roll-out of this strategic solution to the Vodafone operating
companies on a global basis.

Acquisitions

We continue to look for businesses to acquire that fit with our business model
and to this end I am pleased to announce the signing of Heads of Agreement for
two companies within our sector. A fuller statement regarding these two
proposed acquisitions will be made in due course.

Board structure

In order to maximise the growth potential that lies ahead for the Group I am
delighted to announce the following Board changes: Alan Watkins will become
Chairman, Ian Smith, Group Chief Executive, Tony Weaver, Chief Operating
Officer. I will become non-executive deputy Chairman. All of these appointments
are made with immediate effect.

Placing

We are delighted with the 2,250,000 of new funds raised, which was announced
yesterday. We have placed a total of 120,000,000 shares, which consists of
100,000,000 new shares and 20,000,000 old shares with a number of key
institutions and VCT's. The funds raised will be used to complete the two
proposed acquisitions.

As mentioned earlier, the year to date has started well and I look to the
