WTV WebCasting Services (WTV)

This used to be called VTB.

They have fallen from about 3p since June & they reached 7p a year ago.

The share seems to be showing signs of life.

I've put a small amount in again as a big gamble.

This goes aginst what I usually do because it is an AIM share with a big spread but it's only a small amount just for fun.

I wonder what SHARES' view is. They had VTB as a play of the week some time ago but I did not see anything again so does that mean they think it is still a hold, or do they sometimes just take shares of their playlist without a update . AIM-listed World Television, created from last months reverse takeover of Virtue Broadcasting, held steady at 1p on word that it has won a contract to televise The Greatest Race on Earth, the inaugural four-marathon event sponsored by Standard Chartered, the bank. The challenge ends in February.

It's a high risk share! One would be wise to only put money in that one is not averse to losing. Having said that if it came good, one could make a lot of money. I'm long on these but would certainly like to see some change of direction in the share price!!

Only from other BBs (adven) vague rumours of new director buying stock & perhaps WTV being subject of a bid... probably nothing in it and just pure speculation. will most likel come to nothing and it will all fizzle out !(imho)

I succumbed day before yesterday and bought a few more..

like i said not enough to average down too much but it is looking more likely at least in the short term that i can recover a little more. I will continue to keep as close an eye as possible ( still have to work as well!!) for fear of a sudden turn around.

Rumours are one thing, what we need is some confirmation of whats causing the interest or more acurately what is going to support the renewed interest.

No results have been issued except shortly after the takeover and change to the name World TV. Since, a lot of things moved internally to this company. Now as a result of the combined profits from the old World TV Ltd (before the merger), the cost savings and restructuring since, and the profits of Rorke Investments, this company should be publishing some good results soon. Turning a company that was running at a strong loss a year ago into a fairly profitable one with some good contracts going.

I believe this share has the potential to go up a lot more still over the next few months and that the current rise may party be due to the coming financial results.

Last yr I think the old company (VTB) released their results on 24th May.. perhaps things are hotting up a bit in the run up to announcing latest set of results.. should make for interesting reading...

World Television has been honoured with six awards at two key prize ceremonies in the USA the 2005 Videographer Awards and the US International Film and Video Festival.

World Television received two first prizes (Awards of Excellence) at the Videographer Awards. The first, a BP production, Performance in Perspective (PiP) is a quarterly programme targeted at employees which summarises and explains the companys financial results, combined with the impact on staff. The English version of PiP is completed two days after the results announcement and can be viewed at desktops on BP World (BPs Intranet). Three days later it is webcast in 6 different languages and is also distributed on DVD. PiP has repeatedly beaten its quarterly viewership targets and now reaches over 50,000 employees worldwide in 6 languages.

Then Business of Development also received an Award of Excellence in the programming category. Business of Development, broadcast on CNBC, is the worlds first television series dedicated to the links between sustainable development and business issues. The series profiles businesses who are actively involved in developing regions and has featured companies such as Hewlett Packard, GSK and Pfizer. Honourable mentions at the Videographer Awards were also given to two other World Television productions - Reuters Living Fast and another BP project, OneBP Invision.
At the US International Film & Video Festival, World Television won both second and third prizes in the employee oriented category. Second prize (The Silver Screen Award) was given to OneBP Invision, a twice-yearly presenter-led magazine style programme shot entirely on location and featuring reports from throughout this huge global organisation. As with PiP, this programme is made available to all BP staff via the Intranet and on multi-language DVD. Third prize in the same category was awarded to Reuters Living Fast. and Commonwealth Office has announced its intention, subject to contract, to
award the British Satellite News (BSN) contract to World Television.

This contract, expected to run from October 2005, is for three years with a
further two year option period. There will be an uplift in value to fund

Chaps, as a lot of you know I have followed this share for 5 years.

I must say what is happening in the IR space at present is really exciting, what where competitors of WTV 12/18 months ago have now been swallowed up by the goliath THOMSON.

After watching the trading recently particularly Friday, I am convinced the MM's are filling a large order.

Have any of you thought for a second that at any time WTV could be in play?

I am convinced WTV will be bought out in 2005 and recent events with netvision have only confirmed this for me. The fact that they are about to turn a profit only add to my belief of a bid some time soon.

The fact that our Directors hold key shareholdings only fuels my excitement. We can relax knowing we will not be sold on the cheap.

Also, remember the share juggling a few weeks back between the two founders?

Any views on this or am I barking up the wrong tree? Surely WTV would be the icing on the cake for THOMSON in Europe as well as having a perfect synergy in the asia pacific regions.

Something is happening, I can feel it in my water.

It is very interesting as it shows the quality of the WTV production methods as well as the quality of its delivery platform.

It looks like there is a different type of training each month this year, so thats a new video production each month, that must be a fair few pennies, add the fact that WELLA are selling the DVD's, which WTV will more than likely supply and we are laughing.

Has anyone heard anything about the Thomson/WTV buyout rumours?

World Television Launches Expanded British Satellite News Service

World Television, the corporate communications, news production, webcasting and
event management company, is pleased to announce the launch of a new expanded
British Satellite News (BSN) service following the renewal of its contract with
the UK Government's Foreign & Commonwealth office (FCO).

The contract, worth approximately #1.5m p.a., will run for three years from

built on the existing offering by increasing output by 50 per cent Monday to
Thursday and by introducing an in-depth, ten-minute feature every Friday
focussing on specific news-related subjects.

A newly redeveloped website (www.bsn.org.uk) is available in both English and
Arabic and provides an enhanced offering featuring streaming video. This will
enable programme producers to select stories by viewing them at their desktops
alongside script information and other related reports.

BSN is currently used by over 450 broadcasters across Europe, Africa, the Middle
East and South East Asia. The new service will strive to achieve greater
penetration in core areas such as the Arabic speaking regions.

World Television agrees to sell Foroso

World Television, the international televisual communications company, today
announces that it has agreed to dispose of the Company's webconferencing
subsidiary Foroso Communications GmbH ('Foroso').

Following a detailed strategic review of the business, the Directors of World
Television have concluded that Foroso and its web conferencing products are not
a core part of the group's strategy going forwards, due in the main to the
increasing commoditisation of these services, and are therefore pleased to reach
an agreement with members of the existing management team of Foroso. Foroso's
Meeting Centre and Training Centre will continue to operate as normal and
without interruption.

Four of the original founders of Foroso (Peter Pock, Elmar Merget, Kristof
Nast-Kolb and Ingrid Buchenberger) will take ownership of the company from 1
January 2006. World Television will receive a 20% share of revenues in 2006 and
2007. World Television will also receive all of the proceeds of any sale of the
business before 30 June 2006, up to a maximum of 680,000, and 20% of any
subsequent sale until 31 December 2015.

Foroso is currently unprofitable and has struggled to reach profitability since
it was acquired by the Company in May 2004, due to falling margins and intense
competition. Foroso revenues in 2005 are expected to be under 150,000.

Steve Garvey, CEO of World Television, said: 'Working with the management of
Foroso, we have reviewed our options regarding the business and it is clear that
Foroso no longer fits within the group. Since the enlarged World Television was
created in August 2004, the Company's range of services has increased
significantly. Foroso sells its services to a different kind of customer, its
products are not televisual and there are few synergies between it and rest of
the Company. I believe we will generate faster growth by concentrating on our
core business of televisual communications services while ensuring our
shareholders get value from Foroso in future. I wish the new owners every

Tax assessment relating to 1999-2000 and 2000-2001

World Television has been advised by HM Revenue and Customs (HMRC) in the UK
that it holds the Company liable for unpaid employers' National Insurance
contributions (NIC) relating to the exercise of share options by ex-employees of
Tornado Group plc (now called World Television) at the time of its flotation in
March 2000.

Tornado Group plc made payments for both PAYE and NIC at the time of the
flotation but the HMRC assessment disputes the calculation and states that the
deductions were insufficient to meet the liability. HMRC calculates that the
Company's liability amounts to 182,619 which includes the original unpaid NIC
and interest from the date of exercise to the beginning of November 2005, but
excludes penalty charges.

Furthermore, HMRC has informed the Company that it holds the Company liable for
unpaid PAYE contributions in respect of the same employees and the same
transaction. HMRC's initial assessment of PAYE due is 312,480, excluding
interest and penalties.

The Company has appealed against the assessment of NIC and PAYE and the appeal
process is expected to last at least several weeks. If the assessment is found
to be correct, the Company will not be required to make any payments to HMRC
until the appeal process has been completed, which the Directors expect to be
next year.

The Company will defend vigorously its position and seek to recover unpaid PAYE
and other related charges from the former employees in question. The Company has
copies of signed agreements from the employees indemnifying the Company for all
taxation, including PAYE and employees' NIC Class 1, relating to the options.
The process of contacting the said employees, all of whom have now left the
Company, has already begun. The Company is also investigating possible means of
recovery of any penalties and interest relating to unpaid employers' NIC.

The Directors have considered the impact of a successful claim by HMRC on its
cash position and intend to negotiate a payment plan with HMRC. The Directors
believe that on this basis the Company will have the resources to make the
necessary payments.

The Directors believe that any liability ultimately falling due following HMRC's
assessment has no connection with any employee currently employed by the
Company, and is not related to the performance of the current management team.
Moreover the Directors are taking all appropriate steps to ensure that any
resulting liability will not impact the Company's trading performance and its
ability to achieve its strategic goals.

The Directors remain confident that the Company's strategy will continue to
deliver growth and progress towards our goal of profitability in 2006.

The Board expects to make a provision for the overall liability in the final
accounts for the year ending 31 December 2005, based on the information
available at the time. The Directors will inform shareholders of any material
developments as they emerge.

Looking at the current charts I would think anybody buying this share at the moment would be barmy. If you had bought higher, sorry, probably hold if it is only a small holding. Have a look at the recent fundamentals in detail and latest news reports I wouldn't touch them.

I could be wrong, but I watch at a distance. There are better proespect in the market place.

First thier was the brokers note putting a discounted value to market of 1.4p, since that a deal with prnewswire, now "if true" this three year contract.

I think they have done the ground work and are about to get a lot more great contracts.

Having been surprised at the fall in the shareprice since the news of new contracts and it was suggested to me that the New Top Dog appointed last year and the FD maybe about to buy a several million shares while they are so depressed.

When you look at the level of discount they are at 1p to the recent Brokers Note that values them at 1.4p at a discount at that to the sector, then it would be on the cards.

I wish I had more funds at this time to place into wtv and average down but still like to be safe and keep my funds in more liquid stocks than this.

I have bought in at a higher level than this, so maybe I am wrong and should have kept away from them as I now need them to be at least 1.25 to cover my costs before I make a profit.

Results around June, so its going to be a long wait unless a good trading statement is made sooner.

Thanks Global Nomad for airing your views. I took a look at the WTV website this evening and noticed they have put up a list of dates for results and said they will make a trading statement on 23rd Feb.

I also see the are going to do a pre recorded webcast with results. Thats good news as well.

At least we do not have to guess at dates that they might or might not update investors. I like businesses that have consideration for private investors and give a regular flow of news on thier websites as do WTV.

I only hope it comes good for me in the long term and you guys/girls get your money back and make a profit with luck, as I see they were down again today.

Skyhigh it looks to me that a big increase in volume has taken place over the past few weeks. In the past, I have noticed that this sort of pattern happens a few weeks before news of contracts or stake building.

I would not now be surprised to see a quick return to the level that I bought in at last year. I have looked at trade history and seen the much larger slices changing hands, several million trades, buys at that.

In view that one of the directors purchased new shares @ 1p, I think they must be very undervalued at this time.

Brewins are also saying this was a buy at 0.97p and now they are saying its a very strong buy, adding to the information (contract news)from the company website, all the news looks positive.

I can now see this becoming a 2p share before very long and maybe 4p by the end of the year. I am happy to hold even though they have fallen since I last made a purchase.

I only hope that they start to inform the stock market of any new contracts as they sign them, so to attract more investor awareness.

It is often buying against the trend that results in the greatest rewards.

At what point would you say the trend has changed with WTV, and what or whom changes trends before others notice the change?

Should you be investing in small AIM stocks, if you are not looking for big rewards.

Volume has been very low of late and selling seems to have almost stopped as I expect most CTG sales have already ceased. These same sellers could well be about to pile back in to the likes of WTV very soon.

On the www:world-television.com website news section is notice of another award they have been given.

I also found the Electrolux video gave a very positive message.

Still, only one month to wait to see how strong the growth has been since the last trading statement.

I very much doubt anything will come of the action group or any other patition. I think eveyone knew the risk on this one, lesson learnt sometimes large investors hinder not add to a company in this case. Move on I say, no point letting other potentials slip past investigating what could have been. With this and SEO on my portfolio I am heavily sunk in the red. This will be by far my worst year on record as I am sure will be for others. I doubt I'll post here again, it would cost me more on trading fees to sell then my shares are worth so will go down with the ship and receive whatever I get. Best of luck to you all, no doubt we'll share a profit or two on happier threads.

Quite interesting this.

The panel phoned me last night to tell me of the ruling, and to ask that details were not released on message boards or communicated to the press pending our appeal. Since we had already given written notice of our intention to appeal the ruling and discussed this on several occasions with the panel executive (it may surprise you, but as we understand it the panel itself has not yet met to consider this - only the "executive" to reconsider their own actions), we agreed to this and kept all discussions with the panel confidential in order to prevent misleading releases to shareholders.

For the record the panel also told me last night that releases made by the company were "wrong" and made "without the consent of the panel" - ie. the releases saying that conversion of shares would require the majority consent of independent shareholders. This will now be the subject of legal action by the shareholders, subject to the decision of the Action Group committee.

We advised the panel that we would continue to deal with them confidentially on condition that the company respected the same rules and no announcement was made that would or could mislead the market.

So, for the record THERE HAS NOT YET BEEN A FORMAL PANEL HEARING - which we REQUESTED IN WRITING ON 1st MAY. There will be an appeal, and until the appeal is heard properly (and we are going to request that it is heard in public) the announcement by the company is STILL SUBJECT TO BEING CHANGED, just as it has been once already.
