Zareba To Acquire Uranium Asset Within A Month - Sources

LONDON (Dow Jones)--Zareba, due to make its debut on London's Alternative Investment Market Monday, will make a significant acquisition within a month, people familiar with the deal told Dow Jones Newswires.

The U.K. mining shell is to announce the purchase of a "huge" uranium asset in Australia, the sources said.

Zareba has been established for the purpose of making investments in the mining and minerals sectors. It is being floated Monday at one penny.

Executive Chairman Brian Moritz is a director of Southern African Resources (SFU.LN), the shares of which have gone from three pence to 35 pence within 18 months.

Zareba's directors are also involved in Zari Resources PLC (ZAR.LN), which floated at 1 penny in July 2004 and closed today (Friday) at 4.13 pence.

A spokesman for Zareba said: "There are some assets we are looking at, and a uranium asset in Australia is one of them. It hasn't been dismissed out of course."

What a wonderful stock...or is it?
I'm surprised that companies can raise money without any specific objectives, the objectives being pretty much nondescript and all-encompasing. Still to list on AIM one expects the highest levels of prudence (only just short of FTSE Listing), so we can be reasonably content that some deal will be done. Some concern is the lack of any track-record and if they are to buy some Uranium field who is selling it? Why don't they want to develop it themselves, etc.

It is odd that an Australian Mining Operation would want to list here in London, where there is little in the way of mining.

I have bought into this stock simply because there is the promise of a deal, but I suppose it would have been better if the Company was established - however, they would have demanded a higher price. Investors in the earlier floatations cited will be well-pleased except perhaps that their Directors are spending less time in their interests.

One for the LSE and FSA to watch, with interest.

If you read the whole article on the naked trader it reads differently to the bit you posted. I`m only in this for a quick profit and the ethics surrounding uranium don`t come in to it, it is used for things other than military, ie. nuclear power stations, and despite the "greenies" view it is a cleaner alternative. It's a new issue on the markets and a high risk mining shell, it's due to make a major acquisition in a few days.

The reason I bought was the management has an excellent track record in this area and I felt it was worth the gamble.

This is the kind of share I'm after for the new-look Sipp. I hope you will find it interesting to see how I get on and I will update from time to time. Please do not follow me in to this.

I also recommend strongly that those of you with Sipps do not follow my new strategy. Please remember I am now very wealthy and can afford to mess around with my pension.

Im in for a bit of uranium. short term demand for this stock is likely to be high because of aquisition speculation, but long term may also prove to be a possible winner, as dexter points out, as a play on alternative energy. Even more poignant with todays kyoto protocal being finally activated.

How can Nuclear Power be clean when no-one knows what to do with the waste and terrorists etc. are buying up stuff to make "dirty" bombs.Have you forgotten Three Mile Island and Chernobyl?Whether it's a quick punt or not you are still contributing to the continued use of nuclear power with all the terrible consequences in today's dangerous world ...viz.N Korea and Iran.Sorry to put the dampner on but this is my opinion and I am not totally alone in this way of thinking.It is almost impossible to be ethical in stock selection,unfortunately,but we should do our best to be aware.

I respect your views. How much muck etc has conventional methods put up into the atmosphere?, three mile island and chernobyl were isolated incidents.To me if a co. is listed and we are able to trade it, it would be lunacy imo not to make some money. How many terrorists have used "dirty bombs"?, none to my knowledge, how many nuclear subs. have blown up because of there power units ?, none to my knowledge. I lived near to Dungeness station when i was a kid, but i`ve only got one head!.

This is nothing to do with the merits of ZBA

Nuclear energy is safe if handled properly: Three-mile-island and Chernobyl were blatently mis-managed and should never have happened. I'm with Dexter01 on this, I think. France has nearly 80% (that much?) Nuclear electricity and one hears nothing about problems there.
We must also remember that the amount of nuclear material needed is quite small I recall the WWII bombs used about 1 gram and Where Did it come from - out of the earth! It is already here......admitedly in low concentration.......and dirty bombs are mostly feared than practical - a simple giger counter at airports/tube entrances would identify people carrying it, as it could not be carried in a lead-flask (someone might notice).
Nucler power has some down-side but very little compared with the prospect of Oil running out - Oil should be kept for lubrication and military use alone. Everyone else use electric - electric vehicles are just about practical and soon will even better, just look at the development of the car from its origins.

All the trades at 2.20 & 2.25 are buys, i don`t know why they are showing as sells, it`s probably just money am`s computer, but they are definitely buys.This should be in for an exciting day tomorrow, IMO it will be a kind of reflection of what happened with URA today, maybe not so spectacular!, it`s just that this sector is really IN at the moment, my advice is make hay while the sun shines, but be careful and don`t be too greedy.

hey grandad. well i hold this stock for one reason only and that is because Hutchings is in charge and his Tomkins cronies are with him. Hutchings was probably my first "new" business hero when he took on his mentor (Hanson) and took over RHM. at the time i thought, the audasity!, but then thought...business is business and this guy will do anything to succeed. so when he was chucked out of tomkins i thoight his next roll of the dice must be spectacular...still waiting.

the thing is the environment has changed over the last few years. Lupus is now competing against hedge funds, private equity and various other punters who are scouring the market in the same way Lupus is trying to do. the difference is that they are probably more likely to pick up a smaller company than a big fish because the former may fall slightly below the radar of the now huge players.

i have faith in hutchings but have only about half my normal investment in this stock simply because there is a risk that the deal may never come or he is foreced to wildly overpay. on the positive side, these boys have their own cash in and in my opinion if they had really done their sums they would be waiting with private equity cash as opposed to running a plc to pounce on their first aquistion, but instead there is pressure to do a deal and as the months roll on the price may drift wondering whether their strategy in this aggressive environment will see a deal at all.

the plus side is of course that these guys have experience, cash, contacts and a proven track record in turning minnows in ftse 100 companies. i have faith that a deal will be done and wouldn't be surprised to see a market cap within a few years of a ftse 250 company.

dealmakers only stop making deals when they die. Hutchings and Co are alive and kicking....maybe just browsing but just haven't found anything to get the heart rate racing.

as usual DYOR but my thoughts are have a small interest and average up on a great deal. if they fall then less is lost....

well, my pearls of wisdom (or not) about watching this minnow is once again from just taking a step back and looking at the players involved in this comapany on top of the percieved fundamentals.

i just think there may be a play here but in the same breath it may go bust. minimum investment size for me and then wait and see.

for the recored there are a ton of tiny caps around that may be deserving of a minimum investment..i was looking at GMC the week before they popped just because i was looking for poker sites around and just missed this one. the fact is though that many minnows stay that way so make sure the investment is small enough to lose and then spread it around. one or two in 10 or 20 stocks would be an excellent hit rate. remember the same or more may go to zero. spread it around sectors as well because as quickly as one is in vogue it flies out as well. if i was in GMC now i would be out of at least half or if not more and run the balance.

anyway DYOR and enough spieling for me!

On 7 March 2005 Zareba issued 3,300,000 new ordinary shares in satisfaction of
placing commissions amounting to 33,000 in relation to the placing and
admission to AIM. The shares have been issued at a price of 1p per share under
an agreement made by the Company as disclosed in the Admission document dated 8
February 2005. Application will be made for these shares to be admitted to

The price on this share is volatile to say the least at the moment. Not entirely sure what the MMs have in mind as there is a recurring trend of price dropping when buys outweigh sells by several million. I think the market is expecting aquisition news and, as suggested by the title article, we have expired the 'within a month' claim this week. I am sitting tight on this and expecting something to be announced fairly soon.

Well thats me on board. Got in yesterday and just topped up. There doesn't seem to be much on the web on ZBA. Does anyone know of any sites that may have info on them?
It seems the an announcement is now overdue on a possible acquisition so now is a good time to jump in as I can't see them being this price for long.(Unless there is no good news).

Hi gang - we can all calm down and relax.

Just got off the phone to John Woolgarand he was VERY upbeat about the company, its prospects and deals that it is in the process of pulling off. He started off by building up his fellow directors and the knowledge they possess.

He said there is a "significant flow of deals" that are landing on their laps at present, which are all being evaluated.

When asked if the company is in a position to release some news to shareholders, he replied "very, very soon".

My personal take on his tone and comments is very positive. He actually apologised when I told him it had been very difficult to get hold of him, and then added that "a lot of hard work has been done to achieve the best investment possibilities".

Obviously, he couldn't give an exact date of any news to be released, but on three occasions coined the phrase "sooner rather than later".

Top up now I say, I'll be doubling my holding at some point this afternoon.

I think that the trades were a rollover (cash and new) of a T+. The sell came seconds before the buy.

One was at 1.49p and one at 1.5p. The difference times the 1.5m is the MMs fee for giving more credit.

As expected, I got through to Mr Woolgar again a few moments ago. I kept it brief and highlighted that people are showing interest in the stock. He said that John Malins is still in South Africa but reported that all directors are happy with the progress they are making.

I asked whether it would be possible for them to announce something (simply highlighting how they are getting on). He said they only plan to announce news once a deal has been signed and sealed. I suggested that it would do no harm in giving a progress report to investors and the market in general - he said he'd "discuss it with his partners and make a decision shortly"

Seemed upbeat again, and kept on mentioning John Malins. He said they are keen to release news asap but will not rush the news.

Unless I'm being spun a yarn here, I don't see any reason to sell. SP seemed to recover from 0.75 today and quite a few (small) buys today too.

I've just been reading an article from Sept 30 edition of Moneyweek. Specifically, the Commodities article on page7.

It mentions Namibia's Valencia mine - I've done some research on this and discovered that a stake in this mine is held by the government there. This uranium mine is a HUGE moneymaker and stakes are also held by US miner Cameco and Forsys Metals from Canada.

Based on their previous track record, ZBA directors are aquainting themselves with the right people

Chairman's Statement



This is my first report following the flotation of the Company in February 2005.
The attached profit and loss account shows that the company made a loss for the
period to June of #38,619and had some #1.35 million in cash resources.



The company was floated to make investments in the mining and minerals sector.
Its first investment was announced on 8 June, and was in a company developing a
diamond mine in Northern Namibia. The initial investment of N$ 500,000 has been
subsequently increased by a further N$ 500,000. The total investment represents
10% of the investee company, which is named Shelfco 21 Pty Limited. A Competent
Persons Report was commissioned from Placer Analysis Ltd, but this report has
been delayed to enable further data to be included. In the meantime the mine
itself is scheduled to be formally opened on 15 October 2005 by the Minister of
Mines and Energy of Namibia, and the opening is likely to appear on the Namibian
national television.



Other investments are also under examination, including investments which would
constitute reverse acquisitions under the AIM rules, but no firm agreements for
such investments have been made.



The directors remain conscious of the need to conserve cash, and expenses are
being kept to a minimum. They remain confident that Zareba will meet the
criteria of the London Stock Exchange for investment companies within the time
limits set by the Exchange.

I think it is interesting that Kunene River Diamonds, the diamond mining company that Zareba has a stake in, has concentrated on the same area previously occupied by Reefton Mining. I think it would be reasonable to expect them to go for the other licences held by Reefton as well. Here's what Reefton said back in 2004

SKELETON COAST DIAMOND PROJECT IMPRESSIVE RESULTS AND ACQUISITION

Reefton to acquire an 80% interest in a strategic 90 kilometre length of the Skeleton Coast, taking its coverage to 310 kilometres of the coastline.

Reefton recovers diamonds from the modern beach. Marine processes are still depositing diamonds in the concession area.

Bulk sampling returning larger diamonds of up to 2.3 carats.


Acquisition of EPL 2742 Kunene River, Skeleton Coast Namibia

The company is pleased to announce that it has entered into an agreement to acquire an 80% interest in EPL 2742 - an important diamond concession covering 90 kilometres of the diamond bearing Skeleton Coast of Namibia. The concession is up to 8 kilometres wide. To the south, diamonds are located in the modern beach on the shoreline, and fossil beaches from various geological periods with the oldest being located up to 2 kilometres inland.

The new concession adjoins the companys existing concessions, to the north, bringing the total coverage of the diamond bearing beach deposits held by the company to 310 kilometres.

Further to the north in Angola, a corridor of diamondiferous kimberlite trends south east into the concession area. This corridor contains kimberlites and extensive rich alluvial diamond deposits.

Diamond bearing rivers draining this corridor include the Kunene River on the border of Namibia and one of its ancient outlets - the Angra-Fria River System. This reaches the coast within the southern portion of this concession, and is most likely to have also been a transport corridor for diamonds in the past. The strong north flowing Benguela Current distributes the diamonds emerging from the river outlets, along the coast. The marine processes then concentrate the diamonds into beach gravels.

The agreement entered into with Rusina Mining Limited provides Reefton with an option to acquire an 80% interest in the tenement. Following exercise, and subsequent to satisfaction of the conditions precedent Reefton will be required to pay $290,000 and issue 4,000,000 fully paid ordinary shares to Rusina Mining Limited.





Modern Beach Sampling Result

A bulk sample of 10.8 tonnes of gravel from the modern beach was taken and 5 diamonds recovered. The modern beach is the youngest and located above the surf zone.

The sample, being wet, was processed directly through the scrubber and Dense Media Separation Plant (DMS) and returned 1.02 carats equating to a grade of 9.4 carats per hundred tonnes (cpht).

It is significant that diamonds lying on the ocean floor are still being transported by marine processes. The dynamic system of diamond deposition is still active along the current shoreline as it has been in the past where it built stacked fossil beach deposits up to 2 kilometres inland.

Mowe Bay Bulk Sampling

The bulk sampling programme at Mowe Bay is continuing to return high quality diamonds. As the sampling is progressing larger diamonds are being recovered with the largest recovered since the Companys last announcement being 2.3 carats. That particular sample is still being processed and sorted for diamonds.

NAMIBIA should consider exploiting its uranium ore reserves in the light of rising world uranium prices, Mines and Energy Minister Erkki Nghimtina told the National Assembly last week.

With the planned construction of 23 nuclear reactors in 31 countries now in the pipeline, Nghimtina said these were good indicators that Namibia should develop its eight known uranium deposits into mines.


Nghimtina was responding to the environmental and health concerns raised by the Congress of Democrats in the wake of the development of a uranium mine at Langer Heinrich in the Namib-Naukluft Park.

Local and international rights groups have in recent weeks stepped up their resistance to the mine, saying radioactive dust and the emission of poisonous gases would put workers and residents at risk, while causing irreparable damage to the desert ecology.

Nghimtina said that Government had taken all the necessary steps to ensure that the mining industry complied with mine health and safety regulations.

He said Government was also satisfied that all environmental protection measures would be taken.

Nghimtina said Namibia's resource potential was by no means exhausted and that more prospecting needed to be done to discover more ore bodies.

"Namibia is a uranium producer and hosts known uranium deposits and several occurrences. These uranium deposits should be converted into mines while several occurrences will be explored further to determine grade, size and economic viabilities," said Nghimtina.

Nghimtina said watchdog groups that had objected to the Langer Heinrich mine were "perpetually poisoning the atmosphere with unscientific information about the awarding of the mining licence".

He said the world's largest open-pit uranium mine, Roessing, was internationally renowned for its good health and safety regulations and environmental monitoring for nearly 30 years.

"The Ministry of Mines and Energy is assured that Langer Heinrich Uranium Mining Project will [emulate] Roessing Uranium Mine in environmental protection, mine health and safety issues, and in the physical protection of uranium oxide within and outside Namibia," said Nghimtina.

The Minister said Government was expecting the Langer Heinrich Mine to pay tax of N$63 million to the State, contributing 0,8 per cent to GDP and 0,45 per cent to exports.

The mine is further expected to create 750 jobs and put Namibia in tenth position in terms of world uranium-oxide production after Canada and Australia.

The Company announces that it has appointed Smith & Williamson Corporate Finance
Limited as its nominated adviser and joint broker with immediate effect.

The Company entered into heads of terms with Masefield Energy Holdings AG on 18
November 2005 to acquire the entire issued share capital of Quadrise
International Limited ('the Proposed Transaction'), a Masefield group company
which holds the rights to MSAR (TM) fuel processing technology. MSAR (TM) is an
emulsion fuel used for steam and power generation, produced from low value oil

Quadrise takes 'smart oil' technology to Aim

A company that claims to have technology that could extend the life of the oilfields beneath the North Sea by around eight years is to list on London's junior Aim market early next month.


Quadrise, which will be worth around 100m on its debut, has rights to technology developed by Akzo Nobel, the 11bn Dutch chemicals group. The technology enables an emulsion fuel oil to be manufactured from heavy crude oils, and from residues produced by refineries after the lighter, more valuable petroleum products have been separated.

The fuel is produced by mixing the heavy crude and residues with water to form an emulsion, which is stabilised by adding chemicals developed by Akzo Nobel. It burns more efficiently and completely than other fuels, resulting in lower emissions. It is expected to be 10 per cent cheaper than standard oil and customers such as power producers would achieve a cost saving of around $75m a year on a 1,000MW power station.

Bill Howe, the chief executive of Quadrise, said: "It can be used directly in power stations and it burns better than conventional heavy fuel oils. As it contains water it burns at a lower temperature, which means that less nitrous oxide is produced. Its greenhouse gas emissions are 20 per cent lower compared with coal."

Howe also pointed out that the technology allows very heavy crudes and residues to be diluted enough to make them economically transportable to market. "Refiners don't want heavy crude, they want the light end of the barrel and turning heavy crude into light is expensive."

However, he said the technology should improve the finances of the extraction of heavy crude to the point where known but untapped reserves of heavy crude were economically viable.

"Oil and gas production from the North Sea is entering a deficit situation relative to UK demand. Within 10 years, at an oil price of $35 per barrel, the energy import cost for the UK would be $20bn a year. But there exists within the North Sea some 5bn barrels of discovered but non-producing heavy oil," Howe said.

"Quadrise can facilitate the economic production of this oil by providing a means to market for its heaviest fractions. These reserves would last almost eight years at the UK's current oil consumption of 1.75m barrels per day."

The technology would also facilitate the production of the 1bn barrels of bitumen and tar sands which have been discovered in the US and Canada.

Quadrise will list on Aim through the reverse takeover of a former mining company called Zareba.

have started a quadrise thread, used zba as epic as quadrise haven't got one yet.
it includes the above article and a few links to quadrise intl ltd. If this is the correct place to chat about Quadrise/zareba can i cancel my thread or is it worth having a seperate thread just for quadrise. your advice please as wouldn't like to stand on anyones toes. [plus you guys have been doing this sort of thing longer than me so will prob do a more proessional job]

Heads up on a old favourite due to resume its trading after its reverse takeover of Quadrise tomorrow...

The current plans are that an Admission Document giving full details of the
reverse takeover transaction, a substantial share placing and associated
proposals will be sent out to shareholders on Thursday next week, 23rd March.
Dealings in the Company's shares, which have been suspended since 9th December
2005 are therefore expected to resume on 23rd March.

The star of the show has been cash shell Zareba. After trading had been suspended for three months pending a reverse takeover, dealings began again 10 days ago at twice the suspension price. I took the chance to unload about a third of my holding at 3. The rest is now in for free. The gain on the portion sold is 245% over 12 months.

It will take a lot to get me to sell any more at the current level. Zareba, to be renamed Quadrise Fuels International, is using technology developed by Akzo Nobel to produce emulsion fuel oils for power generators. The technology adds zing to the most unpromising heavy crudes and refinery sludge and has the potential to save a big power station anything up to $75m (43m) a year. It also cuts greenhouse-gas emissions.

Zareba is already in talks to supply four different power generators. It would need to secure only a couple of them as customers to justify its current market value of 167m.

The worldwide potential runs into the hundreds of millions. Having assembled the greatest collection of emulsion-fuel experts ever seen in captivity, Zareba has the makings of a great business.

Minster Pharmaceutical has been weak recently even though it has started human trials on its prophylactic for migraine, Tonabersat. The only equivalent drug on the market, Johnson & Johnsons Topamax, generated about $800m sales in the migraine market in its first year despite some unpleasant side-effects.
