Oil and Gas explorer Gold Oil said it will acquire 24.67% of Minmet through a share placing and a share exchange, which will see Minmet have a 4.99% stake in Gold Oil.

Minmet will purchase from Gold proprietary data for oil and gas opportunities in several non-core Central and South American countries for 1.35m, which Gold will use to subscribe for 10m new ordinary shares of Minmet at a price of 13.5p per share.

Gold has also agreed to subscribe for a total of 12.75m new ordinary shares at 13.5p per share in exchange for a subscription by Minmet in Gold for 22.95m new ordinary shares at a price of 7.5p per share.

Following these transactions Gold will hold a 24.67% interest in Minmet, who will in turn hold a 4.99% stake in Gold.

The agreement will see Minmet appoint two Gold Oil directors, Mike Burchell and Gary Moore, as non-executive directors of the group.
