Dowgate Capital - Capitalising on the booming AIM market (DGT)

overgrowth - 09 Feb 2005 20:52

Dowgate Capital (DGT) are sitting in the middle of a goldmine!

This company through their sole trading arm City Financial Associates are looking to take full advantage of the "booming" AIM market this year. Dowgate provide NOMAD (NOMinated ADvisor) services to AIM companies and also have full Corporate Broker status which means that they can fund placements on behalf of the companies they represent.

On first sight, the fact that Dowgate exist in the often veiled financial services sector makes you think twice about investing in company such as this because it would be impossible to understand what they were doing - however, think again!

DGT bring new companies to the AIM (Alternative Investment Market). For each new company "floated" on AIM, they take arrangement fees when acting as NOMAD. After the company is launched then for a nice steady earner DGT get another healthy chunk of cash every year for looking after them (note that all AIM companies must have a nominated adviser - thereby securing a ready source of recurring income).

Because DGT also act as a Corporate broker they can get a very healthy percentage for arranging placement of shares with insititutions before a new company floats. In addition, because placements come outside the sphere of yearly NOMAD work, they can also gain healthy percentages of placements which companies may need to make throughout the year when they need a quick injection of cash to speed growth.

Current NOMADships: 28 companies represented (gives recurring income of approx 480,000 per year)

Current on-going Brokerage agreements: 19 companies (income depends on placements)

For flotations, depending on the size of a company, fees charged will be anything from 50,000 to 100,000+ For placements (the real earner), DGT get anything from 3% to around 12% of the TOTAL AMOUNT RAISED - For example a new company raising 3M though a placement will earn DGT anything from 90,000 to 360,000 ! These figures are indicative as actual deals all differ due to circumstances and DGT sometimes take payment in shares - they still have a tasty chunk of Setstone shares and when this Russian exploration company comes back to AIM, predictions are that the share price will rocket. Note that the amount that this little company can earn in fees is huge and every new deal that comes through we know will contribute another healthy chunk into the bottom line. The good news with every new floatation means that it's another chunk of recurring revenue which could go on for years, with DGT having to do very little. New clients gained in 2005 are:

Mediazest (NOMAD & broker) Elite Strategies (NOMAD) Process Handling (NOMAD) Poland Investment Fund (NOMAD) Nanotech Energy (NOMAD & broker) Archimedia Ventures (NOMAD & broker) Red Leopard Holdings (NOMAD) Alba Mineral Resources (NOMAD & broker) Intandem Films (NOMAD & broker) Motive Television (NOMAD) IncaGold (NOMAD) Sportswinbet (NOMAD & Broker) Infoscreen Networks (NOMAD & Broker) Mark Kingsley (NOMAD & Broker) Croatia Ventures (NOMAD & Broker) Pantheon Leisure (NOMAD) Firenze Ventures (Ofex Advisor) FlightStore Group (NOMAD & Broker) Euro Capital Projects (NOMAD) Pearl Street Holdings (NOMAD) Worldwide Natural Resources (Ofex Advisor) Dovedale Ventures (Ofex Advisor) Other 2005 work completed:Neptune-Calculus VCT offer for subs of up to 12 million Advisory work for TGM on London Bus disposal for 20.4M Advisory work for Creightons on property disposal Advisory work for Hampton Trust on company restructuring Advisory work for Interbulk Investments on acquisition of Inbulk Advisory work for Fundamental-e Investments on two disposals Advisory work for Designer Vision re: Design Rights against Centurion Electronics

Add another name to the millionaire's club, guys. That 290k trade just takes me over.

EWRobson - 28 Jul 2005 10:06 - 1224 of 2787

Just topped up an odd couple of hundred at 0.76p. That price will be history before very long. Got embarrassed by being almost down to the million. Glad sd is being certified; he'll be getting one of these passport implants next!

Eric

So you should be!
Have been posting over on ADVFN for a few days.
Judging by the on line limits and general market activity, I think a 'big' seller has been offloading into the current strength of the SP. Bit at a time, so as not too cause any volatility and I assume (rightly or wrongly) that it is GHW. The good news is that this appears to have been going on for a couple of weeks now and their remaining 19m or so must be nearly gone. Keep an eye on the on line limits which will let us know when the MMs are short again.
Could of course be totally wrong and it's just PIs getting bored / nrevous and selling.

i don't remember that one nor seeing it discussed on the boards. Significant earner and good find if not already accounted for by us here..

unfortuntaely, DGT are not OAK's Broker, but nonetheless, a few extra quid in the coffers.

pth

but goes to show that we don't know all of DGT activities and hopefully there is more we don't know about. Have you seen DAN's sp recently?

stockdog - 28 Jul 2005 12:36 - 1229 of 2787

pth/ranoszek - I have Oak's fund raising in April down as a 25k NOMAD fee in my model - lucky someone's watching the ball!

well done stockdog.

markusantonius - 28 Jul 2005 14:53 - 1231 of 2787

Spread is widening again - probably MM's attempting to stifle quick "in & outers" from selling? Personally I think PTH's "GHW comments" should not be dismissed too soon. There are other factors, of course, and I'm certain there is a lot more going on than we know.

Tempted to get back in but wary of unknown big seller(s) plus the fact that liquidating any decent volume in this stock has proven difficult in the past. Only when/if demand rockets pre-results announcements day will we all know what's been happening.......

ptholden - 28 Jul 2005 15:36 - 1232 of 2787

That sell @ 0.60p has convinced me even further that a big Seller has been offloading on a regular basis. Same happened yesterday. Why would a PI take 0.05p less than the stated Bid when you can often deal inside the Yellow Strip? On the other hand a Seller with 19m shares to get rid of would have stated a price at which their Broker can sell and as long as they get that or a little more they will be happy. Can't be long now before they are all gone and the fact that we have had at least two sells below the Bid would perhaps lend some credence to that statement.

pth - you've been watching these trades very closely and I agree that it makes sense that the 19m GHW shares below the 3% notification level are being sold off.

Just a few days to go until they've all gone and then the MMs will be short of shares to sell, interims will be around 2-3 weeks away and the price is destined to go through the roof.

Looking very good short term (and long term given the two recent NOMAD/brokerships which have been poached and all the placements for shells still to come).

Markus
trouble is by being over cautious 'again' you will only catch the tail end of any profit.
I know someone who thought Eric to be insane when he pitched in for two mill at about .35, bet that same person is now green with envy.
This will come good very soon and the patient and stiff resolved will be sufficiently rewarded.

I don't know whether the link with royalty is a good thing. poor old Charlie is being treated as a right old charlie. Not back up to the 2 million yet, having taken profits along the way to feed my family's spending habits, but a couple of decent buys today at 0.76p and then 0.74p. Interested in pth's theory (but have missed the GHW reference?) which seems to make sense. An excellent time to accumulate. markus should stack them up now rather than wait as the fundamentals say the sp is far too low. Am going for a double whammy on SEO and DGT. Never have I seen better portents. (sd - a portent has nothing to do with portion control so you don't need to worry; another word could be a 'woofer').

Eric

GHW held 42M shares following Barclays departure. They released a RNS recently stating that they no longer hold a notifiable interest. What they didn't say was if they held any interest at all. Personally I took that to read that they had disposed of 23M shares thus far and still held 19M. The selling over the last few weeks seems too coincidental to be just PIs getting bored or fed up and seems to have the hallmark of a big seller. The easy assumption is that it is GHW. Why would they sell approx half and not the other? Particularly as they are now getting a much better price than the 0.45p they got for the first batch. The good news is that PIs are aware of the fundamentals and potential and have been hoovering up any loose stock. If it is GHW then I think they must nearly be finished. I would even hazard a guess that they have finished today.

Why?

Treeshake today disguised by the selling activity. In actual fact, buys outnumbered sells, even assuming that the 500k unknown was a sell. I was expecting late reported trades in the region of 1m+. So far nothing so why drop the bid/offer? Might be something tomorrow morning, we shall see.

Although the 250k sell at 0.60p may be a PI who got it all wrong, I think it unlikely that any PI would accept an offer outside the yellow strip, especially as you can nearly always deal inisde the strip with DGT unless you are selling a substantial amount. No, I think todays and yesterdays below par sells are part of that bigger sell order and 0.60p was the best price the MMs were willing to pay for the last dregs of that order.

If I am right, the MMs now have hopefully played their last card and the rest is down to market forces. I fully expect this make us all very happy investors in the coming weeks.

Could be a complete load of ******* though, so don't believe everything you read! LoL :-))))))

markusantonius - 28 Jul 2005 20:16 - 1239 of 2787

Maybe we should all ask DGT to declare GHW's interests (and control)........?

ptholden - 28 Jul 2005 20:19 - 1240 of 2787

Hmm, crypic post Mark, perhaps you would like to explain?

arawli - 28 Jul 2005 20:40 - 1241 of 2787

Good Evening All

I see the MMs are still trying to get people to sell out. I can't beleive they won't just let it run. When GWH were selling before we used to get T Trades posted every night for amounts that we thought were buys. I don't think we have been getting regular T Trades recently. Then again we have not been seeing any balancing sells being posted.

A senario noone has looked at is that the MMs might be going short on the stock because they have not realised the figures that DGT are about to publish and could get caught short big time when the Interims are published if the Buying comes in big time! I have seen this senario once before when I owned SEG shares it happened about 12 months ago and the price tripled in about a month.

I would buy some more myself I have funds available but I am a bit worried as I already own over 1% of the company and I will struggle to sell my stake in a few years if I buy many more. I wouldn't hesitate to spreadbet on DGT but the company's Market Cap is just too small at present.

Then again I could change my mind tomorrow!

All the best

Andy

So, Mr. Arawli, you are under the 3% critical barrier. But prey tell - what can you state here about GHW? What do you know of their influence on DGT? What leverage do they hold? Was having a GHW bod on their Board part of the original deal? What can they do/cannot do without seeking GHW approval first? Etc.????????

Prey, tell us more.................???????
