Could this not be read another way? What if SEO were to be on the verge of announcing something huge, such as a Walmart deal, which would send the SP soaring. Could they have exercised the share options at the time of the announcement or shortly afterwards or would they have to wait for a period of time? Couldn't it be that if they needed some cash , the options would have to be exercised ahead of, rather than directly after, a big announcement?

Who was it who said it was mentioned in Shares mag ?? ..Well observed Aldwick ....! Rapidly becoming more apparent as each say passes by that SEO was yet another typical rag arsed outfit with a quick chance of each pocketing a few quid.. Like many other traders i have made more than a tidy sum out of this company.l have no personal axe to grind whatsoever . BUT the board are NOT traders ; but supposedly representatives of shareholders interests . Their actions act as a barometer of how things stand within the house of SEO ,,,,,,And to sell before the asda trials and c/c gives perhaps the wrong impression . I find Mr Feast's exercise and sale quite the thing to do, fully acceptable and not in anyway negative.
The RNS says he had the option on 1,113,958 shares @ 1.975p. According to the Biotec/EGM circular 80% of these had their first exercise date of 31 Oct 2005. Where the others came from is not instantly clear to me.
In exercising these options as soon as he can, he has to stump up 22,000 from his tax paid cash. This requires about 45,000 gross income - over and above his existing commitments - without any CGT implications (of which I am uncertain about options). If CGT is due it would be 40@ on 38,000 = 15,200. Requiring a further 26,000 gross income. 71,000 Gross required
So how does he finance this? Simple - sell some of the shares.
OK. So he sold half and raised 77,977 gross. That is just about self financing without changing his usual income/outgoings after allowing for any CGT (@40%, ignoring Annual Allowance) plus a little beer money. It also (presumably) aleviates a greater CGT problem later on.
Maybe I am missing something. No doubt those with more knowledge than I will correct me.

niels, i am getting real. it has been pointed out a few times that the rns we do not see is the one where we get told the directors are increasing their shareholdings. how many times have you seen seo directors in the director buys columns? whatever his reasons are it looks bad and the timing is bad. not the best of starts for evo.

three issues to address so let us start firstly although the director dumping shares is not bad for long termers looking to hold for five years time its bad for short to mid term he was likely restricted by the board and EVO to only sell half selling all would be terrible but even selling half tells short term and mid term forget Starpol trials useful for hype yes actual meaning something no this will be a flag to many shorters to now short and when was the last time you ever saw an SEO director buy shares on the market at normal prices LOL never buyers only sellers shorting sign for lots of people means Asda trials of Starpol are going to lead to nothing short to mid term its just more hype ramp spin

disposed of 556,979 Ordinary Shares at 14p and following the disposal he is

second to address the reported comments if true - from RHPS that KBC were dumped as they did not protect from shorters and so EVO are in this is bad judgment it will be a red flag - to anti EVO shorters and KBC supporters expect some large shorts now to be placed on SEO
I would suggest and - I can have an opinion that IMO KBC refused to P&D all the new shares options and equity issues coming up - and coming out short term EVO accepted the challenge - to P&D them and so KBC out and EVO in if this is true then IMO - EVO will release a new update soon full of hype spin forward looking guesses that would make the other brokers and researchers blush as it will be embarrassing lets see if EVO are just a P&D merchant for SE0 - and now issue a P&D supporting new wonderfully positive report that is IMO and just IMO -

thirdly - the court case with BPRG is now live - SEO lost the case and are now appealing - they will pay damages if their appeal against them losing the case fails - and in most cases - appeals fail - its just a delaying tactic to get more cash in the bank - placings and acquisitions you then sell half of - before you have to pay it out - so SE0 has some cash in the bank now - and can pay the fine and the costs - it will set them back - for sure - so what they need now - is a broker - someone not scared to write fantasy and pump the company - all will be clear - if a new fantasy upgraded - pumping - ramping - spinning - hyping - report comes out very soon - you need some pumping - if the very same broker whose report in March was totally wrong in most aspects - like sales - revenue - profit forecasts - and just pumping - is now back to pump again as the troubles with the court case raise their head -
All IMO - DYOR
SE0 is going to get very ugly in the coming months - people in the know selling out as they have been for months now - pumping and dumping by others - poor PIs getting screwed in the middle - buying in on ramp - while the big boys dump - IMO

It don't take no Einstein to see that EVO will put out a new reort on SEO. Nobody would expect anything else, and I am on record as saying I would be disappointed if they did any other. That was in my post within hours of the announcement. So I think you saying that would be a bad sign is not entirely accurate.

Not so sure, baza.
Looking at the way the trading is, I don't think it will take much to give it a big shove in either direction.
Definitely one for brave souls at the moment, and its at times like this I always remember the old saying of don't gamble more than you can afford to lose.
Sitting on the fence again, but its an even money shot which way it is going over the next week or two. ii is right (damn him) that there are all the signals for a short, but if the Starpol / FDA news is as we hope, then the shorters will be licking some nasty wounds.
Happy to keep my position, but wouldn't dream of changing it yet.

Going back to Mr Feast's Options. I am a little confused.
The Biotec/EGM circular listed his option to be on 888,889 shares exercisable at 2.25p at an earliest date of 31.10.2005 (other options for 461,110 do not become exercisable for 2 years yet).
The RNS says 1,113,985 shares were taken up at 1.195p.
Where do the further shares come from? And why the lower price?

I raised the query here first thinking to save SEO people wasted efforts with what might be a blindingly obvious error of mine or a point I had missed.
The silence here for 4 hours since my query resulted in me having Emailed them.

Mr Feast has worked for Stanelco since 1996. He was awarded the share options which he recently exercised in 2002. Share options are awarded to align the interests of employees with those of the Group and to help retain key personnel.
Mr Feast needed to sell a portion of shares in order to pay for the exercise the share options themselves and any taxation arising thereon. Importantly, as announced, Mr Feast has retained 50% of the shares following exercise which allows him to keep an ongoing stake in Group's progress.
