I said 'presumably' because, although I know the auditors have to assert that the company is an on-going 'going concern', I had no idea what cash was available when the results were announced.

Frankly, not being an accountant, I would not have had much certainty even if the (then) current cash position were known. The question of pay-offs to the various departed staff could easily pox up the most finely-tuned financial analysis as could the precise timing of any purchases against the signed contracts.

Do we assume a new PR company is desirable, necessary and cost-effective?

Tadpole Technology PLC (the "Company")


Director Shareholding




The Company was today informed that, Mr Steig Westerberg, an executive director
of the Company, sold on 2 February 2005 475,000 ordinary shares of 1p each in
the Company ("Ordinary Shares"), at 8.0395p per share. The Ordinary Shares were
sold to satisfy tax payments payable by Mr Westerberg following his conversion
of Stream Theory options and warrants into Tadpole Ordinary Shares.



Following this transaction, Mr Westerberg has a beneficial interest in
21,233,261 Ordinary Shares, which represents approximately 5.66% per cent. of
the Company's issued ordinary share capital.

Clearly Mr S has very little cash in his bank if he has to sell shares to cover a 40k tax liability. It does amaze me how easily Tad management shaft ordinary shareholders. Let's hope he does not have to sell any more to cover his monthly household expenses.

pachandl, no one should mess about with the Inland Revenue and paying a capital gains Tax bill. If he has a 40k capital gains tax liability then he must have done very well out of the conversion, that means he is still at least 60k in profit. Now all TAD shareholders needs is to see some profit on investments. Lets hope TAD get more than just the one substancial contract in 2005!

In my view, TAD with Endeavors and Stream Theory combined, they now don't have any more leaway for giving out feable excuses as to why they do not win new profitable contracts or the need to raise more working capital and dilute the value of existing shareholders capital.

Agreed Legins - my comment about his tax liability was simply to express surprise that he had to sell Tad shares in order to meet it. I assumed he had other assets (cash) and that, assuming he was optimistic about the future, he would hold all of his Tad shares in order to maximise any capital gains.

Microsoft tightens integration between Office and ERP systems

XML-based web services will be key to developing add-on applications based on Microsoft Office Systems.

Microsoft kicked off the first Microsoft Office System Developer Conference at its Redmond headquarters, encouraging users and developers present to build tighter integration between the Office suite and XML-based web services.

Microsofts strategy is to make its Office family of desktop software an interface to enterprise systems such as using Excel with SAP.

At the event Microsoft unveiled Visual Studio 2005 Tools for the Microsoft Office System (VSTO 2005), a version of its development tools suite designed around the .net Framework for programming web services.

Microsoft said the tool would allow users to customise Microsoft Excel 2003, Microsoft Word 2003 and Microsoft InfoPath 2003.

Attended by 800 developers, the three day conference is being addressed by Microsoft chief software architect Bill Gates. The conference will be used to promote the use of Microsofts Visual Studio tools for developing applications for Microsoft Office 2003.

Tadpole Technology plc announces the following board changes.


Mr. John Dilts has been appointed a non-executive director of the Company with
immediate effect. Mr. Dilts is a Principal of Dilts Ventures, LLC, a
California-based venture investment and consulting company focused on
accelerating the growth and successful development of early-stage companies. Mr.
Dilts served on the Board of Stream Theory, Inc. for five years prior to its
recent acquisition by Tadpole Technology plc. For the past decade, Mr. Dilts has
provided extensive coaching and training in entrepreneurship and business
strategy to corporate executives at numerous companies including Nestle USA and
Fiat Group SpA among others. In addition, he serves as Managing Director of the
IPF Fund, LLC, a private equity venture capital fund and as President for the
Los Angeles chapters of Keiretsu Forum, a large US-based angel investor group,
both of which focus on financing emerging growth companies.

Mr. Dilts has served on the board of directors for numerous Silicon Valley
technology companies addressing a variety of industries. He was involved with
the development of emerging growth technology companies while working for some
of the world's leading corporate law firms representing many well-known venture
backed start-up companies. Mr. Dilts earned a law degree from the University of
San Francisco and a BA from the University of California.


Further to the above, Mr. Tony Caplin resigned as a director of the Company on 9
February 2005.


A search, which commenced at the end of November last year, is in progress to
recruit two additional non-executive directors. Further announcements will be
made in due course.


The Company confirms that there are no further details to be disclosed that may

Hopefully Dilts will be more effective than the remainder. Worrying to see that he specialises in early start-up companies - I did not think Tad fell into that sort of category. Anyway, holding an increased number of shares for no additional outlay (after useful Oct-Jan trading). All the best to holders.

He reckons gem is being used with all the trades at the mid price today although online you are quoted 7.25p to buy today.
Has anyone let him into the secret that GEM actually short it not buy it! LOL
Although he might be right and they have heard they want to buy extra stock as well because the potential is so great.
