Dowgate Capital - Capitalising on the booming AIM market (DGT)

Dowgate Capital (DGT) are sitting in the middle of a goldmine!

This company through their sole trading arm City Financial Associates are looking to take full advantage of the "booming" AIM market this year. Dowgate provide NOMAD (NOMinated ADvisor) services to AIM companies and also have full Corporate Broker status which means that they can fund placements on behalf of the companies they represent.

On first sight, the fact that Dowgate exist in the often veiled financial services sector makes you think twice about investing in company such as this because it would be impossible to understand what they were doing - however, think again!

DGT bring new companies to the AIM (Alternative Investment Market). For each new company "floated" on AIM, they take arrangement fees when acting as NOMAD. After the company is launched then for a nice steady earner DGT get another healthy chunk of cash every year for looking after them (note that all AIM companies must have a nominated adviser - thereby securing a ready source of recurring income).

Because DGT also act as a Corporate broker they can get a very healthy percentage for arranging placement of shares with insititutions before a new company floats. In addition, because placements come outside the sphere of yearly NOMAD work, they can also gain healthy percentages of placements which companies may need to make throughout the year when they need a quick injection of cash to speed growth.

Current NOMADships: 28 companies represented (gives recurring income of approx 480,000 per year)

Current on-going Brokerage agreements: 19 companies (income depends on placements)

For flotations, depending on the size of a company, fees charged will be anything from 50,000 to 100,000+ For placements (the real earner), DGT get anything from 3% to around 12% of the TOTAL AMOUNT RAISED - For example a new company raising 3M though a placement will earn DGT anything from 90,000 to 360,000 ! These figures are indicative as actual deals all differ due to circumstances and DGT sometimes take payment in shares - they still have a tasty chunk of Setstone shares and when this Russian exploration company comes back to AIM, predictions are that the share price will rocket. Note that the amount that this little company can earn in fees is huge and every new deal that comes through we know will contribute another healthy chunk into the bottom line. The good news with every new floatation means that it's another chunk of recurring revenue which could go on for years, with DGT having to do very little. New clients gained in 2005 are:

I know, Stevie. I'm just expecting some major p*** taking from PTH next time we play golf (he's only beaten me once in 7 attempts!). He (and Eric)'s been blagging this share for months now when they were as low as 35p.

If it does, by any chance, drop back again then The Shark will definitely buy again. What more can one say?

That's because I can get "up & down" 50% of the time from 150 yards in/90% down from 40 yards-in, OK. As PTH will tell you, The Shark may not win a long driving comp but he certainly knows how to score!

Indee-what, Butane? No such vocab on the golf course, I can assure you of that!

P.S. Shall we have a handicap comparison test, PTH?!! "You drive for show and... I'll putt for dough!!" OK? :o)

markus: you are retreating behind your undoubted golfing ability. Still talking about buying back into DGT on a price retracement. I am pretty certain that that will not happen. The unlikely could happen, of course, if pth's concern about the selling position still being over. But more likely to be a small holder taking profits on 1m in four bites. So, my suggestion is that you demonstrate your sharkworthiness and swallow an odd million at best! Next stop is 1.3p set in May last year. Sharks make a late surge to grab their prey, either in the last three holes or in last three weeks before the interims!

No DGT watching this week as off to the South Coast for some sailing during Cowes Week. Bit of a relief really, becomes a something of an obsession watching daily SP movements, although it does give a good feel for what is going on. Think Markus might just have another dabble and rightly so. Nothing in this game is a dead cert, or even a near cert, but DGT is the best I have found over the last year or so. If anyone knows of any other company where 80% of their fees are 'advertised' on the Co website, please let me know! Fully expect to see the short term traders starting to pile in with their T10 & T20s now August has arrived and drive the SP forward. H1 Interims are due towards the end of August (exact date unknown).

Just a reminder why DGT are doing so well and to help markus make up his mind:

1. New management.
2. 11 Admissions to AIM for H1 vice 7 Admissions for the WHOLE of 2004
3. Increased customer base providing recurring income of approx 500k per annum.
4. Reduced operating costs due to smaller staff levels post departure SB
5. Advisor for TGM disposal of 20M !! (fees unknown, but possibly between 1-3%)
6. Estimated turnover for 2005 H1 1M vice 2004 H1 510k, increase of nearly 100%.
7. Conservative estimate for 2005 H1 profit 500k vice 2004 H1 loss 58k
8. NOMAD to 29 Companies (same period last year 20)
9. Broker to 20 Companies (same period last year 15)
10. Purchase of 6.75M shares by Tony Rawlinson in three tranches (Jan / Apr / Jun)

Please note that the estimated turnover / profitability are my own calculations derived from the information available on the DGT website. There may be additional costs experienced by DGT during H1 which would impact on profitability, although I have no idea what they may be. Additonally not all fees are stated on the website and conservative estimates have been used where necessary.

Looks like that 500k buy has cleaned out the MMs. You can only buy a maximum of 75k on line at the moment and sell 500k.

I reckon an acquisition is unlikely at the moment. Need to remember that Rawlinson is a working CEO so there is no one around who has nothing better to do but look to spend money. I feel that he will want to consolidate in the second half, get a full year of trading in before looking to diversify; even then it may be that gneric growth is more effective. Agree that it is important to look for the signs because the usual result is a dilution of holdings and existing shareholders lose out.

Very good summary, pth, in 1271. Gone somewhat quiet. Do we know actual date of interims? Would like to top up again but that needs a rise in SEO - sod's law says that DGT will beat them to the draw. Have put all my eggs into two baskets and quite comfortable with that. Hope you've been pruning out the dogs! Not including sd of course - he has 'nose'. Probably one of those Pointers!

I'm sitting here lurking - but can't think of a suitable post by way of reply (never a good post when you need one, especially out on the beach all day). Maybe the brain is numbed by sun, surf and rioja.

The dog days of summer are truly upon us with nothing of interest to hold our attention.

My thoughts on fund-raising are that TR is more likely to acquire a brokerage operation partly paid for by the cash generated by trading this year and the rest in shares of DGT - which is another way of diluting our holdings, but somehow less obvious and with less price reducing effect. Why is that?
