DISPOSAL OF SUBSIDIARIES

The board of Warthog plc (the 'Company') announces that it has today completed
the sale of all of the Company's subsidiaries to Tiger Telematics, Inc ('TGTL')
together with the transfer to TGTL of certain intra-group indebtedness due to
the Company. The total consideration including assumed indebtedness is $8.11
million of which $1,113,000 will be paid in cash and $7 million satisfied by way
of an allotment of 497,866 shares of common stock in TGTL at $14.06 per share,
being the average mid market closing price of a TGTL common share over the 14
days preceding completion. These shares are restricted stock and as such can
only be traded on or after the first anniversary of completion (the
'Anniversary') in accordance with U.S. securities laws. Up to the Anniversary,
these shares will be held in escrow against any claim arising under certain
warranties, tax indemnities and completion account net asset value adjustments
set out in the sale and purchase agreement. 150,000 of the cash consideration
will also be held in escrow until the Anniversary, pending specific warranties.
The Company has waived the balance of all other amounts due to it by its former
subsidiaries.

Upon completion of the transaction, the executive directors Ashley Hall, Steven
Law and Simon Elms together with one other remaining employee of the Company
will transfer employment to TGTL leaving Ian Templeton FCA and David Robinson as
non-executive Directors of the Company. The Company has also undertaken to
change its name and will be calling an EGM to effect such a change in due course
and will at that time update shareholders further.

The board of Warthog plc has sought to complete this transaction as rapidly as
possible (and therefore did not elect to seek shareholder approval) because the
group has continued to face difficult trading conditions within the games
development industry, as reported in the Company's Final Results on 28 September
2004, which has put the group under ongoing financial pressure. In addition,
TGTL required the transaction to be consummated as expeditiously as possible, in
conjunction with the commencement of shipping of its Gizmondo product into the
UK. The transaction leaves the Company having discharged substantially all of
its liabilities and with a valuable shareholding in TGTL which will be capable
of realisation in a year's time. The realisable value of this shareholding
depends entirely upon the commercial success of TGTL and the performance of the
TGTL shares on the financial market.

The board considers, in conjunction with its advisers, that this transaction
represents the best available outcome for the Company and its shareholders.

Tiger Telematics, Inc is listed on the 'NASDAQ Other OTC Market' under symbol
'TGTL'. TGTL's publicly stated intention is to apply for a listing on the
'NASDAQ National Market' in December 2004. TGTL is a designer, developer and
marketer of mobile telematics systems and services that combine global GPS
functions and voice recognition technology to locate and track vehicles and
people down to street level in countries throughout the world. The systems are
designed to operate on GPS and are currently being marketed to GSM current and
potential subscribers, primarily by the company's United Kingdom based
subsidiary, Gizmondo Europe Limited ('GEL'). GEL is a wholly owned subsidiary of
TGTL and is the maker of the Gizmondo, a next-generation mobile entertainment
device which includes games, built-in music, video, messaging and picture
functions and GPS. On 29 October, TGTL began shipping its first generation
product as part of a strategic retail roll out in the UK.

The transaction gives GEL access to existing games content and porting
technology to enable the transfer of titles developed for use on other platforms
on to the Gizmondo handheld device. Warthog plc shareholders will therefore
benefit from continued investment in TGTL as it seeks to exploit the games
content and technical capabilities that the Company has developed over the past
few years.

As previously announced on 12 October 2004, GEL is interested in 8.62 per cent.
of the Company's current total issued ordinary share capital.

About the Gizmondo device
The Gizmondo is powered by a Microsoft Windows CE.net platform, boasts a
2.8-inch TFT colour screen with a Samsung ARM9 400Mhz processor and incorporates
the GoForce 3D 4500 Nvidia graphics accelerator. It provides cutting-edge
gaming, multimedia messaging, an MP3 music player, MPEG4 movie playing
capability, a digital camera and a GPRS network link to allow wide-area network
gaming. Additionally, it contains a GPS chip for location based services, is
equipped with Bluetooth for use in multi-player gaming and accepts MMC card
accessories.

The Gizmondo device and its games are due for launch in the UK in the fourth
quarter 2004 and in North American markets from the first quarter 2005.

DEALERS believe that Warthog, 0.11p dearer, could be a good recovery punt. More than 52m shares in the computer games developer changed hands on hopes that the worst is over. Tiger Telematics, a leading European games console maker grabbed it by the tusks in October when it bought its subsidaries, intellectual properties and assests. In return Warhog acquired a stake in TT which is now worth at least 3p per share.

well it seems to be a pattern. Joking aside i think the position is looking less rosy. I think its a good product but people buy conoles primarily for gaming and I do not think they are the best. By having an early launch they could have been in the market place and promoting its other attributes and gaining market awareness that could have carried the created high sales.As I said yesteday are people going to buy a GIz over its competitors for gaming ? If someone already has a gaming console are they going to pay the GIZ price just for its additional features?
The lack of sales data from TGTL is also a cause for concern.i am becoming wary

I don't think that the Giz will stand a cats chance in hell against the PSP simply because of a) the marketing power of Sony, b) the history of PStation and Nintendo, Xbox, etc, and c) the existing range of PS1&2 games. People are wiser these days to not get stuffed buying technology that is not future proof.

The main market for the Giz should, IMHO, be GPS and subscription services. Look at the Tom Tom product with traffic updates, speed camera info, etc. Link this in with weather, car parking availability, smart ads, tourist info, etc, and you have a product similar to the mobile phone, where you can virtually give away the machine and make back the cost and more from the recurring monthly subscriptions.

Come on TGTL. For all our sakes, wake up. Don't keep fobbing us of with press releases about more obscure games that only a very, very small part of the market want. Give us some real info, give us some hope, give us some profit !

I agree, GPS is where they could grow their product, or incorporate a mobile phone as well!!!

does anyone know is there a subscription for the GPS???

And if so, how much is it?

i cannot see the Giz making headway against Sony without some unique niche angle, Sony will win the games war hands down i reckon.

sorry to be negative, but its interesting that sales figures are not forthcoming!!!

This product is a dead duck and will go the way of the Sinclair C5. Just been to the London store and no customers there and I could not see the product at Gamestation Birmingham.

No one I know as heard of the Giz.

As soon as the Sony PSP comes out its game, set and match.

The only hope is that Microsoft makes a bid for Tiger.

Any way lock in period for Whog is coming to a end and whatever the Giz does should no longer effect the share price of Whog assuming Whog sells the Tiger shares. No reason to keep them?

I saw in the press over the weekend that Sony are adding a camera option to the PSP. Another Unique Selling Point of the Giz just lost.

I also saw in Woolworths and other stores the massive hype surrounding the Sept. 1st launch of the PSP, and not a Giz in sight.

Please note that the only purpose of this post, (other than to inform others of the PSP latest) is to continue the theory that negative posts on here seem to have an inverse effect on the WHOG sp - seems to be working :-)

I know i started the negative post theory but its not much to pin your hopes on is it?There are a lot of points that cause concern ie
Nobody has heard of it,
Nobody i know has got one,
Nasdaq listing is sliding forever backwards,
No news on sales in Europe and it has been on sale for several months,
Delay in product launch to coincide with other powerful gamestation,
Lack of product diferentiation
Will it be seen as a good enough games player to satisfy customers?etc

Not least of which if news comes out and its bad the price could disappear down the toilet

'16 August 2005 - Nintendo has announced that it will be dropping the price of its handheld console, the Nintendo DS, by $20 in America to $129.99 from the 21 August. Nintendo is citing the price drop for no other reason than to give consumers better value for money over competing games consoles such as Sonys PSP. The price cut comes nine months after the launch of the console in Japan. No word as yet from Nintendo as to whether the price drop will be rolled out in other regions such as the UK.'

This will also put pressure on the Giz in the US market when it is eventually launched there.

Also from Pocket-link regarding the delayed US launch of the Giz.
'Tiger Telematics are hoping that the delayed (US) launch will mean a bigger offering of games when the console does eventually launch. The manufacturer is also hoping to sell 500,000 units in the American market in the fourth quarter.'

Anyone can 'hope' that they will sell 500,000 units a quarter!

Ok, I know that this will probably be the kiss of death to the recovery of WHOG, and I am no expert on tech analysis but just looking at the chart for TGTL on yahoo and the share price looks to have turned the corner with the main indicators turning up.

Would anyone on here, with more knowledge than I of these things care to comment, (confirm or deny) ?

Ok, so Tiger price falls 1.5 % overnight, (but is still up on the week so far) and WHOG has two rises in a row (again, so far!).

Does someone have an up to date parity price between the two. I.e. aside from other WHOG assets, available tax losses, etc, what is the current worth of the Tiger stake per WHOG share?

Trading seem to suddenly go very blue yesterday and again this morning almost as if someone knows something, and without any real notable improvement in the TGTL price! It will be interesting to see if the buys keep coming today as there is nothing significant in TGTL price that I would think would drive increased buys for WHOG . However the rise is all very welcome

Just back from holiday and surprised to see Whog trading at such a premium. NAV value is around 1.28p, so I have sold some this morning. Mind you, I sold ULT at around 1.40 before going away and that was a mistake (also?).

Tiger Telematics' only product is the Gizmondo, a hand-held device that seems to do just about everything.

It plays video games, movies and music files, takes photos, wirelessly sends and receives text and e-mail messages, displays Web pages and functions as a navigation and tracking unit. A built-in gyroscope can alter the viewing angle of a game as the player turns the device around.

It already is available in Britain where various versions sell from more than $200 to slightly more than $400 per unit. The company hopes to begin selling Gizmondo in the United States this fall.

none, I was just thinking that if anything it is slightly out performing the laste few days. There was a splash of blue at the end of last week that made me think that some news was about to break but although today is ok the volumes are not significant IMO.
I am not complaining , if TGTL can head back to the dizzy 30 level the WHOG price could get very exciting.(currently $16.20 approx)
