Dowgate Capital - Capitalising on the booming AIM market (DGT)

Dowgate Capital (DGT) are sitting in the middle of a goldmine!

This company through their sole trading arm City Financial Associates are looking to take full advantage of the "booming" AIM market this year. Dowgate provide NOMAD (NOMinated ADvisor) services to AIM companies and also have full Corporate Broker status which means that they can fund placements on behalf of the companies they represent.

On first sight, the fact that Dowgate exist in the often veiled financial services sector makes you think twice about investing in company such as this because it would be impossible to understand what they were doing - however, think again!

DGT bring new companies to the AIM (Alternative Investment Market). For each new company "floated" on AIM, they take arrangement fees when acting as NOMAD. After the company is launched then for a nice steady earner DGT get another healthy chunk of cash every year for looking after them (note that all AIM companies must have a nominated adviser - thereby securing a ready source of recurring income).

Because DGT also act as a Corporate broker they can get a very healthy percentage for arranging placement of shares with insititutions before a new company floats. In addition, because placements come outside the sphere of yearly NOMAD work, they can also gain healthy percentages of placements which companies may need to make throughout the year when they need a quick injection of cash to speed growth.

Current NOMADships: 28 companies represented (gives recurring income of approx 480,000 per year)

Current on-going Brokerage agreements: 19 companies (income depends on placements)

For flotations, depending on the size of a company, fees charged will be anything from 50,000 to 100,000+ For placements (the real earner), DGT get anything from 3% to around 12% of the TOTAL AMOUNT RAISED - For example a new company raising 3M though a placement will earn DGT anything from 90,000 to 360,000 ! These figures are indicative as actual deals all differ due to circumstances and DGT sometimes take payment in shares - they still have a tasty chunk of Setstone shares and when this Russian exploration company comes back to AIM, predictions are that the share price will rocket. Note that the amount that this little company can earn in fees is huge and every new deal that comes through we know will contribute another healthy chunk into the bottom line. The good news with every new floatation means that it's another chunk of recurring revenue which could go on for years, with DGT having to do very little. New clients gained in 2005 are:

I reckon an acquisition is unlikely at the moment. Need to remember that Rawlinson is a working CEO so there is no one around who has nothing better to do but look to spend money. I feel that he will want to consolidate in the second half, get a full year of trading in before looking to diversify; even then it may be that gneric growth is more effective. Agree that it is important to look for the signs because the usual result is a dilution of holdings and existing shareholders lose out.

Very good summary, pth, in 1271. Gone somewhat quiet. Do we know actual date of interims? Would like to top up again but that needs a rise in SEO - sod's law says that DGT will beat them to the draw. Have put all my eggs into two baskets and quite comfortable with that. Hope you've been pruning out the dogs! Not including sd of course - he has 'nose'. Probably one of those Pointers!

I'm sitting here lurking - but can't think of a suitable post by way of reply (never a good post when you need one, especially out on the beach all day). Maybe the brain is numbed by sun, surf and rioja.

The dog days of summer are truly upon us with nothing of interest to hold our attention.

My thoughts on fund-raising are that TR is more likely to acquire a brokerage operation partly paid for by the cash generated by trading this year and the rest in shares of DGT - which is another way of diluting our holdings, but somehow less obvious and with less price reducing effect. Why is that?

Hi sd: sounds good; where have you found the sun? And a mistress who is filling your bowl with rioja. I'm enjoying this rather palatable Australian Shiraz.

You are quite close I believe to DGT's line of business. It helps to try and think things through from the decision makers point of view, Rawlinson in this case. Now TR is (i) a hard worker; (ii) not yet rich, otherwise he wouldn't buy share in relatively small quantities and, therefore (iii) dedicated to increase the value of the enterprise and his shares. My conclusion is that he will wait until the shares have gone up significantly in value before he buys the brokerage with a combination, as you say, of cash and shares. He will be looking, also, to improve the pe and thus the value of the shares, rather than dilute them. Thus he is a thoroughly good chap - you could say one of us. Obviously also a dog-lover, rather than those disgusting feline things.

Pleased to see that DGT helped me to 73rd in the third month of the challenge. Unfortunately, the new one starts on 1st september and too late for the DGT results. Otherwise a 100K investment in DGT could have been rather juicy! Now, where can I get hold of 100K?

Think I'll treat Markus' remarks with the contempt they deserve and hold the high moral ground. Hopefully yhe golf game will now improve following a little break. Cowes and the Solent were absolutely buzzing, (no surprise during Cowes Week!) which is more than can be said for DGT this week. Thought the run up to the Interims would have started in earnest by now, but maybe next week. Remaining quietly confident.

Looks like a migration to the south-west; hope the poor old UK doesn't tilt too much!

Noticed that Shares included DGT in their scare-mongering about penny shares. I'm surprised that they publish this sort of thing. The fact that a share has an sp under 1p has more to do with the number of shares in issue. HCEG were discussed as a penny share when they had billions in issue; overnight they do a 100 for 1 cap. and are no longer a penny share. The cap. is a far more relevant measure and with DGT it is in excess of 4m which is hardly a tale of woe. May have a letter coming on: watch out Shares!

A very quiet week for DGT which has been a little disappointing. I still find it a little disconcerting that everytime we see a few reasonable buys a few reasonable sells seem to pop up and hold the SP back. However, having looked at the chart for the same period last year, the real run up to the Interims did not start until the second / third week of August, so still plenty of time for new buyers to warm to DGT. Incidentally, for comparison purposes, the SP at this stage last year was 0.60p, this year 0.76p, an improvement of 25%. I still expect the SP to break 1p well before the Interims and off course considerably more once the Interims have been released. Must admit to being intensley curious to see just how accurate our prdeictions will be and any DGT plans for the future.
