DISPOSAL OF SUBSIDIARIES

The board of Warthog plc (the 'Company') announces that it has today completed
the sale of all of the Company's subsidiaries to Tiger Telematics, Inc ('TGTL')
together with the transfer to TGTL of certain intra-group indebtedness due to
the Company. The total consideration including assumed indebtedness is $8.11
million of which $1,113,000 will be paid in cash and $7 million satisfied by way
of an allotment of 497,866 shares of common stock in TGTL at $14.06 per share,
being the average mid market closing price of a TGTL common share over the 14
days preceding completion. These shares are restricted stock and as such can
only be traded on or after the first anniversary of completion (the
'Anniversary') in accordance with U.S. securities laws. Up to the Anniversary,
these shares will be held in escrow against any claim arising under certain
warranties, tax indemnities and completion account net asset value adjustments
set out in the sale and purchase agreement. 150,000 of the cash consideration
will also be held in escrow until the Anniversary, pending specific warranties.
The Company has waived the balance of all other amounts due to it by its former
subsidiaries.

Upon completion of the transaction, the executive directors Ashley Hall, Steven
Law and Simon Elms together with one other remaining employee of the Company
will transfer employment to TGTL leaving Ian Templeton FCA and David Robinson as
non-executive Directors of the Company. The Company has also undertaken to
change its name and will be calling an EGM to effect such a change in due course
and will at that time update shareholders further.

The board of Warthog plc has sought to complete this transaction as rapidly as
possible (and therefore did not elect to seek shareholder approval) because the
group has continued to face difficult trading conditions within the games
development industry, as reported in the Company's Final Results on 28 September
2004, which has put the group under ongoing financial pressure. In addition,
TGTL required the transaction to be consummated as expeditiously as possible, in
conjunction with the commencement of shipping of its Gizmondo product into the
UK. The transaction leaves the Company having discharged substantially all of
its liabilities and with a valuable shareholding in TGTL which will be capable
of realisation in a year's time. The realisable value of this shareholding
depends entirely upon the commercial success of TGTL and the performance of the
TGTL shares on the financial market.

The board considers, in conjunction with its advisers, that this transaction
represents the best available outcome for the Company and its shareholders.

Tiger Telematics, Inc is listed on the 'NASDAQ Other OTC Market' under symbol
'TGTL'. TGTL's publicly stated intention is to apply for a listing on the
'NASDAQ National Market' in December 2004. TGTL is a designer, developer and
marketer of mobile telematics systems and services that combine global GPS
functions and voice recognition technology to locate and track vehicles and
people down to street level in countries throughout the world. The systems are
designed to operate on GPS and are currently being marketed to GSM current and
potential subscribers, primarily by the company's United Kingdom based
subsidiary, Gizmondo Europe Limited ('GEL'). GEL is a wholly owned subsidiary of
TGTL and is the maker of the Gizmondo, a next-generation mobile entertainment
device which includes games, built-in music, video, messaging and picture
functions and GPS. On 29 October, TGTL began shipping its first generation
product as part of a strategic retail roll out in the UK.

The transaction gives GEL access to existing games content and porting
technology to enable the transfer of titles developed for use on other platforms
on to the Gizmondo handheld device. Warthog plc shareholders will therefore
benefit from continued investment in TGTL as it seeks to exploit the games
content and technical capabilities that the Company has developed over the past
few years.

As previously announced on 12 October 2004, GEL is interested in 8.62 per cent.
of the Company's current total issued ordinary share capital.

About the Gizmondo device
The Gizmondo is powered by a Microsoft Windows CE.net platform, boasts a
2.8-inch TFT colour screen with a Samsung ARM9 400Mhz processor and incorporates
the GoForce 3D 4500 Nvidia graphics accelerator. It provides cutting-edge
gaming, multimedia messaging, an MP3 music player, MPEG4 movie playing
capability, a digital camera and a GPRS network link to allow wide-area network
gaming. Additionally, it contains a GPS chip for location based services, is
equipped with Bluetooth for use in multi-player gaming and accepts MMC card
accessories.

The Gizmondo device and its games are due for launch in the UK in the fourth
quarter 2004 and in North American markets from the first quarter 2005.

DEALERS believe that Warthog, 0.11p dearer, could be a good recovery punt. More than 52m shares in the computer games developer changed hands on hopes that the worst is over. Tiger Telematics, a leading European games console maker grabbed it by the tusks in October when it bought its subsidaries, intellectual properties and assests. In return Warhog acquired a stake in TT which is now worth at least 3p per share.

The Company filed a 12B-25 to extend its filings dates to April 15, 2004 for its Report on Form 10K for the year ended December 31, 2004. At that time the Company anticipated meeting that deadline. In Report on Form 8K dated April 28, 2005, the Company indicated that it had retained Marshall Stevens to provide a valuation report to be used in connection with finalizing the audit. That report is now completed. The Company also retained BDO Stoy Haywood in June 2005 as a consultant to complete its compliance required by section 404 of the Sarbanes-Oxley Act of 2002. Report on Form 10K for year ended 2004. That 404 compliance process is now concluded. The Company now anticipates filing its Reports on Form 10K and 10Q's year ended 2004 and for first and second quarters ended March 31 and June 30, 2005 respectively during September 2005.

I am not sure when we can confidently expect some news fromTGTL/WHOG.I cant say I am dissappointed with recent share performance but the GIZ has been launched an age now without any sales/trading update.

I did recall from an earlier press statement (a few months ago now) that the company would produce regular trading updates to keep investors appraised. Doesn't seem to have happened. If I get time I'll trawl through the earlier posts and see who said it and when.

I feel that Giz's sales have not been spectacular, nobod uin my office had heard of it when I asked them, and we're always first in line with the new techy gadgets.

I'll be one of the first to buy the new XDA exec/SPV5000 in September, far better than a Giz, and it's a phone too!

Now there's an idea. Tiger could give a Giz to each shareholder who will then go out and spread the good word. Might also help their sales figures too.

Then again, if the shareholders discovered that it wasn't that good after all, we might all head for the exit!

There is a common thread , which is that the product may well be of interest to people but if the marketing is not good enough nobody will know they "need one".
Its not going to sell itself , its not the new X box or Playstation.
Are they going to spend all their marketing budget on the USA launch and then hope that word will spread to Europe after this?If so seems a bit silly to have all the european launch costs without a level of revenue to support it. ( those shops overheads must be quite expensive!)

Tiger Telematics CEO Mike Carrender has revealed to Next Generation that a new wide-screen version of Gizmondo will be launched next year. The plan is to better compete with Sony's PSP.
"We're looking at bringing out future generations early next year, a wide screen version of our device that's not dissimilar in the size to the screen of the Sony PSP," he said.

The handheld Gizmondo device was launched in Europe in March and is due here in October. It currently has a 2.8-inch TFT screen in comparison to PSP's 4.3 inch screen.

Gizmondo is based on a Samsung ARM9 400MHz processor and the GeForce 3D 4500 graphics accelerator. All of this powers gaming, MP3 functions, MPEG4 movie playback, digital camera, GPS chip plus Bluetooth, and GPRS for networked gaming and text messaging. Games planned include Angel Fish, Colors, FIFA 2005, SSX3 and Stunt Car Extreme.

Pricing plans

The launch price will be $400 or $239 for a unit that accepts advertising. Carrender explained, "[Our pricing] will drop dramatically over time. Out of the shoot it'll be around $400 for the ad-free version and $239 if you take a Smart Ads enabled unit. We'll also have a Smart Ads value pack that throws in some accessories and games that's like $339."

Carrender believes 80% of consumers will opt for the ad-subsidized model, which will aid in building the critical mass of eyeballs necessary to generate a recurring revenue stream. "Think about it, why wouldn't you? Watch just three little ads a day," he said.

"We'll drop our price as time goes by. We will be below them at some point down the road, but we need more units and we need to develop some of the recurring revenue areas before that happens."

Size matters

Carrender is quick to point out the differences in the nature of Gizmondo's stature, business model and hardware features, in comparison to rival handheld units, PSP and Nintendo DS.

"We're not of the size to be able to do what Sony and Nintendo do in shipping their hardware at a loss. They make all their money back in the software. That's not been our orientation. We have to sell above our costs. Obviously that lowers our initial sales somewhat but our early sales are to early adopters.

"[The Gizmondo] is a high powered device with multiple features that really aren't available elsewhere. You have a 450 MHz Samsung ARM processor. Our screen has a resolution quality as good or better than PSP and the Nvidia 3D graphics accelerator gives us a better gaming experience. Our Colors game that's coming out in this Fall, is as good as anything that Sony or Nintendo has. That game is of better graphic quality than anything on the market and [early adopters] will see that.

"And while people think they know how the Windows operating system works because they've seen it on PDAs and whatnot, our hardware is vastly more powerful than anything else that has run it. Our device takes advantage of a lot of that power and it's obvious. We also have the video and MP3 elements [like our competitors] but we're the only device that does text messaging or GPS functionality."

I came in on WHOG back in May. However as a few have mentioned, the marketing department of Gizmondo (if it exists) is having a laugh!! If youre competing against Sony etc on the gaming level, AND Tom Tom and Garmin on the Sat Nav market, you've GOT to get your name about!!

I've pulled out at the peak of the recent rise and have to admit I'm not planning on buying anymore, for one reason - I'm really concerned about the target buyer of the Gizmondo. If I wanted a portable GPS Sat Nav, I'd buy a Tom Tom - Easy. If I want to play multimedia wireless games - I'd buy a PSP. This is a personal view, but added to this COMPLETE lack of marketing......I dont like the future for the HOG if they dont sort the advertising out.

If the sat-nav works well i will buy one,also using it as an mp3 and gaming device.It is priced pretty well.Giz and sat-nav for 199.Does'nt tomtom start at 350.Why would you want to carry a tomtom,ipod and psp if one machine did all?It just needs a big push for xmas.The Giz will also rely on its gaming content.1 or 2 killer titles will make a huge differance.

I do agree eggbert that if the big titles come along it will def add to the arguement. The problem with the console itself is that I'd LOVE an i-pod, PSP and Tom Tom in one but I cant see technically how they can do that.

1. MP3 Player - uses SD Flash card technology which does NOT come with the unit. A mere 512MB sets you back 50 quid, 1 GB is 80ish. This means that you can add 80 to the unit price and it still only rivals Apple's i-Shuffle which is 99. The comparison to an i-pod of 30 GBytes is still a good 3 - 4 years away using solid state memory like an SD Card.

2. Sat Nav - You are 100% correct over the price of Tom Toms. For the moment they are well above the price for the Advert Contect Gizmondo. And if they can do as well with the software as Tom Tom have done - I'll be buying straight back in. Tom Tom devices are Ok-not brilliant, but the whole focus of the company is on Sat Nav provison. Gizmondo are trying to gobble up mobile gaming, Sat Nav applications AND digital music players using a 400 Mhz chip! As an Electronic and Communications Engineer I do agree with their vision as this will definatley be the future - but I think the technology isn't quite there to support the dream. Well not yet anyway. Plus the fact they need a HUGE team in each area to beat their rivals........

I do think a 'big push' is needed, a lot on the Xmas rush. All the kids today already want a psp so they can forget that market already. Also looking at the products this Xmas, PSP already have the widescreen in the shops, Giz wont have them in the shops till Jan (thats off the top of my head so I'm not sure but its not before xmas). They're gonna have to aim for the Young Professional with a bit of spare cash. I dont fancy their chances though in the longterm.

However this comes back to marketing. Doesnt matter if their 50 if noone knows about them!

SP wise, if it drops back below the 1p mark I'll buy back in. I'm sure you'll all make some profit in the short term though around the launch date as the SP must move a bit northwards.

I went and saw it exists in the Argos catalogue at my local shop to cheer myself up but I still worry about how anyone is going to know about the products existence that will make someone go and buy one from Argos( or anywhere else come to that!)
It is surprising that the awarenes is so low , you would think the GIZ shops would have achieved some market penetration?...maybe im talking to the wrong people as i guess i qualify as being ready for my zimmer

This is the main reason I sold willfagg. I'm in my early 20's and if I haven't seen any advertising aimed at me by now, I'm concerned about their xmas sales!! Already the PSP is the thing to have and Giz dont seem to be even TRYING to combat it. I cant think what they're playing at. This american delay is a bit concerning too, as Stringy says. To get some sort of sales at Xmas, its GOT to be launched before the end of septmber. Their original date of 11th August would have been perfect. They promised an updated date in two weeks from the RNS of the delay and nothing has materialised. Maybe management know something we dont....

Well Bugz i hope your not correct although I admit I am looking for an opportunity to do some damage limitation now rather than get rich.I saw some of this coming and should have reduced my holding when they were 1.4p but didnt and decisions are more difficult now.For what its worth if i had spare now i would be looking at FTO and SEO both look good long term prospects with potential to multibag.

Yeah I'm already in SEO up to my neck! I had hardly anything in WHOG previously-was just a punt. I'm sure the sp will notch up a bit when the launch happens but after that...dunno!
