Chinese Hospital Partnership.

Ultrasis, the leading provider of cognitive behavioral therapy for stress and mild to moderate depression, is pleased to announce that it has entered into a research partnership with the Mental Health Services Department of West China Hospital, West China School of Medicine Sichuan University, Chengdu, Sichuan Province.

The partnership is aimed at establishing the benefits of using Beating the Blues ("BtB") to alleviate mild and moderate depression and anxiety within the Chinese population and identifying any cultural adaptation required to develop a Chinese-specific version of the program for the Chinese market.

Ultrasis has secured the services of Jia Ji, a Pittsburgh USA based social entrepreneur, as China Project Liaison Director. He will support the Board of Ultrasis, seeing the project through to fruition and developing a follow-on business and marketing plan for the country.

West China Hospital is the largest hospital in China, has in excess of 4,000 beds and delivers over 2.5 million out-patient appointments per year. A leader in diverse disciplines research, the hospital's research department has secured over Renminbi (RNB) 5.000 million (£490 million) over the past 5 years, to fund scientific and research programs.

China has a population of nearly 1.35 billion people and accounts for almost 20 per cent. of the world's population. The Chinese Government is positively addressing, at national and provincial levels, the need to provide psychological therapy services to their population, Cognitive Behavioral Therapy ("CBT") being already a well-established form of treatment in the country's mental health services. The World Health Organisation estimates that mental illness will increase in prominence, to account for 17.4 per cent. of all illness in China, by 2020.

New Contract Win

· Federal Employee Program

Final results



· Revenues of £1,069,000, a decrease from £2,839,000 in 2011 caused by the continued difficult trading conditions in the UK market.

· Total operating costs decreased by 11 per cent. to £2,471,000 from £2,769,000 in 2011, attributable to cost reduction measures taken during the year.

· Loss before tax of £1,413,000 (2011: profit before tax of £26,000), reflecting the fall in revenues to the extent that this was not offset by cost savings.

· Cash reserves of £1,284,000 (2011: £2,368,000).

· Launch of Beating the Blues ("BtB") to the US market where we secured some early contract wins and are developing a strong revenue base for the future in this market.

Proposed Financing Arrangements & Director Change

The board of directors of Ultrasis (the "Board") is pleased to announce that it has entered into financing arrangements with an existing significant shareholder, Mr. Paul Bell, whereby, conditional upon the passing of the resolutions at the Annual General meeting of the Company, to be held on 30 January 2013 ("the Resolutions"), the Company has had made available to it by Mr Bell, £2.85 million (gross), via a combination of loan facilities and a subscription for ordinary shares of 0.1 pence in Ultrasis (the "Ordinary Shares") (the "Financing Arrangements").

Under the terms of the Financing Arrangements, Mr. Bell has also proposed the appointment of an additional non-executive director, to represent his interests on the Board.
