Stanelco and IsraCaps agree new licence terms


Stanelco plc, the radio frequency applications group is pleased to announce that it has re-negotiated its licence terms with IsraCaps Ltd, a company registered in Israel, so that the license becomes non-exclusive with respect to capsules made using radio frequency techniques. In consideration Stanelco Plc will issue 1,355,932 shares representing 0.145% of the share capital of Stanelco.

The 491k trade at 9.03 is marked as a sell, but at 15.73p looks more like a buy to me. Ditto the 250k at 15.50 - although technically at the mid-price. The two earlier trades of 392,841 looks liek a roll over of a single position.

Overall a pretty robust response to the cc settlement, even though it cost us cash/shares and makes all 3 families of patents non-exclusive - only one was actually in dispute as far as I can reacll. So the price of settlement also includes sharing 2 otherwise exclusive patent families. Can anyone tell me if BPRG use or are likely to use the patents to make competing products?

Richard Trevillion said that the settlement will enable both companies to concentrate on their respective businesses, which for BPRG is pharma and healthcare, so it should not affect SEO's business. HOWEVER! it does state in BPRG's blurb that it is engaged in research etc with "other market sectors". Personally though, I cannot see anything other than cooperation between these two now.

I don't expect much to happen with the shares until the dust has settled a bit, and after media comment. The real test will be after the Results are announced.

thanks kim - basically the market seems to accept it as good news IMHO. As one of my key overweight holdings I am happy to wait patiently for the upside for a year or two, but am nonetheless always wary of the less predictable or controllable chances of downside before we get there.

Its a pity they dont renegotiate the ASDA contract to non-exclusive. We might have seen a larger number of conversions if the other SM's had been given a chance. Why have SEO been so keen on exclusive contracts?

The thing is if they re-negotiate the deal with Asda would they be in a position to fill more orders with other companies, apart from a re-negotiation meaning a similar deal to the one with IsraCap, ie either a return of cash or a share deal.
I think the exclusive deal re Asda, was an excellent move. They appear to be struggling slightly to fulfill the Asda deal, so the exclusive agreement will give them time to gear up to full production. Once they have the facilities in place for many more multiple orders, this will gain momentum like a snowball down a hill.
The new deal with IsraCap looks to be at the right time. Timing is everything.

Can't see any point with renegotiating the Asda deal. Any negotiations with others started now would not procure any orders until after exclusivity runs out anyway. I think efforts would be better served on SEO's part by ensuring that they have the ability to fulfill any orders they do get post exclusivity.

I wondered if the new deal with Isracaps was part of the negotiated settlement - so that BPRG couls enter that market. Dont know why or what for - but looking for a link ?

At least all parties know what playing field they are - even if we dont yet - and I am sure cardinal will have had some involvement in the settlement.

Funny how the same words can mean different things to different people.
I read the Isracaps news to mean that SEO can now sell the technology to other concerns within that geographical area. You seem to think that it means BPRG can now enter the arena cos its freed Isracap to go elsewhere.
Wonder whos right, Baza. Think its my interpretation because yours would mean Isracap paying SEO compensation.
Whichever I am certain that it is linked to the settlement and is good for SEO.

Re the ISRACAPS re-negotiation.

SEO will presumably have to renegotiate any 'exclusive' contracts which involve the disputed technology (patents) under the terms of the settlement with BPRG. SEO cant now claim they have exclusive rights to use the technolgy.

Possibly there aren't any others - if there are there could be further re-negotiations and payments.
