from the other side - not my words - aside from the opening line i think adh will come good in time - huge propects in China and else where - could not really ask for more growth potential - good point ref directors shares below though :

'After hour trading buy at 16:42:08 for 5100 at 0.85p. This is going to boom 2mora. PYC investors will be biting their nails tonite while ADH investers will have a great sleep. This company has fantastic potential to grow and many more investers are recognising that now. Directors choosing shares instead of cash was a fantastic indication of where this company is going.

("ADH" or the "Company")

Issue of Equity / Directors Shareholdings

Asia Digital Holdings plc (AIM: ADH.L), an independent online marketing group, today announces that each of the Directors of the Company have on 29 December 2010 received part of their salaries in equity for the financial years ending 31 December 2011 and 31 December 2012 resulting in the issue of 59,162,200 new ordinary shares.

The shares have been issued at a price of 0.5p per share, a 92% premium to the closing mid-price on 28 December 2010 of 0.26p and the same price as the last issue of equity to investors in October 2009. Each Director has committed to sign a 2 year lock-in agreement on their shares received.

Adrian Moss, Chief Executive has agreed to receive 40 per cent. of his salary for each of the two years in equity resulting in the issue to him of 48,000,000 new ordinary shares.

David Lees, Non-Executive Chairman has agreed to receive 49 per cent. of his salary for each of the two years in equity resulting in the issue to him of 6,664,000 new ordinary shares.

Keith Lassman, Non-Executive Director, has agreed to receive 49 per cent. of his salary for each of the two years in equity resulting in the issue of 4,498,200 new ordinary shares.

The above issue of equity will save the Company 295,811 in basic salary costs over the coming two years.

Following the issue of the 59,162,200 new ordinary shares the total number of ordinary shares of 0.1p each in issue is now 767,930,884 and the Directors resultant shareholdings in the enlarged equity of the Company are as follows:

David Lees 12,175,456 1.59 per cent

Keith Lassman 5,683,494 0.74 per cent

The issue of equity to the Directors is to be treated as a related party transaction under AIM Rule 13. Since all of the Directors are receiving equity there are no independent Directors. Northland Capital Partners Limited (the Company's Nominated adviser) considers the terms of the issue of equity to be fair and reasonable insofar as its shareholders are concerned.

Application will be made for the 59,162,200 new ordinary shares to be admitting to trading on AIM and trading is expected to commence on 11 January 2011.

Just noticed the Golden Cross happened on the ADH chart on Monday, so that may have been the reason for today's rapid rise to 0.74p:

A Golden Cross is where the 50 day moving average move through the 200 day moving average.

If you look at the 3 year chart the next resistance point after today's close of 0.74p appears to be 2p which was the price back in September 2009. If you look at the 10 year chart the retrace could go as high as 26p, which was the high point in 2005.'

good news from the other side............

'Just had a quick look as away from the screen later. His post is as follows & adrian moss's follow up comments to the debt issue are also interesting.

I was a little concerned by the posting from satnav and decided to contact the company this morning through its "Contact" form. This is what I wrote:-

"I am a shareholder in the company and would like you to clear up an issue that has been raised on a shareholders bulletin board by an anonymous poster. He claims that the company has over 9m of long-term debt and that this is separate from the short-term debt that was referred to as cleared in the RNS dated 23 December 2010. The latter RNS stated 'This settlement eliminates all Group debt and gives an annualised interest saving of 75,000.' . . . "

Within one minute (!) of submitting my question, Adrian Moss telephoned me and we spent about 15 minutes or so discussing the company and its prospects. He clearly stated that the company was now entirely debt-free and that the debt referred to in the Sept 2010 RNS included Australian purchase ledger, sales ledger facility and the John Porter debt. His actual words were "if I'd said we were debt-free and we weren't, I'd have been strung up!"

The prospects for China are particularly exciting. AM explained that overheads were exceptionally low and Aktiv Digital's sales pitches to clients were mostly non-competitive. Clients from outside the region were seeing ADH as a gateway into the Asian markets since they have important contacts and are a trusted presence in the region. The staff are all chinese and Adrain Moss is himself learning Mandarin.

All very upbeat and reassuring IMO.
