UNAUDITED HALF YEAR RESULTS FOR THE SIX MONTHS ENDED 30 JUNE 2014
CityFibre Infrastructure Holdings Plc (AIM: CFHL), the leading designer, builder, owner, and operator of wholesale fibre optic infrastructure enabling gigabit connectivity in UK towns and cities, is pleased to report half year results for the Group for the period ended 30 June 2014.
Financial Highlights:
· First half results ahead of expectations at the IPO;
· Revenue increased 45.6% to £1.3m, driven by new projects and incremental contract growth on existing assets;
· Gross profit increased 49.3% to £1.0m, with margin expansion from 80% to 82%, reflecting high operating leverage of passive fibre network assets;
· Adjusted EBITDA loss of £2.0m, reflecting increased activity connected to new city wins;
· Acquisition of property, plant and equipment of £2.1m, up from £0.4m in H1 2013;
· Strong balance sheet following successful IPO and oversubscribed secondary placing raising £46.5m before expenses from institutional investors;
· Cash balance at period end of £37.2m
Operating Highlights:
· Signed a landmark joint venture agreement ("JV") with BSkyB ("Sky") and TalkTalk on 15 April 2014 to deploy a trial city-wide Fibre-to-the-Home (FTTH)/Fibre-to-the-Premises (FTTP) network in York and appointed Fujitsu as build partner;
· Acquisition of Coventry Metro Area Network asset closed on 3 June 2014, adding over 300 connected customer sites and 62% additional fibre footprint to the CityFibre portfolio;
· Connected customer sites up 76%, to 817 as at 30 June 2014 from 465 in December 2013. Reseller and service providers on-net up to 16 from two at the start of the year;
· Post period end city wins in Kirklees and Aberdeen, full year target of three new city wins achieved to date;
· CityFibre's pro forma fibre footprint (assuming successful completion of in-progress projects in Peterborough, Kirklees, and Aberdeen) will exceed 680 route kilometres of local access fibre and connect over 1,200 customer sites when complete. This expanded footprint will represent an addressable market of over 2,400 public sector sites, 1,200 cell sites, 40,000 businesses and 600,000 homes;
· Strong momentum expected to continue for the remainder of the year, particularly with regard to new city wins and further commercialization of existing assets.
Greg Mesch, CEO of CityFibre, commented:
"We entered this year with the objective of securing a strong capital base and delivering key projects across all our core market areas. We are on track to deliver on all of our objectives. We have raised £46.5m from institutional investors, secured three new city wide fibre based anchor projects, and are on schedule and on budget with the Peterborough deployment, where business pre-registrations have vastly exceeded our expectations.
"Moreover, the developments in the first six months of the year underline our expanding range of methods for anchoring new city wide fibre networks - via acquisition, partnering with Public Service Network (PSN) framework suppliers, and aggregation of business segment demand via local ISPs. And of course we are delighted to be in a FTTH/FTTP trial agreement with Sky and TalkTalk and in the first phase of the deployment in the trial on our existing asset in York, which we believe further validates our shared infrastructure model.
"We are pleased with the ongoing progress which these results and the recent announcements illustrate. Not only has the Company exceeded expectations of contract wins set at the time of the IPO in January, but we have also already attained the revised full year growth expectations set at the secondary placing in May. Our four key market segments of public sector, mobile, business and consumers remain robust as consumers of fibre and we are extremely pleased with the progress across all these market segments."

NATIONAL FRAMEWORK AGREEMENT WITH EE and Three UK
CityFibre to deliver UK's first dark Fibre-to-the-Tower ("FTTT") solution
CityFibre (AIM: CFHL), the leading designer, builder, owner, and operator of wholesale fibre optic infrastructure enabling gigabit connectivity in UK towns and cities, is pleased to announce the signing of a long term national framework agreement with mobile network operators EE and Three UK, along with their infrastructure joint venture, Mobile Broadband Network Limited ("MBNL").
The framework agreement will see CityFibre deploy the UK's first dark fibre backhaul connections to mobile masts (Fibre-to-the-Tower, or "FTTT") across both operators' networks, improving network performance capabilities as well as offering long term cost efficiency. It also marks the expansion of critically needed diversity in the mobile operators' supply chains.
Whilst already widely established in North America and Continental Europe, dark Fibre-to-the-Tower solutions for mobile network operators have not been deployed previously in the UK. Dark fibre supplies operators with their own fibre infrastructure, a future-proofed platform offering near limitless capacity for the same fixed cost. This is an invaluable asset in the face of operators' growing bandwidth requirements and increasing backhaul traffic to and from cell sites driven by explosive data demand and the proliferation of connected devices.
The first project of the framework is already underway in Kingston-upon-Hull, where CityFibre is in the process of overhauling MBNL's network, providing both EE and Three UK with the ability to deploy advanced network technology features and to trial cutting edge technologies. CityFibre, EE, Three UK and MBNL are already examining how the dark fibre solution could be rolled out to further towns and cities in the UK under the national framework agreement and will update the market as appropriate in due course.
CityFibre's initial 60km build project for the mobile sites in Hull is the first step in an anticipated larger build-out, potentially up to 200km, following CityFibre's "Well-Planned City" model, under which the Company's shared fibre infrastructure is also available for use by service providers covering multiple market segments.
The financial terms of the contract are within the Company's previously stated guidance with regard to total contract value ("TCV") to capex coverage.
Greg Mesch, CEO of CityFibre, commented:
"We're delighted to be working alongside EE and Three UK, who together carry about 75% of the data used by UK mobile users. The deployment in Hull is a critical first step in promoting the adoption of dark fibre solutions for FTTT in the UK market, as well as establishing CityFibre as the partner of choice for Mobile Network Operators and wireless infrastructure providers seeking to migrate to dark fibre solutions on a national scale.
"Since our inception, we've consistently underlined the importance of the mobile vertical as we look to both grow our UK footprint and market share. Today's announcement serves as another powerful validation of our vision and reinforces our shared infrastructure approach. CityFibre is now established as an approved supplier to three strong partners with the most significant wireless footprint in the UK through this national framework agreement. It also establishes mobile as a market vertical capable of generating new Gigabit City anchoring opportunities in its own right.
"Our success to date in serving customers across the public sector, business segment and the consumer FTTH market is now further augmented with the addition of mobile customers to our portfolio. We have now achieved a crucial near-term aspiration of being active in all four key market verticals within our first year as a public company, further endorsing our business model and reinforcing the need for gigabit connectivity across the UK."
Fotis Karonis, Chief Technology Officer at EE, said:
"With our customers' data usage rising all the time, driven on by the rapidly growing adoption of 4G, a more flexible and cost effective backhaul capacity solution is hugely important so that we can keep giving a world-leading mobile experience. This is a completely new model for the industry, set to provide a much-needed change to the economics of capacity management."
Bryn Jones, Chief Technology Officer at Three UK said:
"This agreement with CityFibre is the latest step in our efforts to give customers a great network experience. The ability to add our own high capacity infrastructure will be hugely important for our network, particularly in busy metropolitan areas."

Trading Update
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, announces the following trading update for the year ended 31 December 2014.
The Board is pleased to confirm that full-year financial results will be in line with current market expectations. CityFibre has successfully converted a number of contract wins in the period, and continues to unlock significant levels of incremental business across its existing asset base.
Key highlights:
· The Joint Venture with Sky and TalkTalk for a Fibre-to-the-Home (FTTH) trial in York commenced its first phase of deployment in October 2014 and is progressing apace, with commercial launch expected later this year;
· The national framework agreement with Three UK, EE, and MBNL saw the first phase of the Fibre-to-the-Tower (FTTT) deployment in Hull completed before Christmas, on time and on budget;
· The Peterborough CORE network deployment, commenced in April 2014, was completed on time. As at 31 December 2014, 86 of the 106 public sector anchor sites were connected, with the balance anticipated to be connected by the end of February 2015;
· Following a successful business pre-registration programme in Peterborough, as at 31 December 2014, 64 businesses had successfully been converted to contracts with service provider partners, representing a 1.5% penetration of all businesses in Peterborough in a period of only eight months;
· The York CORE network added £0.8m in new total contract value (TCV) in the second half, bringing the total for the year to £1.2m, an increase of 283% versus the prior year. Capex associated with incremental TCV during the period was £0.5m, bringing cumulative TCV/capex on the York network to 124%, from 118% in the first half, and from 113% as at 31 December 2013;
· Pro forma for contracts in-build and announced during the period, the Company's network footprint should extend to 750 route kilometres of local access fibre when completed;
· Business pre-registration campaigns in Coventry, Kirklees, and Aberdeen are demonstrating strong pent-up demand consistent with the experience in Peterborough;
· Reseller/service provider relationships at year end totalled 25, up from 16 as at 30 June 2014;
· Continued progression of pipeline opportunities across all four market verticals, with active discussions ongoing with 25 city councils.
The Company expects to announce its full year results for the year ended 31 December 2014 on Monday 23 March 2015.
Greg Mesch, Chief Executive Officer of CityFibre, commented:
"2014 was a hugely successful year for CityFibre, with four new city project wins, a landmark Fibre-to-the-Home JV with Sky and TalkTalk, two of the UK's leading broadband service providers, a national framework agreement for Fibre-to-the-Tower with two leading mobile network operators, and £46.5m in equity raised. The underlying business continues to perform to plan, with strong incremental contracts being delivered in York, good initial contract conversion in Peterborough, and promising pre-registration levels in our expansion markets. The demand we're seeing in the four market verticals in which we operate is strong across the board. This reflects the compelling need for a fit-for-purpose local access broadband infrastructure capable of serving a market where IP traffic is growing at a compound annual growth rate of more than 20%. We remain strongly capitalised and well-positioned for further growth in 2015, and I look forward to updating the market further in March."

CityFibre announces first win in Wales with Logicalis
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce a partnership with Logicalis, the global provider of IT solutions and managed services, to construct a 'Community Safety Network' - a high capacity resilient pure fibre ring - in Newport, Wales' third largest city.
The project was awarded under the UK's Public Services Network (PSN) framework and is the first for CityFibre in Wales, marking the second win for CityFibre's dark fibre solutions in partnership with an accredited provider to the framework, following the deal with the metropolitan borough of Kirklees, announced in August 2014.
The initial fibre deployment in Newport will connect over 40 sites and will be designed to accommodate the growing community safety estate. The network will allow Newport City Council to harness future smart technologies as the city evolves, including ultra-high definition CCTV, digital information boards, and traffic and alarm monitoring applications.
As with previously announced projects, CityFibre expects over time to expand beyond the initial scope of build-out to encompass potential further opportunities including additional public sector sites, businesses, mobile cell sites and the residential broadband segment, under its Gigabit City model.
Greg Mesch, Chief Executive Office of CityFibre, commented:
"This project forms an essential part of transforming Newport into a modern, fully connected, digital city and we are delighted to be working alongside Logicalis, a prominent name in both the public sector and enterprise space. Their selection of us as partner is a powerful endorsement of CityFibre's model, and we look forward to exploring further PSN opportunities with them.
"As we move ever closer to living in a truly connected world, the network that runs throughout UK cities will increasingly act as the arteries that allow it to consistently evolve, technologically, for the benefit of its residents. We believe CityFibre will play an ever increasing role in the evolution of that vision as the demand for future proof gigabit connectivity continues to grow."
Mark Starkey, Managing Director of Logicalis added:
"We have been working with the local authorities in Wales for a long time now and are continuing to build on that collaboration. There is huge potential to transform Welsh cities by installing future-proof fibre networks and support community-changing initiatives such as this through the exploitation of this infrastructure. We see this project in Newport as the first step on a long-term partnership with CityFibre."

CityFibre brings Gigabit City vision to Edinburgh
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce that it has signed an agreement with leading Scottish network service provider, Commsworld, for the first phase of deployment of pure fibre network infrastructure in Edinburgh.
The initial 50km, of an anticipated 150km build, is backed by a contractual commitment from Commsworld to migrate a significant proportion of its large existing base of business customers onto CityFibre's new fit-for-purpose infrastructure. As in all its previously announced projects, the Total Contract Value ("TCV") to capex coverage ratio during the build is anticipated to be well within the Company's previously stated range.
The initial new network deployment will bring gigabit connectivity to within reach of an estimated 7,000 businesses, and establishes Edinburgh as CityFibre's next Gigabit City project.
Construction will commence this summer, and initial planning is already underway. As with CityFibre's other Gigabit City projects in Coventry, Peterborough, York and Aberdeen, the network will be deployed in-line with the company's "Well Planned City" design philosophy. This highly-sophisticated planning approach optimises network design and deployment to accommodate current and future capacity requirements from all aspects of a city's community under a shared infrastructure model.
Greg Mesch, Chief Executive Officer of CityFibre, commented:
"CityFibre has gathered considerable pace in the last 12 months and we are delighted to be embarking on our biggest Gigabit City project yet, which underlines the scale of our ambition. With thriving financial, tech and media sectors, Edinburgh's businesses are poised to take advantage of a digital head-start, providing them with a competitive advantage at home and abroad. We are seeing huge demand for ultra-fast connectivity and as we continue this shift from manufacturing to service based economies, a modern digital infrastructure could not be more critical to a city's success.
"Commsworld is a perfect partner with which to transform Edinburgh's digital landscape and we look forward to demonstrating the capabilities and contribution of next generation infrastructure to both the public and private sectors."
Richard Nicol, Chief Executive Officer of Commsworld, commented:
"As a company constantly looking for new ways of improving communication solutions for businesses, we are hugely excited to have partnered with CityFibre to bring the benefits of pure fibre connectivity to our customers and to the City of Edinburgh as a whole. Ultra-fast, gigabit connectivity appeals hugely to digitally dependant businesses and this is only going to grow with time. It will soon become the standard, driving productivity, innovation and the bottom line."
John Sweeney MSP, Deputy First Minister and Cabinet Secretary for Finance, Constitution and Economy, said:
"I am delighted to welcome CityFibre's substantial investment in Edinburgh's digital infrastructure. The future-proofed fibre infrastructure that will be delivered, alongside CityFibre's recently announced investment in Aberdeen, will make a key contribution to our vision of Scotland having world class digital connectivity by 2020.
"CityFibre's partnership with Commsworld, a respected and established Scottish digital business, will support the growth of Edinburgh's thriving business community as well as other bandwidth hungry organisations in the city. Over time, this future-proof infrastructure will support the roll-out of ultra-fast Fibre-to-the-Premises services for residential customers as well as 4G and 5G services.
"As Scotland's largest Gigabit City, Edinburgh will have a unique selling point as one of the foremost digitally connected locations anywhere in Europe and we are delighted to see CityFibre continue its investment in Scotland."

Completion of Peterborough network construction
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce the completion of its Peterborough network deployment, and the conversion of 102 pre-registered business customers to a contractual relationship.
Pending the handover of a final group of council sites, CityFibre has completed the construction of its 90km Gigabit City network in Peterborough, less than 11 months from starting construction. Known as the Peterborough CORE, the network connects 107 public sector sites, including administrative offices, data centres, schools and hospitals, providing a future-proofed network for Peterborough Council and its IT services provider, Serco.
As part of CityFibre's 'Well Planned City' network design, the Peterborough CORE has been deployed to benefit the city's previously underserved business community. More than 1000 businesses (25% of the businesses in the city) registered their interest in services as part of the 'Gig Up Peterborough' pre-registration campaign. To date, 102 businesses have now signed orders for services from CityFibre's service provider partners including Businesscoms, Rydal Communications, Consulting Networks and Cyberware.
Consistent with the Company's demand-led approach to incremental investment, demand aggregation activities have triggered network extension to four new business parks in the city including Fengate, Lynch Wood, Cygnet Park and Orton Southgate. Deployment to these areas, not included in the original network plan, will bring gigabit connectivity within reach of a further 1000 businesses.
Greg Mesch, Chief Executive Officer of CityFibre, commented:
"In less than one year Peterborough has been transformed into a Gigabit City. With a future-proof digital infrastructure at its heart, Peterborough has a digital head-start on the rest of the country. Its public sector is already more efficient and capable of innovation, while its business community is becoming more competitive and productive.
"Through Peterborough's Gigabit City project we have demonstrated the appetite for next generation gigabit services by both the public and private sector and the speed at which cities throughout the nation can benefit from our model. Our network is already growing organically as more sites are connected and more users come to understand the improvements which gigabit connectivity can deliver to their experience and bottom line."
Marco Cereste, Leader of Peterborough City Council, commented:
"We cannot overstate the value of a gigabit speed digital infrastructure to our city. As a Gigabit City, we have a significant competitive advantage over other areas and are able to lead the way with an innovative and integrated digital strategy. Businesses are hungry for bandwidth and we recognise that because of this network, Peterborough is becoming an even more attractive place to build a business."

Based on the encouraging results and progress of this first phase, the Joint Venture has now approved the next phase of deployment, which will accelerate and increase the scale, bringing gigabit speed connectivity to thousands more properties in York.
The project will continue to develop and test the optimal FTTP deployment methods and the ability to scale roll-outs in order to create a state of the art pure fibre network fully independent of BT Openreach's infrastructure. The network will be deployed and tested in preparation for the launch of services by Sky and TalkTalk later in the year.
Greg Mesch, CEO at CityFibre said: "We are really pleased with what we have accomplished so far. As a team, Sky, TalkTalk and CityFibre have validated a network design for true ultra-fast Fibre to the Home (FTTH) for residents and Fibre to the Premises (FTTP) for business users. This next phase will accelerate the deployment and will further help to determine the scalability of the infrastructure. Without the bottlenecks that exist in traditional networks, an ultra-fast fibre infrastructure will future-proof a city, offering superior quality of service and higher speeds as demand for bandwidth increases."

NEW CONTRACT WIN IN KINGSTON-UPON-HULL
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, today announces a new contract with Hull-based wireless broadband ISP Purebroadband.
Under the £0.5m contract, CityFibrewill replace Purebroadband's existing wireless backhaul solution connecting 12 hub sites in a ring round the city. The partnership will significantly boost internet speeds and network efficiency to thousands of businesses and homes using Purebroadband's services in Hull. It will also allow Purebroadband to dramatically increase its current capacity as it continues to cement itself as a viable alternative provider of broadband to Hull's 200,000 business and residential internet users.
The contract is the latest step in CityFibre's commercialisation of its Hull fibre network project. The Company began a 62km fibre rollout, based on its 'Well Planned City' design in late 2014 to deliver backhaul connectivity to mobile operators EE and Three UK, completing all city centre routes before Christmas. The network has been designed to accommodate current and future capacity requirements from the business community, public sector, mobile operators and datacentre providers.
John Pulley, Head of City Sales at CityFibre, said:
"We're very excited by the opportunity of working with Purebroadband in Hull to enhance both the quality of service, affordability and accessibility of next generation connectivity solutions in the community. We are seeing increasing interest from Service Providers to accessing businesses and consumers in Hull. CityFibre now provides a long overdue and credible infrastructure alternative in the local market, increasing competition and driving better services for all customers."
Joe Tandey, Operations Director at Purebroadband, said:
"More and more residents and businesses are looking for an alternative to Hull's incumbent operator, and our services are a perfect high-speed option. By upgrading our backbone with dark fibre from CityFibre, we will be able to offer an even better broadband service to our existing customers as well as accelerating our customer acquisition programme in Hull."

Construction of Edinburgh CORE Commences
Edinburgh CORE to bring ultrafast internet access to 7,000 businesses
CityFibre (AIM: CFHL), a leading designer, builder, owner, and operator of fibre optic infrastructure in UK towns and cities, is pleased to announce that construction has commenced on the first phase of the Edinburgh CORE network.
Under the agreement with leading Scottish business ISP Commsworld previously announced in March 2015, the first phase of the new network, a 50km deployment in the city centre, will bring the benefits of ultra-fast gigabit internet connectivity within reach of an estimated 7,000 businesses beginning in late summer, 2015.
The exact network route of the Edinburgh CORE will be influenced by demand, and CityFibre has now launched its 'Gig Up Edinburgh' campaign enabling businesses and institutions to register their interest in ultra-fast internet connectivity on the www.edinburghcore.com website. Registration is no obligation to take service, but means the registered business' location will be factored into the network plan. Registered businesses will also be checked for eligibility for a government voucher scheme* which offers grants of up to £3,000 for businesses to connect.
The Edinburgh CORE will be designed using CityFibre's 'Well Planned City' model, which accommodates all current and future bandwidth requirements from the business community, public sector, mobile operators and datacentre providers. It also lays the infrastructure foundation for a full fibre to the home roll-out in due course.
The Edinburgh CORE will be a major catalyst to the growth of Edinburgh's substantial digital economy. It is estimated that close to 18,000 people are directly employed in the city's tech sector, which has a yearly growth rate of about 33%. Despite this growing industry and the city's established financial services sector, a recent CityFibre/YouGov survey found 31% of regional companies have regular concerns about the negative impact poor Internet access has on their business.
Greg Mesch, Chief Executive Officer of CityFibre, commented:
"Edinburgh is one of the most economically significant cities in the UK. Its reputation as an established financial hub is complemented as it is increasingly becoming the location of choice for a new generation of tech start-ups and innovative businesses.
"As businesses of all types become more digitally reliant, they can be confident that there will be a world-class digital network - the Edinburgh CORE - to support them. As we plan the rollout it is essential that businesses register on our website to ensure that the network reaches them and that it delivers maximum benefit to the city's business community."
Richard Nicol, CEO of Commsworld, said:
"This is a project of huge significance for the city and one that will future proof Edinburgh for many years to come. The Edinburgh CORE will enable Commsworld to offer a new generation of affordable, Gigabit business services that will transform the way our city does business.
"As planning is well underway, I would urge any business that wants a digital headstart and a competitive advantage to register their interest online. With no obligation to take services it will ensure you won't get left behind."
Cllr Frank Ross, Convener of Economy Committee, City of Edinburgh Council said:
"This level of commercial investment to improve the city's connectivity is great news for Edinburgh. The Gigabit City announcement and launch of the Edinburgh CORE network for business fits well with our aspiration that Edinburgh becomes one of the UK's best digitally connected cities. The fact that Commsworld is a leading Scottish Telecoms Network provider, and an Edinburgh SME, makes this announcement even more exciting for our business community and I urge them to get behind the Gig Up campaign and register their interest."
