Dowgate Capital (DGT) are sitting
in the middle of a goldmine!
This company through
their sole trading arm City Financial Associates are looking to take full
advantage of the "booming" AIM market this year.
Dowgate provide NOMAD (NOMinated ADvisor) services to AIM companies
and also have full Corporate Broker status which means that they can fund
placements on behalf of the companies they represent.

On first sight, the
fact that Dowgate exist in the often veiled financial services sector
makes you think twice about investing in company such as this because
it would be impossible to understand what they were doing - however, think
again!
DGT bring new companies
to the AIM (Alternative Investment Market). For each new company "floated"
on AIM, they take arrangement fees when acting as NOMAD. After the company
is launched then for a nice steady earner DGT get another healthy chunk
of cash every year for looking after them (note that all AIM companies
must have a nominated adviser - thereby securing a ready source of recurring
income).
Because DGT also act
as a Corporate broker they can get a very healthy percentage for arranging
placement of shares with insititutions before a new company floats. In
addition, because placements come outside the sphere of yearly NOMAD work,
they can also gain healthy percentages of placements which companies may
need to make throughout the year when they need a quick injection of cash
to speed growth.
Current NOMADships:
28 companies represented (gives recurring income of approx 480,000
per year)
Current on-going Brokerage
agreements: 19 companies (income depends on placements)
For flotations, depending
on the size of a company, fees charged will be anything from 50,000
to 100,000+
For placements (the real earner), DGT get anything from 3% to around 12%
of the TOTAL AMOUNT RAISED - For example a new company raising 3M
though a placement will earn DGT anything from 90,000 to 360,000
!
These figures are indicative as actual deals all differ due to circumstances
and DGT sometimes take payment in shares - they still have a tasty chunk
of Setstone shares and when this Russian exploration company comes back
to AIM, predictions are that the share price will rocket.
Note that the amount that this little company can earn in fees is huge
and every new deal that comes through we know will contribute another
healthy chunk into the bottom line. The good news with every new floatation
means that it's another chunk of recurring revenue which could go on for
years, with DGT having to do very little.

Sounds like I can add a bit more at a better price over the next period.
Have now caught up with all the RNS's of the last year. Company looks set to motor. I have enormous sympathy with their placing fees being dependent upon successful closing. That's what I do much of the time in my sector. Currently, I'm watching all my projects fall over like nine-pins. Althought Brit Giv offered a hand to stand some of them up again today in the budget. Remember that great movie "I Love You Gordon B Takeless"?

I liked the White Morazabu; buyers dictating the action. Indicators very positive. But might not the resistance level at 0.4p now be fairly and squarely breached? tomorrow will probably establish that one way or the other. If so, there may not be a better buying opportunity. How is the HOLD conclusion drawn? The Indicators say Buy. Last year's finals were 30th march so they can't be far away. Whilst we know that last year's trading disappointed, there must be some quantification of current trading and prospects. From what has been posted on this thread, this could bring in buyers without many sellers. Many have probably bought at significantly higher prices. The charts suggest a new trading area between 0.5 and 0.6p but by July at the latest we should be on much higher ground.

The White Morazabu to which I am an ill-bred stranger looks very like a decisive upward strike through a previous resistance level of just under 0.4p - i.e. a strong buy signal, which is what I have gone and been and done today.
I'll buy Eric's 0.5-0.6p range. Imminent accounts will confirm disappointing 2nd 6 months last year due to timing of deals, but by my count there should now be about 40 clients (28 by end last year, 6 more so far this year and another 6 over next few months) @ 17k nomad fees a piece in prospect for 2005 which makes bread and butter of 680k income, about 45% of operating costs increased to say 1.5m - a really good base from which to make Eric's strawbs (what a band!) and cream from new listings/placings - allowing acting as broker for 75% of the new clients this year, making 9 @ 100k a piece is another 900k, plus the 3-5% commission on any new money - say 4.5m new money placed over the year at 4% = 180,000 (pure guess) - we now total 1.76m - an operating profit of 260k plus interest on new capital raised makes, say 300k less 30% tax = 210k after tax. A current year fully taxed PE of 11.33 which should be nearer 18, giving an SP mid price of 0.68p some 58% higher than today''s 0.43p close. Tell me I am being wildly optimistic. This we should see on results announced on or about end of March (as foretold in TA of 20th December) all else being equal. Just a theory - any counter views welcome.
I take it from a number of the previous posts, that the loss of the two founding directors is a generally positive aspect to the company's prospects - correct? Won't ask why.

Well done stockdog - looks a good analysis; great to have you on board. Do you agree with numbers, overgrowth. I recall you were looking for a new account per month so we are well ahead of that this year. Medizest revenue looks somewhat low at 100K but the warrants are a bonus. Not a bad idea to stache away a few for each client, eh!

Just read the Interbulk Float as well we were only NOmad
we got a fee of 30,000 and 15,000 p/a NOMAD Fee.
Not sure if this was in last year or this year though as float was scheduled for 31st December.

We must be now covering our overheads with our Fees so all fees must be going straight to the bottom line now.
It is just so frustrating that the company doesn't blow its own trumpet a bit more!!

Reckon its Ok: they're just too busy earning fees to take time with trumpet-blowing. Big advantage is that the price has been much lower than it should have been which gives the opportunity to buy at nice low prices. Patience, though, is a necessary virtue.

OG and Eric,
I pushed the overhead up to 1.5m to allow for an increase in the 5 execs and 3 ancillary staff to cope with the increasing numbers of nomad clients and the faster pace of new placements/listings intimated for this year than last.
In a year or two's time, there needs to be a shift from the larger broker/placing fees being earned fom new clients towards existing cleintes wanting to upgrade their capital with additional placings/rights offers. This will intensify rather than extensify earnings across the client base. So choosing the new clients now that will require that later service several times over is quite an art I imagine.
SP growing from 0.43p to anything up to 2p over the next year or so should be no problem. The next phase of growth is not yet predictable, and may require a paradigm shift in maturity of the business. Still, we'll all be rofkswd by then (work it out guys! prize for best answer).

Suspension of Shares
The Board of Fundamental-e Investments plc ('FEI' or the 'Company') announces
that it has today requested that the London Stock Exchange suspend trading in
FEI's shares pending clarification of the Company's financial position.
As reported in a trading update issued on 28 February 2005, the Group has for
some time been experiencing pressure on its working capital as a result of the
trading performance of certain of its subsidiary operations falling below
forecast. This trend has continued and the Board is now taking steps to
reconstruct the Group in such a way as to preserve the remaining resources and
concentrate them on the core audio visual solutions business.
In view of the uncertainty created by the working capital shortages and the
Group reconstruction the Board will be unable to publish its preliminary
statement of results for the year ended 30 September 2004 by the 31 March 2005
deadline.
The Board is working expeditiously towards resolving these issues and a further
update will be provided as soon as possible.

1. Did CFA hold any of their shares in payment of fees?
2. Will this be a prelude to more commissions for CFA through an enforced placing by Fundamental to bolster its balance sheet?
3. Will Fundamental fall over and remove a bit of bread and butter from the table?
Assuming not 1., then either good or not so bad.
Interesting to see how this filters through to CFA's SO if at all.
