CMS Webview What is the potential for this share ? (CWV)

GEOFFREY.R - 01 Nov 2003 16:46

I bought shares in this company at 4.5p in September 2003. I see they are rising. Can anyone tell me please the growth potential for this company as they have just been awarded several new contracts ?

GEOFFREY.R - 10 Mar 2005 11:34 - 1792 of 1924

CWV shares suspended and are in reverse takeover talks. what does this mean?

skyhigh - 10 Mar 2005 12:06 - 1793 of 1924

it could be good. sp comes back higher.. increased mkt cap/turnover etc..
or it can be bad if a dilution of shares comes along/more shares issued to fund aquisition/expension/development plans...
most times a reverse t/o should be good and sp comes back stronger but...anything can happen,, I've seen it before that a reversal can be bad for the sp..lets hope it's not too long before we all find out.

Bones - 10 Mar 2005 13:20 - 1794 of 1924

A reverse takeover means they are buying something much bigger than themselves. The current business is therefore of little importance and a change of management is likely (probably the directors of the company reversing in will take over the reins of CWV).

How is the new business to be financed? Probably a large issue of new shares by rights issue? Possibly.

Will the share come back higher? Only if the market thinks the new business has more promise than the existing one. As the market thinks the existing one stinks, the chances of a higher share price per shares in issue after the change is likely I would think.

I disagree with a dump and pump, not what happen in the last 6 mo. More a classic example for insider dealing the large trade volume coming in not without a reason. Someone, not like you or me, was already in the know the week before and quietly accumulate stock. One would not dare to buy yesterday morning even when SP has only risen 10 or 20%, fear that money will be locked-in for too long, rememeber that few days ago the spread was over 30%, sane trader without inside information would hesitate to buy.

Things are brewing again finally, Not being personal but who's still holding & how long, Myself 227,000 bought 152k in nov/dec03 & 75k feb05. I plan to hold long term 5+ depending on boards coments over next 12mth.

good luck all holder's

suehelen, what is your view on this stock and current events, regards littlejon.

BANKONE - 13 Mar 2005 17:49 - 1797 of 1924

Littlejon, I like you bought a boat load when they were yo-yo ing at 14.25p. and when they went to less than 2p I wrote them off as a long term wait and see share. Good luck

ntkntk - 14 Mar 2005 01:44 - 1798 of 1924

if you bought a boat load you could be millionar soon. 2p was too cheap, even 10p for a company supplying an advanced technology to CME & CBOT. For some reasons the management doesn't let us know why CBOT does so well, but CWV ends up with nearly nothing apart talking from a strong pipe of hopeful contracts. With whom, what kind and how far they are in the discussion ... no idea why they never release any of it.

It doesn fit into any logic that CBOT has released so many times good news, so many branchs & banks practically have used the data feed over CBOT supply for "free" to CWV term, CBOT dealed contracts keeps broken record's level without any problem regarding the TDI data feed, and CWV not even sends out one complaint or warning that sort of usage could be a breach of contract ... that alone is millions of pounds worth if come for a US court. Think if I lend you a good Mercedes with a certain discount, a promotion, only for personal usage and u make your living in doing taxi transport for high profile celebs. Nothing better would come in my mind than gathering enough evidence for taking you soon to court.

Unless there is one reason: a special clause guarantee for CBOT to do full field trial, to be the only owner on the US market, allowing it to weaken other rivals, then after certain time .... WHAT follows? Maybe it is too far fetched, maybe it is too crazy idea!? But it really doesn't make sense otherwise. CWV could have bad and incompetent manager, but they couldn't be that stupid not to complain.

I'm in the Bankone club.....was expecting a "hope it recovers by pension day" job....I've just been converted to the feng shui investment approach and will paint my front door red in hope of a good post suspension chart....

littlejon - 15 Mar 2005 07:28 - 1801 of 1924

you never know they might (not expecting though)announce a TDI contract whilst suspended, which would be rather nice ??

Bones - 15 Mar 2005 07:52 - 1802 of 1924

ntkntk - you seem to be speculating about big contracts for their existing business when the suspension has occurred because of a significant acquisition that would be classified as a reverse takeover (per the RNS). This says to me that the existing business has effectively been written off as a bad job and that CMS Webview is little more than a shell company being used for a new business to reverse into.

Basically your boatloads of shares now depend on the new business being a worthy investment. I wouldn't rely on TDI or any of that. I think the market had already given its view on that business by marking the shares down to 1p.

willhy - 15 Mar 2005 08:36 - 1803 of 1924

Its not that easy to write off their current business. They have to support their current contracts. What would happen with CBOT?

Bones - 15 Mar 2005 08:47 - 1804 of 1924

willhy, yes of course, but it doesn't have to be done by CMS Webview plc. That part of the business (valued at 1p by the market before the leak) might be taken private or sold off, probably for very little. I am only speculating but it seems likely to me.

bhunt1910 - 16 Mar 2005 13:26 - 1805 of 1924

?

Bones - 16 Mar 2005 20:09 - 1806 of 1924

Bhunt1910. Have you something to put in front of the "?" ?

bhunt1910 - 28 Mar 2005 09:05 - 1807 of 1924

Just back from hols so looking for news on this.

Does anyone have any idea of timetable - or best guess as to when this will resume trading - I can only find statements about the share being suspended ?

Thanks

Bazza

willhy - 29 Mar 2005 12:09 - 1808 of 1924

could be up to 6 months! But now 3 weeks have passed it looks less likely for a deal to collapse. Hope its a good one.

bhunt1910 - 29 Mar 2005 14:41 - 1809 of 1924

Thanks Willhy - but I hope its not 6 months !

Restoration of Shares and Trading Update

Further to the RNS announcement on 10 March 2005 regarding initial talks
relating to a potential significant acquisition, the Board of CMS WebView plc
('CMS' or 'the Company') confirms these discussions have now been discontinued
and CMS has requested the immediate restoration of trading in its shares.

The Board felt that the structure of the deal and potential benefits would not
be in the best interests of CMS shareholders at this point in time, when
factoring in current opportunities for CMS to strengthen its position by
ensuring key business is secured in 2005.

Strategic Review

On 29 November 2004, CMS announced it was embarking on a Strategic Review after
a shortfall in anticipated new sales of its proprietary TDI modular software
system.

CMS Directors have now completed the Review, which included all aspects of the
business, including the sales and marketing strategy, overseas operations,
central administration and the continuing development of the core technology.

The Directors were of the view that in the absence of guaranteed significant new
TDI orders it was necessary to maintain the Company's positive cash position by
cutting costs in areas that would not compromise service to existing clients or
damage the prospects of winning new business.

One of the largest cost savings has been achieved by closing the US offices in
Chicago and New York, and by the regrettable redundancies of all US office
staff. At the same time, the UK headcount has now been reduced through a
combination of redundancies and by not replacing non-core personnel after
natural wastage. Moreover, CMS has successfully renegotiated contracts with a
number of its suppliers and advisers on more favourable financial terms, and has
consolidated its operation regarding UK premises.

As a result of the Q4 2004 and Q1 2005 cost cutting measures, the Company has
reduced estimated losses for 2005 by around 50%, based on the conservative view
of CMS securing no additional TDI or data feed orders this year. Further cost
savings during the year will also be implemented.

New Contract and New Business Strategy

CMS is delighted to announce that a key Exchange client is placing a new order
for significant enhancements to the TDI system as part of the Exchange's
changing business requirements, which will be delivered by the end of May 2005.

With the new contract in place, and still assuming the conservative stance that
there will be no further new orders of significance for TDI in 2005, losses for
the year are expected to be approximately 550,000, leaving cash reserves of
around 700,000 at the year end.

In terms of new business development, CMS is focusing strongly on a revised
sales campaign over the next three months. As part of the campaign, it will be
primarily targeting prospects that arose from the 2004 and Q1 2005 marketing
effort to exchanges, banks, and financial data/system suppliers. Specific focus
is being placed on those prospects that could lead to additional revenues but
will incur only minimal development costs and associated overheads.
