I heard a rumour tonight (schhh!), that there will be an RNS next week, can`t reveal the source, but it involves an Alan Ladd,a common Asian name with an Aussie twang to it,a well known shorter on a motor-bike, a receptive person, a "diamond dealer",a character from Only Fools & Horses,the no.3 in percentage terms,three titans from Sicily accumulated, period.

What a shame that no one has thought to explain to anyone not already in the know why you need to ensure that you can vote your shares held in nominee accounts.

For anyone who doesn't know, Steig is trying to oust David Lee and take over effective control of the whole of Tadpole. The rationale is that Steig wants additional funding for the Streaming Division and David Lee is not prepared to agree.

The source of the extra financing Steig wants is Venture Capitalists. The cost of this to shareholders would be massive dilution of the shares in issue. In effect, it would hand control of the whole of Tadpole over to the VCs.

Steig tried to call for an EGM to put forward a resolution sacking David Lee and putting himself in charge with 'suitable' board additions to give him the majority boardroom vote he would need to control the company. This failed in farcical fashion since he didn't have sufficient shares to force it through. Further comedy ensued as the overall plan was leaked on iii.

It is likely that an an EGM will be called to resolve this as Steig gets additional shares about now as deferred payment from the takeover. If Steig gets control via a resolution at the EGM, he and his (VC) cronies will get back control of the original Stream Theory for far less that they were paid for it less than a year ago. AppsX and the (profitable) Geospacial Division will be thrown in for nothing.

Nice work if you can do it, but not for existing shareholders.

The shareholder revolt will fall apart, as will the company.Nobody will gain, except those over the years who have drawn fat salaries.
There should be little sympathy for share -holders who have never heard of a stop-loss either, investment isn`t a fairy land of fair play and ever rising price graphs, it is a dog eat dog world.
Hopefully most will now forget the past and move on.
I also hear that if an EGM is called, the security at the building will be awesome, as threats to at least one senior manager have been posted on a web-site. Irresponsibles and TAD seem to be irresistably attracted.
The close period will soon arrive, the shutters will fall, in line with the price.
P&O looks good though.

Wyse promises rebirth of thin clients

Wyse has a new set of products and partnerships in its push for server-based computing.

Wyse CEO John Kish will launch the company's new thin-client computing application alongside Sun president Jonathan Schwartz and CA president John Swainson later today, which whom the company has signed reseller agreements.
The company's new Streaming Manager software can be deployed on servers with the Windows Server 2003 OS to deliver unique sets of applications that run on Windows across a company's network.

hmmmm...this is interesting. I assume the streaming technology is not TAD's as I recall. So...Sun being Microsofts hated enemy for ions, could this force MS to buyin similiar, i.e. TAD ?

Surveyors at Ordnance Survey Northern Ireland (OSNI) are undergoing the final stages of training in their new field data capture system - MIDAS Survey. The solution, developed for OSNI by the Geospatial Solutions Division of Tadpole Technology, provides OSNI surveyors with a field data capture system that will integrate fully with their enterprise-wide Mapping Information Database and Surveying system (MIDAS).

ESRI (UK) was awarded the contract to supply OSNI with their enterprise-wide GIS. Development of the enterprise ArcGIS based system was subsequently undertaken by ESRI Ireland, with Tadpole Technology subcontracted to deliver the field component.

"A major factor in our strategic decision to migrate to an ArcGIS platform was the number of our customers who are ESRI users" explains Trevor Steenson, Operations Director at OSNI. "Tadpole Technology's proven expertise building ArcGIS based systems and providing national mapping agency solutions, as well as its long-standing working relationship with Ordnance Survey GB, made it the ideal organisation to develop the field component of our enterprise system."

Tadpole Technology worked closely with OSNI to develop a field system that would not only support traditional graphic survey techniques, but leverage new technology such as GPS and TPS. Combining this with easy to use tools, surveyors are able to efficiently maintain data to the OSNI specification. All measurements can be input using the on-screen keypad or handwriting recognition, or directly captured from survey instruments using Leica Geosystem's Mobile Matrix solution.

MIDAS Survey provides other specialised functionality that has been developed to streamline OSNI's field survey process, such as semi-automated map creation that eliminates the need to manually select and configure data layers. Users of the system will also have access to focused editing tools that have been developed to meet the specific needs of the OSNI surveyor.

"By working closely with OSNI at each stage of development, we have been able to deliver a solution that supports the OSNI datamodel and meets the specific requirements of the user." states James Blackwood, European Professional Services Manager for Tadpole Technology. "This delivery further underlines The Geospatial Solutions Division's expertise in ESRI technology and our ability to deliver leading-edge field solutions."

Issue of Equity

The Company today announces the issue of 8,683,279 1p Ordinary Shares at a price
of 3.25p, pursuant to the issue of the holdback shares in relation to the
acquisition of StreamTheory Inc. This issue follows the allotment of the initial
consideration of 78,149,510 1p Ordinary Shares on 20 October 2004. Details of
this transaction were circulated to shareholders on 24 September 2004, and the
acquisition was approved by shareholders at the EGM of 12 October 2004.

As part of this issue Mr Steig Westerberg, an executive director of the Company,
receives 2,412,029 1p Ordinary Shares. Following this transaction Mr Westerberg
has a beneficial interest in 20,941,942 Ordinary Shares, representing 5.26 per
cent in the ordinary share capital of the Company. In addition Mr John Dilts, a
non-executive director of the Company receives 112,595 1p Ordinary Shares, and
Dilts Ventures LLP receives 88,298 1p Ordinary Shares. Following this
transaction Mr Dilts has a beneficial interest in 200,893 1p Ordinary Shares
representing 0.05 per cent in the ordinary share capital of the Company.

The Company further announces the issue of 15,000 1p Ordinary Shares at 4.75p,
pursuant to the exercise of employee options.

Application has been made to the UK Listing Authority for the 8,698,279 Ordinary
Shares to be admitted to the Official List and to the London Stock Exchange for
these shares to be admitted to trading. These shares will rank pari passu with
the existing ordinary shares of the Company and dealings are expected to
commence on 11 November 2005.

Was looking quite promising for a while but now both Evo and Wins
switch to the offer, quite a nasty turn for those who were sucked
in at 4.25p, quite tempted though to take advantage of any shake
in the shareprice now there's lots of handbags flying around internally.

They are indeed in the closed period snap, and as I posted some days ago this
(at least `de-facto`), precludes any EGM for months, again as I posted previously I doubt if there will be one anyway.
A few people playing around with 100k`s worth of shares in a company with a "value" of 14,000,000 , showing a rise of +14% and a spread of 17+%, reveals the dreadful state of play, and the old cliche "mm`s playing games" returns to haunt those who forgot what a stop-loss is,or rather was
