Pach,

I believe that certain Tadpole shareholding fanatics held a bit of a christmas p155 up yesterday. I was just enquiring whether blinger had an invite.

I do wonder how the call for Emergency General is getting on. Holby City script writers are rumoured to be following events closely .......

The EGM is shaping up very well, brokers just taking a little longer than expected to get the necesaary paperwork out.
I think SW should be kicked out at the AGM would save some money and there is no way we should sell him the SD division, good to see he hasn't co*ked up MCI yet! Although the longer he is left the more oppurtunity he has to screw that one up as well, good to see WYSE are pushing their ETI thin client device out to customers though that should soon see some royalties flowing through on top of the $1.8m

blinger - 15 Dec 2005 18:48 - 2086 of 2262

ROFLOL@yuff,
obviously he wasn`t invited to the General Emergency P155 up, as he is a patient therein.
It is such a sad sight at this time of year to see poor old yuff incarcerated, but the streets are safer , that is the blessing.
A medic has opined that his condition is worsening, he really thinks that the "Emergency Meeting" will occur, nobody wishes to shatter his dream however, so he is allowed to continue down the road of e-mailing his " shares" to the Emergency Gang.

Schhh!!- as we all know their will be no "Emergency Meeting", let poor yuff off lightly, and pretend it will happen

blinger - 15 Dec 2005 18:54 - 2087 of 2262

Another REALLY good day for TAD, the loss earlier has been turned by a miracle of mm manipulation into a +3% gain- well done all buyers.
The fact that the spread is now 35% means that those buying only get an immediate loss of -32%, much better than most holders have suffered- up to -96%.
Well done all, and a special thanks to the Emergency General Commitee,TAD directors are really terrified now as they reduce the Xmas bonus to a more reasonable $1m each, its a triumph for the losers.

MightyMicro - 15 Dec 2005 19:55 - 2088 of 2262

I am puzzled. Is this EGM an Extraordinary GM or an Emergency GM?

I haven't ever heard of an Emergency GM although I've chaired a few Extraordinary GMs in my time. I've even chaired an Emergency Board Meeting.

Also, are all the players familiar with the company's Articles (ie, its constitution)? What provisions are there in those for removal and appointment of Directors?

I think we should be told.

pachandl - 15 Dec 2005 20:45 - 2089 of 2262

MM - there is only one type of EGM. What is extraordinary is that they cannot get the term right (if you pardon the pun).

blinger - 15 Dec 2005 21:00 - 2090 of 2262

MM/pach`
erm, no they haven`t got a clue, indeed if they had they wouldn`t be boasting about having millions of TAD shares between them.
Co.Articles?, removal of Directors? , again you are in the stratosphere of company law as far as the `cardies ` are concerned.
One tries to warn them that costs may come their way, but they know best.

It`s a bit like a doze of ` tinea pedis`, best held in the trainers until a cure is found, if you are the sort of person who wears trainers of course.

MightyMicro - 16 Dec 2005 16:48 - 2091 of 2262

What about s.459?

I would have thought that some of these shareholders would stand a better chance of making their case, one way or another, under s.459 of the Companies Act, often referred to as the "oppressed minority shareholder" section under which inter alia they could argue in the courts for relief on the grounds that ". . . the company's affairs are being or have been conducted in a manner which is unfairly prejudicial to the interests of its members generally or some part of its members or that any actual or proposed act of the company . . . is or would be so prejudicial."

Perhaps when looking up the meaning of EGM they could browse a little further.

blinger - 16 Dec 2005 22:43 - 2092 of 2262

". . . the company's affairs are being or have been conducted in a manner which is unfairly prejudicial to the interests of its members generally or some part of its members or that any actual or proposed act of the company . . . is or would be so prejudicial."
-

Yep, but the problem is that the management have been running the co. this way for 20 years, without a murmur from the shareholders, "the members interests" appear to have been satisfied for 19 years, judgement---

"opressed minority?, nah , they seem to have enjoyed it!"

What a bunch!!!!!!!!!

snappy - 17 Dec 2005 13:02 - 2093 of 2262

Of course they have enjoyed it, they have bought more and more shares as the price has slipped lower and lower.

The stories of white Mercedes bought from the proceeds of Tadpole trading just don't wash with me.

What a bunch!!

blinger - 18 Dec 2005 20:59 - 2094 of 2262

Oh no snap` the White Mercedes craic was true, ML sells them in Cardiff ( just one lady farmer owner only boyo, takin` lambs for slaughter, i`ll wipe the gore off the back seat innit aye), and yuffer washes them, tenderly by hand, no, not the sheep, erm, well possibly, but generally the White Mercedes.

ps only an Essex man would ever have even thought of a Mercedes being white- God love and protect him.

Carlsbad, December 19, 2005: The Geospatial Solutions Division of Tadpole Technology Group today announces the implementation of GO! Sync (Edit) at the Houston-Galveston Area Council (HGAC), a regional council of Governments in the Texas Gulf Coast Region. The council encompasses 13 counties and extends across approximately 12,500 square miles, including a region with a population in excess of 5,000,000.

Coordinating and distributing data among disparate public agencies in the HGAC planning region has been an increasingly pressing and difficult problem, exacerbated by the sheer size of the territory and population. As part of HGAC's ongoing efforts to better manage and maintain regional geospatial data, it has selected GO! Sync (Edit), Tadpole Technology's bi-directional data synchronization software, as its regional data transport and synchronization service. GO! Sync uses incremental updates to synchronize data between multiple ESRI ArcSDE instances, in this case over the Internet.

"The urgent goal for HGAC and its member agencies was to enable the real-time exchange of information," states Max Samfield, HGAC's Data Services Director. "By implementing GO! Sync, our members will significantly improve data accessibility while reducing data maintenance and development costs."

"In common with many other organizations, HGAC required the concurrent maintenance of spatial datasets from geographically dispersed sites," says Susan Park, Business Unit Manager at Tadpole Technology Group "GO! Sync was an ideal product for HGAC, providing a ready solution to the problems associated with synchronizing multiple ArcSDE servers."

any update on the Emergency General moneylender?

any white mercs purchases to report from your Tadpole trading profits? (oh sorry that was Keith wasn't it)

yuff - 19 Dec 2005 16:31 - 2097 of 2262

Snappy
Latest update is SW is thinking about going into intensive care but not even that is thought to be able to rescue the position he has now put himself in.
Shame!

snappy - 19 Dec 2005 16:36 - 2098 of 2262

yuffer - so have you got the 10% support needed to call an EGM? and do you think you can persuade another 65% of the vote to back the fanatics?

I am in agreement with blinger that there will be no EGM motions from the fanatics.

All huff and puff

blinger - 19 Dec 2005 17:15 - 2099 of 2262

ROTFLMFAO!!!!!!!!!!!!

The only motions the cardies will go through are gallons of BS.
Bit like that announcement above, another order for TAD to lose money on in bucketfuls, and I mean the group, goodness knows the overheads must be about 150 % of group turnover now, what a shambles.
No update from the Emergency Ward then?, they must all be tranquilised.
