Dowgate Capital - Capitalising on the booming AIM market (DGT)

Dowgate Capital (DGT) are sitting in the middle of a goldmine!

This company through their sole trading arm City Financial Associates are looking to take full advantage of the "booming" AIM market this year. Dowgate provide NOMAD (NOMinated ADvisor) services to AIM companies and also have full Corporate Broker status which means that they can fund placements on behalf of the companies they represent.

On first sight, the fact that Dowgate exist in the often veiled financial services sector makes you think twice about investing in company such as this because it would be impossible to understand what they were doing - however, think again!

DGT bring new companies to the AIM (Alternative Investment Market). For each new company "floated" on AIM, they take arrangement fees when acting as NOMAD. After the company is launched then for a nice steady earner DGT get another healthy chunk of cash every year for looking after them (note that all AIM companies must have a nominated adviser - thereby securing a ready source of recurring income).

Because DGT also act as a Corporate broker they can get a very healthy percentage for arranging placement of shares with insititutions before a new company floats. In addition, because placements come outside the sphere of yearly NOMAD work, they can also gain healthy percentages of placements which companies may need to make throughout the year when they need a quick injection of cash to speed growth.

Current NOMADships: 28 companies represented (gives recurring income of approx 480,000 per year)

Current on-going Brokerage agreements: 19 companies (income depends on placements)

For flotations, depending on the size of a company, fees charged will be anything from 50,000 to 100,000+ For placements (the real earner), DGT get anything from 3% to around 12% of the TOTAL AMOUNT RAISED - For example a new company raising 3M though a placement will earn DGT anything from 90,000 to 360,000 ! These figures are indicative as actual deals all differ due to circumstances and DGT sometimes take payment in shares - they still have a tasty chunk of Setstone shares and when this Russian exploration company comes back to AIM, predictions are that the share price will rocket. Note that the amount that this little company can earn in fees is huge and every new deal that comes through we know will contribute another healthy chunk into the bottom line. The good news with every new floatation means that it's another chunk of recurring revenue which could go on for years, with DGT having to do very little. New clients gained in 2005 are:

We seem to be building a really nice consolidation on the 0.95p line with good two-way selling over the last few days since we hit this mark, with no retracement as there would have been had the SP got ahead of the company's fandamental value. Bodes well for the next leg up to some where north of 1.0p

I like the 2m buy at .98 to balance the mid-morning flurry of smallish sellers. Downto our .90 - .97 range again by lunchtime. MMs retrieving golf-balls to be recycled for the next round, I shouldn't wonder.

Thanks, canary. Disappointing that no comment. I will drop a follow up to Jeremy re the reporting requirement for the smaller cap. shares. Shouldn't be a big task to have one of their staff to monitor announcements. Some buying today after the sp dropped: even I had sold a few to fund deposit on some windows; Mary wanted them so she is going to jolly well have to pay! It may need further news to make the 1p breakthrough - its only a matter of time; the problem is that management is busy earning fees. If they need to raise funds for an acquisition then they will need to talk the sp up. But I think they will gradually build the faility for fundraising internally. So next time to come under focus is likely to be AGM when a trading report should help. The sp could ease in the meantime. However, I think there are more who appreciate the value and I suspect that there will be aperiod of sideways trading.

Thanks, ww: wonder whether you are a westie or have a westie. sd is a dog but not a westie. I am not a dog but have a westie! Should keep the market interested until then. I'm not really lookign for financial projections other than encouragement re current trading. I would like to see them elucidate their intentions re fund-raising, hopefully with financial implications, although our clever dog should be able to second-guess those.

That might be the case, marcus. But one has to remember that the prelims are essentially about last year. Rawlinson did indicate that 'we will llok at deeloping our fund raising capability during 2006'. A month will have gone by which can be quite a long time in the City. If they want to impact this year's figures re fund raising they really should be getting their plans in place by now.

They can update us on revenue earnings in the first 3 moniths of the current year and give furtehr indications about extending their reach into more focused fund-raising capacity.

I do not imagine fund-raising will be necessary given the cash on their balance sheet, but they may issue paper in part settlement/inducement - an immedaite dilution, unless they acquire an operation already trading profitably. There will still be a goodwill element for any outfit worth buying, but the enlarged group's future prospects should counteract any dilution effect of this.

I have the AGM in my diary and aim to attend (as last year) to see first hand what the mood is.
