Thanks for that Driver. Am I right in thinking then that a takeover would depend on how the shareholders would vote as there is no majority holder at present?

Over 50% is now in the hands of 7 funds. This must make the share start to become illiquid, and therefore any sp movement exaggerated. A deal would force a very rapid and vertical rise.

As this is one of the more civilised B.B's allow me to correct some of the above.
If you re-read the recent RNS's

Schroders do indeed hold 14.1 % but that includes both British Coal Staff and the Mineworkers Pension Scheme holdings.
Also The Age of reasons 13.19% was prior to the new shares being issued, so has now been diluted, although they did say that they were going to take up all or part of their entitlement.

One2Watch, I was being lazy, letting someone else do the work, so thanks for the addendum, it confirms what I thought - that the ordinary shareholders have the final say in a takeover.......for now.

As One2Watch pointed out, Schroders 14.1% includes The Coal and Miners are wirthin that.

Turning to AgeofReason, it doesn't look like they took up their Open Offer entitlement as there has been no RNS stating holding changed from the 13.19% they were left with before the dilution - that is only 4.4% after dilution. so they must still have between 3% and 4%. They sold 85m shares to take up the Offer but that should have been reported by now. It wasn't - so they didn't ? Or is a Trust in Israel (if it is) exempt FSA regulations?

HW must be nursing his wounds right now. From 23% of a Company with a Market Cap such that the holding was worth approx 60million to now, shares worth a little over 2m plus 1million-ish cash.
And no job, not that the money was good (15,000pa) but the expenses probably were.

That was him. We used to drink in The Richard Steele, Haverstock Hill along with Ronnie Frazer, Tony Booth and a lot of other drunks. Being a bit younger (and poorer) I was not so hard on the booze as some! But great times. Pub is much the same - took a son there recently, only celeb we saw was a Dr Who although I am told one of the Oasis Galagher brothers and Chris Evans have picked up the baton in recent years.

However, from the press releases of both sides and the SEO prospectus, I'm not sure that either party is totally confident about their own holds on the IP.

I am not looking at the institutions to suddenly jump out for a quick profit.
Most institutions have direct or indirect pension fund holdings and they may decide IF contracts start to flow to stay in for the long term.
With several big shareholders in the play, it could mean they look to taking over bigger slices of each others holdings and not a takeover of the company. Which one/two are going to be the first to ditch and run, leaving the possibility of those left to ride to potentially greater profits. Don't forget getting out too early annoys shareholders almost as much as staying in too long.
Don't usually sit on the fence, so my bet is a medium to long term ride for the institutions (now watch everything go opposite).
But who the hell knows.

Here goes my conspiracy theory;
SEO showcase Starpol / GS to customers, who respond with a "yes please". They issue the famous LOI and embark on their due diligence. SEO think "we did it, chaps. We can make it through to profitability".
The customers then come back in late September with the results of their due diligence. They have 2 concerns. Firstly financial stability and secondly the managements experience and cannot proceed to contract unless these are addressed. Negotiations halt.
SEO decide they need backers for the cash and approach the institutions with the LOI and results of due diligence. The backers love the products, love the LOI but have similar concerns over the management.
HW has concerns over his future role and forces the board to make an offer to existing shareholders, so that he can maintain his holding and have sufficient shares to protect his job. he sells some of his holding to fund his purchase but its not enough. he is hoping for support from other holders who pull out and so he is voted out.
Meanwhile the institutions are promised that after the offer they can place their own men on the board so that they are satisfied and SEO can go back to the potential clients and say both points are now rectified, can we exchange contracts please.
As the EGM happens, HW is dispatched to meet with the clients to give them the good news, little realising his role is now over.
