6?! - hardly likely is it?

anyway, just change the M&A to accommodate more if you want them

kimoldfield - 15 Nov 2006 09:28 - 22434 of 27111

The M&AA can only be amended on majority vote SD.

So . . . have an EGM. Oh they had one last week and forgot to include it, silly boys.

kimoldfield - 15 Nov 2006 09:37 - 22436 of 27111

They would not need an EGM, the Board would be responsible for a change to M&AA, but my thinking is that they may not want too many Directors "Too many Directors spoil the company" and all that stuff..........oh yes, they already did!!

No mention of Director changes in the press?
I would have thought it would have been reported in the FT at least - especially as it was the 'founders' of the modern SEO.

ths - 15 Nov 2006 09:49 - 22438 of 27111

The Press are probably waiting for the follow up appointments/announcements..
saves paper and ink (in keeping with the theme)

Another possibility, HW & IB's replacements first have to resign posts elsewhere due to conflict of interest and RNS' have not yet been released for them? Or just a case of "I'm not playing if those two are" Step aboard Mr Bond and Miss Moneypenny, we need you NOW!

robinhood - 15 Nov 2006 09:54 - 22440 of 27111

just hope that this departure is not caused by those two screwing up one of the potential contracts!!!!! FT last week mentionned that macdonalds was about to enter into a contract with seo on starwrap. How come nothing is on the table yet?(after all if FT know the story then this event has to be imminent)

Sharesure - 15 Nov 2006 10:04 - 22441 of 27111

I think it was inevitable that IB and HW had to step aside given the lack of progress and destruction of the mkt. cap. over the last 6 months. The emergency Placing so soon after the market was tapped for money before is reason enough for the City's lack of confidence. It might want the FD's head as well. I am interested in seeing who will be appointed to the Board since that will give a good pointer as to whether the institution tyhink SEO is a long term investment or they are in it for a quick turn round and then sell.

Just heard the bit re the Queens speech re climate change/environment and it appears the government are trying as expected to out do the Tories on the issue.
The issue was one of the main subjects mentioned.
OK, personally I don't think any politician cares about anything apart from his/her next pay cheque and expenses, but if the environmental issue means votes the government will want to be seen as the greener party. At least attempt to cut said emissions will be made.
In my opinion the best way to be seen to do something is cutting waste. Penalties for more wasteful companies, and higher costs to dispose of said waste, cant do SEO's case any harm.
Its a shame we cant bottle all the hot air put out by politicians. If we did we could heat the whole planet.
There so full of wind I know where I would stick a wind farm.

Tonyrelaxes - 15 Nov 2006 13:48 - 22446 of 27111

MadPad

Mad Pad - 15 Nov 2006 13:54 - 22447 of 27111

Tony you refering to "Todays Rumour "in the Times?A very different bird to grown up coverage in the FT I think!!

Hi folk! Been on the sidelines for a while but its getting interesting. Most encouraging thing is MoneyPlus coming on board: an angel not a fool!

Agree SD that HW and IB still on board. My take is that Schroders are likely to be in the driving street as they have taken a holding themselves and brought in two Pension Fund clients; there will have been a price to pay and that will have been effective control. I thing I am right in saying that they like to separate the Board with strategic and governance responsibility from operation management. IB and HW will have a lot of valuable knowledge re technical cpability and the markets.

I think it would be surprising if there was an early announcement re a sale: a major client would want evidence of stability; also if a sale was so near why not buy the business to help the share issue price? Re the discussion on private investors holding a balance, I suspect that is unlikely because most of the take up will have been institutional. My take of Schroders is that they will want to get the company in a stable state which means a small number of significant clients plus sound plans for, for instance, Greenseal. That must take some time. They will then want to package it for sale, perhaps even a management buyout given that management is signifcantly strengthened by then. They will not be looking for a quick profit so that they will not be keen to see the volatility from speculation.

If my take is right, SEO should be a sound investment with a one year view. Short-term, there must be a lot of hot money wanting to take profits as in the last 24 hours. Personally, having been twice bitten I am 4 times shy: generally too quick on the buy button, so I'll bide my time.
