'Competition

There is a risk that competitors may be able to develop products and services that are more attractive to customers than
the companys products and services.'

A risk or a certainty?

oblomov - 02 Apr 2008 10:10 - 26324 of 27111

'The company recognises the importance of communicating with its shareholders'

'The board recognises that the AGM is the principal forum for dialogue with private shareholders.'

Oh yeah?

'Martin J Wagner resigned as CEO on 12 April 2007. His contract, dated 25 November 2005, incorporated a 6 month notice
period for him and 12 months for the Company. Mr Wagners salary in the period was 36,380; in addition he received
bonus of 85,000, termination payment of 128,400 and benefits in kind of 1,249 which totals 251,029'

That was money well spent!

kimoldfield - 02 Apr 2008 10:25 - 26326 of 27111

You missed a bit Oblo:-
"The chairman, the chief executive and the finance director are primarily responsible for investor relations. Feedback from major shareholders is reported to the board and discussed at its meetings." (So stuff the rest of you!)

"PROMISSORY NOTES

Group Promissory notes are amounts due from members of Biotec Holding GmbH Group to the 50 per cent shareholder,SPhere. Amounts due represent the principal loans plus unpaid interest.Interest is calculated at one per cent per annum on the outstanding loans.

The promissory notes are repayable on demand. On this basis the notes are included on the balance sheet at the face value which is equivalent to fair value.

The promissory notes are not subject to interest rate risk as interest is fixed at 1%and are repayable on demand.
"

Makes that much clearer now!

greekman - 02 Apr 2008 17:34 - 26328 of 27111

I'm bl**dy certain the board would not welcome my comments/feedback.

tweenie - 02 Apr 2008 19:10 - 26329 of 27111

WTF was Wagners bonus for?

kimoldfield - 02 Apr 2008 19:18 - 26330 of 27111

For decomposing 'The Golden Ring' Tweenie?

oblomov - 02 Apr 2008 22:26 - 26331 of 27111

And Wagner's 'termination payment of 128,400 ' - since when did an abortion cost that much?

greekman - 03 Apr 2008 07:53 - 26332 of 27111

Are we sure its spelled Wagner and not ******.
Apologies to those sensitive posters still in SEO, if there are any left.

Tonyrelaxes - 03 Apr 2008 10:38 - 26333 of 27111

Just back from away. Looking at report. Hmmm...

I never understand how someone who resigns can get termination payments.

Such arrangements are a disincentive to continue to be employed.
Ah - maybe I see!

Tonyrelaxes - 03 Apr 2008 10:44 - 26334 of 27111

Spot the difference -

The Board thanks Philip [Lovegrove] for his contribution to the business during his period of service.

The Board thanks Martin [Wagner] for his contribution to the business during his period of service.

The Board acknowledges and thanks Ian [Balchin] for his contribution to the business during his period of service.

tweenie - 03 Apr 2008 10:47 - 26335 of 27111

Glad the sense of humour still prevails.
I wish i could get a jod where even if I **** up I'd be paid handsomely for my failings.
Surely his bonus and termination should be withheld if he resigned/was required to resign/was a complete F**Kwit.
Sorry i forgot this is SEO and corporate business where 'THEY' know best for OUR money.
:-)
bunch of merchant bankers

greekman - 03 Apr 2008 10:50 - 26336 of 27111

That's the big difference between the UK and USA in the business world.
We tend to reward failure, the USA reward success.

hewittalan6 - 03 Apr 2008 11:01 - 26337 of 27111

Yep,
They've been rewarding a slow progression towards bankruptcy for 25 years.
At least we do it a bit quicker.

oblomov - 03 Apr 2008 13:00 - 26338 of 27111

Termination should mean Termination.

He might have performed better if it had! Or am I being a tad harsh?

kimoldfield - 03 Apr 2008 13:21 - 26339 of 27111

Wagner WAS the Terminator wasn't he? "I vill not hurt you, just your bank balance"

hangon - 03 Apr 2008 16:22 - 26340 of 27111

Anyone going to the AGM, or will it be held in a lift, somewhere in Siberia?

kimoldfield - 03 Apr 2008 16:42 - 26341 of 27111

Well, if it's in a lift then at least we can be assured that, at some point, SEO will be going up.................and we all know what happens after that!

halifax - 03 Apr 2008 17:23 - 26342 of 27111

More likely to be held in a large plastic(bio-degradable) bag.Dont hold your breath!
