Under AIM Rule 13, the Secured Loan Agreement constitutes a Related Party
Transaction as Fox is a related party as defined in the AIM Rules for Companies
because it is a substantial shareholder, and two of its directors, Roy Tilleard
and Justin Martin, are directors of the Company. Jonathan Ely, a director of
the Company, is connected to Fox so is also deemed to be a related party.
Richard Holmes, who is the only independent director for these purposes,
considers, having consulted with Dowgate Capital Advisers Limited, the
Company's nominated adviser, that the terms of the Secured Loan Agreement are
fair and reasonable insofar as the Company's shareholders are concerned.

holmes9, are you Richard Holmes mentioned in aldwickk's post above.

You kept on about only 150,000 shares availiable, these are only worth about 300. I find it impossible to believe that a purchase of this size would send sp into orbit.

Also you havn't answered the question as to why you cant buy.

Finally, thank you for the tip, but I shall watch from the sidelines for now until my suspicions have been abated.

Just as a matter of interest, what does 30k working capital buy these days? It hardly covers one director's salary or the lease & running costs for a year on an office. Also, no trades again I see & I bet they would be a nightmare to sell should the occasion arise.

there is only 150k available.limits and spreadwill then be cut.the 60k from dec has not been used and neither has the new 30k of credit.we have re-listed twice why.?.business is now going forward and sales are excellent.results this month.dyor
