Base Group - why is someone accumulating stock in this cash shell ???? (BS.)

paulmasterson1 - 23 Aug 2005 18:52

Hi All,

Anyone heard any rumours about Base Group ????

All I know is, that the price went up 86% last week, as one buyer (Crispin Barker - see below !) increased his holding by 8,000,000 shares, to give him 54,750,000, or 6.5% of the company, which is just a cash shell, looking for aquisitions for a reverse takeover. Today the price dropped, and it was ALL buys, 6.2m in total, so I reckon he has bought more, wait for an RNS to show it I reckon.

Crispin Barker is connected to Civilian Content, check out their recent RNS's ....

Artists Independent Network, the London- and New York-based production/management shingleshingle run by Charles FinchCharles Finch and Luc Roeg, is seeking a merger with Civilian Content, the publicly-listed parent of U.K. lottery franchise The Film Consortium and sales company The Works.
The move has the support of Richard Thompson, Civilian's founder and largest shareholder with 25%.

AIN has lodged a bid to buy the 22.5% stake owned by Crispin Barker, offering a premium upon the current $1.1 million market value of his stock. The deal is contingent upon the Civilian board agreeing the merger, due diligence on both sides and a vote by all Civilian's shareholders.

Civilian Content buys 5.92 pct stake in aim-listed invstment vehicle Motive TV

LONDON (AFX) - Civilian Content PLC said it has acquired a 5.92 pct stake in
Motive Television PLC, the AIM-listed television investment vehicle headed by
ex-Chrysalis industry veteran, Mick Pilsworth.
Motive TV was established in May 2005 to acquire television production and
licensing businesses in the UK, following recent favourable regulatory changes
in the television market.
Civilian chief executive Chris Auty said: "This is a strategic investment
for the company as we look to further diversify our interests. Recent changes to
the regulatory framework governing terms of trade in the TV sector are clearly
favourable to the production sector, particularly in drama and series." Civilian
Content specialises in film production, finance, UK distribution and
international sales.

Also what could be in store here ????
Civilian Content PLC
03 August 2005

Civilian Content plc

Change of Name

Following the company's recent announcement that it had launched a new
distribution business 'The Works UK Distribution Limited', and with its other
major subsidiary being 'The Works International Sales Company', the Board of
Civilian Content PLC has decided to change the group's name to more fully
reflect its trading names.

Therefore it is proposed to change the name of the group to 'The Works Media
Group PLC'. The previously agreed name change 'Civilian Group PLC' will not be
pursued.

This change of name will be proposed at an Extraordinary General Meeting to be
held on Friday 26th August at the offices of KBC Peel Hunt's offices, notice of
which is being sent to shareholders today and copies of which can be obtained
from the offices of KBC Peel Hunt at 111 Old Broad Street, London EC2N 1PH.

These companies and people are new to me, so does anyone know what the plan might be, and if it's worth a punt ????

Cheers,
PM

hI/ Paul
well a nice blue day with base , same on Tuesday and we might (should )see a price move north, can't see why it didn't today ?perhaps i'm being greedy, as somebody used to say we shall see

paulmasterson1 - 26 Aug 2005 18:45 - 35 of 73

Auto Hi,

Looks like it's me, you and Crispin here .... LOL !!!!

Actually I had a look on Bloomberg at shreholdings in BS, and Crispin has the third highest holding, and the Chairman has the 4th largest holding, Pershing Nominees have a big holding, but together, all those (who have declared !) holding more than 3% add up to over 50% of the stock !

There is definately something going on, and the current MCap is cheap for a shell, but Crispin is not buying stock in a shell company for the benefit of his health, nudge nudge, wink wink .... LOL !!!!

Have a good looooong weekend !

Watch out for YOO interims next week, Monday is the same date as last year. Also watch out for the EGM statement, and other possible RNS from SEO.

Cheers,
PM

stringy - 26 Aug 2005 20:22 - 36 of 73

Thanks paul!

-Doing very nicely with YOO and AEX at the mo. Not tempted by this one yet though.....looking to aquire stock in ULT when the time is right and adding to YOO if results as good as we expect. Also going to add to PDX on Tuesday.

Also watching closely...MTT, CRX and GFM.

If you've any spare time over the bank hols you might take a look at these? I would strongly recommend you look at PDX!

Would value your opinion.

I said it was coming, and Crispin Barker must know it's coming too :)

Base FY pretax loss narrows, sees acquisition for reverse takeover by
Christmas

LONDON (AFX) - Base Group PLC said it believes it will be able to announce
an acquisition before Christmas, as it announced its pretax loss in the year to
February narrowed to 153,000 stg from a loss of 1.32 mln.
The company, which has been seeking potential acquisitions for a reverse
takeover, needs to complete a takeover by April 1, 2006, otherwise it will be
delisted from the Alternative Investment Market.
It added that meanwhile, all executive and non-executive remuneration has
been deferred to minimise overhead costs.
