MELDEX. Double your money- quicktime. (MDX)

kitosdad - 12 Dec 2007 16:20

The engines have fired up at last for MDX. ( BPRG ) At long last they are being recognised for the force they will become over the next two years. On the cusp of disclosing huge revenue-earning deals with Global pharmacists. These have been hinted at as being unrolled before the years end, but may be in the next days. You still have time to get in at a bargain-basement price before the SP takes off for real shortly.

We will see who is right...Business dont have to be dullcome on GeordieJKD?

hilary - 27 Oct 2008 09:22 - 3651 of 8631

You're ramping again, ChilliBoy.

It's just so much nicer when we can talk about food. I bet you're a real sucker for deep-fried camembert with chutney (red onion???) and toasted ciabatta.

kimoldfield - 27 Oct 2008 09:38 - 3652 of 8631

I hope that's caramelized red onion chutney!

tabasco - 27 Oct 2008 09:39 - 3653 of 8631

Not a great fan of pesto personally. I think it's the thought of whitefly in the basil that put me off.

Oh, and glad to see that you're watching that old ticker of yours. The MDX share price can't be doing it much good just now.

tabasco - 27 Oct 2008 10:06 - 3655 of 8631

I was a big fan of dummies and then Corgi cars when I was a kid.as my brain developed I soon learned Womens nipples and BMWs was the real deal

hilary - 27 Oct 2008 10:17 - 3657 of 8631

Actually, ChilliBoy, quarterly visits to Cite Europe are a must combined with lunch either at the froggy place by the river underneath Montreuil-sur-mer or at Le Cocquempot in the town itself. I know it's a 45 minute drive further on, but it's well worth going that little extra way imo.

tabasco - 27 Oct 2008 10:35 - 3658 of 8631

Meldex International plc

('Meldex', or 'the Company')

Directors' shareholding

Following the issue of new ordinary shares earlier this month, the Company was informed that Helmut Kerschbaumer and Klaus Kuehne, Interim CFO and COO respectively and Board Directors, have a beneficial interest, in 9.0%, of the issued share capital of the Company, representing 21,041,139 ordinary shares in total.

These shares are held by Melmed Holding AG ('Melmed') and Sanguisan GmbH (formerly Melbrosin GmbH - 'Sanguisan'), which are entities in which Helmut Kerschbaumer and Klaus Kuehne own substantial shareholdings. Melmed Holdings AG ('Melmed') owns 19,199,389 ordinary shares in the Company while 1,841,750 ordinary shares are held by Sanguisan GmbH.

The above shareholdings arose through the acquisition of the Melbrosin Group in June 2007 when 15,069,631 ordinary shares were issued as vendor consideration, and 10,936,648 ordinary shares were subsequently issued in August 2008 to satisfy earn out obligations that arose in respect of that acquisition. These shares were issued subject to lock in arrangements.

However the Board, (of which Helmut Kerschbaumer and Klaus Kuehne were not members at the time of the transactions), consented in accordance with the provisions of the Sale and Purchase Agreement relating to the acquisition, to relax the lock in arrangements in respect of 4,965,140 ordinary shares which were sold by Melmed and Sanguisan in November 2007 and May 2008. These shares were sold to meet tax and other liabilities resulting from the sale of the Melbrosin Group.

The remaining shares held remain subject to lock in agreements in accordance with the Sale and Purchase Agreement as follows: 10,104,491 ordinary shares subject to lock-in until December 2008 and 10,936,648 subject to lock in until May 2009.

The total number of shares in issue currently is 232,541,089. There are no shares are held in treasury. Therefore, the total number of voting rights in the Company is 232,541,089.
