Investment in Geosim Systems Limited ("Geosim")

Further to the announcements of 26 October 2005 and 11 August 2005, Brainspark
now announces that, together with Geosim and the other shareholders in Geosim,
the Company have entered into a convertible loan agreement with CRASH Ventures
LLC, a US private equity firm, (the "Firm") (the "Geosim Agreement"), a Oregon
limited liability company.

it does not look like the deal has been signed yet for Geosim, a loan agreement has been entered into... so still more news to come ;-)

Well thats the end of theBrainspark's rampers hopes of a deal with Google. BSP has granted the right to acquire their 50.1% share of Geosim for $6,262,500 :"11-8-05; Subject to a number of conditions and formal documentation the Company has granted the Firm the right to acquire 50 per cent of the Company's stake in Geosim for $6,262,500". Looks like the papers are now signed with CRASH. thats where the RNS was wrong hunter, its not a loan, its an investment, thats a very big difference
