Business software group Autonomy Corporation said it is to acquire US software group Verity for $500m.

The deal will be funded partly through a 153m rights issue.

The one-for-two rights issue will be priced at 256p per share.

Autonomy said the Verity deal will be earnings enhancing before amortisation of goodwill in the first full quarter after completion.

Verity shareholders will receive $13.50 cash per share, a premium of 30% over yesterday's closing price of $10.37.

Verity's CEO, Anthony Bettencourt, will become CEO of the enlarged group's US unit, Autonomy Inc. The current head of the US operations will move to the group to become chief strategy officer.

The rights issue will be fully underwritten by UBS Investment Bank.

An excellent acquisition and an attractive rights issue.
IMO there is much more upside on the SP.
A bargain !!!!!!!

Great news.
Should the shorters buy shares at the market price or at 256?

smitten69 - 04 Nov 2005 11:13 - 19 of 58

A typical momentum stock .. year intra-day high on Sept 2nd was around 387 but closed the day at 353. Would be interesting to see where it closes today.

Any one remember 2000 when its IPO was at 42.00. Elliotists would have no probs labelling this rise as wave B of the ABC correction from 387 which should not be taken out.

ianwas - 13 Apr 2006 08:06 - 22 of 58

NOT A SHARE TO SELL IN THE FIRST 2 HRS TRADING AS THE SPREAD IS OUTRAGOUUS!!!! STOP LOSSES COULD TAKE YOU OUT WAY TOO EARLY ON THIS ONE. I THINK THE SELLING PRESSURE IS DUE ONLY TO SOME INSTITUTIONAL SELLING AFTER A GOOD RUN AND THE DOUBTS INSTILLED BY COMING RESULTS ,BUT WOULD LIKE TO HEAR ANY OTHER THOUGHTS /INFO.

CHEERS

gekkko - 19 Apr 2006 14:09 - 23 of 58

Looks tasty as the results due and these are flying........

ianwas - 11 May 2006 17:55 - 25 of 58

Looks like we are heading north again! Unless of course the main indexes decide to head south for the summer. Results digesfed and new software out so looking positive. Still prone to wild swings though. Any news/tips out there?
