I see the latest RNS about the EGM has not drawn much comment - from what I see its the other bits to look for - does not look like a company going places and expecting millions in revenue when they want the option to issue another 40+M shares and also increase borrowing level ability - looks like they intend to make hay while the hype is hot and spend spend spend before everyones sees its all gone wrong IMO.

The Directors are also now seeking approval for two further resolutions.
The first such resolution seeks Shareholder approval for the issue of further
new Ordinary Shares for cash, other than on a pre-emptive basis to existing
Shareholders, under the terms of section 95 of the Act. The Directors obtained
an equivalent authority at the Company's last Annual General Meeting, though
such authority has now been exhausted by the placing undertaken by the Company
on 8 June 2005. Whilst the Directors have no current intention to use this
authority in the event that it is granted, they believe it would be useful in
providing the Company with the flexibility to raise further equity capital in
the future on a quick and cost effective basis, should market conditions so
permit and should there be a bona fide strategic reason to do so. The authority
now being sought would enable the issue of 46,432,910 new Ordinary Shares,
representing 5 per cent. of the Company's current issued share capital of
928,658,222 Ordinary Shares. The authority will lapse at the conclusion of the
Company's next annual general meeting.
The second such resolution is required to increase the borrowing powers of the
Company set out in Article 94B of the Company's Articles of Association, which
are currently limited to 10 million. Having regard to the level of deferred
consideration payable under the Acquisition Agreement and the level of trade
creditors with which the Group operates, the Directors believe that the current
borrowing limit will be insufficient, and are accordingly proposing that it be
increased to 25 million.

bosley, the link you put in your last message, I couldn't get it to work. Was it significant info?
I am trying to weigh up whether or not, and more importantly if I do, the timing, to increase my holding. So can anyone suggest the significance of the pre.mkt. opening mark down to 18p which seems to happen each morning or what the reason for it is? It doesn't help inspire confidence.

Driver: it is clear from the RNS that there is no identified acquisition target; rather it is prudent to have the authorities in place whilst an EGM is being held.
The need for increase in borrowing capability reflects the cash flow demands from product roll-out and as an integral part of the success story.
As usual, ii seeks to find some negative in a positive picture. From his comment you would draw the conclusion that he ahsn't the least understanding of business and teh cash needs of one that is rapidly understanding. I suspect that he does have a business understanding and, as usual, he is merely lying through his back teeth. the man (or woman) is a charlatan.
Sharesure: this is a good time to buy. The market is quiet with most poeple away for August. SEO continue to put the baseline together for their expansion. The key thing is to get your stake in place before any announcement, even speculation, re US contract(s). A support elvel is being established round about the alst placing price. My own expectation is for a September RNS re the US and I expect speculation to amount in advance. Frogpack has been quiet and you would also expect some croaking from that quarter!

driver, thanks for that. Re buying more, I think the only query in my own mind is obviously iwhether they are going to dip before more news; it would be nice to sneak in and take advantage of that. Longer term I still think that the sp will rapidly increase if they can get their orders flowing in. That 18p pre mkt. mark down is my main concern, because I don't understand if it is significant. Would welcome anyone's views on it.

Sharesure: pm gave the explanation the other day that it was the first of the MMs clocking in; quoting a wide spread because they had no keenness to trade. If it was GSCO they are still quoting a spread of 19.75p to 22.75p so they are hardly going to be used! Could ease a tad more next week but the next major move is likely to be upwards and at least to the old trading range around 27.5p. I thought an Evolution report was due this week but see that they have posted nothing on anybody since 25/07. Tim Freeborn normally manages to dig out something positive and he may be sniffing around in the US as we speak! sd: proves you aren't the only sniffer!

So there was an RNS today after all - so me water was right - again - although still not quite the news we are waiting for. This is getting uncanny - 4 out of 5 aint bad.

Now well invested. So hope those feelings about a dip do not come true. For what it's worth, I did get from the company the other day that they hoped to be in a positionn to update/announce progress re the USA soon. Perhaps we don't have to wait until September?

driver, just interested, and slightly worrying, that it didn't cause any difficulties; hope all the warnings re a large seller drifting out stock is not happening, or if it is, that they run out soon. I haven't ruled out buying more but that's enough for today and perhaps until there is a little more firm order evidence, even if it means paying more.

There seems to have been very little reaction to the RNS.
Whilst not significant in its own right - this is again to my own mind demonstrating excellent planning and forethought from the directors of a well run company.
There could be something in the wind - but whether there is or not - it is good foreward planning that will ensure that they are able to respond quickly and efficiently with a cash deal should the right opportunity arise. I do not think this company squanders money - so I for one feel comfortable with the resolutions.
How do others feel - am I being too simplistic ?

I agree with the the strategy of today's RNS. Far better to be well placed to move fast, particularly as there will be plenty of competitors now watching very carefully what SEO do; they could get left in the deep field if all the parts SEO are fitting together start moving forward together. They will have a formidable range of products for most packaging solutions.

baza: keep on drinking plenty; of water, that is! very intelligent, actually, and not simplistic. I like to see good forward planning; we have had plenty with appointment of commissioning teams, manufacturing supply, executive roles, opportunistic acquisition and now financing.
sharesure: good on yer! helpful to have the indication re US - even a state of play in relation to trials would be good. However, I suspext it will have to mention Wal-Mart and therefore could well mean a contract along the lines of ASDA but without exclusivity (unless of mega size!). You wonder why all these guys are selling the stock - heads need examining. ii's head is such mega-size that he needs a shrink; mind, I expect the industry has given up on him! (artistry needed, please).
