Thanks to another poster.
Just wrote a long winded analysis (lost it by closing the wrong window!) and got four valuations. (assuming 400k cash and no debts)
1. Ignoring the stone deposits and bermudan listing - a cash loaded debt free DMR is worth - 0.45p/share
2. Ignoring the stone deposits take into account Bermudan listing and DMR is worth - 0.7p/share
3. Take into account a discounted stone deposit valuation to 15% of its original 14m valuation if a 'fire sale' was required - 1.7p/share
4. Take into account full valuation of stone deposits and bermudan listing - 7.7p/shares
I've done a historical price check and the bulk exchange of shares has been between 0.5 - 1p.
Am I wild with a speculation of a share issue at 2p/share to aquire the new company?

Q. Have u taken into account the leasing of quaries ?
A. The leasing is not really relevant for the snap-shot valuation on DMR before reverse aquisition - the long-term profitable contribution of the leasing will be taken into account when coming up with a value for issue of new stock. All royalties from the leasing over and above the 50k/year aim listing fee will be classed as profit. If the mines generate say 100k in royalties a year thats 50k profit, so would add circa 500k (0.3p) onto any issue price for new stock IMO. Obviously if the royalties are less/more the extra weighting will reduce/grow accordingly

Hoodless holds 20,000,000 and Moritz around 9,700,000, so in order to achieve a dividend of 50k for hoodless and 25k for moritz the dividend needs to be 0.25p/share...giving a share price in the region of 4p/share assuming no dilution
given we know there will be further dilution to aquire the newco to achieve the above stated dividend levels the market capitalisation will be substantially higher. So....either the issue price will be high to reduce level of dilution, or the future potential will be such that the initial aquisition price (given this is effectively a closed placing) is substantially below the anticipated market revaluation?
..and given their age the revaluation will occur within a relatively short period of time post aquisition. Hence I have always been assuming gold/diamonds/oil/platinum prospect?

Now it remains to be seen whether it is Hoodless or Moritz mopping up the shares here with the million buys.
It's too evident that another one more million buy is trying to be filled by KBC at 0.55 pence since Wednesday.
