Ultraframe PLC - Trading Statement
RNS Number:0092E
Ultraframe PLC
13 October 2004
TRADING UPDATEIn line with its usual practice, Ultraframe today issues a year-end tradingupdate and confirms that the guidance given on 16 August remains unchanged.Ultraframe's performance for the months of August and September indicates that sales and profit were in line with management expectations.
The Board reiterates its expectation of a profit before tax and goodwill amortisation for the yearended 1 October 2004 in the region of #12m.
Also as expected, there was a small net cash outflow for the year. Gearing atthe financial year-end is expected to be modest.
The Board continues toanticipate recommending total dividends for the current financial year equal to those declared last year.
UK Sales in the year were down 19%(1) compared with the prior year, as expected.Pressure on margins continues and Ultraframe's market remains volatile andcompetitive.North AmericaCore sunroom dollar sales for the year continued the trend reported in thetrading statement on 16 August and were 5%(1) up on the prior year. Sales inAugust and September were marginally below the expectations of the Board, andthe business expects to deliver a slight operating loss for the year as a whole. As reported on 3 September, Ultraframe's wholly owned business Four Seasons hasbeen the subject of an adverse jury verdict in the State of Ohio, USA.
Ultraframe has confidence in Four Seasons' position in this case and believesthat challenge to the current judgment, by post trial motions or alternativelyon appeal, is well founded. Ultraframe believes that this judgment should bereduced upon review by the courts although this process could take someconsiderable time. The expectation for full year Group profit for 2004 excludes any potential accounting impact of this case.
This legal process is ongoing, and the appropriate accounting treatment will be approved by the Board prior tothe preliminary results announcement in December.Preliminary results announcementThe preliminary results for the financial year ended 1 October 2004 will bepublished on Tuesday 7 December

Relief as Ultraframe reiterates in line forecasts
LONDON (ShareCast) - Ultraframe (LSE: UTF.L - news) offered weary shareholders a glimmer of hope today as it said full year profits would ADVERTISEMENT be in line with expectations.
Sales during August and September indicate that pre-tax profit before goodwill for the year to 1 October will be around 12m, as predicted in August when the group issued its second profit warning in three months.
A 19% drop in full year sales in the UK is being blamed on volatile and competitive markets.
Ultraframe said its North American operations are likely to show a slight operating loss, while sales for August and September will probably come in marginally below expectations.
The dividend will remain unchanged from last year.
The company emphasised that its profit forecasts exclude any potential impact from a court case involving US subsidiary Four Seasons.
Ultraframe is appealing against an adverse jury verdict in Ohio, although any conclusion could be some time away, it said today.
Final figures are due on 7 December.

Conservatory maker Ultraframe (LSE: UTF.L - news) has seen shares slump over the last year though it now appears to have taken matter into its own hands with a new range for the lower end of the market. It is worth giving a chance to the new strategy, says the Independent, making the shares a hold.

Stock Markets
Interest in Ultraframe boosts its shares
By Nick Hasell
Smaller capitalisation shares
ULTRAFRAME found its best level since Augusts profit warning on hopes that the troubled conservatory maker may attract private equity interest.
Shares in Ultraframe had tumbled from 273p last October to a 66p last month after four profit warnings. But Wednesdays year-end trading update served to steady nerves as it confirmed that trading had got no worse since August.
Arbuthnot Securities was reassured that Ultraframe will maintain a final dividend of 7.86p. Stephen Rawlinson, analyst, believes that next years total payout will halve to 5.6p, although that still produces a yield of 7.5 per cent.
Mr Rawlinson thinks the US operations should be sold, but says the UK conservatory roofs business is a very high quality operation in a low quality market. On that front, he suggests Ultraframes strong cashflows and good UK market position could make it more attractive to private buyers than institutional investors in due course. The shares added 3p to 78p, against a 17.2 retreat in the FTSE 250 to 6,254.1.

Whilst its obvious that UTF are irritated by the takeover rumour, can anyone explain to me how anybody (including UTF)gains from this kind of statement which has inevitable consequences???
