DISPOSAL OF SUBSIDIARIES

The board of Warthog plc (the 'Company') announces that it has today completed
the sale of all of the Company's subsidiaries to Tiger Telematics, Inc ('TGTL')
together with the transfer to TGTL of certain intra-group indebtedness due to
the Company. The total consideration including assumed indebtedness is $8.11
million of which $1,113,000 will be paid in cash and $7 million satisfied by way
of an allotment of 497,866 shares of common stock in TGTL at $14.06 per share,
being the average mid market closing price of a TGTL common share over the 14
days preceding completion. These shares are restricted stock and as such can
only be traded on or after the first anniversary of completion (the
'Anniversary') in accordance with U.S. securities laws. Up to the Anniversary,
these shares will be held in escrow against any claim arising under certain
warranties, tax indemnities and completion account net asset value adjustments
set out in the sale and purchase agreement. 150,000 of the cash consideration
will also be held in escrow until the Anniversary, pending specific warranties.
The Company has waived the balance of all other amounts due to it by its former
subsidiaries.

Upon completion of the transaction, the executive directors Ashley Hall, Steven
Law and Simon Elms together with one other remaining employee of the Company
will transfer employment to TGTL leaving Ian Templeton FCA and David Robinson as
non-executive Directors of the Company. The Company has also undertaken to
change its name and will be calling an EGM to effect such a change in due course
and will at that time update shareholders further.

The board of Warthog plc has sought to complete this transaction as rapidly as
possible (and therefore did not elect to seek shareholder approval) because the
group has continued to face difficult trading conditions within the games
development industry, as reported in the Company's Final Results on 28 September
2004, which has put the group under ongoing financial pressure. In addition,
TGTL required the transaction to be consummated as expeditiously as possible, in
conjunction with the commencement of shipping of its Gizmondo product into the
UK. The transaction leaves the Company having discharged substantially all of
its liabilities and with a valuable shareholding in TGTL which will be capable
of realisation in a year's time. The realisable value of this shareholding
depends entirely upon the commercial success of TGTL and the performance of the
TGTL shares on the financial market.

The board considers, in conjunction with its advisers, that this transaction
represents the best available outcome for the Company and its shareholders.

Tiger Telematics, Inc is listed on the 'NASDAQ Other OTC Market' under symbol
'TGTL'. TGTL's publicly stated intention is to apply for a listing on the
'NASDAQ National Market' in December 2004. TGTL is a designer, developer and
marketer of mobile telematics systems and services that combine global GPS
functions and voice recognition technology to locate and track vehicles and
people down to street level in countries throughout the world. The systems are
designed to operate on GPS and are currently being marketed to GSM current and
potential subscribers, primarily by the company's United Kingdom based
subsidiary, Gizmondo Europe Limited ('GEL'). GEL is a wholly owned subsidiary of
TGTL and is the maker of the Gizmondo, a next-generation mobile entertainment
device which includes games, built-in music, video, messaging and picture
functions and GPS. On 29 October, TGTL began shipping its first generation
product as part of a strategic retail roll out in the UK.

The transaction gives GEL access to existing games content and porting
technology to enable the transfer of titles developed for use on other platforms
on to the Gizmondo handheld device. Warthog plc shareholders will therefore
benefit from continued investment in TGTL as it seeks to exploit the games
content and technical capabilities that the Company has developed over the past
few years.

As previously announced on 12 October 2004, GEL is interested in 8.62 per cent.
of the Company's current total issued ordinary share capital.

About the Gizmondo device
The Gizmondo is powered by a Microsoft Windows CE.net platform, boasts a
2.8-inch TFT colour screen with a Samsung ARM9 400Mhz processor and incorporates
the GoForce 3D 4500 Nvidia graphics accelerator. It provides cutting-edge
gaming, multimedia messaging, an MP3 music player, MPEG4 movie playing
capability, a digital camera and a GPRS network link to allow wide-area network
gaming. Additionally, it contains a GPS chip for location based services, is
equipped with Bluetooth for use in multi-player gaming and accepts MMC card
accessories.

The Gizmondo device and its games are due for launch in the UK in the fourth
quarter 2004 and in North American markets from the first quarter 2005.

DEALERS believe that Warthog, 0.11p dearer, could be a good recovery punt. More than 52m shares in the computer games developer changed hands on hopes that the worst is over. Tiger Telematics, a leading European games console maker grabbed it by the tusks in October when it bought its subsidaries, intellectual properties and assests. In return Warhog acquired a stake in TT which is now worth at least 3p per share.

Tiger Telematics Confirms UK Distribution Duo



LONDON, April 21 /PRNewswire-FirstCall/ --

- 100,000 Unit Agreements Confirmed for UK Mail Order, Independents and Online Retailers

Gizmondo Europe Ltd, subsidiary of Jacksonville, Florida-based Tiger Telematics Inc. (OTC: TGTL ; OTC: TGTL.PK), is pleased to announce signing distribution agreements for the UK with leading independent distributors, Andromeda Entertainment Ltd. and Just Distribution Ltd, with 60,000 and 40,000 unit deals respectively over the next 12 months.

Just Distribution Ltd will be supplying Gizmondo hardware and software to the independent retailers throughout the UK. Set up in 2001, Just's growth model has been focused on support and service to the independents, for which the company has received considerable acclaim.

Andrew Blumson, Director, Just Distribution, says: "Gizmondo genuinely understand the critical importance of the independent retail channel. Andromeda was formed in 1993 to distribute consoles and games, initially to the major UK mail order catalogue companies. As with most handhelds a key item must be the ongoing revenue streams from sales to the owners of Gizmondos.Has anyone seen any forecasts as to where TGTL see the ongoing revenues will come from and how much. They can not be relying on selling the units to make big profits and in a lot of cases the initial product is sold on very low or nil profit just to maximise the number of potetial future customers for the added value services eg games etc

I admit I am not well educated when it comes to company fundamentals but has anyone else tried to calculate earnings on the sale of the Gizmondo?? Now we have some figures, I did a spreadsheet and this is what I got based on Europe and UK projected sales for this year.
Europe 12% of 250 million equals 30 million
UK an extra 100,000
If we say on average, 20 profit per Gizmondo, profit from sales equals 602million (that's profit!!)
TGTL has I believe 34.7 million shares and WHOG owns almost 500,000 of them or 1.4% of TGTL.
So 1.4% of 602 million is about 8.5 million making each share of WHOG equal to about 17 (yes pounds not pence)
Start diluting that as much as you like but at 1p or so a share now who really cares. Maybe they won't get 12% of Europe, maybe only 6%. Maybe they won't get 20 per unit, maybe only 10. Remember, the above does not factor in the USA or the rest of the world nor sales of games or any other merchandising. It would be nice if someone can tell me what's wrong with my calcs, maybe I've got wrong figures for number of shares in consideration. Comments please anyone!!

Found my own mistake. WHOG has 347million shares issued so value per WHOG share comes down to 2.5p. Lets hope the rest of the world makes a big impact.

Tiger has 46.3M shares issued. I believe the 12% was the target European group ie 30M people.
There is no doubting the market. Tiger just has to manage its growth carefully. It doesn't have the cash reserves to launch on a massive scale like Sony. Profit per unit, including games and other revenue, is likely to be much more than your estimate. Number of units sold this year? I would guess at around 2M. Have a look at Sparky's analysis for what that translates to.

Having read all the recent Gizmondo reviews, as well as TGTL comments posted here and on other boards, Sparky's literally thrilled to see that most reviews have now rightfully narrowed the new mobile-entertainment-console playing field down to three contenders - Nintendo's DS, Sony's PSP, and Tiger Telematic's Gizmondo.

But at the same time Sparky finds it a little disturbing that more and more posts seem to express growing impatience; and this despite TGTL's steady ongoing progress on all fronts. What's disturbing, and just plain unfair, is how most of these critical posts wrongly oversimplify the complex new-product launch procedure and how many also dangerously downplay the importance of timing the physical arrival of units with the availability of games, music, videos, and messaging & GPS services.

On the subject of oversimplification, first and foremost, observers should try and refrain from comparing the launching of Gizmondo to the DS & PSP launches. While all the competing devices may somewhat resemble each other in terms of quality, features, and capabilities; the similarities really do end there.

To be more specific, while the Gizmondo will soon compete directly in the next-generation of portable handhelds; let's face it, the Gizmondo represents a brand new, first-generation device for Tiger Telematics. And what this means is that TGTL doesn't enjoy the luxury of having a tried and tested infrastructure already in place, as do Nintendo and Sony.

In vivid contrast, both Nintendo and Sony already sport elaborate infrastructures that cover all aspects of a new product launch; all the way from research & development and production to sales, distribution, and customer service. But TGTL has persistently been putting its now-needed infrastructure together for months now; just read all the recent press releases.

And on the subject of timing, the importance of which many critics seem to have personally downplayed; lets not forget that ideally TGTL will generate far more profits from the after-sale revenues associated with game, music, and video sales than it will from single-shot device sales. So for this reason, it is imperative that TGTL management carefully coordinates the upcoming scheduling of ads, unit production, game inventory expansion, and access to music & video sites and GPS & messenger serv
For a good example of just how difficult this scheduling coordination must be, Sparky suggests a quick review of the 8-K that TGTL filed on 01/01/2005. This is the 8-K that discloses the agreement wherein Disney's Buena Vista Games authorized TGTL to produce and distribute its popular TRON 2.0 game; and the filing also contains the entire 20-page contract and about 20 additional pages of related exhibits.

Sparky's no lawyer, but it seems very clear that the contract's quality control provisions alone will necessitate tons and tons of very time-consuming correspondence between the parties - certainly not a task one could easily assign a time table to - and this is only one game!

And before we leave this crucial subject of timing, Sparky's got to pose this proverbial question: What's the reasoning behind this seemingly growing rush to launch in the US? Considering that Sony's delay in launching the PSP in the UK has afforded TGTL a unique opportunity to better penetrate that smaller home-based market, Sparky thinks the UK and European markets is precisely where TGTL's distribution focus now belongs. Then within a few months, after Gizmondo has attracted far more retail awareness and after its game inventory and accessibility options have been much further expanded; Sparky thinks Gizmondo will then be ready for a sizable US launch.

And by then, Sparky truly believes that Tiger Telematics with not only be current with all its required SEC filings, but its shares will also be trading on the Nasdaq and will therefore be available to far more investors, most notably institutions.

To conclude, looking forward Sparky urges shareholders not to focus so much on specific dates that are actually beyond anyone's direct control, but to instead consider just how far Tiger Telematics, and its shares, have already come in the past 18 months. And with a future clearly tied to the success of a single new product, TGTL shares appear right now to Sparky as Research in Motion (RIMM) shares did about two years ago - well primed and ready to move!

Re my earlier post today, I was trying to draw attention to the point subsequently made in Sparkys post960 -see below.I think we are perhaps putting too much emphasis and importance on the on profit generation from Gizmondo sales when every unit sold will generate future considerable revenues and profits after sales and services.
I like the Giz ,nothing has grabbed my attention as much as this and have all of my shirts resting on it. Not, I hear you say ,the most sensible move but being a conviction politician and looking for the one that could deliver exceptional results.
I believe this is the one....I do not have any nails left , make regular visits to the toilet, and have taken up several religions

Amazon puts back UK Sony PSP debut - again
Exclusive Amazon.co.uk has put back the UK release of Sony's PlayStation Portable handheld games console to 30 September, according to the online retailer's website.

The schedule update is at least the fourth time Amazon.co.uk has changed the date on which it expects to be able to ship the console. So far this year, the e-tailer has named 18 March, 29 April, 24 June and now 30 September as PSP ship dates.

As we reported last week, UK High Street consumer electronics retailer Dixons lists 1 August on its website as the date upon which it expects British gamers will be able to get their mitts on the eagerly awaited console. When we checked back today, the site continued to list that date.

Amazon.co.uk's new date, if accurate, suggests Sony Computer Entertainment Europe (SCEE) may have given up on a summer release and is instead gearing up for a pre-Christmas launch.

The news will be welcomed by Sony rival Gizmondo, which today announced a distribution deal with specialist disties Andromeda and Just, the former targeting mail-order suppliers, the latter independent gaming retailers.

Gizmondo said it will ship 100,000 units through the pair, 60,000 through Andromeda, the rest through Just.

On 31 March, Gizmondo announced a number of major UK retailers had agreed to offer its console from 2 April. The John Lewis, GameStation and Carphone Warehouse continue to list the console as unavailable, though the stores we contacted did have units in stock.

Guess so Paul. Pretty depressing though and I find it difficult to believe that the US trading is a fair reflection of Tiger's current position in the market place, bearing in mind all the games being released now and European roll out on the 19th May. Probably the fact that a USA launch and NASDAQ listing have no planned timeframe is driving Tiget lower. I'm not sure what their cash position is, if it's cash rich at the moment and has funds to see out the marketing of the Giz and initial manufacturiung stage then this will reverse I am sure. My question is, what happens in Nov when WHOG get their hands on the Tiger shares if the share price is still languishing, will it sell and turn straight into a cash shell and the directors try to start up another business or will funds be distributed to shareholders.
