Galleon Holdings (GON)

banjomick - 15 Jun 2004 08:48

INTELLIGENT INVESTING WITH BANJO,well sort of! (Ed-hmmmm-lol)

Galleon Holdings plc has three key divisions:Galleon Entertainment for entertainment type IP,Croco Worldwide for product IP,Phoenix for interactive TV services for broadcasters in China/South East Asia which includes Robot Information Technology (Lushy Assets ('Yunbo')) who are a wireless interactive platform service provider in China who will work alongside Phoenix to enable GON to hold on to a greater part of the generated revenue and so increase the profit margin......think that's the plan! :-)

This makes Galleon Holdings a 'One Stop Shop' to develop and complete new and existing IP's.

Skunk Fu! premieres on Cartoon Network today at 10h40.

Dragon and his Ninja Monkeys will stop at nothing to destroy the Valley Animals.

But wise old Master Panda believes that the answer to their prayers rests in the tiny paws (and smelly butt) of his young student - Skunk!

Panda trains Skunk in the art of Kung Fu. Besides Dragon, Skunk's biggest enemy is his own impatience; he'd rather go on adventures than do boring old training.

I am well aware of the potential of Phoenix especially with the deals already bagged and the Olympics coming up ect ect ect!

What Skunk Fu has to offer GON is all dependent on what GON can make from a global animation series while holding the global licensing and merchandising rights! Bugger forgot, excluding Germany-lol.The animation series is obviously very popular so even I could make money from it! :-)

I would imagine in the UK we will be seeing some advertising campaign shortly for the DVD which is due for release mid March which although not a great revenue generator is just one other item of keeping the IP in in the public eye!

Apollo's Pad-As posted before from the Qube website we should be seeing some movement there this week or next!

Croco-Must be due another deal! :-)

Galleon Holdings PLC

20 February 2008

Galleon Holdings plc

Acquisition of Wireless Interactive Platform Service Provider in China

Galleon Holdings plc ('Galleon', the 'Group' or the 'Company'), the AIM-listed
intellectual property owner and developer in the entertainment sector, is
pleased to announce that it has acquired control of Changsha High and New
Technology Industrial Development Zone Yunbo Information Technology Co., Ltd
('Yunbo'), a Wireless Interactive Platform Service Provider in The People's
Republic of China ('China') for an initial consideration of USD3 million and a
deferred consideration as described below (the 'Acquisition').

The Acquisition is complementary to Galleon's strategy to become a leading
provider of multiplatform entertainment, based around interactive TV in China.
In October 2007 Galleon acquired Phoenix Investment Global ('Phoenix'), a
provider of interactive entertainment services to broadcasters in China. Yunbo
provides the mobile billing infrastructure for the product offering that Phoenix
delivers to its existing broadcast partners. The Acquisition will allow Phoenix
to retain the revenues derived from the collection of the SMS and mobile phone
revenues generated by Phoenix's existing activities.

Yunbo is expected to deliver a number of direct strategic benefits to the
Group's customers by offering a wider range of services and providing the Group
with cross-marketing opportunities and a broader client base.

Among Yunbo's customers are major domestic PRC companies such as China Tobacco
Hunan Industrial Corporation, Hunan Media Group, Shenzhen Wireless mobile
Science &Tech Ltd, and Da Guo Music Recording Studio. Yunbo derives its
revenues from transactions involving SMS, MMS, IVR, WAP, ring-tone &
ring-back-tone, and KJAVA games.

Established in 30th June 2000, Yunbo is one of the fastest growing Service
Providers in the wireless short-messaging service (SMS) and multimedia messaging
(MMS) market in China, and holds nationwide SMS billing codes for both China
Mobile and China Unicom. Its unaudited EBITDA for the 12 months to 31 December
2007 was RMB6.7 million (USD937, 000).

Commenting on the acquisition, Stephen Green, Chief Executive of Galleon, said:

'Yunbo is highly complementary to our strategy to provide cross platform media
entertainment which is focussed on emerging markets with large TV audiences and
high mobile phone penetration. The Acquisition will expand the Group's
entertainment services platform and is expected to enhance operational revenues,
allowing us to retain a higher proportion of the SMS and mobile phone revenues
from our existing activities.'

Terms of the acquisition

Galleon has acquired control of Yunbo through the acquisition of the entire
issued share capital of Lushy Assets Limited and Mengbo (Shanghai) Information
Technology Co. Ltd for initial consideration of USD3 million. The initial
consideration is to be satisfied by the payment of USD2.5 million in cash
immediately of which USD950k is for the Net Current Assets of the business, and
the issuance of 898,856 new ordinary shares in the Company (representing shares
to the value of USD500,000). A deferred payment of USD1 million in cash is
payable on the 31st May 2008 and is subject to any adjustments for the
recoverability of the receivables in Yunbo's management accounts or adjustments
to the Net Current Assets in the audited accounts at 31 December 2007.

A further performance related deferred consideration may be due based on Yunbo's
EBITDA during the 12 months to 31 December 2008. The amount of performance
related deferred consideration due will be a multiple of between 4 and 7 times
the EBITDA achieved by Yunbo during the period to December 2008 less USD3
million (being the Initial Consideration). The performance related deferred
consideration will be satisfied by the issue of new ordinary shares of 1p each
in Galleon to the vendors in September 2008 and March 2009. The total cash and
share consideration payable is capped at a maximum value of USD16 million.

Application has been made for the initial consideration shares to be admitted to
trading on AIM which is expected to occur on 25 February 2008.

Galleon in new China foray

Companies: GON

20/02/2008

Entertainment group Galleon Holdings is paying up to 8 million for fast-growing specialist Chinese media concern Yunbo.

AIM-quoted Galleon is paying an initial 1.5 million cash to acquire Yunbo, a wireless short-messaging service (SMS) and multi-media messaging service provider, which holds nationwide SMS billing codes for major groups China Mobile and China Unicom and earned 470,000 last year. The British company, which lost 392,000 on 4.5 million turnover in the year to September, is to pay another 500,000 cash in May and a further sum in shares equivalent to between four and seven times Yunbos 2008 earnings above 1.5 million, up to a maximum shares and cash payment of 8 million.

Galleons chief executive Stephen Green explains the deal is aimed to spearhead the London-based companys drive into Chinas interactive mobile entertainment market. He says it flows directly from Octobers 1.5-to-2 million paper purchase of Hong Kong-based Phoenix Investment Global, which he calls the quasi gatekeeper to key Chinese media concerns such as Hunan ETV.

The Phoenix guys have been teeing this one up for us, says Green, who claims the projected multiple represents a significant discount to similar sector deals. He points out that mobile service providers in China hold on to clients payments for 90 days or more and charge 15 to 20 per cent of billings.

Yunbo is expanding into selling content, such as dating game shows, to mobile phone users and one of the two vendors of Yunbo, Lushy Assets Ltd, has a licence to operate in every Chinese province. Green says Phoenix also has a cash-generative and profitable deal with TV3, Malaysias largest TV station and is working on co-production deals elsewhere in the region.

Floated at a mere 1p in 2001, Galleons shares hit 34.75p last October and now trade at 28p, up 0.25p today, valuing the company at 28 million. If these Chinese deals live up to expectations, they could make further progress, stockmarket conditions permitting.

Phoenix is still at the early stage I would have thought but I could be wrong (Ed-never!).The two deals already bagged by Phoenix ie Interactive TV agreements with TV3 and Metropolitan TV (and CH 9) will be revenue generating already,I would assume.

Skunk Fu:

Right, first of all Skunk Fu (SF) IS 'global' in the full meaning of the word!

GON own 15% of the animation series and do or did have the opportunity to increase this percentage.

GON own the global licensing and merchandising rights except for the German speaking countries due to Super RTL owning a larger equity stake in SF ie more than 15%.

GON will gain from DVD sales which will be released in the UK in June 2008

From the recent results:

"Having a toy company within Galleon also provides potential benefits for our children's brands like Skunk fu!.

In 2008 we have some opportunities to develop manufacture and supply a retail focused toy line for distribution in markets where the show is on air.
This ability to develop and manufacture toys ourselves means that we are able to get additional product that compliments that of our Licensees into market at the right time for the chosen brand."

What I believe the above statement is saying is that along with the other Toy manufacturers who will have to pay GON license fees for SF merchandise GON's own Croco will be adding to the toy production line to gain direct profits.

There could also be some interactive action from Phoenix regarding SF in China and SE Asia in the future, just guessing though.

The link below shows a rough time scale originally from October 2007:

http://www.worldscreen.com/propertycurrent.php?filename=skunfu100207.htm

The biggest challenge for licensing in 2008 is the lack of good quality childrens television content. Ultimately, the licensing industry is most akin to the fashion industry it requires innovation and freshness to drive the market. This is a perennial issue for the industry rather than something specific to 2008. The ability for independent production companies to deliver this freshness is being eroded currently due to poor advertising revenues negatively impacting broadcaster production budgets. Thankfully for Galleon, Skunk Fu is driving strong ratings in the UK and the US and demonstrates that a fresh concept can cut through to the consumer, which in turn is leading to strong licensing interest.
