WARTHOG PLC
DISPOSAL OF SUBSIDIARIES

The board of Warthog plc (the 'Company') announces that it has today completed
the sale of all of the Company's subsidiaries to Tiger Telematics, Inc ('TGTL')
together with the transfer to TGTL of certain intra-group indebtedness due to
the Company. The total consideration including assumed indebtedness is $8.11
million of which $1,113,000 will be paid in cash and $7 million satisfied by way
of an allotment of 497,866 shares of common stock in TGTL at $14.06 per share,
being the average mid market closing price of a TGTL common share over the 14
days preceding completion. These shares are restricted stock and as such can
only be traded on or after the first anniversary of completion (the
'Anniversary') in accordance with U.S. securities laws. Up to the Anniversary,
these shares will be held in escrow against any claim arising under certain
warranties, tax indemnities and completion account net asset value adjustments
set out in the sale and purchase agreement. 150,000 of the cash consideration
will also be held in escrow until the Anniversary, pending specific warranties.
The Company has waived the balance of all other amounts due to it by its former
subsidiaries.

Upon completion of the transaction, the executive directors Ashley Hall, Steven
Law and Simon Elms together with one other remaining employee of the Company
will transfer employment to TGTL leaving Ian Templeton FCA and David Robinson as
non-executive Directors of the Company. The Company has also undertaken to
change its name and will be calling an EGM to effect such a change in due course
and will at that time update shareholders further.

The board of Warthog plc has sought to complete this transaction as rapidly as
possible (and therefore did not elect to seek shareholder approval) because the
group has continued to face difficult trading conditions within the games
development industry, as reported in the Company's Final Results on 28 September
2004, which has put the group under ongoing financial pressure. In addition,
TGTL required the transaction to be consummated as expeditiously as possible, in
conjunction with the commencement of shipping of its Gizmondo product into the
UK. The transaction leaves the Company having discharged substantially all of
its liabilities and with a valuable shareholding in TGTL which will be capable
of realisation in a year's time. The realisable value of this shareholding
depends entirely upon the commercial success of TGTL and the performance of the
TGTL shares on the financial market.

The board considers, in conjunction with its advisers, that this transaction
represents the best available outcome for the Company and its shareholders.

Tiger Telematics, Inc is listed on the 'NASDAQ Other OTC Market' under symbol
'TGTL'. TGTL's publicly stated intention is to apply for a listing on the
'NASDAQ National Market' in December 2004. TGTL is a designer, developer and
marketer of mobile telematics systems and services that combine global GPS
functions and voice recognition technology to locate and track vehicles and
people down to street level in countries throughout the world. The systems are
designed to operate on GPS and are currently being marketed to GSM current and
potential subscribers, primarily by the company's United Kingdom based
subsidiary, Gizmondo Europe Limited ('GEL'). GEL is a wholly owned subsidiary of
TGTL and is the maker of the Gizmondo, a next-generation mobile entertainment
device which includes games, built-in music, video, messaging and picture
functions and GPS. On 29 October, TGTL began shipping its first generation
product as part of a strategic retail roll out in the UK.

The transaction gives GEL access to existing games content and porting
technology to enable the transfer of titles developed for use on other platforms
on to the Gizmondo handheld device. Warthog plc shareholders will therefore
benefit from continued investment in TGTL as it seeks to exploit the games
content and technical capabilities that the Company has developed over the past
few years.

As previously announced on 12 October 2004, GEL is interested in 8.62 per cent.
of the Company's current total issued ordinary share capital.

About the Gizmondo device
The Gizmondo is powered by a Microsoft Windows CE.net platform, boasts a
2.8-inch TFT colour screen with a Samsung ARM9 400Mhz processor and incorporates
the GoForce 3D 4500 Nvidia graphics accelerator. It provides cutting-edge
gaming, multimedia messaging, an MP3 music player, MPEG4 movie playing
capability, a digital camera and a GPRS network link to allow wide-area network
gaming. Additionally, it contains a GPS chip for location based services, is
equipped with Bluetooth for use in multi-player gaming and accepts MMC card
accessories.

The Gizmondo device and its games are due for launch in the UK in the fourth
quarter 2004 and in North American markets from the first quarter 2005.

DEALERS believe that Warthog, 0.11p dearer, could be a good recovery punt. More than 52m shares in the computer games developer changed hands on hopes that the worst is over. Tiger Telematics, a leading European games console maker grabbed it by the tusks in October when it bought its subsidaries, intellectual properties and assests. In return Warhog acquired a stake in TT which is now worth at least 3p per share.

It look's like Gizmondo are keeping their word on releasing one game per week. Perhaps they have a stack of these in the cupboard, releasing one a week keeps some level of impetus in the market place rather than flood all the games in one go and then have nothing to maintain ongoing interest.

New Gizmondo(TM) Game Well Above Par

- New Golf Game to Tee Off Tomorrow on Gizmondo

LONDON, UK, May 3, 2005 (Canada NewsWire via COMTEX) -- Gizmondo Europe Ltd, subsidiary of Jacksonville, Florida-based Tiger Telematics Inc. (OTC: TGTL, OTC: TGTL.PK), tomorrow releases the nine-hole, fun-filled crazy golf game, Toy Golf, for the new handheld multi-entertainment device.
Crazy in more ways than one, Toy Golf takes a different swing at indoor golfing. The nine different courses are set about a virtual house and each of the nine holes per course sets a challenge that's well above par. Try for eagles in the loft, birdies in the bathroom, bogeys in the kitchen and putt your way through a number of other indoor locations in this golf game of a different perspective.

As well as the testing single player mode, a Bluetooth-connected multiplayer mode uses the multiple camera angles to size up the shots and view angles. It's guaranteed to bring out the Tiger in you!

Cameron Spilman, Gizmondo, offered: "Toy Golf is a fun golfing game that doesn't take the sport too seriously. It's a real pick-up-and-play title and the multiplayer Bluetooth connectivity is simplicity itself."

Toy Golf is available to buy or order online for GBP9.99 (US$19.99, EUR19.99) through all Gizmondo stockists.

LONDON, May 4 /PRNewswire-FirstCall/ -- - Gizmondo to Showcase six new Proprietary Games, one Featuring Incredible new Augmented Reality and Gyroscopic Camera Gaming Technology, one Featuring GPRS, and the First Ever GPS-Enabled Game

Gizmondo Europe Ltd, subsidiary of Jacksonville, Florida-based Tiger Telematics Inc. , today confirmed the line-up of amazing game titles to be unveiled and demonstrated on the Gizmondo multi-entertainment device at this year's mammoth E3 gaming expo in Los Angeles, which runs from 18-20th May.

The entertainment industry focal event that draws tens of thousands of industry professionals and analysts will be the stage from which Gizmondo will give the first ever demos of six new original titles exclusive to Gizmondo, namely; Supernaturals, Johnny Whatever, Chicane, Hit and Myth, Sticky Balls, and Agaju: The Sacred Path - which is scheduled to have a soon-to-be-announced legendary rock star provide a title soundtrack.

The multi-million dollar booth (#1078, South Hall), next to software giant and supplier of the Gizmondo's Windows(R) CE operating system, Microsoft, will also feature expert demos of the first ever, internally developed GPS enabled gang warfare game, Colors. In addition, Gizmondo will be showing the award-winning driving game, Richard Burns Rally, and launch titles; TrailBlazer, Fathammer Classics, and Gizmondo Motocross 2005, all delivered in stunning detail by the 128-bit NVIDIA(R) GoForce(TM) 3D 4500 graphic accelerator.

One of the show's lead games, Agaju: The Sacred Path, will also feature incredible new gaming technology only available on Gizmondo using Augmented Reality and Gyroscopic Camera technology. More details will be released prior to the event along with A-list performances and attendees.

Eric Peterson, President of Gizmondo Studios, offered: "These breathtaking original titles we are showing resonate the entertainment ethos that is unique to Gizmondo. The new technologies in particular will demonstrate that the Gizmondo, although recognised as the most feature-rich handheld available, becomes greater than the sum of its parts when we introduce and combine different areas of functionality."

Carl Freer, Co-founder and Chairman, Tiger Telematics says: "We have gone all out for this year's show. The new games are fantastic and the new technology will blow people away." He added, "As well as celebrating our 19th May 05 pan-European rollout, we'll be announcing the US street date at the show, marking the start of our launch ramp up for North America."

deancroft - 05 May 2005 18:54 - 996 of 1449

On a previous post, I queried where were Gizmondo Europe/TGTL getting the money from to fund all this launch activity. Well here it is below. $37million is quoted as current expenses for the launch activity. If you take approx 190GBP sterling as an average price for the different flavours of the gizmondo, convert to US$, you are almost at $370. That means sales of 100,000 units gets their expense investment back before making any profit. That's the number of units already contracted to two distributors alone in UK. So with sales going to Europe, USA yet to be launched, income from accessories, games and merchandising, who can deny there's so much yet to come. Almost 1% of 100K units were sold in one day at the Regent Street shop in March.

ITEM: 3.02 UNREGISTERED SALES OF EQUITY SECURITIES.
On April 28, 2005 the Company completed a sale, of approximately 1, 640,724 shares of its common stock for an aggregate purchase price of approximately $21,437,537 million. The share prices received from various parties ranged from $10.90 net of fees to $20.00 per share with the sums received varying in part as the common stock market price of free trading shares fluctuated in the market. 1,220,588 of the aforementioned shares, which were placed at an investment fund, PIF for $17.00 a share and involved a stock swap with a shareholder who sold shares in the Company, that they owned, that were over 1 year old from the date of the original issue, to an investment fund for $17.00 a share and then remitted the funds to the Company in exchange for newly issued shares at a discounted price to reflect the restrictions. No warrants were issued. The Company received funds net of all transaction costs. The Company negotiated the purchase price with all of those investors, based upon the market price of the securities at the time of the negotiation and with an appropriate discount for the restrictions on resale. Its common stock was issued to sophisticated, accredited foreign investors or foreign corporations in transactions exempt from registration pursuant to Section 4(2) of the Securities Act of 1933 as amended. Each had access to financial information available in public markets and was given the opportunity to review the Company's books, records and other information that they requested. $1,640,000 was also paid to Earlsdon Investments Ltd. in part as a placement fee re some of the above transactions and for related expensed services including arranging a soon to be announced distribution agreement for a new market region and $2,500,000 was paid to Eagleton Limited in respect to a fund raising. The Company will use a substantial portion of the funds at its Gizmondo Europe Ltd. subsidiary to buy critical game content for its Gizmondo multi-entertainment device and for future increased marketing expenses.

As noted in previous filings, from time to time, the Company issues shares to various companies and persons that provide products, game content and other content for the Gizmondo, and services to the Company including strategic partners, suppliers, distributors, independent contractors and employees, fund raising finders fees and professional advisors. The Company anticipates that it will continue this practice. The Company issued approximately 6, 600,000 shares to such service providers and employees principally relating to launching the Gizmondo product and expensed approximately $37 million for these services in 1st quarter and second quarter of 2005. The share issuances transactions are non cash and do not negatively affect cash flow of the Company. Included in the above number and issued in negotiated arms length transactions was 250,000 shares related to a provider of endorsements and entertainment services, 640,650 in consulting services related to shares, 1,706,000 to employees and independent contractors for performance milestone achievement bonuses, 600,000 shares pursuant to the Indie Studios acquisition agreement executed and closed on August 8, 2004 where the additional shares were contingent and based upon the successful completed development of two games Colors and City which were just completed, 2,954,000 shares related to advertising and or issued in connection with the Gizmondo product launches to entities associated with the launches in various regions, with the balance issued to miscellaneous vendors and providers of services to the Company's Gizmondo facility.

Following the issuance of the shares pursuant to the transactions described in this Form 8K, the Company anticipates that it will have outstanding approximately 54.6 million common shares and warrants to purchase an aggregate of 495,525 common shares, at exercise prices ranging from $5.00 to $11.25, including cashless warrants, expiring from June 30, 2006 to September 30, 2009.

chienti - 05 May 2005 20:19 - 997 of 1449

Is that why the sp of tgtl dropped so rapidly recently because of all the extra shares issued? seems odd if that were so because they soon after released a statement saying they didn't know the reason for the drop

iturama - 06 May 2005 11:53 - 998 of 1449

Not a lot of extra shares were issued - 3% or so more. Note that the launch is being largely funded by shares with the incoming cash being used to cover operating expenses and create cash reserves. Tiger will want to ensure a comfortable cushion of cash to see it through the US launch in case of a market downturn. Note that most, if not all, of the shares issued are restricted shares ie cannot be traded for one year.

I have lost 50% on this, is there any upsight, or should I cut my losses on this one

chienti - 06 May 2005 16:27 - 1000 of 1449

'is there any upsight'? remember CES in January? hope the sp does the same during/after even before! E3

Mr Mole - 09 May 2005 10:01 - 1003 of 1449

Starting to tick up

iturama - 09 May 2005 10:17 - 1004 of 1449

Bought 200k before the tick. I must say I am really impressed with the Gizmondo. Only criticism is that the premium battery should be standard. The SD cards are pricey on the Gizmondo website - cheaper on E bay. However the SD cards are much cheaper than the same capacity Sony PSP memory sticks.

Mr Mole - 09 May 2005 10:56 - 1005 of 1449

Iturama - that's good that you are pleased with it. I've two sons, 12 and 9 and neither of them has heard of them/seen one. I suspect that it'll be one of these things that once their mates have one they'll all want one. Hoping so at least. Tempted to buy one to increase exposure locally, but as I'm sitting on a 50% loss on this share it still owes me, and it'll have to wait.

StarFrog - 09 May 2005 11:29 - 1006 of 1449

Glad to see that you are impressed with it iturama.

My big concern is the lack of advertising in the UK. I did see one advert on TV about a month ago (featured a bee if I recall) but nothing since. It's not suprising that Mr Mole's sons haven't heard of it. And this is worrying. Afterall, is it not intended for the youth market?

Keep the faith though. Hopefully see big movements in the sp once it is on sale in teh US markets.

iturama - 09 May 2005 12:08 - 1007 of 1449

Mr. Mole.

In my view, the Gizmondo is targeted at the +15 yr age group. My son's friends were very taken by it, as was my wife with regards the tracking/alarm/messenging features. It fits quite comfortably in a shirt pocket. The SD cards are tiny, a 1GB card is postage stamp size, weighs 2g and can store 20 - 30 cd's. A DVD player, MP3 player, Pager, GPS etc all rolled up into one. A nice feature for those that travel a lot is that it adjusts the time automatically for the time zone you happen to be in. It also has a calculator, currency converter etc.as well as a flight setting to disable any features that might interfere with an aircraft's electronics.
Great (Greek) gift for your kids if they are going on holiday alone, backpacking, or simply hanging out. You can always get in touch with them and pin-point their location by registering as the guardian.
A lot of software still has to be rolled out but it is early days.

Mr Mole - 09 May 2005 12:33 - 1008 of 1449

Sounds a lovely bit of kit. Thanks for the detailed info.

Mr Mole - 09 May 2005 12:34 - 1009 of 1449

...and it's ticked up again. 10% today........why??

StarFrog - 09 May 2005 12:54 - 1010 of 1449

Mr Mole - probably beacuse the pan-Europen roll-out is scheduled for Thursday 19th May. IMHO

Mr Mole - 09 May 2005 13:03 - 1011 of 1449

They'll be those buying on a T10 settlement date I suppose and hoping for a substantial increase.

mtwallit - 09 May 2005 13:29 - 1012 of 1449

any idea what we think sp will be approx then? could do with selling some of whog to pay a few bills off - conversely could do with buying more at this price if I had the cash

iturama - 09 May 2005 21:02 - 1013 of 1449

Looks like the Tiger is now tracking the little pig. Finished up 10% in NY.
