Anyway, for waht it's worth, the capital reorganisation announced on 9th Jan suggests that they may well be looking to raise further funds via equity issue belwo current par as the relative par value is significantly lower after the reorganisation.

If they weren't planning to raise further capital in this way, they could have consolidated without initially reducing par and creating deferred shares...

Correct, there is no consolidation.

The capital reorganisation mentioned in the RNS of 9th January is simply to lower the par value from 1p to 0.01p.
This is because they are unable to issue new stock below current par value under UK company law. The planned change in par value allows them to issue new shares at below 1p all the way down to 0.01p. Recent results with a large trading loss(prior to the unrealised forex adjustment) and cash outflow indicate additional funding requirements.......
