The Company has developed an operating platform from which to expand its divisional activities. The primary focus will be capitalising on UAS pilot training and services, through leveraging its expertise and fully functional training facility at Roswell, Chaves County, New Mexico, United States ("Roswell"). Training of US Air Force UAS pilots is expected to commence by early Q1 2015 in partnership with Northrop Grumman. The Group has further leveraged its position to target the provision of UAS training and services to non-military markets including law enforcement, education and corporate.
In addition to its UAS division, the Company has built a proprietary advanced aerospace management system which it develops and markets through its Aviation, Software, Products and Services division. This has multiple functionality which will be also marketed to non-aerospace sectors.
The third division, Aviation Management and Consultancy, has a primary emphasis on fixed base operators and other service providers and utilises the cumulative experience of the management team and employees. Contracts are already in place, a number of which are generating revenues including one for the provision of consultancy services for the establishment of a new low cost airline.
The Group is headquartered at Gatwick airport in the United Kingdom and operates from a network of offices and consultants in London, New York, Houston, Seattle and Singapore.
The Company's main country of operation is initially expected to be the USA.

Letter of Intent signed to advance Northern Europe's First UAV Pilot Training Base
Strat Aero plc, a revenue generative international aerospace services company focused on the provision of training solutions, management systems and consultancy services to the global aviation market, is pleased to announce that it has entered into discussions at a senior level of the Netherlands Government with a view to establishing an Unmanned Aerial Vehicle ("UAV") Training Centre in the Netherlands (the "Training Facility"), which when operational would be the first in Northern Europe. The Company has been highly encouraged by the pro-active steps taken by the Government of the Netherlands in order to fast track the development of this Training Facility.
In order to facilitate progress towards a binding agreement the Company has entered into a non-binding Letter of Intent ("LOI") with Innovation Quarter, the regional economic development agency for the Dutch region of West Holland. As part of that LOI a framework has been set out including the capacity requirements for the Training Facility as set out below.
· A future agreement with the Government of the Netherlands is expected to cover the following matters:
o The Government of the Netherlands will source and make available a location with suitable fixed facilities in which to establish a new comprehensive UAV training base for both civilian and military training on fixed wing and multi rotor unmanned Aerial Systems ("UAS")
o The site is expected to include a runway of 8,000ft enabling full operational UAV training for large fixed wing UAVs
o Hanger capacity for six Northrop Grumman SandShark UAV training aircraft, one Predator and one Reaper, both Military operational fixed wing UAVs
o Strat Aero will invest in the establishment of the Training Facility including the provision of ground based equipment, training materials, management personnel and the provision of training aircraft
· The Training Facility will provide Sandshark training, designed to simulate Predator and Reaper platforms, as well as light multi-rotor UAV training for commercial pilots
· Research and development and training infrastructure and services will be available to universities and civilian organisations
· The Training Facility is expected to be a multinational resource available to all EU member states
· Strat Aero has the required management and financial resources in place to rapidly progress the development of the facility subject to final agreement of terms
· The Company is scheduled to make proposals to the Government of the Netherlands and to inspect the proposed site during January, subject to successful completion of these meetings it expects to advance to binding contractual phase during Q1 2015
· Establishment of the Training Facility is in line with the Company's strategy to build a leading aviation services provider by capitalising on multiple growth opportunities identified in all three of its existing divisions: UAV Pilot Training and Services; Aviation Management and Consultancy Services; and Aviation Software, Products and Services

Update on UAV Wind Turbine Blade Inspection Solution
Strat Aero plc, an international aerospace services company focused on the provision of training solutions, management systems and consultancy services to the global aviation market, is pleased to provide a positive update on WindSpect (www.windspect.com), a revolutionary wind turbine blade inspection solution. WindSpect is a collaboration between Strat Aero and AirFusion, a leader in airborne sensor data fusion software and analytics technology, which combines the Company's expertise in the provision of Unmanned Aerial Vehicle ('UAV') solutions with AirFusion's innovative software and analytics, to offer superior assessment capabilities and significant cost savings to wind farm operators. This update is in line with the Company's strategy to capitalise on the rapidly emerging UAV sector in both the military and wider commercial markets.
WindSpect was officially launched at the American Wind Energy Association conference in Orlando on 18 May 2015 ('AWEA'). During the conference there were over 500 visitors to the WindSpect booth, making it the third most visited site. At the booth visitors were able to view a state of the art UAV hexacopter carrying out an inspection of a 22' high replica of a wind turbine blade using WindSpect, which then generated a report on the state of the blade. At the conference, Frost and Sullivan, a leading consulting firm covering a variety of industries including aerospace, defence and energy, described Windspect on Twitter as "an Impressive and top leading innovation to closely follow".
Following the conference, multiple discussions continue to take place with potential customers within the wind farm industry. The Company is currently advancing a number of leads generated from AWEA to provide onsite demonstrations of WindSpect's time and cost savings and performance benefits to operators, who together operate approximately 21,200 turbines, representing approximately 10% of wind turbines globally and in excess of US$10m of potential recurring revenue with varying degrees of probability of success. Examples of these prospective clients include 10 major wind farm operators, namely BP, EDP, Infigen, Nordex, Next Era, Invenergy, Virgin, Exelon, EON and General Electric.
Potential customers have expressed considerable interest in WindSpect's unique analytical capabilities. As well as combining data gathered by multiple sensors, AirFusion's software fuses and converts the data into an alphanumeric format which is then analysed by the software. Potential problems are automatically detected and graded for severity, along with an estimate for cost of repairs. The final report can then be downloaded into a client's in-house operating system. In addition, AirFusion's software has predictive functionality based on comparing the latest reports with previous ones to ascertain if a problem with a particular blade is building, allowing preventive action to be planned and executed.
Capt. "Wind farm operators recognise that proper maintenance of turbine blades begins with regular inspection. Currently, inspections of blades for erosion, cracks and skin de-bonding are primarily undertaken visually by an inspector on a rope harness, which can take up to six hours, are expensive, inaccurate and extremely dangerous. By contrast, within an hour WindSpect can generate an accurate report on each turbine revealing damage that is difficult or impossible to detect with the unaided human eye, such as hidden cracks and foreign bodies. By minimising downtime and boosting power generation efficiency, WindSpect promises to revolutionise the wind farm sector. We are therefore not surprised by the level of interest being shown by the industry in our solution. Strat Aero plc, an international aerospace company focused on the rapidly emerging Unmanned Aerial Vehicle ('UAV') sector, is pleased to announce that it has entered into a Share Purchase Agreement for the acquisition of Geocurve Holdings Limited ('Geocurve'), a privately owned company, which specialises in the provision of UAV operated topographical surveys and inspection services to a blue chip customer base, including the UK's Environment Agency ('EA'), EDF Energy, Carillion, and the RSPB ('the Acquisition'). The Acquisition is in line with the more expansive strategy adopted by the new management team to rapidly build a vertically integrated UAV offering, covering all aspects of the value chain including software, hardware and services.
Geocurve brings a unique 3-D Modelling UAV based mapping solution and highly experienced team of specialist surveyors and UAV operators
· Proprietary UAV based mapping solution for flood defences considered to be far superior to anything else in the industry - successfully mapped the whole Norfolk Broads National Park, initially as sub-contractors and latterly as direct EA contractors, whom Geocurve has worked with across multiple UK sites
· Holds the only known authority from the Civil Aviation Authority ('CAA') to fly UAVs in congested urban areas and conduct surveys, inspections and various other projects in previously prohibited areas
· CAA approval, best in class UAV 3-D mapping solution, along with the development of more advanced sensor technology, puts Geocurve in a strong position to win additional contracts
· In-house 3-D modelling software is easily transferrable to other new sectors such as quarries and the construction industry throughout the UK where water/material quantities are important issues
The combination of Geocurve and Strat Aero provides multiple cross-selling and expansion opportunities
· Intention to roll out Geocurve's capabilities internationally - two initial countries currently being explored
· Strat Aero intends to leverage Geocurve's data analytical capability by developing a number of key data analysis centres built around the Company's existing Digital Data Management ('DDM') system in Houston to facilitate the 'control' of client interface and output, and the rapid roll-out of its Inspection services globally
· Supportive regulatory backdrop: the new Building Information Modelling (BIM) construction industry standards being implemented in the UK lend themselves perfectly to a DDM solution - Geocurve will use Strat Aero's DDM software to develop such a solution and deliver a new software service as part of the roll out of UAV based inspection services to larger clients in new sectors
· Geocurve are developing additional product offerings within the security and agriculture industries which will also have extensive international applications
· Significant after market for acquired data with customers seeking to purchase data at prices potentially more profitable than the initial contracts with Water companies and County Councils - proprietary data seen as increasingly valuable
Cost of acquisition attractively structured on an earn-in basis
· Cost of acquisition set at one times Geocurve's sales for the year ended 31 March 2016 up to a maximum of £1.5m - subject to defined profitability levels being achieved
o Initial payment of £440,000 based on sales to August 2015, 50% in cash and 50% in new ordinary shares of Strat Aero. The initial payment is to be paid on the later of (a) 20 business days from completion or (b) 5 business days from satisfaction of the conditions in the Share Purchase Agreement.
o Instalment payments can be made in cash or new ordinary shares or a combination (as mutually agreed between the parties) with the Final payment in cash after Geocurve's year end accounts are available to 31 March 2016.

This is the business model we have adopted at Strat Aero. As well as being a one stop UAV technology offering, covering all of a client's needs including hardware, software solutions, and services, we are looking to become the owner of a significant database, one which we believe will prove to be highly valuable in the years ahead. Finally, Geocurve immediately gives us the expertise on the ground to implement our inspections strategy cross the expanding Strat Aero Group."

Background to Geocurve
Geocurve is comprised of two subsidiary companies, UKAerovision Limited and GN Site Engineers Limited, which have a combined 5 years of commercial UAV/UAS operations and over 80 years of engineering/surveying experience, distinguishing them from the general UAV inspections market. Geocurve comprises of a team of specialist surveyors and UAV/UAS operators, encompassing the skills of engineering, site engineering, surveying, GIS database, 3D modelling, UAV/UAS operations, airborne surveillance and hydrographic modelling. The team includes: 8 engineers, 2 data analysts, 4 UAV pilots, 1 pilot, 2 boat operators and a chartered engineer.
Geocurve is perfectly located in Tollsbury, UK on the extensive Essex coastline, an area of strategic flood defence, renewable energy and the industrious Thames Gateway. They are in the process of undergoing chartership as well as moving to a larger premises to accommodate additional staff and facilities needed to accommodate recent and anticipated growth. Their assets include 9 unmanned aerial platforms with multiple sensor options (both Fixed wing and Multi Rotor), Hydrographical & survey equipment and sensors, as well as land vehicles and fixtures and fittings.
The founders of Geocurve are Perran Bonner, who will immediately become Strat Aero's Director of UAV Services and Gary Nel, who will become Strat Aero's Director of Engineering and Survey Services. Perran's background before UKAerovision was in global airbourne ISR (intelligence, reconnaissance & Surveillance) and Gary's was in global engineering for major construction and utility companies.
GN Site Engineers Limited reported profits of £38,443 for the 12 month period ended 31 March 2015. UK Aerovision Limited reported profits of £63,300 for the 15 Month period ended 31 March 2015. The consolidated total asset values as at 31 March 2015 amounted to £214,903. Net asset values at 31 March 2015 are as follows: GN Site Engineers Limited £9,088 and UK Aerovision Limited £11,500.

Joint Venture Agreement with Leading UAV Training Company
Strat Aero plc, an international aerospace company focused on the rapidly emerging Unmanned Aerial Vehicle ("UAV") sector, is pleased to announce that it has reached agreement on a joint venture arrangement (the "Joint Venture") with UAV Airways Limited ("UAVAir") a privately owned company which, as a UK CAA Approved National Qualified Entity ("NQE"), specialises in the provision of UAV training, including qualifying future UAV pilots. The Joint Venture (which will be provisionally known as UAVAir by Strat Aero) will be aimed at establishing future Remotely Piloted Aircraft & Systems ("RPAS") training centres and delivering RPAS training courses in territories overseas. This is part of the Strat Aero's strategy to build rapidly a vertically integrated UAV offering, covering all aspects of the value chain including software, hardware and services and the Joint Venture follows the recent acquisition of Geocurve Holdings Limited, which specialises in the provision of UAV operated topographical surveys and inspection services to a blue chip customer base.
UAVAir has a strategic combination of airline pilots and professional drone operators, who work together to deliver the best commercial UAV course available to candidates aiming to further their professional careers. UAVAir combines;
· A group of manned Airline pilots holding Air Transport Pilot Licenses, with 40 years of flying and over 20,000 hours of commercial aviation experience;
· Representation on committees at the highest levels of decision-making in both Government and Professional Associations, nationally and internationally;
· Over 8 years flying within the civilian drone industry including hundreds of sub-7kg and sub-20kg drone operations; and
· A strong external training team of UAV pilots, the majority of whom have held or are currently in positions of authority within their relevant national trade associations.
UAVAir's directors were amongst the first operators to receive CAA permission to film within a congested area of Central London, recognition of UAVAir's comprehensive mastery of the most complex safety cases and success in integrating fundamental principles from aviation into the UAV community.
The combination of UAVAir and Strat Aero in a joint-venture agreement provides multiple cross-selling and expansion opportunities including;
· The ability to roll out UAVAir capabilities internationally - two initial countries are currently being explored to launch RPAS training programmes;
· Development of trans-national qualifications, enabling operators looking to work flexibly across national boundaries;
· Harmonisation of Strat Aero's long-form training courses being developed with a leading US University with UAVAir's shorter NQE and Pilot Conversion Courses to create a comprehensive portfolio of RPAS training with common standards and methodologies;
· Making full use of UAVAir's experience and knowledge in other areas of Strat Aero's business on a flying, logistics and consultancy basis when required; and
· The creation of a broad pool of qualified UAV operators that will enable Strat Aero to accelerate the delivery of its UAV services.
The general contributions of both parties towards the Joint-Venture are as follows:
· Strat Aero will provide the start-up funding to establish a training centre and under 20 kg civilian RPAS training course. This will cover (but not be limited to) travel, marketing, regulatory fees, materials and other third party costs to setup the course.
· UAVAir will licence the intellectual property of the course material and training material and provide training school setup services until the schools are self-sufficient.
· UAVAir will remain with operational control of the school whilst Strat Aero retains a majority shareholding within the Joint Venture Agreement.

By creating this Joint Venture in combination with UAVAir, we can both fast track our progress with these opportunities and add in more practical short term courses as already offered by UAVAIR in the UK. Further, we can quickly move onto other international territories, as shown by the two new countries already targeted by the Joint Venture. In essence, the transaction strengthens our ability to achieve one of our goals to become a leading worldwide provider of UAV training and education solutions, not only in the military market, but also in the civilian and corporate markets."

In addition, the UAVAir external training team includes 7 professional drone operators many of whom are involved in the trade associations and hold a variety of H&S certifications. As one of the founders of UAVAir, Will Coldwell will become a Director in the Joint Venture as will fellow Director, Paul Rigby. Will is a serving airline pilot who previously read Agriculture Business and Management at Newcastle University. Pauls' background before becoming a commercial drone operator was in Operations and Engineering for the UK National Air Traffic Service (NATS).
