RedstoneConnect (AIM: REDS), a leading provider of technology and services for smart buildings and commercial spaces, announces the deployment of its award-winning workspace management software solution, OneSpace™, with UBM, a leading global events and marketing communications specialist, at their US head office in New York City.

The new agreement is the result of a highly successful OneSpace™ pilot, which is helping UBM to meet their real-estate and sustainability objectives at their European head office in central London.

OneSpace™ provides real-time monitoring and analysis of occupancy trends, enabling organisations to optimise the utilisation of space, ultimately reducing capital and operational costs whilst improving work force engagement and the working environment. It is a pure software solution that can be rapidly configured to any space anywhere in the world.

The newly agreed Software as a Service (SaaS) contract provides UBM with a flexible pricing model based on the number of desks being managed by OneSpace™, with the latest project for UBM seeing the deployment of OneSpace™ for integrated room booking and desk monitoring across 174 desks and 17 meeting rooms at UBM's New York office.

OneSpace™ has enabled UBM to adapt and optimise the use of its office space. Business Update

- Strong trading continued in H2

- Smart software solutions, infrastructure and managed services all experiencing strong demand
- Order book and sales pipeline underpinning medium term growth expectations

RedstoneConnect (AIM: REDS), a leading provider of technology and services for smart buildings and commercial spaces, is pleased to announce that trading has continued to be strong in the second half of the current financial year and consequently the Board now expects Adjusted EBITDA* for the year ending 31 January 2017 to be at the upper end of market expectations**.

Smart software solutions

The Company's smart software solutions continue to gain market traction with encouraging levels of customer engagement. RedstoneConnect's ability to secure new software income, which is typically achieved through annuity based contracts with higher margins, is a key constituent of the Company's growth strategy.

OneSpaceTM, the Company's occupancy management tool, is now ready for full commercial deployment following investment during 2016 and an experienced sales force has been recruited. Notable milestones include its deployment at UBS's new flagship London office at 5 Broadgate, deemed to be the smartest building in London and the extension of the Company's relationship with UBM to upgrade and extend OneSpaceTM to UBM's offices in New York.

The Company also signed an agreement with Philips Lighting under which it will integrate Philips Lighting systems into OneSpaceTM and together market and deliver connected smart office solutions.

In addition, following the success of the initial design phase RedstoneConnect has secured the mandate for the deployment of its smart parking, smart retail and wayfinding applications as part of the smart city project in Milton Keynes.

Network infrastructure and managed IT services

RedstoneConnect continues to see strong demand from both new and existing blue chip customers for its design and installation of network infrastructure and managed IT services. This demand underpins a considerable order book and sales pipeline. Having already signed a 5 year contract renewal in the first half with one of the world's leading financial institutions, the Company has expanded an existing managed services contract with the same customer to include the provision of IT infrastructure management services across a number of campus buildings. The contract extension is valued at £8.4 million over three years.

In addition, the Company has also signed the renewal and expansion of a three year managed services contract, worth approximately £5.4 million, with a tier one global investment bank.

Acquisition of Commensus

The Company is also pleased to report that Commensus, a leading provider of fully managed IT support services, which was acquired in November 2016, is now fully integrated. Commensus has already won three important new customers since its acquisition and will be earnings enhancing in its first full year of ownership.

RedstoneConnect has been awarded a multi-year contract for the design, installation and management of an In-Building Cellular ("IBC") solution at the new London headquarters of a leading global technology company specialising in internet-related services.

The IBC solution will provide high quality cellular mobile connection across any network for all staff as well as visitors to the customer's offices.

This will provide excellent indoor coverage and consistent coverage with no drops-outs when moving between floors or when travelling in elevators.

The multi-million pound contract will be delivered in stages with the initial installation phase due for completion in March 2017 and a subsequent roll-out over the next two years.

The solution utilises CrossFire technology, of which RedstoneConnect is the exclusive distributor, that will enable the customer to provide the same service across its additional office locations within a 70km radius, while housing the mobile network operator equipment in the original location.

RedstoneConnect has announced that it has entered into a Conditional Agreement to acquire the entire issued share capital of Easter Road Holdings Limited and its subsidiary, Anders + Kern U.K Limited for cash consideration of GBP1.4 Million. The Company has also announced a proposed Placing of up to 433,333,334 new Ordinary Shares of GBP0.001 each in the capital of the Company at a price of GBP0.015 per Placing Share to raise up to GBP6.5 Million. As a result of the very large number of RedstoneConnect Shares in issue, the Board believes that it would be appropriate and beneficial to both the Company and its Shareholders to undertake a Share Consolidation. Therefore, following completion of the Acquisition and the Placing, at the Company’s next Annual General Meeting, the Board has decided that it will seek Shareholder approval for a Share Consolidation, based on every 100 existing Ordinary Share of GBP0.001 each being consolidated into one new Ordinary Share of GBP0.10 each. The Placing Shares will form part of the Shares to be consolidated as part of the Proposed Share Consolidation. The Board will seek Shareholder approval to effect a Capital Reduction at the same time as the Proposed Share Consolidation, as the Board believes cancellation of the legacy Deferred Shares (which have no voting rights or value), the Company`s share premium account and the capitalisation of the Company’s merger reserve and subsequent cancellation of the capital reduction share to be issued on such capitalisation will allow the Group to eliminate the accumulated losses and will provide distributable reserves giving greater flexibility for the payment of dividends in the future, the purchase by the Company of its own shares and for other corporate purposes, if required.
Terms: Every 100 existing Ordinary Share of GBP0.001 each will be consolidated into 1 new Ordinary Share of GBP0.10 each.

The Board has considered the proposal from A P Systems, together with its financial adviser Cantor Fitzgerald Europe.
The Board believes the proposal by A P Systems to be totally inadequate and therefore there is no basis upon which to engage in discussions. The Board has informed A P Systems of its conclusion.

RedstoneConnect, a provider of technology and services for smart buildings and commercial spaces, expects trading for the year ending 31 January 2018 to be in-line with the board's expectations.

It said all three business divisions (Software, IT Managed Services and Systems Integration) have traded strongly in the second half of the financial year.

The company has secured a number of contract wins and smart infrastructure consultancy mandates. These included a consultancy project for a multinational banking and financial services company to determine how best to utilise OneSpace, RedstoneConnect's workspace occupancy management software solution, within its London headquarters.

In addition, RedstoneConnect secured a number of further contract wins in the financial services and real estate sectors for projects seeking to ascertain how enterprises can best use location-based services from the RedstoneConnect software portfolio.
