Dowgate Capital - Capitalising on the booming AIM market (DGT)

overgrowth - 09 Feb 2005 20:52

Dowgate Capital (DGT) are sitting in the middle of a goldmine!

This company through their sole trading arm City Financial Associates are looking to take full advantage of the "booming" AIM market this year. Dowgate provide NOMAD (NOMinated ADvisor) services to AIM companies and also have full Corporate Broker status which means that they can fund placements on behalf of the companies they represent.

On first sight, the fact that Dowgate exist in the often veiled financial services sector makes you think twice about investing in company such as this because it would be impossible to understand what they were doing - however, think again!

DGT bring new companies to the AIM (Alternative Investment Market). For each new company "floated" on AIM, they take arrangement fees when acting as NOMAD. After the company is launched then for a nice steady earner DGT get another healthy chunk of cash every year for looking after them (note that all AIM companies must have a nominated adviser - thereby securing a ready source of recurring income).

Because DGT also act as a Corporate broker they can get a very healthy percentage for arranging placement of shares with insititutions before a new company floats. In addition, because placements come outside the sphere of yearly NOMAD work, they can also gain healthy percentages of placements which companies may need to make throughout the year when they need a quick injection of cash to speed growth.

Current NOMADships: 28 companies represented (gives recurring income of approx 480,000 per year)

Current on-going Brokerage agreements: 19 companies (income depends on placements)

For flotations, depending on the size of a company, fees charged will be anything from 50,000 to 100,000+ For placements (the real earner), DGT get anything from 3% to around 12% of the TOTAL AMOUNT RAISED - For example a new company raising 3M though a placement will earn DGT anything from 90,000 to 360,000 ! These figures are indicative as actual deals all differ due to circumstances and DGT sometimes take payment in shares - they still have a tasty chunk of Setstone shares and when this Russian exploration company comes back to AIM, predictions are that the share price will rocket. Note that the amount that this little company can earn in fees is huge and every new deal that comes through we know will contribute another healthy chunk into the bottom line. The good news with every new floatation means that it's another chunk of recurring revenue which could go on for years, with DGT having to do very little. New clients gained in 2005 are:

Mediazest (NOMAD & broker) Elite Strategies (NOMAD) Process Handling (NOMAD) Poland Investment Fund (NOMAD) Nanotech Energy (NOMAD & broker) Archimedia Ventures (NOMAD & broker) Red Leopard Holdings (NOMAD) Alba Mineral Resources (NOMAD & broker) Intandem Films (NOMAD & broker) Motive Television (NOMAD) IncaGold (NOMAD) Sportswinbet (NOMAD & Broker) Infoscreen Networks (NOMAD & Broker) Mark Kingsley (NOMAD & Broker) Croatia Ventures (NOMAD & Broker) Pantheon Leisure (NOMAD) Firenze Ventures (Ofex Advisor) FlightStore Group (NOMAD & Broker) Euro Capital Projects (NOMAD) Pearl Street Holdings (NOMAD) Worldwide Natural Resources (Ofex Advisor) Dovedale Ventures (Ofex Advisor) Other 2005 work completed:Neptune-Calculus VCT offer for subs of up to 12 million Advisory work for TGM on London Bus disposal for 20.4M Advisory work for Creightons on property disposal Advisory work for Hampton Trust on company restructuring Advisory work for Interbulk Investments on acquisition of Inbulk Advisory work for Fundamental-e Investments on two disposals Advisory work for Designer Vision re: Design Rights against Centurion Electronics

squaregain show as a buy @ 51, however price change would indicate otherwise.

Ted1 - 28 Nov 2005 12:51 - 1758 of 2787

So if it's a buy the mm's drop the price to let them in the in theory they should walk the price back up.
Snowing hard again now brrr.

rawsthornebj001 - 28 Nov 2005 12:55 - 1759 of 2787

showing as a 5m buy on III

snakey - 28 Nov 2005 16:09 - 1760 of 2787

large portion of manipulation here, against the realistic market price, methinks.

Ted1 - 28 Nov 2005 16:21 - 1761 of 2787

Snakey
I agree totally. That 5 mil has to be a buy probably from that company that is stake building. As I said earlier drop the price to accomodate the buy and then slowly walk the price back up.
Money talks eh.

jj50 - 28 Nov 2005 16:38 - 1762 of 2787

Total buys today 5,288,164 vs. sales 1,548,830.

white westie - 28 Nov 2005 19:24 - 1763 of 2787

that late 4.1M is most likely another buy for our friends from AV, wonder how many more they intend to purchase and for what purpose, any thoughts?

snakey - 28 Nov 2005 23:06 - 1764 of 2787

any thoughts on what, if any, links or involvement RIL have with Mr Dean??? or should I say, does anybody know if there are any ?? I am stupidly thinking that someone may be wanting to take DGT private or maybe that`s too much Meersault again !!

Paulo2 - 29 Nov 2005 10:20 - 1765 of 2787

Someone's getting out in a big way!

snakey - 29 Nov 2005 11:32 - 1766 of 2787

I would expect to see a RNS this week or early next regarding updated holdings of RIL.

rawsthornebj001 - 29 Nov 2005 13:07 - 1767 of 2787

I cant see anyone getting out, it looks to me like price is bending on one knee to let a purchase of 5m and today 3.5m in.

Although price appears yo-yo like I still have positive sentiment toward DGT.

rawsthornebj001 - 29 Nov 2005 13:22 - 1768 of 2787

I'll get my coat.......

snakey - 29 Nov 2005 14:54 - 1769 of 2787

LOL Raw, very good self repartis. but no worries on sales, as there will be a couple of more BIG buys this week. I just wish they had bought all they wanted in one go rather than hold the price in this `languishing` position !!!

Dowgate Capital Plc ('Dowgate' or the 'Company')

Holding in Company

Pursuant to section 198 of the Companies Act 1985, on 29 November 2005 the
Company received notification that Restructuring Investors Limited has a
beneficial interest in 50,000,000 ordinary shares in Dowgate, representing
approximately 8.08% of Dowgate's issued share capital.

rawsthornebj001 - 30 Nov 2005 14:51 - 1771 of 2787

Surely thats good news?

moneyplus - 30 Nov 2005 15:20 - 1772 of 2787

Who are RIL anyone know? possible takeover offer approaching do you think?

ptholden - 30 Nov 2005 17:06 - 1773 of 2787

mp

I posted a while back on RIL; essentially they are an aggressive investment company, whom tend to take a large position in an underperforming company and force improvement by using that position to influence / drive the board to greater effort. On the face of it this would appear to be good for DGT and hopefully the SP. However, they appear to have being allowed to accumulate their 50 million shares with absolutely no impact on the SP thus far. Severe market manipulation as a previous poster commented IMO.

Draw the line yourself.

The trend's your friend.

markusantonius - 02 Dec 2005 10:20 - 1776 of 2787

PTH, I've been away from this thread for a few weeks now but have kept my eyes on the sp with eager anticipation..... RIL's "accumulation" (as you put it) could well be them dictating to MM's what their top buying price is? It makes sense as the MM's will be happy to trade like this providing they can still tempt enough sellers to match all the deals. From experience, a gradual sustainable climb is better for everyone med & long term and I don't mind 3p up and 1p or 2p down as long as the trend is steadily going north.
