found the following on p194 of the prospectus:
"The Biotec Entities were indebted to the Seller, or persons or entities under the Sellers control, by an approximate total amount of 15.7m (the Shareholder Indebtedness). An amount of US$1m of the Shareholder Indebtedness was secured by a registered charge on the Biologische Natureverpackungen GmbH & Co KGs real property."
I assume the debt is split 50:50!

I fear that this is going back to the .2p that we saw before...there is an interesting point raised by oblomov...I have to say that I know nothing about this so any points by other bloggers would be welcome...we all would like SEO to recover...me included because it has potential...the only trouble is that every time it recovers something else comes along to knock it !

SEO's 50% being 5.6m. Sphere can probably more afford their 50%!
I don't think this has potential. If they survive the 5.6m debt they will drift back into being a small engineering firm, IMO, left with only its RF welding side of the operation. The competition is better at it, in a nutshell. The patent dispute will do for them, if nothing else.

The very next para mentioned something about "the Novamont licene agreement" but I've not yet looked deeper into it.
Biotec sales are and will increase, so inevitably a break-even point will be reached...unless SEO keep piling on the exceptionals!

This from the 2006 prospectus:-
'At Closing, the Seller released all its rights under any agreements where the Biotec Entities are the principal

Biotec Entities performed the obligations of the Seller under such agreements to the extent not subsequently
released. The Company agreed to indemnify the Seller for any failure by the Biotec Entities to perform the
obligations of the Seller under such agreements.'
Is the agreement still in force? Maybe Novamont think it is!

SEO remain an enigma as far as I'm concerned: on the one hand they say:-
"Our BioPlastics division encompasses all our activities in bio-based plastics.We have grouped together in this division Aquasol, the Biotec JV and our business based on growing sales of bioplastics, either based on Biotec's IP or on IP offering similar advantages in the marketplace. We regard this as our core business going forward and are looking for new opportunities to increase its critical mass quickly."
Then they say:-
"Whilst we believe the existing product offering is 'best-in-class' versus
competitive biomaterials, the functional attributes often fall far short of
existing oil based products (backed, as they are, by decades of development)."
What the f***??!
I wish I could go to the AGM, I'd take more than a sharpened stick!!

Theres been an awful lot of pants and faces from the past surfacing to pump/ridicule/dump etc.
I've made a few quid with the rise but I want to see 2p and still believe this company has the necessary legs to reach it. It is'nt going to be overnight, but slowly slowly catchey monkey.
The sp rise/fall over past few days was way OTT , as per usual on hype and no substance.
THERE ARTE NO NEW CONTRACTS, PATENT DISPUTE STILL OUTSTANDING etc.
So the only thing thats changed is the losses have been reduced. The management have stated that they expect developments THIS YEAR.
So I'll give them a chance. Like TWEENIE I'll be at the AGM to make my voice heard and will expect suitable development, not just empty gestures.
All in all the results were exactly what i expected- as I suspect was the case for most genuine LT holders on this site.
Anyone who got burnt should have known better than to believe the hype and anyone who was ramping was only in it for themselves for a small gain.
No names mentioned, but you know who you are.
anyway. Enough rambling. shares tucked away for another year.

await directers buying shares.

I don't think you'll wait in vain, WD.
When I first bought in, the tip came from someone who qualified it by saying, put them in a drawer and let your grandkids thank you for it.
My regret is I bought in too early and I am too stupid to forget about them.
We are used to a diet of massive contract promises and huge sales potential, and we are naturally disappointed by the results. But as you say, deep down we expected no other.
If you were nuetral, you may look at these results and think the company had slashed cash burn, was slowly increasing turnover, was a partner in a business that is observably growing, has plans to recruit more staff to cope with expected increase in demand, has enough cash to stay liquid for some considerable time, is in discussions with customers who are interested and has an old established product stream to fall back on if things are just too slow.
On the negative side it is losing money and has a product that has its problems from the customers perspective, its patents are being challanged and the market looks to become more competative than ever.
I am happy with my holding and the position at the moment. Of course I'd like answers, and I will not get them. I'd like an announcement that the whole world is buying into Biotec, but I won't get that either. What I think we will get is proper trials with real retailers this year, one or two orders and a good increase in Biotec sales through SPhere and others.
Perhaps if the SP had advanced from 0.2 to 0.6 AFTER the results, we would all have read them differently.
Anyway, what do I care? Its your brass, all of you, and it doesn't make the slightest difference to me whether you are in or out. But I'll stay in for some time yet. I'm just not ready to increase.

Sphere are looking to suppliers other than Biotec for their bioplastics - doesn't give me much confidence that Novamont's claims are unfounded.
SEO may be confident the dispute will be settled (in a year or two, they say!), but Sphere are obviously less confident or they'd still be using Biotec.

In response to driver's moans....this stock moves up or down on a nothing rumour... I'm just trying to guess which way this bleated stock will go....could be .2p.... or on a whim of buying it could go up to 1p or more...could be over 2p at the end of the year....like many other people I,m trying to make a buck or two...I feel sorry for those that have bought in at 10p plus and are still in but with the stockmarket things move fast...making any sense out of this company takes some doing....at the moment I'd say things do not look promising !
