End of Conversion rights from Convertible Security Financing

The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or the "Company") announce the end of conversion rights pursuant to the convertible security financing first announced to the market on 12 August 2013.

This follows the Company receiving notices of exercise in respect of convertible securities previously issued on 23 January 2014 at conversion prices of 7.3p and 7.4p per share, the details of which were announced to the market on 12 August 2013 pursuant to which 8,135,877 ordinary shares (the "Relevant Shares") fall to be issued. An application has therefore been made for the Relevant Shares to be admitted to trading on AIM with admission expected to take place on 15 April 2015. The Relevant Shares will rank pari passu in all respects with all existing ordinary shares in the Company.

Following admission of the Relevant Shares, the Company's enlarged issued share capital will comprise 2,164,092,181 ordinary shares with voting rights. This figure of 2,164,092,181 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.

Approvals update - Supporting applications

The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or the "Company") provide a procedural update on the progress of two supporting planning applications for the York Potash Project ("the Project").

An application by York Potash Ltd to Scarborough Borough Council ("SBC") for temporary construction accommodation and a park and ride facility was submitted in February 2015. SBC planning officers recommended approval of the application and members of the SBC planning committee subsequently resolved to approve the application subject to conditions at its meeting on 16 April 2015.

Chris Fraser, Managing Director and CEO of Sirius, commented:

"We welcome the positive resolution from Scarborough Borough Council for this important part of the wider Project and thank councillors for their support."

An application by North Yorkshire County Council ("NYCC") was submitted in January 2015 to the North York Moors National Park Authority ("NYMNPA") to extend NYCC's existing Whitby park and ride facility. The application is to allow alterations to the layout and landscaping design of the facility and to accommodate additional parking spaces (for the future York Potash workforce), as well as revisions to site opening times to permit public use 365 days of the year.

At a meeting on 16 April 2015, NYMNPA planning committee members resolved to defer its decision on the application as it was considered to be premature, pending the determination of the main Project application.

Whilst important supporting applications in their own right, the outcome of these applications has no bearing on the determination of the applications for the main Project infrastructure (mine, mineral transport system, materials handling facility and harbour facilities).

Approvals update - Harbour Facilities

The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or the "Company") provide a procedural update on the approvals process for the proposed Harbour Facilities at Teesside for the York Potash Project.

Further to the announcement on 15 January 2015, the Company has been informed that the Planning Inspectorate ("PINS") has accepted the York Potash Harbour Facilities application for a development consent order ("DCO") and this will now be taken forward to an examination. The process that PINS follows is set out by statute and further details are available on its website.

A final decision on the DCO is expected to be made by the Secretary of State for Transport in summer 2016.

Approvals update - Redcar approval

The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or the "Company") provide an update on the approvals process for the York Potash Project ("the Project").

Further to the announcement on 15 April 2015, at a Regulatory Committee held earlier today by Redcar and Cleveland Borough Council ("RCBC"), councillors unanimously resolved to grant permission for the York Potash mine and mineral transport system ("MTS") planning application.

The remaining key applications are: that part of the 'straddling application' for the mine and MTS which has been submitted to the North York Moors National Park Authority; the materials handling facility application, which has been submitted to RCBC; and the application for the harbour facilities which has been submitted to the Planning Inspectorate.

Chris Fraser, Managing Director and CEO of Sirius, commented:

"We are delighted with the positive decision from Redcar and Cleveland Borough Council for this substantial part of the Project and look forward to further progress with our other applications.

"The application is a significant part of the overall approvals required for the delivery of the Project and an important step forward for Sirius."

Approvals update - MHF approval

The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or the "Company") provide an update on the approvals process for the York Potash Project ("the Project").

The Company has been informed that a positive decision has been made on its planning application for its materials handling facility ("MHF") at Wilton, Teesside. The decision has been made under delegated powers by the planning officers at Redcar and Cleveland Borough Council and is subject to a 'section 106 agreement' being finalised. This is a normal part of the planning process.

The MHF is located at the Wilton International site, an established industrial area in Teesside, at the end of the Project's mineral transport system ("MTS"). It will receive, handle, granulate and store the polyhalite produced from the Project.

The two key application decisions remaining are: that part of the 'straddling application' for the mine and MTS which has been submitted to the North York Moors National Park Authority and the application for the harbour facilities which has been accepted for examination by the Planning Inspectorate.

Approvals update - planning officer report

The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or the "Company") provide an update on the approvals process for the York Potash Project.

Further to the announcement of 8 May 2015, the Company has been informed by planning officers at the North York Moors National Park Authority ("the Authority") about the report that will be presented to members of the Authority at its proposed special planning committee meeting on 30 June 2015.

Planning officers have informed the Company that the report is likely to include an 'open recommendation' for the Authority's members to consider, which means that it will be for the members to make a determination based on the relevant planning considerations. The report will be publicly available via the Authority's website at least five working days prior to the meeting and will also be published on the Company's website.

Chris Fraser, Managing Director and CEO of Sirius, commented:

"We are very pleased to be heading towards a decision by the members and have confidence in the strength of our planning case, the huge levels of support for the application and the many wide ranging economic benefits that the Project will deliver to the local area and to the country at large."

Temporary trading suspension
In line with the Company's previous approach for the Redcar and Cleveland Borough Council planning meeting, the Directors have requested that the Company's ordinary shares be suspended from trading at 7:30am on 30 June 2015, the date of the Authority's special planning committee meeting, pending the outcome of that meeting. The suspension has been requested because the decision will be taken at a public meeting during trading hours and the Company is under obligation to ensure that the market is updated in an orderly fashion. Trading in the Company's shares will resume as soon as practicable following the decision being announced.

Brazil Potato and Tomato Crop Study Results

The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or the "Company") provide an update on the latest results from its ongoing global crop study programme.

This update provides results from independent studies undertaken in Brazil on tomato and potato crops at the University of Sao Paulo. The Brazilian market for tomatoes accounts for 66% of a US$4.79 billion South American tomato crop market. Brazil also supplies 22% of the US$6 billion South American potato crop. Highlights from the trials include:

· Polyhalite applied as a straight fertilizer improved tomato yield by 6% over the control and 15% as a blend component;
· Tomato quality measured as Brix, pH and fruit firmness indicated improved taste and shelf life potential;
· The potatoes grown using a polyhalite blend achieved the same yield using 68% less product than the local commercial option; and
· A polyhalite blend option offers a lower cost, higher nutrient content and is a more efficient product than a commercial alternative.

Approvals update

The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY) ("Sirius" or the "Company") provide a procedural update on the approvals process for the York Potash Project.

In advance of the proposed special planning committee considering the Company's mine and mineral transport system planning application on 30 June 2015, the North York Moors National Park Authority ("the Authority") has published additional background reports on its website.

The reports form part of a number of review documents commissioned by the Authority to inform its assessment of the planning application. The findings of all the review documents will be taken into account in the planning officer's planning committee report, referred to in the 14 May 2015 announcement, which will be publicly available via the Authority's website at least five working days prior to the planning committee meeting.

As detailed when the application was submitted and announced on 30 September 2014, this is a normal part of the planning process so the Company is not offering further commentary on individual reports. Planning officers had already taken account of these and other reports when they advised of their likely open recommendation on the planning application (as detailed in the 14 May 2015 announcement).

The Company has also been in discussions with the Authority for a number of months about its proposed Section 106 Agreement ("Section 106") and it has now tabled an enhanced proposal. The revised Section 106 proposal, which will also be available on the Authority's website, is designed to address officers' concerns relating to the residual harm that can be addressed through Section 106 contributions.

......... Still a long way to go even if planning is approved. I personally suspect that Planning will be denied, or a lame duck excuse presented for another round of environmental studies / investigations. It will subsequently go into another round of appeal, which could take many months.

If the planning permission is granted without strings, then we will enter the next phase of funding for such a large project build. - Hence share dilution in some way/share offering, or perhaps large partnering. Yes, long term there could be rich profits for shareholders, but much pain in the SP as it will rollercoaster as would be expected.

Perhaps stating the obvious, but PIs should view the larger picture, as well as near term risks etc.

I have taken profits until dust settles.
