sorry to disagree, but having a stack of cash does not mean that a company has to throw it at a minnow or even a larger fish ..... a takeover needs to make economic sense to the predator

Movinup.: This could be a great investment but please do your own research as this is very high risk and not for the faint hearted just like all small Exploration companies. NOP are far less risky but I have held BLR for over two years and staying till the end one way or another.

if you don't want to lose, buy bonds, or use savings account. but if you want to win, you should be prepare to lose too and rejoice. i like little fishes which come with high risk and high reward but only after a lot of homework or diggings. now how much are you prepare to lose? and how much are prepare to win. if you start, you will lose then you will win but the decision must always be yours.
best luck and be strong

movinup, How long is a piece of string? Always do your own research. You win some, you lose some. Hopefully, if you have done your research properly you win more than you lose. Be prepared to lose all!!!
Only invest in shares, especially these pennyshares, when you have paid off your debts and have about 3 - 6 months savings you can put your hands on in an emergency.
Hope this helps...

Monterey Well Funding
RNS Number:8865H
Black Rock Oil & Gas PLC
21 August 2006
For immediate release
21 August 2006
Black Rock Oil & Gas Plc
("Black Rock" or "the Company")
Funding Secured for the Monterey Appraisal Well
Black Rock with interests in Colombia and offshore UK, is pleased to announce
that it has come to an agreement with Gemini Oil & Gas Fund II, L.P. ("Gemini")
whereby Gemini will fund Black Rock's 15% share of the drilling and testing of
the forthcoming 49/8c-4 Monterey appraisal well, in the Southern Gas Basin of
the UK North Sea. The Monterey Gas Field is estimated to contain 165 billion
cubic feet of reserves. The well will appraise the commerciality of the field.
Operated by Wintershall, the Monterey appraisal well is expected to commence
drilling during early September and will take approximately 53 days to reach its
projected total depth of about 4020 metres. If tested, it is estimated that it
will take an additional 20 days to complete the well. The water depth in this
location is about 35 metres.
Discovered in 1989, the field is located approximately 15 kilometres west of the
Windermere gas platform and south of the Schooner and Ketch gas fields.
The initial well, 49/8-2, intersected a 300 foot gross gas column reservoired in
Carboniferous sandstones. Despite severe formation damage in the original well
it flowed gas on test at a rate of 5 million cubic feet per day.
The level of funding guaranteed by Gemini is up to $US4.274 million
(approximately #2.4 million). This funding is in return for an entitlement for
Gemini to receive payments from Black Rock's future revenues from the Monterey
Gas Field.
Ivan Burgess, Managing Director of Black Rock Oil & Gas plc, commented:
"The agreement with Gemini is excellent news as it allows us to fund our
interest in the field without recourse to shareholders, yet retain a significant
proportion of the potential cashflow. The field has been drilled previously and
there are known, quantified reserves of gas so we are optimistic regarding the
outcome.
"In both Colombia and the North Sea we have deliberately chosen highly
prospective acreage and experienced partners. As a result we believe that the
outlook for the Company continues to improve and the Board has never been more
positive regarding its prospects".

Editors' Notes:
Black Rock has holdings in the North Sea, Celtic Sea and Colombia. In the North
Sea Black Rock has a 15% interest in Blocks 49/8c and 49/9d, operated by
Wintershall. The Monterey Field was originally drilled in 1989, gas flowed and
it is estimated to contain 165 BCF of gas. An appraisal well to test
commerciality will be drilled shortly.
The Association Contracts in Colombia are held in conjunction with a joint
venture partner, Kappa Resources Colombia Limited ("Kappa"). As announced in
April 2005, the Company acquired a 50 per cent, non-operated equity interest
from Kappa in the 249,000 acre Las Quinchas Association Contract located in the
prolific Middle Magdalena Valley of Colombia. The contract contains three known
fields, Arce, Baul and Bukhara. The Company anticipates that the Arce Oil Field,
estimated to contain gross recoverable oil reserves of 5 million barrels, could
be in commercial production during 2007. In addition, the Company has a 50%
holding in the Alhucema Association Contract where initially seismic acquisition
will be undertaken this year.
Gemini Oil & Gas Fund II, L.P. is an international oil and gas investment fund

Good morning, Very positive. OK we give a little bit but a much better option than more dilution IMO! Gemini will also give the BLR cv a boost.

Well it sounds like it may be good BUT:
What is the agreement with Gemini? How much future revenue has it been agreed to give back?
Is it a percentage or a fixed amount? How long is the revenue agreement for? eg 10% for 6 years, or money back plus 20 %
What if the revenue is lower than expected, will Gemini get all of it?
Anyone know if the full details are posted anywhere?

Good point rpaco. Haven't seen anything beyond the RNS as yet. But the less we have to rely on ARCE, the better as I see it... it never was going to be a company maker. Having been holding and averaging down for some time, I'm at last beginning to relax a little (I think!)

With thanks to ROL on ADVFN:--
Have just spoken to Ivan.
Sounds like I was at least partly correct in my guess.
The reason the figures werent on the RNS is because its on a sliding scale, and its something which is hard to get across in a snappy RNS. Ivan is just waiting at teh airport for a flight out to Columbia and didnt have the figures on him (another reason maybe why the detail wasnt in the RNS?). He couldnt quote the exact details without his papers, but the ratchet has around six different elements / stages, and works across different time periods. He said that in his view it was a good deal.
He was surprised the SP hadnt reacted more positively, at which point I mentioned that could be because noone knows how good the deal is until they see the other side of it in terms of numbers, which he agreed. He said he would look to get those numbers out to shareholders at his next opportunity.
I asked whether the steaming gear equipment was on site yet. He said he is on way to Columbia now. He said he is going to chase why where the steaming kit is in Columbia, said to me, last he heard was 3-4 weeks ago it was in customs, and to his mind it shouldnt take that long to clear.
