Yes, I think it's a co-incidence, because the "137p" will get diluted, too. The new shares are not the same as the old shares. That would be like exchanging your pounds into dollars and claiming you made a gain because you went from 100 to 150. But the number are in a different "base", the 100 is in GBP, and the 150 is in USD, so you haven't necessarily gained anything.

Where I think there is a gain (or loss, depending on your perspective) is that the share price is 150p in the market, put the placing is at 137p - so the people buying at 150p are being diluted by the placees, who are getting a preferential rate.

I guess a lot depends on what you think the shares are worth to begin with, and whether you can gain access to the placing.

If you buy at 150 today that is the same as buying at 137 in the placing because the placing dilution happens first before the RI and 150.x.(.shares.today./.shares.after.placing.).=.137 x

If you can buy in lower than 150 you will be better off than if you bought in the placing, and if you buy higher than 150 you get a worse deal than the placees.

Then every share is on level pegging and the Rights Issue process applies to all shares including the placee shares.


Page 59 of the prospectus says "The Company proposes to offer 401,556,476 New Ordinary Shares by way of rights to (i) Qualifying Shareholders ... and (ii) Placees". So the placing happens before the rights, not after.

At least that's the way I read it - it's entirely possible that I'm understanding it wrong, though.

I think you're both agreeing that the placing is before the rights are applied ?

Actually, I don't think as a shareholder I should have to post on twitter specifically to ask for clarification from the CEO of this company as to what my various options are. The Prospectus should be worded in simple terms so that shareholders are completely clear about what is going on.

I do and If I get stalled I go to the AGM or nearest meeting and cause as much unrest as poss.
