New World Oil & Gas
Assignment of Initial 12.5% of Blue Creek Project
RNS Number : 3197Q
New World Oil & Gas
17 October 2011
New World Oil and Gas Plc / Index: AIM / Epic: NEW / Sector: Oil & Gas
17 October 2011
New World Oil and Gas Plc ('New World' or the 'Company')
Ministry Approval for Assignment of Initial 12.5% Working Interest in the Blue Creek Project, Belize
New World Oil and Gas Plc, a company focused on making investments in the oil and gas sector, is pleased to announce that the Belize Ministry of Natural Resources and the Environment has formally approved the assignment of an initial 12.5% working interest in the 420 sq km Blue Creek Project located in the Pet Basin in Northwest Belize ('the Project') to New World's wholly owned subsidiary, New World Oil and Gas (Belize) Ltd ('NW Belize'). This represents the assignment of the first tranche under the Farm-Out Agreement announced on 16 June 2011 and follows the acquisition of 45 line km of 2-D seismic data and the re-payment of certain historical costs by New World to Blue Creek Exploration Ltd ('BCE') as referred to in the announcement on 20 September 2011.
The Company is continuing to carry out its Phase 2 125 line km 2-D seismic survey on the Project area, upon the completion of which, NW Belize will be transferred a further 12.5% working interest in the Project, bringing the Company's total working interest in the Project at that stage to 25%.
New World CEO William Kelleher said, "The approval from the Government of Belize for the transfer of the first 12.5% working interest in the Blue Creek Project is another significant milestone for New World. As previously announced, following the results of the first of three planned phases of our seismic programme, our Competent Person, RPS, provided an update to the CPR, specifically highlighting four structures similar to those found in the nearby producing Spanish Lookout field in the productive and highly prospective Pet Basin. The primary objective of Phase 1 was to provide greater resolution to possible structures and correlate these with the productive interval at Spanish Lookout, and this objective was achieved. Upon completion of Phase 2, it is intended that RPS will generate a second update to the CPR and we expect this to include first estimates of in-place or recoverable volumes. We expect this update to be released before the end of 2011 and look forward to updating shareholders on our progress then

24 November 2011
New World Oil and Gas Plc ('New World' or the 'Company')
Update for the Danica Jutland Project, Denmark
New World Oil and Gas Plc, a company focused on making investments in the oil and gas sector, is pleased to provide an update on the progress to date and planned work programme for 2012 at its 4,107 sq km Danica Jutland Project consisting of two licences, 1/09 and 2/09, located in the productive and highly prospective Jutland on-shore area in South Western Denmark ('the Licences').
Overview
Partner, North Sea Fund (branch of the Danish Energy Agency), formally approved New World's naming on the Joint Operating Agreements for Licences 1/09 and 2/09 of the Danica Jutland Project - formal Danish Energy Agency approval is expected in the next two weeks
Upon full completion of the earn-in work programme, New World has the option to obtain up to an 80% working interest in the Licences
Phase 1 of the 2-D seismic acquisition programme, the preliminary budget for 2012, and estimates for 2013-2015 have all been formally approved by the Licence holders
New World to begin tendering process for the 2-D seismic acquisition programme before end of Q4 2011 - expected commencement of seismic programme Q2 2012, subsequently initiating the earn-in programme
On completion of Phase 1 seismic, updated Competent Person's Report expected Q2 2012
New World CEO William Kelleher said, "The approval from our partner, North Sea Fund, for our operatorship of Licences 1/09 and 2/09 is another encouraging step forward as we progress towards commencing a 2-D seismic acquisition programme at the Danica Jutland Project. We are very excited about the Licences due to the high level of prospectivity attributed to them by our Competent Person, RPS Energy ('RPS'), in the first Competent Person's Report ('CPR'). The encouraging results provided significant evidence pointing to the presence of a working hydrocarbon system on the southern flank of the Northern Permian Basin, where our significantly sized licences are located.
"As with the updated CPR for our Blue Creek Project in Belize, we hope to be able announce reduced geological risk in Denmark to levels that support drilling. These levels currently stand at 1 in 8 for the Zechstein and 1 in 5 for the Triassic. This approach is supported by RPS in their CPR whereby they state that the acquisition of further seismic 'is the next step to identify a robust prospect'.
"We look forward to updating our shareholders on our progress in both Belize and Denmark as we pursue our stated goals of achieving early production through the use of extensive state-of-the-art technology, thereby minimising geological risk up to the point of drilling."
Further Information
The Farm-Out Agreements for Licences 1/09 and 2/09 were agreed between the Company's wholly-owned subsidiary New World Jutland ApS ('NW Jutland')and Danica Jutland ApS ('DJ'), the joint-holder of the Licences (dated 17 May, 2009) ('the Licence holders'). DJ currently has an 80% working interest in the Licences with a single partner, Danish North Sea Fund, which holds a fully-paying working interest in the remaining 20% of the Licences.
The first phase of the 2-D seismic acquisition programme ('the seismic programme') for the Licences (as previously described in the Company's 11 October 2011 announcement) was formally approved by the Licence holders at an Operations Committee meeting held on 14 November 2011 in Copenhagen, Denmark. This will entail the permitting for, and acquisition, processing and interpretation of 50 line kilometres of 2-D seismic on each of the Licences during Q2 of 2012. In addition, a preliminary budget for 2012, and estimates for 2013 - 2015 were also approved.
The Company will begin the tendering process for the seismic programme before the end of 2011, with a view of commencing at the beginning of Q2 2012 at an aggregate cost of US$1.25 million which will deliver an initial 12.5% working interest in the Licences. The Company has the option to increase its working interest to 25% by the investment in further seismic data, and to 80% by funding the completion of one exploration well on each Licence.
Following the completion of the first phase of the seismic programme, the Company's Competent Person, RPS, will provide an updated CPR, further high-grading prospective drillable prospects, which is expected at the end of Q2 2012.

These are some of the key points for those considering investing in New World Oil & Gas:
- Only 132 million shares in issue
- Only 8.5p per share at time of writing this
- CEO targetting 50,60 ,70 times market cap
- Operator of 1 BILLION barrels of oil potential in Belize
- Operator of potential "world class asset" in Denmark
- CEO presented 545p and 220p per share unrisked NPV from Belize A and B crest alone; shown in CPR. So for HALF the Belize asset alone, this has an unriked value o £7+; remember we are only 8.5p at time of writing this!
but the calculations per share are based on 128 million shares and not 132 million as an extra 4 million shares were issued on 30th Dec for payments to contractors instead of cash

teh third project looks intresting
this is no longer a one trick pony thats for sure
the sp has had a healty breather and should now push on to new highs again .
and if its true to form could be pushing on the door of 16p before a retrace towards 13p
ofcourse a stonking rns on teh end of jan CPR could change all that .
i see some mention that this is aim and in most cases i would agree .
but for me
so far this company have lived up to the hype
infact they have proven themselves to be better than was expected again and again

New World Oil and Gas Plc, a company focused on making investments in the oil and gas sector, is pleased to announce that further to signing a Letter of Intent on 23 December 2011, it has completed a Farm-Out Agreement ('FOA') with Danica Resources ApS, to acquire an initial 12.5% but up to an 80% working interest in the highly prospective 6,420 sq km Licence 1/08 ('the Licence') which includes both onshore and offshore acreage in Southern Denmark in the productive Western Baltic region of the South Permian Basin. Under the terms of the FOA, New World will assume operatorship of the Licence.
On 25 January 2012, the Company announced the highly positive results of a Competent Persons Report ('CPR') carried out by RPS Energy on the concession, that indicated, inter alia, that the already identified Als Prospect has P50 resources of 97 million barrels of oil and 1.401 TCF of gas with a Net Present Value ('NPV10') of US$2.44 billion, underpinning the prospectivity of the Licence.
New World will be named Operator of the Project by means of an addendum to the existing Joint Operating Agreement ('JOA') between the current operator, Danica Resources ApS (80% working interest) and its single partner, Danish North Sea Fund, that holds the remaining 20% working interest. The first phase of a planned 150km 2-D seismic acquisition programme on the Licence is due to commence in Q2 2012 at an estimated cost of US$1.4 million net to the Company's interest and will deliver an initial 12.5% working interest to New World. New World has the option to increase this to 80% at its discretion based upon the following provisions.
Key provisions of the above agreements:
· Permitting, acquisition, processing and interpretation of 150km of 2-D seismic to be completed by the end of the third quarter of 2012. This will deliver the initial 12.5% working interest in the Licence to the Company, and at this point the licence holders must decide whether to drill a well based upon existing seismic data or acquire additional seismic data.
· Permitting, acquisition, processing and interpretation of 2-D and/or 3-D seismic by 30 March 2013 to properly delineate drillable prospects, in return for which New World will receive a further 12.5% working interest. Survey design(s) are to be agreed by 30 September 2013. If no further seismic is deemed necessary the 12.5% would be transferred to New World immediately.
· Provided a drillable prospect has been identified, one well to be drilled by the end of the third quarter 2014, in return for which New World would receive the remaining 55% working interest.
· If and when New World has assumed Danica Resources ApS's 80% working interest, Danica Resources ApS shall remain entitled to a 5% overriding royalty from any production of hydrocarbons. In addition, a further staged cash and share payment of $500,000 has been agreed between New World and Danica Resources ApS.
· Provided a drillable seismic-based prospect has been identified, New World has the option to drill an additional well to the base of the Zechstein and/or Rotliegend, as mutually agreed, by no later than 30 September 2015.
New World CEO William Kelleher said, "We are delighted to announce the completion of the transaction documents for the Danica Resources Project which adds a third project to our growing portfolio of highly prospective assets that includes our most advanced Blue Creek Project in Belize, with its combined P50 resource estimate of 294MMbbl and Estimated Monetary Value of US$1.53 billion. This exciting addition increases our exposure to the productive South Permian Basin in Denmark to 10,507 sq km and includes the Als Prospect which, on its own, has a P50 resource of 97 MMbbls of oil and 1.401 TCF of gas.
"The Als Prospect provides an enticing indication of the huge potential of the Danica Resources Project and, as a result, we are eager to explore the area further in the expectation of identifying additional sizeable prospects. With this in mind, we look forward to commencing our seismic acquisition programme shortly and will update the market on our progress in due course."
Further Information:
New World signed a non-binding LOI with Danica Resources ApS granting the Company a 90-day exclusivity period in which to undertake due diligence on the Danica Resources Project in Denmark on 23 December 2011.
Danica Resources ApS is a Danish company formed for the purpose of obtaining and exploring the southern fringe of the Northern Permian Basin covered by licence 1/08 that covers an area of 1.586 million acres (~6,420km2). Danica Resources ApS has been studying the area for some time and has developed a geological model and a number of leads based on available seismic data, an extensive surface soil geochemical survey, some well data and a number of academic papers.
Danica Resources ApS has an 80% working interest in the Licence with a single partner, Danish North Sea Fund, who holds the remaining 20% working interest. Subject to New World fulfilling its obligations under the FOA, the Company will have the right to acquire the entire 80% working interest held by Danica Resources ApS, subject to the approval of the Danish government and Danish North Sea Fund.
The Licence was granted to Danica Resources ApS and the Danish North Sea Fund in March 2008 with a 6-year exploration period, with provisions for extension. A 6-month extension was granted in March 2012.
The minimum work programme required by the Danish government is as follows:
· Years 1 and 2 - Collate available data, conduct geochemical soil-survey and create geological model using available seismic and literature references. This phase has been successfully completed
· Years 3 and 4 - Acquire 2-D to better delineate certain leads (both in the Zechstein and Rotliegendes intervals, followed by a 2-D or 3-D survey over selected leads. At the end of Year 4, the licence holders must decide whether to drill a well based upon existing seismic data or acquire additional seismic data.
· Years 5 and 6 - A well must be drilled by the end of year six

UPDATE: New World Oil & Gas anticipates "tremendously exciting" remainder of year
3:57 pm by Giles Gwinnett Three drill ready prospects have now been identified at Blue Creek with a combined P50 volumetrics of 329 million barrels, which has an estimated value of US$8.1 billion, based on a 100 per cent working interest
--- Adds share price and broker comment----
New World Oil & Gas (LON:NEW) is anticipating a "tremendously exciting" remainder of 2012, as it unveiled interim results today.
The firm made "exceptional progress" in the period to June 30, it said, and is expecting to drill its first well as operator at the flagship Blue Creek project, Belize in the coming weeks.
"By mid November 2012 we will know whether or not we have made an oil discovery, and I look forward to updating shareholders on every step of our drilling process," said chairman Bill Kelleher.
"In Denmark we expect to drill up to two Triassic wells in Jutland within the next 12 months, and potentially commence drilling of the Als prospect in the Baltic Region.
"Although these goals seem ambitious, our rapid progress to date and the presence of one of the strongest oil and gas teams around increases my confidence in our success."
Three drill ready prospects have now been identified at Blue Creek with a combined P50 volumetrics of 329 million barrels, which has an estimated value of US$8.1 billion, based on a 100 per cent working interest.
Meanwhile, yesterday, the firm said a new independent report on its Danica Jutland project in south-west Denmark has led to an increase in the geological chance of success.
This moves from a one-in-eight to one-in-five for the Jelling and Harboe prospects, according to the latest competent persons report compiled by RPS Energy, which is based on some 56 kilometres of 2-D seismic work.
It also points to a 134 million barrels of oil equivalent resource worth US$1.22 billion, based on the Jelling, Harboe and Jensen prospects and assuming an 80 per cent working interest in Danica Jutland.
Drilling in Denmark is due to begin next year.
The firm posted a loss for the period of US$1.397 million, in line with our budget, as it currently has no revenues.
Shares were up 1.03 per cent, at 12.25 pence.
House broker Shore Capital said today's update followed yesterday’s positive update to the competent person's report (CPR) for Danica Jutland and marks the beginning of a particularly exciting period of activity for the company.
"Although New World remains in the exploration phase, it has progressively de-risked its projects and delivered key milestones in line with the planned timetable.
"We believe that drilling could inject further momentum into the share price, and continue to calculate risked net asset value of 40 pence a share."

New World chief says first well could be a "game changer"
12:27 pm by Ian Lyall Preparations are underway for drilling in Belize.
The pace of progress shows no sign of letting up at New World Oil & Gas (LON:NEW).
The past 15 months have been a whirlwind of corporate activity and exploration that means the group is days away from spudding its first well on the highly prospective Blue Creek project in Belize.
Success here could be a “game changer”, according to chief executive Bill Kelleher.
The first significant news emerged earlier this week – not from Belize, but Denmark - as independent study assigned an increased chance of success for its Danica Jutland project in the south-west of the country.
The updated competent person’s report, compiled by RPS Energy and based on the latest 56 kilometres of 2-D seismic work, put the figure at one-in-five for the Jelling and Harboe prospects, up from one-in-eight.
It also pointed to a 134 million barrels of oil equivalent resource worth US$1.22 billion, based on the Jelling, Harboe and Jensen prospects and assuming an 80 per cent working interest in Danica Jutland.
However the numbers still only include the three of 10 prospects or leads identified by New World.
From an investors’ perspective the Danica-Jutland update, important as it is, serves merely as the appetizer with the main course being that first exploration well on Blue Creek.
The total P50 resource here is 329 million barrels of oil equivalent with a net present value of over US$8.1 billion.
Work on the first prospect is expected to get underway late this month, or early next and it will take around 45 days to drill down to 7,000 feet.
New World will then compile and interpret the data that will decide whether this first Blue Creek prospect is completed for test production.
Kelleher said it will require three to four weeks of “sustained testing” in order to determine the reservoir performance and commercial viability of the well.
The information will also allow the New World chief executive and his team to put together a cumulative cashflow forecast that will determine the ultimate value of the well.
This could then pave the way for an extended well test and early oil production sales.
New World has already received “expressions of interest” in buying the crude at West Texas Intermediate prices, Kelleher reveals, which means the group could be generating cash from oil sales by early next year.
“If we have sustained production and meaningful volumes per day, this turns into a game changer for us,” said Kelleher.
The next step will be then to determine just how many more wells can go onto the block, and New World will also be conducting a 3D seismic programme.
At some point in the process – perhaps in late in the fourth quarter to early first quarter 2013 - the drilling rig will move over to the next location, West Gallon Jug.
The group has mitigated the costs of the drilling process by sealing an innovative deal with drilling contractor ThermaSource, which effectively halves the cost of its first three wells.
In return ThermaSource receives a 5 per cent stake in each of the wells, though at this stage only two have been permitted.
Hitting commercial oil will allow New World to consider some form of reserves-based lending, which will minimise the equity dilution.
It will also negate the need to give away a huge tranche of the project to bring in a partner to fund development – which traditionally might be the other option.
“We are looking at what our options are to limit dilution and with regard to debt financing. This is not outside our reach,” Kelleher said of the reserves-based funding.
Of course all of this overlooks the huge potential of Danica-Jutland.
This consists of two onshore licences covering just over one million acres of south-western Denmark that is prospective for oil and gas in the Zechstein carbonates and Triassic sandstone intervals.
Completion of the latest seismic programme earns the group a further 12.5 per cent working interest in D-J, taking New World’s holding to 25 per cent. It can take this figure to 80 per cent by drilling two wells.
The next phase is to shoot 3D seismic, before beginning drilling sometime in the second half of 2013.
“We won’t drill until we complete the 3D survey. There’s one, possibly two Triassic intervals where we have seen a seismic response to gas for which at this time we have selected drilling locations for,” said Kelleher.
For any company of New World’s size and ilk, funding is a key issue.
Broker Shore Capital reckons the group is fully funded to drill two wells in Belize following the £8.5 million share placing earlier this year.
In-the-money warrants also have the potential to yield proceeds of up to £8.7 million, it added.
“We are fully funded through the balance of this year for Belize and we fully paid for our seismic in Denmark,” Kelleher confirms.
The share price is up 150 per cent in the past year, reflecting the incredible progress it has made.
However, even this elevated valuation probably doesn’t (Kelleher might say definitely doesn’t) encapsulate the company’s true potential.
Shore Capital assesses New World’s “risked” net asset value to be 40 pence a share.
Analyst Craig Howie said: “Although New World remains in the exploration phase, it has progressively de-risked its projects and delivered key milestones in line with the planned timetable.
“We believe that drilling could inject renewed momentum into the share price.”

OIL AND GAS JOURNAL
Belize moving on up
Monday 3rd December 2012 - 1.48pm
By Sam Fletcher
Belize has been a hard nut to crack for oil &gas explorers historically but in recent times some notable discoveries have been made and new investment is now starting to move into the territory. The first discovery of petroleum and gas deposits in Belize was made by Belize Natural Energy Ltd in 2005 when the first well in spanish lookout began producing and has seen its production now reach 5,000+ barrels per day. Attention has recently been turned to london aim listed New World oil & gas who are currently drilling / exploring a series of wells on its flagship Blue Creek project, the company recently updated investors with news of the maiden B Crest prospect encountering an active hydrocarbon system. Activity on the license front has also been steadily increasing with a number of new exploration licenses being applied for from a combination of mainly US and UK listed companies, among which are Marathon Oil Corp with three applications and london aim listed Bluebird Energy with two applications.
Belize now looks set to be a major draw for oil & gas explorers with attractive tax regimes and modest local labour costs adding to the many attractions of the country.

New World Oil & Gas said it has decided to plug and abandon its Blue Creek #2A ST well after it decided there were insufficient commercial quantities of moveable hydrocarbons.
It said technical data from the Blue Creek #2 and #2A ST wells would play an in important role in the drilling of its next well, the Rio Bravo #1 in West Gallon Jug Crest.
"At this time, the West Gallon Jug Crest location is drill ready, with a drilling pad, access road, base camp, water well and other infrastructure all in place," the company said.
"It is anticipated that the drilling of the Rio Bravo #1 well will commence in first-quarter 2013. The well is planned to be drilled to a depth of 8,400 feet," it said.
The West Gallon Jug Crest prospect shows P50 un-risked prospective resources of 113 million barrels of oil, with a P50 net present value of $2.6 billion

Hi all-
I have watched the shares in this company for a few months now and I have now taken the decision to BUY some shares at @3p - i feel that the risk/reward ratio favours the reward at this level-the downside is say minimal but the upside is HUGE if they do find commercial oil in their latest well -West Gallon Jug-and there is plenty more excitement to come with their recent farm in deal in Denmark oil basin-
I rate the shares a STRONG BUY @3p level-Good Luck to all-fingers crossed as they say!

well - we have had an encouraging RNS today..and another 1,000 feet (meters>?) still to drill-everything going as well as expected and they have encountered oil shows,etc-the well will be then tested for commerciality when it reaches target depth ..My boker told me yesterday that the market makers were bidding for up to 2.50 million shares and unable to get much stock!--somebody obviously wants the shares!- HB brokers have done a speculative BUY note this week with minimum target price of 6p!!--Fingers crossed as ever!-

Hi markymar------With both NEW (sp 13.25p last year) and DES (sp 170p 3 years ago) falling off a cliff in recent years it may be of interest to compare their sp movements. NEW were 1.13p and DES 12.88p when you posted. DES are obviously experiencing difficulty monitising their resource. So maybe the 'dog' will get it's bone before DES.

I have followed this saga with interest as I know most of the participants.
It’s sad that so many private investors actually do not understand how the markets work. You wouldn’t drive a car without having lessons yet people are prepared to risk their money without a clue of the market machinations.
Everything has been clearly set out in the RNSs
Mrs Williams cannot vote all her remaining shares as they have not yet settled.
Either a YES or a NO will probably result in a fund raising at 0.055p (open offer or placing).
Any shares which have been allegedly forward sold will then vest and can be settled. Normality returns and the share price could be above 0.055p (placing price).
Big question is who has forward sold if anyone has, maybe that question should be asked of the broker! I have talked to two market makers and they themselves are short’ish of stock and suggest that there is no real forward selling mostly a mismatch caused by extended settlements. But who knows!
