"Plus500 is enhancing its client on boarding and AML processes in the UK which has resulted in additional document checks being required by a number of existing clients. This review only affects c.25% of Plus500′s total client base and it expects to have the majority of the higher value clients verified in the next couple of days with the remaining clients in the next couple of weeks. In our view, the reputational damage created by these actions is likely to materially impact the churn rate and new client numbers. As a result, we have reduced our 2015/16/17E EPS estimates by 31%/38%/24% to 74c/74c/102c. However, our recommendation remains under review as we are not sure what proportion of clients can be verified, how the FCA may react, the magnitude of the potential reputational damage and how c.40% of its clients react when they realise they are now regulated by CySec rather than the FCA.
Enhanced client on boarding and AML processes – The review appears to have been driven by the new management team at Plus500UK (rather than the FCA) who wanted to significantly enhance the existing procedures and ensure the business is whiter than white. But until this review has been completed, affected clients will not be able to open any new trades or deposit/withdraw funds. If completed successfully, this may eventually help allay some of the concerns about its client on boarding procedures, although the transition will undoubtedly be painful.
Business as usual for 75% of clients – Both the Australian and Cypriot subsidiaries are unaffected by this review, which when combined with the c.45% of Plus500UK clients that are allowed to trade, implies 70-75% of clients have been unaffected. According to Plus500, the Australian regulator ASIC has already completed a full review of the business last year and was happy with the Group’s procedures while the Cypriot regulator CySec requires that all procedures are verified in advance of the licence being issued."

I closed this am when it really fell sharply for 490 pts.

However it's more an experiment at the moment i'm looking at AIM stocks that fly too high without good earnings or profits ,or in this case with problems .

Plus500 appears to have a problem — and it goes beyond the application of anti-money laundering rules which have required the London-listed contract for difference broker to freeze more than half of UK customer accounts, until the identity of each client is verified.

On Monday, following a one-third drop in the share price, the Israel-based group put out an announcement which said, “currently c.50% of Plus500′s revenue is derived from Plus500UK”.

Consideration of the accounts for the UK regulated entity, Plus500UK Ltd, makes it hard to see the basis for that statement.

Small totals reported for UK turnover in the last two years also return us to a question asked in our first post on the company: where do Plus500′s customers come from?

The entity listed since 2013 on Aim, London’s junior market, is the Plus500 holding company run from Haifa, Israel, where senior management, computer systems and most staff are found. The Israel business is not licensed to conduct contract for difference trading, but it has three subsidiaries which are, in the UK, Cyprus, and Australia.

The UK entity was incorporated in 2009 and granted a licence by the Financial Conduct Authority in June 2010. The UK license can be “passported”, allowing it to operate in other European countries, but Plus500CY also secured a licence from the regulator in Nicosia, Cyprus, in October last year.

The small Australian business has been licensed since June 2012, and began offering CFD trading at the start of 2013, according to Plus500.

When the group published accounts for 2013, it said Plus500 focuses on 50 markets, and “the Group’s current core market is Europe where over 90% of its revenues are achieved, with the UK being its largest jurisdiction with 15% of its total revenues in 2013.”

It was possible to largely reconcile the revenue numbers with the accounts published by the subsidiaries. Group revenues were $115m. Plus500UK ltd reported turnover of £64m ($100m), and Plus500AU recorded turnover of A$3m ($3m), leaving about $12m to go through the holding company.

However, auditors for the UK entity changed last year. Baker Tilly, auditor for 2013 after acquiring Plus500 accountant RSM Tennon, resigned. PWC took over.

The first thing to note in the 2014 filing for Plus500UK is revenues for the previous year were restated downwards, from £64m to £13m ($20m).

UK revenues for the regulated entity were £24m ($40m) in 2014. Australian revenues were A$10m ($9m).

In the group accounts for the year, however, Plus500 reported trading income had doubled, to $229m. It is possible Cyprus now represents significant revenues for the group, but it was only licensed for a few months of 2014.

Three questions present themselves:

What happened to the £51m of UK revenues previously reported for 2013?
On what basis can Plus500 announce on Monday around half of revenue is derived from Plus500UK?
Where does the rest of its trading revenue come from?

The apparent disappearance of £51m in turnover suggests differences of opinion between the two sets of auditors about what constitutes revenue. The definition of turnover for Plus500UK changed between 2013 and 2014, from:

Another possible area of disagreement might be the attribution of non-UK revenue to the UK entity. The distinction matters because investors in Plus500 may place a different value on business conducted in the UK, under FCA regulation, versus elsewhere.

Consider the internet traffic we looked at in our first post in this series, which appears to suggest significant numbers of visitors to Plus500.com arrive from China. Note also the value Plus500affiliates.com (a website whose ownership it is not possible to ascertain) places on referrals of Hong Kong customers: $350.

Plus500 has been on the “Alert List” of unlicensed entities published by the Hong Kong Securities and Futures Commission for four years:

Hopefully, the company can fill in the gaps for us here. We also checked with Plus500 that they are not operating in jurisdictions where the firm is not licensed, such as Hong Kong. At pixel, a spokesperson for the company had not responded to requests for comment.

Update

The company said:

· Plus500 is not operating in jurisdictions other than where it has licences.

· The restatements of revenues were due to reclassification of revenues to Israel from UK – this is because Israel is providing the back end services

· So the 50% statement is correct in the sense that the UK customers account for 50% of revenues

· So don’t confuse domicile of customers with allocation of revenue – the two don’t have to equate

Some stocks are interesting to follow but I will never trade and this is one of them.

I think there is something rather odd about a company who spends 7 months in dialogue with the FCA about on-boarding who then has to stop all new customer activity.

Even more bizarre is what I'm reading now is that PLUS are transferring some existing customers to Cyprus. Why not just get the UK on-boarding stuff which is basically proof of residence and a bank account.

And if a customer can't provide those are they really the sort of customer you want at all, never mind porting over to Cyrus regulatory authority.

Plus500 to be acquired by Playtech in agreed deal

Playtech and Plus500 have reached agreement regarding the terms of a recommended cash acquisition through which the entire issued ordinary share capital of Plus500 will be acquired by Playtech.

Under the terms of the deal, Plus500 Shareholders will be entitled to receive 400p per Plus500 share in cash. The acquisition values the entire issued ordinary share capital of Plus500 at about £459.6m.

Playtech CEO Mor Weizer said:

UBS comment today:
"Playtech today announced the proposed acquisition of Plus500 for 400p per share, an 8% premium to Friday's close which itself was less than half the 12 month high of 781p seen before the news on 18 May that the "UK Financial Conduct Authority required a review of Plus500's anti-money laundering financial sanction systems… prohibiting all transactions for existing customers until additional AML procedures have been completed" (source: Playtech's press release today). This significantly impacted Plus500's share price and the business, with its management today indicating revenues are expected to be below 2014's levels "with margins expected to be significantly lower" as, according to the company's release today, "recent events and associated publicity have meant that Plus500 has become the subject of increased scrutiny and has received additional requests for information from its regulators".
In 2014, Plus500's revenues were $229m/£139m, EBITDA $145m/£88m and EPS 89c/54p. At its recent AGM on 27 May, Plus500 revealed Q1 sales of $82m and that through the end of May it had added a further $26m, putting year-to-date revenues ahead of H1 14's level, but since the FCA inquiry c$4m of revenues had been lost. It said at the AGM it expected it would take another month to re-approve existing customers' documentation and modify the process for onboarding new customers. It had $92m of cash at the AGM date, meaning the acquisition price represents a c£400m EV, or 4.5x trailing EBITDA, although this year's profits should be much lower.
Given Plus500 only announced the regulatory issues two weeks ago, it seems to us that the deal has been concluded in seemingly record time. We believe Playtech's management will likely feel that its own experience of operating a multi-jurisdictional regulated business will allow it to resolve Plus500's regulatory issues as fast as possible. However, investors are likely to be nervous, especially given the pace at which the deal has been concluded and given that Plus500's management appears willing to take a price almost half of where the shares were a month ago."

In the mid-late 60's I worked with a guy called Tony Forrester. His parents were Polish and had come over here around the time of WW2 (give or take).

He explained to me if his name hadn't been changed, it would still have been 'Forrechevski' (or similar). At the time, we his work mates, seemed to mind all of this less than he did.

I can't think that he was Jewish.

However, he did have extremely sensitive skin. He would scratch it gently and carefully with, say a fork prong, and up would come enormous skin wealds. We all reckoned he could have made use of this in the film industry movies by allowing himself to be whipped or tortured. Gentle whipping would have shown quite traumatic and tragic results. After about 24 hours his wounds, which weren't really wounds, actually shrank back to normal.

There is a name for this kind of skin reaction. It's called Demographic Urticaria

Plus500 said its remediation actions are now up to full speed to re-approve Plus500UK's customer accounts, with up to 40 staff working on the project.

As at close of business on Monday, 8 June approximately 23,000 customers had logged into their account since May 18, the date on which Plus500UK froze activity on existing customer accounts and of these 10,147 customers had completed the remedial AML procedures.

It said 8,457 customer accounts have now been fully reviewed by the remediation team and unfrozen, thereby enabling those customers to trade and to deposit and withdraw funds.

While it is too early to anticipate the ongoing behaviour of those customers who are now free to trade, 5,205 have resumed trading (61%) and 457 have cashed out all their funds (5%).

As confirmed in the Company's statement on 22 May, Plus500UK was required by the FCA under section 166 to appoint, and has appointed, a second Skilled Person who is required to review the steps taken by Plus500UK in regard to its remedial AML procedures for existing clients.

Broking house Plus500 said it expected to trading in 2018 to be ahead of expectations, despite revenue falling in the third quarter.

Revenue for the three months through September fell 14% to $100.1m, the company said.

However, for the nine months through September, revenue rose 86% to $565.6m.

The third quarter included two months of trading after the introduction of new regulations that tightened conditions around the marketing and trading of contracts for difference.

'Since the end of the quarter Plus500 has seen the return of higher volatility across asset classes, and consequently stronger trading,' the company said.

New customer numbers in the third quarter fell 51%, but rose 19% for the first nine months of the year. Active customer numbers in the third quarter rose 8%, while jumping 74% for the first nine months.
