Plus500, a leading online service provider for retail customers to trade CFDs internationally, today announces that following the announcement made on 17 October trading has remained strong and has already exceeded market expectations for the 12 months ended 31 December 2013.



The Company now anticipates that revenues for the year ending 31 December 2013 will be significantly ahead of market expectations.



Plus500 continues to see active customer growth accelerating whilst customer acquisition costs remain stable. This continued strong performance, coupled with favourable market conditions, highlights Plus500's growing market position and the increasing effectiveness of the Company's marketing efforts.

"Odey Asset Management LLP, the largest individual shareholder in Plus500 Ltd. ("Plus500"), notes the statement on 1 June 2015 regarding Playtech Plc's ("Playtech") recent recommended cash offer of 400p per Plus500 share.

We believe 400p per Plus500 share in cash to be an opportunistic bid exploiting current regulatory issues and risks. In our view 400p materially undervalues Plus500 and we do not intend to vote in favour of the cash acquisition of Plus500 at this price. Even considering the current regulatory issues and near term risks, we believe the intrinsic value of the business on a longer term view is materially higher than 400p.

We understand that this cash acquisition may make sense for Plus500's management and staff, whom we expect could be further incentivised by Playtech after the acquisition has completed. However, for independent shareholders we believe the current offer represents too great a discount compared to intrinsic valuation as a standalone entity.

Furthermore, we believe that the financial and strategic value of Plus500 to an industry bidder is significantly higher than valuation as a standalone entity.

We welcome Plus500 management's approach to Playtech's proposed cash acquisition, which allows other potential bidders the opportunity to appraise Plus500 with the same information as Playtech, and which allows management to cease its commitment to Playtech's proposed cash acquisition should another bidder present a higher offer."

Plus500 said its remediation actions are now up to full speed to re-approve Plus500UK's customer accounts, with up to 40 staff working on the project.

As at close of business on Monday, 8 June approximately 23,000 customers had logged into their account since May 18, the date on which Plus500UK froze activity on existing customer accounts and of these 10,147 customers had completed the remedial AML procedures.

It said 8,457 customer accounts have now been fully reviewed by the remediation team and unfrozen, thereby enabling those customers to trade and to deposit and withdraw funds.

While it is too early to anticipate the ongoing behaviour of those customers who are now free to trade, 5,205 have resumed trading (61%) and 457 have cashed out all their funds (5%).

As confirmed in the Company's statement on 22 May, Plus500UK was required by the FCA under section 166 to appoint, and has appointed, a second Skilled Person who is required to review the steps taken by Plus500UK in regard to its remedial AML procedures for existing clients.

Plus500UK has now commenced communication with inactive customers encouraging them to submit the appropriate documentation so that they are cleared to trade when they next wish to.

Plus500UK continues to work with compliance consultants on agreeing on the required procedures to enable the onboarding of new clients.

Posting of Information Statement and Notice of Special General Meeting
Further to the announcement of 1 June 2015, Plus500, a leading online service provider for retail customers to trade CFDs internationally, today announces it has posted to Shareholders the Information Statement and Notice of Special General Meeting required to give effect to the recommended cash acquisition of Plus500 Ltd by Playtech plc (the "Acquisition"). The Information Statement and Notice of Special General Meeting to be held in relation to the Acquisition is available also online at the Company's website, www.plus500.com.

The Special General Meeting is to be held at 11 a.m. on 16 July 2015 at the Regus Offices, Level 9, CityPoint, 1 Ropemaker Street, London EC2Y 9HT. The Directors unanimously recommend that Shareholders vote in favour of the Resolution being proposed at the Special General Meeting.

Alastair Gordon, Chairman, commented:
"The Plus500 board believes that the merger proposal is fair to and in the best interests of Plus500 and its shareholders as a whole and recommends that shareholders vote "for" the merger proposal."
