Maintel announced decent results for the 12 months to 31 December 2014.

Reported revenues were up 35% to £41.9m (2013: £31.1m) of which organic revenue was up 1%. Adjusted profit before tax was up 16% to £6.1m (2013: £5.2m) and adjusted earnings per share were up 24% to 46.7p supporting a final dividend up 29% to 11.6p. The full year dividend of 20.9p equates to a yield of 3% at the current share price.

Strong financial performance with growth in revenues and profits, with continued investment in both the organic business and acquisitions to support long term growth.



· Reported revenues up 35% to £41.9m (2013: £31.1m)

o Organic revenue[1] up 1%

· Adjusted profit before tax[2] up 16% to £6.1m (2013: £5.2m)

· Adjusted earnings per share[3] up 24% to 46.7p (2013: 37.6p)

· Proposed final dividend per share increased 29% to 11.6p, implying total full year dividend of 20.9p

· Significant improvement in cash generation; net cash flow from operating activities of £6.1m

· Recurring revenues of £30.5m at 73% of total Group revenue

· Acquisition of Proximity Communications completed in October for net consideration of £8.5m

· Encouraging performance in the recently acquired businesses; Datapoint acquired in September 2013 and Proximity in 2014

o The integration of Datapoint is now complete and the integration of Proximity is progressing well

o Cost synergies coming through as expected from the acquisition of Proximity

o Cross selling opportunities continue to provide growth opportunities within the existing customer base

· Launch of Maintel Cloud, and increased capability in enterprise unified communications and contact centre

· Reconfirmed intention to increase the dividend to approximately 50% of adjusted earnings per share by FY 2015

Trading Update for the 12 months to 31 December 2016



Maintel Holdings Plc, the leading systems integrator and managed services provider, is pleased to give an update on trading for the 12 months to 31 December 2016.



Trading in the second half of the financial year has been encouraging, with both full year revenue and profit now expected to be marginally ahead of the Board's expectations. In addition, cash generation has been particularly strong and net debt is now expected to be lower than previously indicated.



Restoration of momentum in the organic Maintel business pre-Azzurri has been especially pleasing, with a significant improvement in the second half. Organic Maintel revenue for the full 12 month period is now expected to show a slight increase against the prior year, following a reported 8% decline in H1.



The integration of Azzurri, following the acquisition in May 2016, is progressing well. The Company expects to deliver synergies in 2016 in line with those announced at the time of the transaction, with cash savings of £1.9m realised in the period. The Board also continues to expect further synergies to be delivered in 2017 in line with market expectations.



Cash generation in the period has been strong, with cost management remaining robust. As a result, net debt at the period end is expected to show a material improvement on initial expectations, with adjusted net debt at £21.5m.



The Company expects to release preliminary results for the period on 20 March 2017.

·      Organic revenue growth of 1%, reflecting positive momentum through the year and a strong second half recovery.
·      Increase in recurring revenue to 73% (2015: 69%).

·        Period end net debt [4] of £20.1m, equivalent to 1.6x adjusted EBITDA, comfortably ahead of board expectations.
 
·        Proposed final dividend per share of 17.4p (2015: 16.5p), taking full year dividend per share to 30.8p (2015: 29.3p), an increase of 5%, in line with the stated dividend policy.
 
Operational Highlights
 
·      Transformational acquisition of Azzurri completed 4 May 2016.
·      Pleasing performance post-acquisition with notable contract wins.
·      63% growth in the number of contracted seats on ICON Communicate, our Unified Communications cloud platform.
·      Integration progressing well, with £2.2m of synergies realised in the current year and an annualised effect of £5.0m, ahead of stated targets at the time of the transaction.

Maintel Holdings Plc, the fast growing provider of managed communications, is pleased to announce the acquisition of the entire issued share capital of Intrinsic Technology Limited ("Intrinsic") for a total consideration of £5.25 million on a cash-free, debt-free basis (the "Acquisition").
 
Highlights:
 
·      Intrinsic enables and manages secure intelligent communications solutions for UK business customers, predominantly medium to large size enterprises and public sector organisations
 
·     Intrinsic adds strong capability in Cisco through its Gold Partner status, and increases Maintel's expertise in the fast growing network security sector
 
·      Intrinsic is expected to be breakeven at the EBITDA level for the remainder of Maintel's current financial year
 
·      With identified synergies, it is expected to generate positive EBITDA and be earnings enhancing in the financial year to December 2018

Maintel Holdings Plc, the fast-growing provider of managed communications, is pleased to announce a strategic partnership with Atos and the acquisition of certain UK customer contracts with a total net consideration of £5.1 million (the "Acquisition").


Highlights of the Acquisition:
· Maintel is acquiring a customer base which has been divested in order for Atos to focus on a growth strategy through its partners and large customer accounts.
· Following the Acquisition, Maintel will become a new channel partner of Atos.
· The customer contracts acquired are to be transferred to Maintel and revenue will be billed by Maintel, commencing 1 July 2018.
· The consideration of the Acquisition is payable over a period of 4 and half years with spread payment instalments and will be satisfied using the Company's existing cash resources.
· The Acquisition is expected to be accretive in the first full year of ownership.
